Na ja, Du bekommst für 17 Ytel 2 NEXHORIZON COMMUNICATIONS.
Die werden derzeit mit 1$ gehandelt, bei bescheidenem Umsatz.
Die Einbuchung der NEXHORIZON COMMUNICATIONS auf Dein Depot sollte
in den nächsten Tagen passieren. Erklärt mir auch die letzten Zucker
von Ytel anfangs der letzten Woche mit 0,04. Meiner Meinung nach Insider die hier aufgesammelt haben um beim umgekehrten Split einen guten Schnitt zu machen. Ob der neue Name was bringt? Das Geschäftsmodell, ländliche Gebiete mit Kabelzugang zu versorgen ist gerade in den Staaten ein schwieriges Geschäft. Ich denke die werden auch mit neuem Namen und neuem Geld nicht überleben.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year

On November 30, 2006 the shareholders voted in favor of a proposal authorizing
the Board of Directors of the Company to cause the Company to amend its Articles
of Incorporation to change the Company's name from Y-Tel International, Inc. to
NexHorizon Communications, Inc. The name change will be effective on January 29,
2007.

[On November 30, 2006 the shareholders voted in favor of a proposal authorizing a
reverse split of up to one for fifty of the Company's common stock which the
Board has set on a basis of one new share for 8.5 old shares which required an
amendment to the Company's Articles of Incorporation.[/b][/b][/b] Fractional shares will be
rounded up to the next whole share. The reverse split will be effective on
January 29, 2007. The Preferred Series A, B, and C Stock will be converted to
common stock and then will be reversed, per an agreement with the holders, on
the basis of 4.5 to 1.

Y-Tel International Board Changes Name & Sets Reverse Split

BROOMFIELD, Colo., January 18, 2007 -- Y-Tel International, Inc., (OTC BB: YTLI)
announced today its board has changed its name to NexHorizon Communications,
Inc. and set an 8.5 to 1 reverse split of its common shares, which was
previously approved by shareholders. Additionally, the holders of the Series A,
B and C preferred stock will be converted to common and be reversed 4.5 to 1.
The effective date will be January 29, 2007.

Said Calvin D. Smiley, Sr., Y-Tel International CEO, "this realigns the
Company's capital structure thus providing a solid foundation from which we can
build upon. It accomplishes the issues surrounding our funding challenges and
positions the Company for execution of its new business model. This is an

The corporation organized and existing under and by virtue of the General
Corporation Law of the State of Delaware does hereby certify:

FIRST: That at a meeting of the Board of Directors of Y-Tel International, Inc.
resolutions were duly adopted setting forth a proposed amendment of the
Certificate of Incorporation of said corporation, declaring said amendment to be
advisable and calling the written consent of a majority entitled to vote of the
stockholders of said corporation. The resolution setting forth the proposed
amendment is as follows:

RESOLVED, that the Certificate of Incorporation of this corporation be amended
by changing the paragraph one thereof so that, as amended, said paragraph shall
be and read as follows: The name of the Corporation is NexHorizon
Communications, Inc.

RESOLVED, that the Certificate of Incorporation of this corporation be amended
by changing paragraph four so that, as amended, said paragraph shall be and read
as follows: This paragraph is hereby amended by adding as follows: Each share of
issued and outstanding common stock as of January 29, 2007, is reverse split on
a one to 8.5 basis such that each old share represents 1/8.5 of a new share. A
surrender of the old share certificate is required to be made by each
shareholder in order to receive a new certificate reflecting the reverse split
except for those certificates held in "Street Name." The new split adjusted
share certificates will be transmitted to the shareholders of record upon
surrender of old certificates.

SECOND: That thereafter, the written consent of the stockholders holding a
majority of the voting shares of said corporation was duly delivered in
accordance with Section 228 of the General Corporation Law of the State of
Delaware voting in favor of the amendments.

THIRD: That said amendment was duly adopted in accordance with the provisions of
Section 242 of the General Corporation Law of the State of Delaware.
