The BrightEye uses solid-state semiconductors which consume 75-percent less energy than incandescent lighting elements and are projected to last for more than 20 years as compared to 750 hours for conventional bulbs. Using rechargeable battery technology could also save an estimated 63 percent in daily portable-lighting operating costs and could also reduce the Air Force's reliance on host nation resources.

As part of the evaluation, the AMB determined that the BrightEye System is 97% smaller in footprint, weighs 94% less than the current diesel-powered incandescent lighting systems and saves an estimated 63% in daily operating costs

The AMB utilized Air Mobility Command expeditionary subject-matter experts to evaluate the BrightEye System's capabilities. In addition, the AMB concluded that the BrightEye System provides versatile and economical tactical lighting capability as required by expeditionary forces across all U.S. armed services.

On May 25, 2007, Cyberlux Corporation (the “Company”) sold warrants to purchase 100 million shares of the Company’s common stock (the “Warrants”) to an institutional investor for $150,000. The Warrants are exercisable until May 22, 2012 at an exercise price equal to a 50% discount to market based on the average closing price of the Company’s common stock for twenty trading days prior to notice of exercise, subject to adjustment.

The exercise price of the Warrants will be adjusted in certain circumstances such as if the Company pays a stock dividend, subdivide or combine outstanding shares of common stock into a greater or lesser number of shares, or take such other actions as would otherwise result in dilution of the investor’s position. The exercise price shall be determined by multiplying the exercise price in effect immediately prior to the record date by a fraction. The numerator of the fraction shall be equal to the sum of the number of shares outstanding on the record date and the denominator shall be equal the number of shares outstanding after the payment of the dividend or completion of the reorganization. In addition, the number of shares of common stock subject to purchase upon exercise of the Warrants shall be adjusted by multiplying the number of shares of common stock subject to purchase immediately prior to the record date by a fraction. The numerator of the fraction shall be equal the number of shares outstanding after the payment of the dividend or completion of the reorganization and the denominator shall be equal to the sum of the number of shares outstanding on the record date.

The investor has agreed to restrict its ability to exercise their warrants and receive shares of the Company’s common stock such that the number of shares of common stock beneficially owned by it in the aggregate and its affiliates after such exercise does not exceed 9.99% of the then issued and outstanding shares of the Company’s common stock.

The Company has the right to call the Warrants for conversion at any time, provided that such redemption does not result in the investor having beneficial ownership of more than 9.9% of the Company’s issued and outstanding common stock.

The issuance of the Warrants was made without registration under the Act, or the securities laws of certain states, in reliance on the exemptions provided by Section 4(2) of Act and Regulation D under the Act and in reliance on similar exemptions under applicable state laws.

Cyberlux Corporation today announced that it has commenced an action against AJW Partners, LLC, AJW Offshore, LTD., AJW Qualified Partners, LLC, and New Millennium Capital Partners II, LLC, (the “Defendants”) in the United States District Court for the Southern District of New York for violations of the anti-fraud provisions of the Securities Act of 1934, fraud, negligent misrepresentation, breach of fiduciary duty, breach of contract, breach of implied covenant of good faith and fair dealing and conversion. The complaint alleges that the Defendants utilized an illegal trading scheme involving deceptive secured loan financings to convert shares of Company’s common stock for the Defendants’ own use and benefit. The trading scheme involved the Defendants manipulating the Company’s stock price downward by short sales. In addition the complaint seeks declaratory, injunctive and monetary relief.

Because of a software glitch, the first high-tech "virtual fence" on the nation's borders remains inoperable, three months after its scheduled debut.

Homeland Security Secretary Michael Chertoff said he is withholding further payment to the prime contractor, Boeing Co., until the success of the pilot project stretching 28 miles near the border southwest of Tucson.

Nine 98-foot towers laden with radar, sensors and sophisticated cameras have been built in an area heavily trafficked by illegal immigrant and drug smugglers. The towers, each a few miles apart, are intended to deter or detect border crossers and potential terrorists and enhance the ability of Border Patrol agents to catch them.

More testing is expected by early October, Chertoff told the House Committee on Homeland Security this month in Washington.

"We are now looking to begin acceptance testing in about a month," Chertoff said — meaning the point at which contracting officials give the go-ahead for testing — "and we will then kick the tires again."

Of Chertoff's remarks, Boeing spokeswoman Deborah Bosick said only: "We're working with our customer to solve some remaining technical issues."

The virtual fence is the first stage of a plan to smother the Mexican and Canadian borders with 1,800 such towers, all aimed at enabling the U.S. Border Patrol to pinpoint crossings and improve their ability to intercept crossers.

About three-fourths of the $20 million cost for the 28-mile project has been paid, homeland security officials said. The fencing was announced as part of a $67 million initial contract awarded last September to Boeing, the bulk going to set up program management, systems engineering and planning support.

The virtual fence system is supposed to coordinate camera, sensor and radar sightings and provide a common operating picture to agents on the ground to intercept those entering the country illegally.

"The integration of all the systems into a common operating picture continues to be the challenge," said Homeland Security spokesman Russ Knocke. Boeing has put new people on the project who are working to resolve the problems, he said.

In June, with the towers up, a radar problem caused a brief delay. Then, federal officials said there was a software problem.

In his Sept. 5 testimony, Chertoff said the original plan was to begin acceptance testing in June "so that we could make a determination that we were satisfied with the product and take possession of it I think in July."

Acceptance testing is "a little bit like buying a car. We didn't want to get stuck with a lemon," Chertoff said.

The individual components worked well, but the system integration did not, he said.

Boeing has "retooled their team on the ground and replaced some of the managers. ... They are now working through the problems of system integration as we speak," Chertoff said. "I think they put their A-team in place to do it."

As for the testing, Chertoff added, "We should get it done well before the end of the year."

      Hallo zusammen,

Also 0,034

Danke

Oct 03, 2007 (M2 PRESSWIRE via COMTEX News Network) --

A couple of microcaps in the solid-state lighting, or light-emitting diode LED sector have caught the attention of investors recently -Cyberlux Corporation (OTC:BB:CYBL) and Lighting Science Group (OTC:BB:LSGP). The LED sector has been heating up on rumors that General Electric Company may buy Cree, Inc.(NASDAQ:CREE), an LED chip maker to compete with Philips Electronics who just closed an acquisition of Color Kinetics, another leader in LED design and marketing. Philips has already closed a string of LED acquisitions in order to prepare for the lighting revolution.

LEDs are the future of the lighting market because of superior energy efficiency and longevity vis a'vis incandescent lighting which currently dominates the market. Incandescent lighting is on its way out - On February 20, 2007, Australia announced that by 2010, incandescent light bulbs would be banned. It is estimated greenhouse gas emissions will be cut by 800,000 tonnes (Australia's current emission total is 564.7 million tonnes). The European Union has proposed a ban on incandescent light bulbs, planned to come into effect in the near future, but this will not affect existing incandescent bulbs, only the production of new bulbs. However, the proposal has yet to be approved by all member states or the European Parliament. In January of 2007, California State Assembly member Lloyd E. Levine (D-Van Nuys) announced that he would introduce the "How Many Legislators does it take to Change a Light Bulb Act" which would ban the sale of incandescent light bulbs in California starting in 2012. Levine's bill is now dead, but a new bill by California State Assembly member Jared Huffman (D-Santa Rosa) is still active.

Currently, CFL (compact fluorescent light) is frequently used as a replacement for incandescent lighting, but there are complaints about the quality of lighting. LED bulbs are expensive, but they last 15 times as long as an incandescent bulb, use 85% to 90% less energy and are brighter. LED bulbs also last 4 to 6 times longer compared to CFL and use about half of the energy. Eventually, economies of scale of LED production will be reached and the prices will drop, especially now that we have well capitalized companies like GE and Phillips acquiring small cutting-edge LED companies.

Instead of a lighting element that glows in a gaseous enclosure, electrons flow across a semi conductor junction and emit light. It is very bright light, takes very little energy.

LEDs are used in various illumination applications, automotive headlamps, traffic signals, mobile phones, electronic billboards, digital cameras, PDAs, and as backlights for LCD monitors and TV screens. There are even toilets with LEDs, and I'm sure they are saving marriages around the world as husbands make their middle-of-the-night trips to the restroom without "guessing" where to aim. We won't see much of an LED presence in home lighting for a while(maybe in 5 years or so), but there are plenty of other applications as we can see to keep investors interested.

Strategy Analytics states,"Solid State Lighting Market 2006-2011," projects 21 percent market growth for solid-state LED lighting through 2011. The bulk of demand, however, will be generated from niche lighting applications including architectural, task lighting, medical and off-grid lighting applications rather than the residential lighting market.

According to Navigant Consultanting, "Today, lighting product sales in the U.S. are worth approximately $11.9 billion annually. Of this, approximately $2.65 billion is associated with lamps while the remaining sales are divided between fixtures, components (including ballasts and controls) and associated services such as design and maintenance. High-brightness (HB) LEDs, a popular product thought by many to be the nearest general illumination solution to SSL, is a $3.5 billion business globally with a compound annual growth rate of over 46% since 1995. Of these HB LED revenues, approximately 6%, or $271 million is attributable to illumination applications.

Hedge funds used deceit, suit says: Cyberlux claims millions were lost

(News & Observer, The (Raleigh, NC) (KRT) Via Thomson Dialog NewsEdge) Sep. 6--A small Triangle company has accused a group of hedge funds of scheming to manipulate its stock for profit.

Cyberlux, a Research Triangle Park company that designs and makes lighting, has sued the hedge funds, alleging fraud, securities violations and breach of contract, among other claims. The lawsuit was filed in federal court in New York.

According to the lawsuit, the scheme resulted in Cyberlux losing hundreds of millions of shares of its stock that currently are worth nearly $2 million. Cyberlux, whose shares are traded over the counter, has 507 million shares outstanding.

The "predatory and illegal trading scheme," according to the lawsuit, also "has forced Cyberlux's stock price to fluctuate dramatically and to ultimately decrease, causing serious erosion of the equity value of Cyberlux in an amount to be determined at trial."

"Additionally, defendants' unlawful actions have caused Cyberlux to experience or will cause Cyberlux to experience greater difficulty in securing financing or issuing any debt or equity offerings," the suit states.

The lawsuit seeks monetary damages and aims to stop further action by the defendants, which are four hedge funds that share a corporate parent, NIR Group of Roslyn, N.Y. Its executives could not be reached for comment.

The lawsuit claims that the hedge funds lent money to Cyberlux, in the form of notes that were convertible to common stock, in transactions that began in September of 2004 and continued through July. The conversion price fluctuated with the stock price -- the lower the stock price, the lower the conversion price. Also, the lower the share price, the more shares the hedge funds would be issued.

Such agreements are known as "death spiral convertibles" and are usually issued by small companies that urgently need cash.

The suit claims the defendants manipulated Cyberlux stock by selling the shares short as soon as the notes were converted into stock -- that is, borrowing shares from a broker with an agreement to later buy the shares back at the prevailing price. Selling a stock short enables investors to profit when the share price falls.

That maneuver triggered a "precipitous drop" in Cyberlux's stock price, which lowered the conversion price the defendants had to pay for their stock and led Cyberlux to issue more shares to the defendants than it would have otherwise, the lawsuit claims.

The hedge funds had said in loan agreements that they would not get involved in short selling Cyberlux stock, the suit says. The suit also accuses them of violating restrictions in the loan agreements that limited the amount of shares they could convert.

Cyberlux's attorney, Ernest E. Badway of New York, said neither he nor the company had any comment on the case.

Cyberlux shares, which fetched 5 cents a year ago, closed at not quite six-tenths of a cent Wednesday.

The company, which was incorporated in 2000, posted a loss of $12.2 million in the first half of this year. Revenue totaled $223,355 during that period, up from $130,226 a year earlier.

The company announced last month that because of increased demand for its product, it expects to generate $3.7 million in revenue this year and to start generating positive cash flow.

2008 Defense Appropriations Bill Includes $8M for Cyberlux Portable Illumination Systems
Monday November 19, 1:21 pm ET
Congress Approves $8 Million to Equip United States Air Force with the latest in Tactical Lighting Technology

RESEARCH TRIANGLE PARK, N.C., Nov. 19 /PRNewswire-FirstCall/ -- Cyberlux Corporation, (OTC Bulletin Board: CYBL - News), a leading provider of LED lighting solutions, reported today that the Fiscal Year 2008 Department of Defense Appropriations legislation contains $8 million to equip the States Air Force with the Company's BrightEye Visible and Covert Portable Illumination Systems. Over the last several years, the BrightEye lighting technology has undergone successful field testing by various United States Air Force commands. In addition, Cyberlux Corporation holds General Services Administration (GSA) contract GS-07F-9409S under the Federal Supply Schedule 56 for Specialty Lighting products.

In September, the U.S. Air Force Air Mobility Battlelab (AMB) announced the successful completion of their BrightEye Portable Illumination System evaluation period (http://www.amc.af.mil/news/story.asp?id=123069485 ). The AMB utilized Air Mobility Command expeditionary subject-matter experts to evaluate the BrightEye System's capabilities and determined that the BrightEye System is 97% smaller in footprint, weighs 94% less than their current diesel- powered incandescent lighting systems and saves an estimated 63% in daily operating costs. In addition, the AMB concluded that the BrightEye System provides versatile and economical tactical lighting capability as required by expeditionary forces across all U.S. armed services.

"The action by President Bush and the Congress to approve the equipping of the USAF with Cyberlux Portable Illumination Systems demonstrates the bi- partisan commitment to provide our Armed Services with the most advanced equipment and technology. With the successful evaluation of the BrightEye tactical lighting solutions by the USAF, this budget will accelerate the deployment of our BrightEye technology in support of the Air Force's most important missions," said Mark Schmidt, president and chief operating officer for Cyberlux. "In addition, we anticipate the National Guard will continue to deploy the BrightEye systems as well during 2008."

The BrightEye Portable Illumination System is designed as a portable visible and night-vision compatible illumination system for general mission tactical lighting, force protection, maintenance lighting, expeditionary base protection, disaster first responders, and other rapidly deployable high- intensity lighting applications. Using advanced optics, advanced solid-state lighting technology, and light-weight battery power, all contained in an easily transportable wheeled case, the BrightEye system is capable of eliminating the space-consuming bulk, noise and energy consumption of the current generator-powered incandescent lighting systems. Unique to the marketplace, the BrightEye provides both visible white lighting and night- vision compatible covert lighting, capability not available in traditional lighting systems.

The BrightEye Systems are available through the General Services Administration (GSA) Federal Supply Schedule 56 for Specialty Lighting products under Cyberlux GSA Contract GS-07F-9409S.

WAS DIE LED AUSZEICHNET (aus Börse online 2/2008)Leuchtende Chips

Cyberlux Receives First Commitment from USAF for $3.3M in Portable Illumination Systems
      (PR Newswire 02.19 13:00:40)

      RESEARCH TRIANGLE PARK, N.C., Feb. 19 /PRNewswire-FirstCall/ -- Cyberlux
Corporation, (OTC Bulletin Board: CYBL), a leading provider of LED lighting solutions, announced today that the Company has received the first commitment for 80 BrightEye and 60 WatchDog Visible and Covert Portable Illumination Systems from the United States Air Force (USAF). This initial USAF order for Cyberlux tactical lighting equipment equates to $3,318,646 in revenue, including spares and maintenance supplies. The Company projects that operations will be cash flow positive with the fulfillment of these first USAF orders.
The 2008 Department of Defense Appropriations legislation contains $8.0 million for the equipping of the USAF with Cyberlux Portable Illumination Systems. As part of this $8.0 million budget, the USAF Air Mobility Command will first fulfill the requirements of the Operations, Installation and Mission Support commands for the BrightEye and WatchDog systems. The remaining $4.6 million appropriations will be allocated within the Air Mobility Command and other USAF commands during the remaining Fiscal Year 2008.
"Cyberlux is a leader in solid-state lighting innovation, and our Portable Illumination Systems are engineered to provide the U.S. Armed Services with next generation tactical lighting capability. The commitment from the USAF will begin the deployment of new lighting technology within the most important Air Force commands, but this is just the start of a longer-term lighting technology transition from incandescent-based lighting to solid-state lighting, which strongly positions Cyberlux for inclusion in the Fiscal Year 2009 budget and beyond,\" said Mark Schmidt, president and chief operating
officer for Cyberlux. \"We\'ve been pursuing this market for the last several years, and we are excited to be selected by the USAF to lead this technology transition. We look forward to deploying visible and covert lighting solutions throughout the U.S. Armed Services, the National Guard and the
Department of Homeland Security organizations.\" The BrightEye Portable Illumination System is designed as a portable visible and night-vision compatible illumination system for general mission
tactical lighting, force protection, maintenance lighting, expeditionary base protection, disaster first responders, and other rapidly deployable high-intensity lighting applications. Using advanced optics, advanced solid-state lighting technology, and light-weight battery power, all contained in an easily transportable wheeled case, the BrightEye system is capable of eliminating the space-consuming bulk, noise and energy consumption of the current generator-powered incandescent lighting systems. Unique to the marketplace, the BrightEye system provides both white and night-vision compatible covert lighting, a capability not available in traditional lighting systems.
In September 2007, the USAF Expeditionary Center Air Mobility Battlelab (AMB), an organization that explores high-payoff concepts, technologies and tactics to advance the capabilities of Rapid Global Mobility and Agile Combat Support, announced the successful completion of the BrightEye Portable
Illumination System\'s evaluation period (http://www.amc.af.mil/news/story.asp?id=123069485). The Air Mobility Command expeditionary subject-matter experts evaluated the BrightEye System\'s
capabilities and determined that the BrightEye System weighs 94% less than their current diesel-powered incandescent lighting systems, saves an estimated 63% in daily operating costs and is 97% smaller in footprint. In addition, the AMB concluded that the BrightEye System provides versatile and economical tactical lighting capability as required by expeditionary forces across all U.S. armed services.
In 2006, the Air Mobility Battlelab selected Cyberlux Corporation to deliver the WatchDog System by adapting its commercially available portable lighting systems to meet USAF Air Mobility Command requirements. Cyberlux was one of 26 competing companies to submit proposals to develop a lightweight, portable lighting system for both visible lighting and infrared NVG-compatible
lighting. Cyberlux was selected during the USAF competitive review process to develop the WatchDog Portable Covert Illumination System. The resulting WatchDog Portable Covert Illumination System, which weighs less than 50 pounds including batteries, is a perimeter lighting solution for
the protection of landed aircraft assets and attendant personnel. The WatchDog System provides security lighting for an exterior boundary of 600 feet x 600 feet with either visible light or covert night-vision goggle (NVG) compatible infrared light. The Watchdog System was designed to protect
military assets on the ground, such as a C-130 transport aircraft, by creating a \"lightless\" zone around the asset while illuminating the surrounding protection boundary. In covert illumination mode, the system increases the visibility of NVGs by almost sixfold. The system can easily be carried to
remote locations and deployed quickly, and with highly efficient LED technology, the system can provide lighting for several days with a single battery charge. The BrightEye and WatchDog Systems are available through the General Services Administration (GSA) Federal Supply Schedule 56 for Specialty Lighting products under Cyberlux GSA Contract GS-07F-9409S.
