Canada requires a take-over bid to be open for at least 35 days, the Board is concerned that this is too short a
time for companies that are subject to unsolicited take-over bids to be able to respond to ensure that
shareholders are offered full and fair value for their shares. The Rights Plan is designed to give the
Company’s shareholders sufficient time to properly assess a take-over bid without undue pressure and to give
the Board time to consider alternatives designed to allow the Company’s shareholders to receive full and fair
value for their Common Shares.The Board is also concerned that current Canadian take-over bid rules permit a person or company to obtain
control or effective control of the Company without treating all shareholders equally.
The Rights Plan is not intended to prevent a take-over bid or deter offers for Common Shares. It is designed to
encourage any bidder to provide shareholders with equal treatment and full and fair value for their Common
Shares.
