AVELAR Energy Group stärkt ihre Beziehungen zur Kerself S.p.A.
Zürich (ots) - AVELAR Energy hat mit Pier Angelo Masselli, dem Ankeraktionär der Kerself S.p.A., eine rechtsverbindliche Aktienkaufvereinbarung sowie eine bindende Konsortialvereinbarung geschlossen. Demnach wird Pier Angelo Masselli einen Anteil von 29,9% des Aktienkapitals an Kerself S.p.A. in eine neu zu gründende Gesellschaft überführen, die von AVELAR Energy zu 50% erworben wird. Die Parteien sind ebenfalls eine Konsortialvereinbarung eingegangen, die ihre Beziehungen als indirekte Teilhaber von Kerself S.p.A. regelt. AVELAR Energy hat zudem eine Geschäftsvereinbarung mit der Kerself S.p.A. geschlossen. Die Vereinbarung über den Aktienkauf steht unter dem Vorbehalt der kartellrechtlichen Genehmigung in den entsprechenden Gerichtsbarkeiten. Die Handelsvereinbarung tritt mit dem Closing in Kraft.
Durch die Handelsvereinbarung wird Kerself S.p.A. der Vorzugslieferant von AVELAR Energy im Bereich Polysilizium-Panels und Anlageninstallation in Italien, Griechenland und Spanien. Durch die Vereinbarung bekräftigen die Parteien ihr Vorhaben, innerhalb von drei Jahren Polysilizium-Photovoltaik-Anlagen mit einer Leistung von mindestens 105 MW zu errichten. Zudem wird AVELAR Energy die Kerself S.p.A. in der langfristigen Beschaffung von Silizium unterstützen, besonders mit Blick auf ein Polysilizium-Projekt der RENOVA Group in Russland.

con la firma degli ultimi EPC (“contratti chiavi in mano”), ampiamente superato tale
ammontare preventivato a budget e ritiene quindi di poter superare nel corso del
2009 le stime relative all’attività di installazione di impianti solari.
Si sottolinea che i contratti relativi ai suddetti 66 MW risultano sottoscritti da primari
clienti di standing anche internazionale e sono già interamente finanziati da istituti
bancari italiani e/o esteri. Inoltre, Kerself conferma che Avelar Energy Ltd. ha in
pipeline impianti per 25 MW nel 2009 che sono già tutti interamente deliberati da
primari istituti di credito.
Inoltre, il suddetto portafoglio ordini non comprende gli impianti di piccola

Correggio, Italy: Kerself Develops Turnkey PV Projects with Origis
Cell, module and water pump manufacturer, Kerself SpA has signed a contract through its system's subsidiary, Ecoware S.p.A. to develop projects with Belgium's Origis, a renewable energy project asset management fund. The total project quantity is for 25 MW of PV systems, for projects already financed and to be constructed in the Italian regions of Puglia and Marche this year.
The agreement with Origis also anticipates a further 25 megawatts of turnkey photovoltaic systems in 2010 and 50MW in 2011.
Kerself says that the signed contract of 25 MW for the 2009 confirms the ability of the company to grow sales volumes and adds visibility to the company's full year 2009 results.

Helio Capital è attiva nella realizzazione e gestione di parchi fotovoltaici per la produzione e la
vendita di energia. Il Piano Industriale pone l’obiettivo di costruire, in proprio o in partnership,
un portafoglio di parchi fotovoltaici per complessivi 200 MW entro il 2011; la messa in esercizio
dei primi parchi è prevista nel primo semestre 2009. La società sta attualmente gestendo una
pipeline di progetti per complessivi 80 MW, sviluppati internamente e tramite acquisizioni
industriali, concentrati prevalentemente in Puglia, in Calabria e in Sicilia. Sono previsti ulteriori

La società ha inoltre siglato un accordo con la società del Gruppo Avelar, Energetic
Source S.p.A. per la fornitura di energia elettrica, con un risparmio previsto rispetto
alla fonte utilizzata attualmente non inferiore all’8%.
A tale proposito ricordiamo che la sola Helios Technology S.p.A. ha sostenuto costi per
l’energia elettrica pari a circa 500mila euro nei primi 6 mesi.
Kerself ha inoltre siglato con Energetic Source un accordo per la distribuzione degli
impianti del Gruppo Kerself presso i loro clienti, sia privati sia imprese.
Si ricorda che Energetic Source nel 2008 ha realizzato un fatturato pari a 1,1 miliardi
di euro e ha circa 5.000 clienti nel settore industriale e circa 52.000 clienti privati.
“Siamo molto orgogliosi” ha dichiarato il Presidente e Amministratore Delegato del
Gruppo Kerself, Pier Angelo Masselli “di constatare che nonostante la congiuntura
attuale siano addirittura aumentati gli impianti da eseguire rispetto a quelli previsti.
Inoltre, con l’accordo per la vendita di impianti sui tetti a industrie e privati con
Energetic Source, crediamo di poter incrementare le vendite in un settore in cui
crediamo molto e di cui siamo leader indiscusso”.

Kerself obtains STAR stock market status
Correggio, 14 September 2009 – Kerself S.p.A. (KRS IM), a company listed on The
Italian Stock Exchange Market (MTA) and Italy’s leading player in photovoltaic solar
plant engineering, development, production, installation and distribution, said that it
had been granted today with STAR status by Borsa Italiana S.p.A.. Consequently, as
from 21 September 2009, Kerself ordinary shares will be traded on the MTA’s STAR
segment. STAR is the segment of the Italian Stock Exchange Market for mid-size
companies complying with specific and stringent liquidity, transparency and corporate
governance requirements set by Borsa Italiana.
The announcement completes the application for admission to the STAR segment,
with Kerself successfully meeting all the conditions required by Borsa Italiana, to
which Kerself presented the application on 16 February 2009, when it was still listed
on the Expandi market. Kerself was admitted for trading on the MTA on 22 June 2009,
after Borsa Italiana merged the MTA and the Expandi markets.

Prato di Correggio, Italy: Kerself Signs LOI to Acquire Majority Interest in Albatech; Plans €70M Capital Increase
Italian system integrator, Kerself has signed a letter of intent with the Meta System Group for the acquisition of Albatech S.r.l., a solar photovoltaic installer. Kerself plans to use company’s equity to acquire 75% of Albatech by the end of 2009 and the outstanding 25% by the end of 2010.
Albatech expects to close 2009 with revenues totalling approximately 21 million euro and EBITDA of approximately 1.5 million euro.
A second strategic agreement has been signed with Meta System, providing for joint industrial development of a photovoltaic inverter. The device will be type approved probably by April 2010 and subsequently also marketed under the Kerself label.
Separately, Kerself also said it has reached binding agreements with a Luxembourg fund owned by two important Swiss institutional investors, under which the fund is to take a shareholding in Fortesa S.p.A. through a share capital increase.
Consequently, Fortesa will be 85% held by the international fund, while the remaining 15% will be owned by Kerself as minority shareholder.
Kerself says the fund will provide the equity for installation of 100 MW of photovoltaic systems, through a capital increase of approximately 70 million euro.
Fortesa plans to install photovoltaic plants of 1 or more Megawatts each, for a total of 100 MW, mainly in the Italian regions of Puglia, Sicily and the Marches.
Kerself, which will be the sole EPC Contractor, will report additional revenues of more than 300 million euro next year. Installation of the first solar fields, deploying both fixed and tracker plants, began earlier this month.
”This binding agreement gives me great satisfaction,” said Kerself Chairman Masselli. “It enables Kerself to achieve a strong revenue improvement next year without any significant impact on its net financial position and to build close ties with three of the main institutional investors in the renewable energy sector.”

Engineering and installation company Kerself has connected two solar power plants in the Puglia region of Italy. The two plants, one 4MW plant for Acea and one 1MW plant for Avelar Energy, were connected by Kerself’s Saem subsidiary. Saem plans to complete an additional 10 solar power projects for Acea and Avelar by the end of the year.

KERSelf has opened three 3MWp photovoltaic solar fields in San Severo, Puglia, installed by Ecoware. The fields were connected to the mains grid in December 2009 and were commissioned by Voigt & Coll., the German financial company active in PV investments in Europe.
The contract for this project was secured with DynaFinance Consulting, which has reached previous agreements with Ecoware for the construction of PV plants in Puglia. DynaFinance will guarantee financial coverage for the entire project by setting up a PV property fund for more than €200 million, in partnership with CBA Studio Legale e Tributario.
Markus Voigt, Voigt & Coll CEO said, "Italy offers the most interesting opportunities for photovoltaic investment in Europe today. We are ready to invest an additional €250 million in capacity photovoltaic plants in Italy in 2010 and Ecoware is our partner of choice."
Among those attending the opening ceremony on January 21 were Wolfgang Palz, president of the World Council for Renewable Energy (WCRE), Onofrio Introna, Puglia's regional councillor for the Environment & Energy, and institutional representatives of the Puglia Regional Authority, ENEA, local authorities and international banks.
