AdultShop.com Ltd refers to its ASX announcement dated 20 June 2001
advising of an investigation by ASIC. ASIC has advised the Company
that it has now completed its investigations.
One matter of concern has been raised by ASIC and the Company has
agreed with ASIC to clarify the matter by way of an ASX announcement.
In late March 2000, the Company issued a prospectus to raise
approximately $21.7 million by way of a rights issue. The issue was
completed in late June 2000 and gross funds of $19.3 million were
eventually raised. Investa AG, an entity related to the Company`s
director, Mr Hans-Rudolf Moser was a sub-underwriter to that issue.
Subsequent to 30 June 2000, the Company has paid Investa AG an amount
of $300,000 (paid in six monthly instalments of $50,000 each). This
amount was for both the sub-underwriting support provided by Investa
AG in respect of the rights issue completed in June 2000 as well as
corporate promotion, marketing and investor relations services
provided by Investa AG in the six months following the completion of
the rights issue. As a result of ASIC`s investigation, the Company`s
Directors have concluded that the portion of the $300,000 payment,
which related to sub-underwriting support should have been reflected
in the Financial Report for the year ended 30 June 2000. The
Directors have resolved that $180,000 relates to sub-underwriting
support and that this amount should have been recorded as a current
liability of the Company as at 30 June 2000. In addition, the
Financial Report should have aggregated this amount with the
sub-underwriting fees earned by Investa AG, which were disclosed
under the "Related Party Transactions" note in that Financial Report.
The Directors advise that the treatment of the $300,000 payment in
the Financial Report for the year ended 30 June 2001 shall be as
follows:
* $180,000 will be recorded as underwriting fees and reflected under
transaction costs relating to share issues on the Statement of
Financial Position (formerly referred to as the Balance Sheet);
* $120,000 will be recorded as promotion and investor relations
expenditure and reflected on the Statement of Financial Performance
(formerly referred to as the Profit and Loss Statement); and
* The amounts of $180,000 and $120,000 will both be described as
payments to Investa AG under the "Related Party Transactions" note in
that Financial Report with narrative explaining the nature of the
payments.
The Directors note that the amount of $180,000 paid to Investa AG and
attributed to sub-underwriting fees when aggregated with other
underwriting fees relating to that rights issue results in total
underwriting fees of $1,055,033 or 5.5% of the total funds raised.

Der Online-Handel in den Vereinigten Staaten hat im vergangenen Quartal um fast ein Viertel zugelegt, steht aber immer noch für weniger als ein Prozent der gesamten Einzelhandelsumsätze.
Wie das Handelsministerium in Washington bekannt gab, verkaufte der Einzelhandel über das Internet 24,7 Prozent mehr als im zweiten Vierteljahr 2000.
Die Umsätze kletterten auf 7,458 Mrd. USD Damit trug das Online-Geschäft 0,9 Prozent zum gesamten Einzelhandelsumsatz von 807,5 Mrd. USD bei.
