      RESEARCH ALERT - Spyglass cut
CHICAGO, Jan 20 (Reuters) - Barrington Research Associates said Thursday it had cut its rating on Internet software and professional services company Spyglass Inc. to long-term buy from strong buy.

-- Naperville, Ill.-based Spyglass on Wednesday reported first-quarter revenues rose 42 percent from a year ago, to $8.2 million; it cited a 78 percent rise in technology licensing revenue and a 25 percent rise in professional services revenue.

-- In a research note, Barrington analyst Frank Sparacino said the stock has risen more than four-fold since he upgraded the stock to strong buy in August.

-- ``These gains are largely the result of market sentiment, a significant peer group valuation discrepancy, and excitement over the Internet appliance market,`` he said.

-- said that ``there has been no drastic change in the company`s fundamentals.``

-- Sparacino also said Spyglass must deliver on a number of strategic initiatives this year, including strengthening the management team, building new solution centers, increasing research and development investment, and expanding further into Europe and Asia.

-- Shares of Spyglass were up 5/16 at 48-15/16 on Nasdaq in afternoon trade.

Spyglass to Seek Media Joint Venture
      By Yukari Iwatani

CHICAGO (Reuters) - Internet consultant and software provider Spyglass Inc. (NasdaqNM:SPYG - news) said on Monday it is seeking to form a partnership with a large media company to create an interactive application that mixes broadcast content with Web-based content.

Douglas Colbeth, chairman and chief executive of Naperville, Ill.-based Spyglass, told Reuters in an interview that the company is currently in talks with potential partner companies and may announce a deal in the next three to six months.

``I can`t name names, but the next horizon that we`re working on is what I call interactive applications, not just Web-based applications but the mix of broadcast and Web,`` Colbeth said.

In such a partnership, Spyglass would provide the technology backbone and the media company would provide the content, Colbeth said.

Colbeth told Reuters that Spyglass is also seeking to make minority strategic investments in companies that would introduce Spyglass technology to new markets. Currently Spyglass serves content providers, service operators and device manufacturers.

The investments would be funded by proceeds from the sale of Spyglass` SurfWatch content-filtering software division to British Internet software provider JSB Software Technologies Plc (JSB.L). Including the $20 million in cash and the value of the 800,000 shares of JSB stock that Spyglass received, the company made nearly $100 million from the sale.

Any partnership or investment that Spyglass makes will be related to the company`s two main areas of focus: interactive television or mobile devices such as cellular phones or handheld computers.

In the interview before Spyglass` 10th annual shareholders` meeting, Colbeth also said the company hopes to add two new strategic solution centers per year, which are technology development and service facilities that are built exclusively for large clients to serve their specific needs.

Spyglass currently has two solution centers: one for Motorola Inc.`s (NYSE:MOT - news) Broadband Communications Group to work on set-top box technology and the other for Microsoft Corp. (NasdaqNM:MSFT - news) to work on technology for Web telephones and other Windows-based terminals.

Colbeth said he was currently in talks with three or four potential customers.

He reiterated Spyglass` goal to exceed $100 million in revenues by the end of fiscal 2002. In fiscal 1999, ended Sept. 30, the company had reported revenues of $29.6 million.

Shares of Spyglass rose 3/16 at 43-11/16 on Nasdaq on Monday.

      Company Press Release

      SOURCE: Spyglass Inc.

      Spyglass Prism Opens MyWay.com
Personal Portal to a Variety of New
      Users

Companies Join Forces to Enable MyWay.com Content to be Displayed on a
Variety of Information Appliances and Legacy Browsers

NAPERVILLE, Ill., Feb. 16 /PRNewswire/ -- Spyglass Inc. (Nasdaq: SPYG - news) announced
today a software licensing and professional services agreement with MyWay.com, a branded,
personalized Internet portal and majority-owned operating company of CMGI Inc.
      (Photo: http://www.newscom.com/cgi-bin/prnh/19990203/CGW005 )

MyWay.com, a leading developer and distributor of custom portal technologies and services for
companies in the media, connectivity and consumer services sectors, has licensed Spyglass Prism
for use in its MyWay.com custom portal service. In addition, Spyglass Professional Services were
used to design templates and custom conversion operations to enable MyWay content to be
viewed by PCs running older versions of Netscape, Internet Explorer, and other limited capability
      browsers.

As MyWay.com was in the process of planning a major site redesign, they wanted to ensure that
they took advantage of the latest browser features available, including Dynamic HTML, cascading
style sheets and JavaScript. They also knew, however, that older browsers found on PCs and
information appliances were not going to be able to support these advanced features. Previous
versions of Internet Explorer and Netscape Navigator -- versions 2.0 and 3.0 -- do not have this
kind of functionality. In order to optimize the experience for all users without sacrificing new and
innovative features, MyWay called on Spyglass.

Spyglass Professional Services worked closely with MyWay.com to make minor design
accommodations upfront with content extraction templates. Once this was complete, Spyglass
Prism automatically detects the type of device requesting content and then provides content in a
format that can be viewed by these older browsers. MyWay.com could then ensure that only one
version of their content was needed to reach all visitors into the MyWay.com portal, regardless of
the browser or device type. As new information appliances enter the marketplace, only centralized
changes to Spyglass Prism`s content optimization settings are required.

``We needed to meet the needs of customers with older browsers and the emerging Internet user
population,`` said Jeff Cunningham, president and CEO of MyWay.com. ``With the Spyglass
solution, we were able to quickly meet our customer needs without sacrificing the customization
      capabilities of our platform.``

``Working with Spyglass saved us considerable cost, and allowed the version of our site accessed
through Spyglass Prism to be up and running within six weeks,`` he added.

The latest statistics for the MyWay.com portal showed that site traffic increased approximately 20
percent after the implementation of the new design, and is rapidly growing.

``This was clearly a case where MyWay.com could use Spyglass Prism to enhance its presentation,
without sacrificing quality,`` said Randy Littleson, executive vice president for Spyglass. ``This
technology not only enhances performance from their site to a variety of devices, but also provides
them with the ability to reach a whole new group of information appliance users.``

      Information Appliance Use Growing Rapidly

Information appliances, whether they are television set-up boxes, Internet screen phones, wireless
phones or handheld devices, are typically designed with small footprint, lightweight Web browsers.
The need to perform some of the more popular features like JavaScript is not necessary on these
types of devices. As a result, sites originally designed for PC users with the latest browsers are not
going to be able to tap into this emerging market. According to IDC, more than 150 million
information appliances will be in use worldwide by 2002.

``Content providers need to be aware of this market and make sure their sites are going to be able
to be viewed by these devices with constrained memory and limited displays,`` added Littleson.

      About Spyglass Prism

Spyglass Prism is a content delivery and transformation platform that takes existing richly formatted
Internet content and dynamically adapts it to match the capabilities of any device with a Web
browser. It allows service providers to offer users personalized services that provide faster access
over wireless systems, selected content for mobile phones, and optimized presentation and layout
of content for television. Combined with Inktomi`s Traffic Server`s flexible software architecture
and proven scalability, Spyglass Prism offers service providers a highly scalable and fault tolerant
solution for supporting the rapidly growing base of information appliances.

The SpyglassMobile.com news portal provides live news, stock information and weather directly to users of Internet-enabled mobile devices. The site also supports a downloadable device simulator that includes a simulation of a WAP phone, Palm device and a handheld PC. This demonstration portal will provide enormous assistance to users as they attempt to bridge the gap between Internet and wireless technologies.”

Based out of Chicago, PCQuote.com is one of the world’s premier electronic providers of real-time securities quotations and news via the Internet. “We are very pleased to partner with Spyglass as the news content provider for SpyglassMobile.com,” said John Ferguson, chief executive officer, 7 am.com News Limited. “With the addition of 7 am.com News as a service offering on SpyglassMobile.com, users can now access breaking news on their wireless devices.”

“Partnering with a mobile data solutions provider such as Spyglass further promotes PCQuote.com’s business model of empowering the individual investor,” said Matthew Rees, vice president and general manager, Web services, PCQuote.com. “We recognize the potential of coupling Internet data and wireless and are excited to be a part of this demonstration.”

“At The Weather Channel, we are constantly searching for new outlets for our services,” said Tom Flournoy, director of wireless business development, weather.com. “It is very exciting for us be a part of this demonstration. We feel that Spyglass’ strategy is definitely on the mark.”

“We are excited to be working with these three content providers, enabling their original content to be viewed through a variety of Internet devices,” said Williams. “Showcasing our content transformation and re-purposing solution with live data feeds and transforming it optimally to any device, reinforces the need for content transformation in the marketplace.”
