Bei diesem Chart kommen Chartisten ins Träumen. Die Eesti Ühispank shares (WKN 904756) entwickelt alte Stärke. Fusionsgerüchte im Bankensektor tun ihr Übriges. Mein Kursziel liegt kurzf-/mittelfristig bei 3,50 Euro (+50 %).

Grund für die Kursexplosion ist ein bis zum 20.10.2000 befristetes Angebot der SE Banken an die Aktionäre der Eesti Uehispank, alle im Umlauf befindlichen Aktien zum Preis von EEK 38,00 p. Sr. zu übernehmen. EUR 1,00 = EEK 15,59, womit sich der aktuelle Kurs errechnet.
Zu SE Banken selbst habe ich leider noch keine Infos.

Wieder einmal zeigt sich, daß Chartanalyse großer Quatsch ist, vor allem, wenn man fundamentale Ereignisse wie Übernahmeangebote außer acht läßt. Schon durch 5 Minuten Recherche hätte dies vermieden werden können.

leider ist mit der übernahme jegliche fantasie aus eesti uhu raus.. schade eigentlich, dass die schweden bereits jetzt die firma übernommen haben, wo sie noch billig ist. die deutsche bank hätte in 5 jahren bestimmt das 10-fache geboten ;-)
Leider ist meine Speku-Frist erst Mitte November abgelaufen. Hoffe, dass der Kurs bis dahin nicht allzu sehr nachgibt. Wer kann was zu SEB mitteilen?

Gut möglich, daß der Kurs nach Ende der Angebotsfrist etwas nachgibt. Eine weitere Steigerung ist vorerst eher unwahrscheinlich und wird sich wohl erst längerfristig mit Gewinnsteigerungen einhergehend einstellen, falls die Börsennotierung bestehen bleibt.

AS EESTI ÜHISPANK
In accordance with the Rules for Take-over Bids of the Tallinn Stock
Exchange, Skandinaviska Enskilda Banken AB (publ), registration number
502032-9081, address Kungsträdgårdsgatan 8, Stockholm, Sweden
(hereinafter "SEB"), hereby announces its offer to purchase all shares
issued by aktsiaselts Eesti Ühispank, registry code 10004252, address
Tornimäe 2, 15010 Tallinn (hereinafter "Ühispank"), not already owned by
the SEB Group (SEB and its subsidiaries) on the following terms and
conditions (hereinafter the "Offer"):
Number of shares

Danke für die neuen Infos, gholzbauer. Es scheint, als wäre ein Verkauf an SEB die einzig sinnvolle Möglichkeit. Nach einem delisting sind die Anteile wohl nur noch schwer zu verscherbeln.
Was hälst Du von der Hansabank? Hat in diesem Jahr bisher fast die gleiche Performance. Vor dem Hintergrund der baldigen EG-Zugehörigkeit und der faktischen Steuerfreiheit sollte man m.E. einen Fuß in der Tür haben.

TARGET COMPANY`S OPINION ON THE TAKE-OVER BID
The present opinion is composed pursuant to chapter 6.1. of the
Take-over bid rules of Tallinn Stock Exchange.
AS Eesti Ühispank (hereinafter` the Target Company`) is of the
opinion that:
1. The members of the supervisory board and the management board of
the Target Company do not have any contracts or other connections
with the offeror, save the Supervisory Board members Mats Kjaer,
Magnus Carlsson and Petteri Karttunen are employed by the commercial
undertakings belonging to the group of the offeror;
2. The members of the supervisory board and the management board of
the Target Company were not elected or appointed by the offeror or
upon the offeror`s proposition, save Mats Kjaer, Magnus Carlsson and
Petteri Karttunen were elected the members of the supervisory board
of the Target Company upon the offeror`s proposition, and Johan Lindh
was elected the member of the management board of the Target Company
upon the offeror`s proposition;
3. The members of the supervisory board and the management board of
the Target Company do not have any conflict of interests in
connection with the take-over bid and therefore no methods for
minimising possible risks resulting from the conflict of interests
were needed to apply.
4. The influence of the take-over bid on the activities of the Target
Company is beneficial since according to the offeror, the Target
Company needs additional investments for further optimum development,
the support and financing of which Skandinaviska Enskilda Banken AB
(hereinafter SEB) is able to offer. Belonging to one owner along with
the other SEB`s Baltic subsidiaries Vilniaus Banka and Unibanka
creates the possibility that all three Baltic banks are integrated
into one Baltic group. They would create an organisation with
aggregate assets amounting to SEK 25 billion and a market share of
the Baltic States total of 28 per cent in deposits and 35 per cent in
loans, placing the group clearly ahead of its competitors. Such a
unified organisation would have 194 branch offices serving 759,000
retail customers and 114,000 corporate customers. SEB has confirmed
that it recognises the importance of retaining the local identity,
focus and market specialisation of the Target Company. Since the
acquisition of the holding in the Target Company in November 1998,
the employees of the Target Company have benefited from the fact that
the Target Company belongs to SEB Group by having access to wide
range of professional training in a variety of fields. SEB has
confirmed that it does not anticipate any changes in the employment
relationships with the management or the employees in connection with
the take-over bid;
5. The independent members of the supervisory board, as defined in
article 5.7. of Listing Requirements for Securities of the Rules of
Tallinn Stock Exchange, Mart Avarmaa, Koit Uus, Andres Lipstok, Aadu
Luukas and Tord Olofsson consider the terms of the take-over bid to
be fair and reasonable and consequently recommend that the
shareholders should accept it. Pursuant to the reasoning of item 4
above, the members of the supervisory board are of the opinion that
the take-over is beneficial both to the interests of the Target
Company as well as to its employees;
6. The members of the supervisory board and the management board
intend to accept the take-over bid;
7. There are no agreements between the Target Company and the members
of the supervisory board or the management board with the condition
that the contract ends or the payment of compensation is made to the

Könnte durchaus sein, daß die SEB nicht soviele Aktien bekommt wie sie haben möchte.
Es soll sich eine nennswerte Stückzahln von EYP-Papieren in Händen befinden, die nicht daran denken die SEB so billig zu beliefern.
Und angeblich sind es dieses Hände und nicht die SEB, die zuletzt massiv auf der Käuferseite an der Börse in Tallin standen.
Ich jedenfalls habe die Hälfte meines 8%-Trades in EYP realisiert, (die 8% war der Wert um den EYP in D billiger als das Übernahmeangebot
gehandelt wurde, am Tag der Bekanntgabe) die andere Hälfte gebe ich vorerst nicht aus der Hand.
Ich bin demnächst mal wieder in Tallin und werde dabei auch mal meine Kontakte persönlich zu diesem Gerücht interviewen.

Die EYP möchte ihre Anteile an der EYP auf 100% aufstocken und bietet also die bekannten €2,43/Aktie an. Merita, Bankers Trust und Swedfund, sowie die Besitzer des Free-Floats sind die Adressaten des Angebotes. Wenn die Sache klappt, wird EYP vom Börsenhandel zurückgezogen.
Gegenüber dem Kurs bei Angebot- ca. € 1,65 – ist der Preis eine schöne Prämie. Auf die Aussichten der Bank abgestellt, sind die 2,43 zu wenig. Was tun?
1. Auf jeden Fall nicht verkaufen, da sonst eventuelle Ansprüche gegen die SEB nicht bestehen. Verkauf an der Börse impliziert die Akzeptanz des aktuellen Preises.
2. Das Angebot annehmen, auch wenn’s weh tut. Denn als Kleinanleger haben wir in dieser Geschichte sowieso keine Chance. Wer heute seine Aktien zurückhält und auf ein besseres Angebot wartet, riskiert zu warten bis er schwarz wird. Ein paar Restquoten noch aufzukaufen ist dann eine Frage vom Stil der SEB, also nicht gesichert.
3. Mit der Annahme abwarten. Meine Bank hat mir Zeit gegeben bis zum 10. Oktober. Bis dahin werde ich meine Zusage zurückhalten. Sicherlich erhöht sich durch eine zögerliche Annahme des Angebotes zumindest die Wahrscheinlichkeit einer Nachbesserung. Die Informationen über die Anzahl der abgegebenen Aktien werden sicherlich bei der SEB zeitnah überwacht.
4. Ohren offenhalten, ob einer der Großen mault. Bisher habe ich nichts dergleichen gehört. Es könnte durchaus noch sein, daß mit den beiden anderen Banken noch keine Einigkeit erzielt wurde. Vielleicht weiß jemand von Euch etwas darüber. Bei einer eventuellen Nachbesserung haben auf jeden Fall alle abgebenden Aktionäre ein Anrecht auf das höhere Angebot. (Übrigens eine prima Möglichkeit, Arbitrage zu betreiben *g*)

1. Auf jeden Fall nicht verkaufen, da sonst eventuelle Ansprüche gegen die SEB nicht bestehen. Verkauf an der Börse impliziert die Akzeptanz des aktuellen Preises.
2. Das Angebot annehmen, auch wenn’s weh tut. Denn als Kleinanleger haben wir in dieser Geschichte sowieso keine Chance. Wer heute seine Aktien zurückhält und auf ein besseres Angebot wartet, riskiert zu warten bis er schwarz wird. Ein paar Restquoten noch aufzukaufen ist dann eine Frage vom Stil der SEB, also nicht gesichert.
3. Mit der Annahme abwarten. Meine Bank hat mir Zeit gegeben bis zum 10. Oktober. Bis dahin werde ich meine Zusage zurückhalten. Sicherlich erhöht sich durch eine zögerliche Annahme des Angebotes zumindest die Wahrscheinlichkeit einer Nachbesserung. Die Informationen über die Anzahl der abgegebenen Aktien werden sicherlich bei der SEB zeitnah überwacht.
4. Ohren offenhalten, ob einer der Großen mault. Bisher habe ich nichts dergleichen gehört. Es könnte durchaus noch sein, daß mit den beiden anderen Banken noch keine Einigkeit erzielt wurde. Vielleicht weiß jemand von Euch etwas darüber. Bei einer eventuellen Nachbesserung haben auf jeden Fall alle abgebenden Aktionäre ein Anrecht auf das höhere Angebot. (Übrigens eine prima Möglichkeit, Arbitrage zu betreiben *g*)
