Golar neue Chancen durch verstärkte Umwandlung von Gas in LNG (Seite 30)

Gut, daß dieser Elch an mir vorübergeht. Die Deutsche Bank nimmt immer gerne 19,90€ Gebühren für Einbuchung von Stockdividenden. So gibt es zumindest ca. 2% Dividende.

Ergänzend möchte ich noch hinzufügen das Aktionäre die weniger als 1400 Golar LNG Aktien halten einen Barausgleich bekommen. Nach aktuellem Kurs von 10,70 NOK der Golar Energy Aktien wären das pro 100 gehaltener Golar LNG Aktien
ca 18,30 Euro vor Steuern.

With reference to the Third Quarter Results announcement, the Board of Directors of Golar LNG Limited has declared a special dividend to the Company's common shareholders, consisting of one (1) common share of the Company's subsidiary, Golar LNG Energy Limited ("Golar Energy") for every seven (7) common shares of the Company held by such common shareholder. The Special Dividend is payable on or about February 11, 2010 (the "Distribution Date"), to the Company's common shareholders of record as of January 7, 2010. The Special Dividend consists of up to 10 million[1] Golar Energy common shares in the aggregate, representing approximately 4% of the total issued and outstanding common shares of Golar Energy, which is listed on the Oslo Axess stock exchange.

Golar Energy maintains its common share register through the Norwegian VPS (the Norwegian paperless securities depository system) and all of Golar Energy's common shareholders are required to have VPS accounts. In connection with the Special Dividend (1) each common shareholder of the Company that is a non-U.S. person and (2) each of the Company's U.S. common shareholders that is a Qualified Institutional Buyer ("QIB"), as defined in Rule 144A of the United States Securities Act of 1933, as amended, and in either case holds a minimum of 1,400 common shares of the Company, will receive one (1) common share of Golar Energy for every seven (7) common shares of the Company owned by that non-U.S. person or QIB, rounded down to the nearest whole common share. Only non-U.S. persons and U.S. QIBs (together, "Common Share Recipients") that return certifications as to their status ("Common Shareholder Certifications") to the Company's transfer agent, Mellon Investor Services, and provide the Company with a VPS account number will be eligible to receive the Golar Energy common shares. U.S. common shareholders who are not QIBs and common shareholders that own fewer than 1,400 common shares of the Company, whether or not they are QIBs, will not be entitled to receive Golar Energy common shares. Instead of Golar Energy common shares, such shareholders (together, the "Cash Recipients"), will receive a cash distribution based on the Cash Price described below.

On the Distribution Date, the Common Share Recipients will receive their respective shares of Golar Energy. The cash distribution to the Cash Recipients is payable on or about six (6) days following the Distribution Date and is based on the volume weighted average price per common share of Golar Energy during the five (5) trading days following the Distribution Date (the "Cash Price"). Any fractional common shares resulting from the Special Dividend will be payable in cash based on the Cash Price.

Bischen Verzögerung noch bis zu den festen Dividenden, ab Q2 2010,
aber immerhin jetzt eine Dividende in Form von Golar Energy Aktien.

Seufz, wir müssen uns anscheinend noch weiter gedulden.

Heute bin ich am meisten auf das Golarergebnis gespannt.
Golar und Golarernergy dürften jetzt vollkommen getrennt sein.

Mal sehen was und/oder wieviel wir bekommen an Sonderausschüttungen und Golar Energy Aktien.

Das es welche geben wird ist ziemlich klar. Stand in einem älteren PR von Golar zur Börsennotierung von GOLE (Ausgabe eines Teils der GOLE-Aktien an GLNG Aktionäre zur Verbesserung der Liquidität)
Wieviele es sein werden werden wir wohl in den nächsten Tagen erfahren. Ist ja nicht mehr lange bis zum Q3-Bericht.

GOLAR LNG LIMITED - NOTIFICATION OF SHARE TRANSACTION

Golar LNG Limited ("Golar") announces that its existing total return
swap in its own shares ("TRS" or "equity swap") has terminated. The
shares were originally acquired at an average price of NOK 41.00,
which based on the closing price of Golar shares today (18 November
2009) of NOK 73.00, will realise a gain of approximately USD1.7m after taking into account financing costs. Concurrently with the termination of the TRS, Golar has directly acquired 300,000 shares at an average price of NOK73.00 (approximately USD13.04).

After this transaction Golar holds a total of 450,000 shares in its
own right.


Gut das der TRS Unsinn diesmal aufgegeben wurde. Hat sicherlich auch mit dem geplanten Spinoff von GOLE zu tun - nur wenn man Aktien hält, erhält man auch GOLE shares.

Für Aktienrückkäufe sind TRS denkbar ungeeignet. Aktienrückkäufe sollen die Gesamtzahl der Aktien verringern - TRS tun das nicht. Zusätzlich geht das Unternehmen damit das unnötige Risiko von Kapitalabflüssen ein sollte die Aktie einbrechen - denn ein TRS muss irgendwann gesettled werden. Und das kann auch mal zum denkbar ungünstigstem Zeitpunkt sein (siehe Ship Finance, die auch die glorreiche Idee hatten, bei $20 Aktien per TRS "zurrückzukaufen", und dann um die $5 neue shares ausgeben mussten um die Liquidität zu stärken)

GOLE hat auch in Oslo so gut wie keine Umsätze.
Ich bin auch sehr auf den Quartalsbericht gespannt.
