      Nun ist es aber nicht so, dass der Kurs einem immer Recht gibt. Finde hier aber die Diskussion echt unter alle Kanone, wenn nur ohne Grund draufgehauen wird.

      MARK: Yes. Frank and I often use our personal credit cards to pay for St-Georges’ expenses, ranging from mineral claims renewals, airplane tickets, hotels, conferences, etc. Our internal accounting policies do not allow for repayment of these expenses unless our accounting staff receives all supporting documentation for these expenses, with the credit card statements alone being insufficient. Frank, as you can imagine, has had significantly higher priorities on his desk and fell behind tracking of such expenses in the last few quarters and couldn’t find the time to print and/or scan all these documents. A recent family situation arose, so he needed a portion of the money owed to him to be reimbursed. As such, we had to establish a short-term loan until he is able to provide all the supporting documents for expenses incurred on behalf of the Company. This loan is a director loan that is secured against all money owed to him by the company in the future. Moreover, all directors are jointly responsible for its reimbursement. We anticipate the loan to be resolved in the near future.

      Ob sich nach der Abzocke / Bereicherung das Blatt nochmal in einem zweiten Anlauf wendet , ist sehr schwierig ein zu schätzen.

      Die 0,15$ die hier mal im Raum gestellt hatte sind nun zum greifen nahe , ein zweiter Anlauf müsste es dann nochmal geben...aber sicher bin ich mir da auch nicht mehr

      Q&A: Question from Old Ben (@NotTheseDroids)

      Hi Frank et. al,

      Just a couple questions. The February Monthly Update stated "St-Georges’ management is actively working to deploy this technology in partnership with ZeU in the domain of mineral commodity tracking and trading. Significant software development efforts were conducted in the month of February in order to advance this platform that should allow mining and mineral related businesses to enroll later this year."

      1. Is there a commodity exchange being built for SX? Can you provide any details on the platform referenced, advancements made since this mention, etc.

      Frank: There is currently work being done with Tiande in relation to the license St-Georges has for commodities tracking and trading. We are in the design phase of a marketplace platform for mineral commodities. At this time, there is nothing material to report. We are still expecting the early version allowing tests to be ready later this year, as mentioned in previous press releases and monthly reports. There is also a significant amount of representation work being conducted in different jurisdictions with the goal of identifying potential partners and defining the regulatory framework that will apply to this new business segment.

      2. Are there currently any distributed blockchain exchanges planning to run on ZeU's protocol?

      There has been communications reported by third parties in regards to projects of that nature. We can only confirm that information was requested by third parties involved in this business but nothing material has emerged yet from these early stage discussions. It is important at this point to mention that the initial plan is for SX to assume a leadership role in the operation of the first distributed commodity marketplace.

      3. Are you able to comment on the planned spin out ratio of SX shares to both ZeU shares and (possibly) security token?

      Frank: Different scenarios for the future of ZeU are being investigated. We receive questions like this every week and people seem to have a fairly advanced knowledge of what we are planning to do. Almost better than us sometimes J For now, multiple scenarios are being considered for the future of ZeU in relation to St-Georges. I cannot say more on this portion of the question.

      On the question of the Security Token : The recent announcements in this regard by the CSE has caught the attention of a lot of our shareholders. Obviously, ZeU acquiring the intellectual property of a Blockchain protocol developer makes it a potential candidate for this type of financing. It is important however to understand a few things about our technology. The ZeU blockchain doesn’t need a utility token to operate, though specific sections or applications might. No token “mining” occurs in our ecosystem. Our trust is based on what can be referred to as “validators”. However, a utility token will be useful in the internet of blockchain.

      Our understanding is that the regulators, especially in North America, consider all tokens to be “securities” except in some rare exceptions. Hence, these tokens fall under securities law. Conducting an “ITO” (or “ICO”) today in Canada requires a process that is similar to a prospectus and can take a few months to a year in order to receive the required authorizations. The regulators in Canada and the USA have recently cracked down on ICOs that did not receive their approval. This includes “air drops” and dividend of tokens to shareholders.

      That’s why, while we would like to get rid of some rumors on the topic, we are also keeping the information about our specific plans related to this matter confidential. Given our goal to create value for the shareholders of ZeU and St-Georges, you can rest assured that if any plan of that nature is to be deployed, it will be done with the shareholder benefit of both companies in mind.

      Frank: Many of these questions can’t be answered because we have to avoid any projections or forward looking statements at this point. Question #6, however, can be addressed.

      6.) To what degree is ZeU's current success (even though unrelated) tied to the performance of Bitcoin?

      Frank: From the business side, the impact is negligible, if at all. The profile of potential clients ZeU attracts are those looking to build blockchain applications for the long-term. From the investment side, though ZeU is not a crypto currency company, it does affect the liquidity of investors from the space that are attracted to ZeU. The months of February and March have seen a significant impact on the portfolios of most crypto investors. This unfortunate timing, coupled with price declines in small cap blockchain stocks means there is less capital to spread around. Furthermore, we have received a significant amount in crypto currency subscriptions, which are held in escrow until closing and can only be converted at closing. The monetary value of these subscriptions has come down significantly.

      Hello,

      as some of you may know my reason to invest in SX was not its blockchain technology but its other assets like the nickel projects (e.g. the Julie) and its efforts to develop eco-mining processing solutions in cooperation with its JV Partner Strategic Metallurgy Pty Lt. (www.strategicmet.com). Gary Johnson and its team (Mark Urbani, Nick Vines..) have a proven track record and this are capable people who have a lot of experience with different commodities (K-Max, L-Max...) "Strategic Metallurgy Leading Consultants in Nickel Sulfide Metallurgy". Also Enrico Di Cesare has a lot of experience and in my opinion these technologies could be the real gamechanger for SX over the coming years. Rome wasn't built in a day and trial and error is part of this process...

      1) There is only limited information available when it comes to these R&D initiatives and I'd appreciate if you could provide more information. As mentioned by Frank in the 1st Q&A session they made a breakthrough with Enrico Di Cesare and Gary Jonson on some of these initiatives (in 2017) ...

      1.1) What is the state of play & what are the priorities in this regards right now?

      Frank: These initiatives are being run by a separate group that is not involved with the ZeU transaction. Enrico is managing the metalurgical group initiatives. We should see some updates later this year on the progress of most of these initiatives. We are also planning to update the website on that topic later in the year.

      1.2) Other than Enrico Di Cesare (Vice President R&D) who is part of the R&D Operation SX team?

      Frank: Most of the research is being sourced out to either Enrico’s private company that has other metallurgists on payroll, to Gary’s private company Strategic Metallurgy Pyt, to DST and to an undisclosed group.

      2) According to a french article, which was released on 20th of September 2017, Frank made some statements at last years AGM with regards to the Julie (nickel-copper-cobalt) project. e.g. "The nine-month game plan includes investments of $ 600,000. Surface geophysics will be done this fall. They will be followed by major geophysics carried out in parallel with the actual drilling campaign, possibly as early as the spring of 2018." As far as I know there were no activities last year...

      Frank: We can make it official here that the current planned budget for Julie this year could be up to $600,000. This was already disclosed last year. We have hired a geological project management company and are in the permitting phase. Any other information that is material will be communicated either in the monthly reports or in press releases. We do have all the money needed to conduct the planned campaign at this time.

      2.1) Could you please clarify if it is still St-Georges intention to get in the field as early as spring of 2018?

      Frank: There is a record snow cover on Julie this year. This snow cover would be great for drilling, however, we are not planning to drill for a few months as we have some preparation work to do first. We expect to be in the field sometime in June.

      2.2) In my opinion it would be necessary to raise capital to perform this next stage of exploration/ the actual drilling campaign. Are you in contact with interested parties yet?

      Frank: We don’t need to raise money for the first two phases. We have received offers to finance a significant amount in the future, mostly from Flow-Through investors.

      3) The acquisition of Iceland Resources was a major milestone for SX and as far as I know "Thor (Þormóðsdalur) is your flagship project. However, Iceland Resources has an obligation to complete an additional 3,000 meters of drilling and publish a NI 43-101 compliant resource in order to complete the earn-in agreement and to crystalize its initial equity position of 41% of the joint-venture on Thormodsdalur. Vilhjalmur Thor‏ replied to one of my tweets: "we do give the government our work program before 1st April each year. So that will be announced once approved I assume."

      Frank: I can confirm Vilh’s answer.

      3.1) In an article from May 2017 https://grapevine.is/mag/articles/2017/03/24/icelands-new-go… difficulties were described and I'd like to know if the permit for exploratory drilling has been granted in the meantime?

      Frank: We are planning work that is authorized by our current license right now. There is some resistance against the building of a mine at the local level from some of the people from the village adjacent to the potential mine site. The communication links are open and Kristin, the CEO of St-Georges Iceland, is moving the file along. The situation should be clarified far in advance of our planned drill phase. It’s important to say that the Icelandic central government has been supportive of our efforts so far.

      4) SX has a lot of interesting projects etc. but unfortunately the access to most information on the SX website is restricted and also the corporate presentation has been deleted until the ZeU transaction is cut and dried. "New Corporate Presentation will be available in the days following the closing of the proposed assets acquisition in St-Georges’ subsidiary ZeU Crypto Networks inc. Stay Tune."

      4.1) Could you please give an explanation why it was necessary to take the old presentation down?

      Frank: There are significant changes and a lot of new information that shall appear in the new overall version of the presentation. We did not want to leave an outdated presentation online.

      My questions are about the press release that stated;

      "Each Warrant will be exercisable at a price of CND$1.00 for a period of three (3) years following the date ZeU completes a transaction pursuant to which its Shares will either be listed on a recognized stock exchange in North America, or will be exchanged for common shares of a reporting issuer listed on a recognized stock exchange in North America."

      Questions,

      1) Are you able to shed any light on which stock exchange ZeU is pursuing to be listed on? If not then could you at least give an insight into the progress being made?

      FRANK: Different scenarios are being investigated. At this point we cannot answer these types of questions.

      2) With the recent news that the CSE will become the world's first exchange powered by blockchain; Have you guys approached the CSE to make a deal using ZeU blockchain as the platform?

      FRANK: The CSE is looking at allowing trading in Securities Token but is not becoming a blockchain exchange per se. We will ask more details about their plan in our next meeting with them but so far the information we have is that they will run this business segment with a software platform that is of a “legacy” type.

      When can we expect results for sandbox be published?

      Dr. Tsai: The Sandbox is currently used by third parties to test their own applications. Some might decide to publish their results but it’s a platform on its own with signed commercial and regulatory users. It’s not a test of our technology but in fact a commercial deployment of the technology.

      How soon after the debenture closing will we see licensing deals be announced?

      Frank: As provided in the first batch of answers, we will integrate the clients and work at moving NDAs and MOUs to the level of commercial relations. ZeU will also make its development plan public in the weeks following the closing of the transaction with Tiande.

      FRANK: This would be a question for Sheldon. Since he is not a director or an insider of the company we don’t actively keep track of his holdings of SX.

      4) How long does the process of securing a patent take?, When did you file for it?, Where is this information available?

      All patents have been initially filed in China and have been extended to other countries through the PCT process. We have received notification that many of them have been accepted for filling in Canada and in the US in the last few weeks. Our team and our lawyers have been very active on this. We will update everyone on this right after the closing of the transaction. An educated guess would be that patents pending can take from 1 and up to 3 years to be granted formally.

      5) When do you expect the complete closing of the ZeU deal?

      FRANK: Though we cannot provide a specific date, we are very satisfied with the progress made by third parties involved in the independent review.

      6) What are you doing to secure and regain investor confidence?

      FRANK: We will maintain the communication channels opened through exercises like this, monthly report statements and press releases. We believe the best thing management can do is to keep its head down and keep working at the things we can control.

      Questions:

      1- In the past several months we have seen articles regarding R3, Corda, Hyperledger and other blockchains fail in recent testing with banking institutions.

      Will ZeU succeed where these others have failed and have any banks tested the Zeu protocol?

      DR. TSAI: We ran successfully with Guandong Clearinghouse in 2017. The clearinghouse is connected to several banks such as Minsheng Bank and multiple commodity exchanges in China.

      The case was shown at Guiyang BigData Expo in 2017, and many people visit our laboratory to see the demo or discussed with them on the project, they include government agencies (MIIT), PBOC (Chinese central bank), Minsheng Bank, insurance companies, and US technologies companies such as IBM, SAP, Amazon.

      2 - In the recent video with Dr Tsai at Polycon, he mentions, "we have several new blockchain designs and 1 was proposed by the European Central Bank." Have you had any discussions with the ECB?

      DR. TSAI: I met with the ECB in 2016 in London and discussed this with them in person. I also met the persons who wrote the whitepaper.

      The quote is not exactly correct, they (ECB) proposed to use one blockchain linking all financial institutions.

      W think an Internet of blockchains will be a much better design. It is really difficult for a single blockchain to serve all the financial institutions. According to our calculation, in China, we would need Super Computers (HPC) machines as severs for this architecture to work. The amount of Super Computer machines this would require, carries a staggering price tag.

      3 - Once you spin off ZeU as a public entity what incentive will SX shareholders have in holding shares and not selling to buy into ZeU? Seems like most of the value will be in ZeU.

      DR TSAI: Frank has already covered the question regarding “spin off” and other scenarios or hypothesis regarding the future of ZeU. There will be a lot of value in ZeU very quickly. Value will also exist in St-Georges, either from all the exposure to ZeU’s ownership and from St-Georges’ plans to vertically integrate many commodities with its decentralized minerals and commodities marketplace.

      1.) frank, can you explain, in simple terms, the possible applications of your blockchains Big Data and AI capabilities and how your big data applications compare to BigChainDB.

      DR TSAI: For regulation compliance, trade clearing, stock trade settlement. BigChainDB claims to be a “blockchain database”. A “blockchain database” is not the same as a “blockchain”.

      2.)When did you guys first start talking to Gravitas. What stage of DD is Gravitas at, and how can they help you guys. Are they good at finding/attracting institutional money. Also can they assist with bringing the patents over to North America? If not then who.

      DR TSAI: Gravitas is conducting a very intensive due diligence right now. In my opinion we have completed a significant amount of it already.

      3.) one of the most recent patents you guys filed seems to sound like it has something to do with being applied to an exchange of some sort, are there any current stock exchanges or commodity exchanges that are working with you guys that will be announcing this soon?

      DR TSAI: Regulated Exchanges have been in contact for years already. Results of tests conducted with some of them are already public (Guandong Clearinghouse). For now we don’t have any regulated exchange as client, but maybe in the near future. The St-Georges decentralized commodities market place platform should also use portions of this technology.

      4.) short question: How strong are your ties with Asia and is that a big benefit?

      DR TSAI: We are close to Asia. Asian markets will be one of the largest markets in the world. For example, the Chinese car market is the largest car market in the world, and in the near future will be bigger than US and EU car markets combined. Thus, Asian markets will be important. It is also important to mention that we are one of the rare few authorized to operate in the blockchain/crypto domain in China. That has a positive influence for us with other Asian governments.
