Motorola Announces Cable Modem Commitment from Comcast Cable

Agreement Furthers Business Relationship Between Leading Companies For
      Standards-Based, Interoperable Cable Products

HORSHAM, Pa., Oct. 16 /PRNewswire/ -- Motorola, Inc. (NYSE: MOT) Broadband Communications Sector today announced that it has entered into a strategic agreement with Comcast Cable Communications, Inc., a division of Comcast Corporation (Nasdaq: CMCSK, CMCSA), to provide the cable operator with supplies of its SB3100 and SB4100 SURFboard(R) DOCSIS(TM) cable modems through the end of 2001. This commitment will enable Comcast to provide SURFboard`s reliable, high-speed Internet access to an even larger subscriber base.
This latest announcement supports a January 2000 agreement between the two companies, under which Comcast awarded Motorola a commitment for one million digital consumer devices -- including SURFboard cable modems -- through 2001.

"We believe Comcast is a leader in rolling out new products, and we are pleased to continue our strong relationship with them," said John Burke, Vice President & General Manager of the Cable Modem group in Motorola`s IP Network Systems business unit. "Comcast has been a key supporter in the deployment of Motorola`s SURFboard DOCSIS cable modems from the beginning. This agreement further solidifies our relationship with Comcast and reinforces Motorola`s long-standing leadership in the cable modem industry."

David Juliano, senior vice president and general manager of Comcast Online Communications, added, "Motorola is recognized as one of the industry`s leading manufacturers, and their SURFboard DOCSIS cable modems deliver reliable performance and speeds. We are happy to further our relationship with Motorola by offering their newest lines of cable modems as we work to continually rollout new products and services to our customers."

      About SURFboard DOCSIS Cable Modems

The SB3100 and SB4100 cable modems are both part of Motorola`s SURFboard family of cable modems. Motorola`s SURFboard product line embodies over 6 years` experience designing cable modems and 50 years in the cable industry. Motorola`s modems offer a standards-based architecture, high-performance processors, superior RF design, operator-friendly diagnostics, and outstanding field reliability.

The SB3100 cable modem is hardware-ready to support the DOCSIS 1.1 specification, which calls for advanced Quality of Service (QoS) and Internet Protocol (IP) filtering functions. QoS enables operators to guarantee -- and therefore charge increased rates for -- higher-speed Internet access to targeted businesses or homes demanding it. It also enables the prioritization of voice calls to support real-time Voice over Internet Protocol (VoIP), which eliminates the delay found in earlier VoIP technologies. The SB3100`s high- speed processor can handle current and future advanced DOCSIS functions.

The SB4100 utilizes the latest in integrated silicon technology, in which all functions are integrated into a single chip for improved performance. Like the SB3100, the SB4100 is hardware-ready to support the DOCSIS 1.1 specification. The SB4100`s advanced feature set also includes 10/100 Ethernet network connectivity and universal serial bus (USB) interfaces for easy plug-and-play installation. The SB4100 can support up to 32 users, making it ideal for small businesses or home networks.

Released by CableLabs in March 1997, DOCSIS calls for the interoperability of cable modems and associated networks manufactured by different suppliers. Interoperability speeds time to market by reducing risk for equipment purchasers and consumers, and creates economies of scale for broadband network operators by creating multiple product sources.

Motorola Expands Technology Leadership With Greatly Enhanced Multi-Function DSP Single Core
56800E Aims at Pennies Per MIPS for Telecommunications and Data Communications
PHOENIX--(BUSINESS WIRE)--Oct. 16, 2000-- Taking the next step in the evolution of its DSP56800 core, Motorola Inc. (NYSE:MOT - news) today announced the enhanced DSP56800E core family of digital signal processors (DSPs). Design engineers seeking the performance of a digital signal processor with the control functions of a microcontroller (MCU) can expect to have additional options for extremely cost-effective, single chip solutions featuring low-power consumption and up to five times the performance of the existing core. The DSP56800E is designed to meet the needs of industrial, motor control and automotive applications, as well as the converging telecommunications and data communications markets.

Motorola today also previews two new products based on the new 56800E core, the DSP56853 and the DSP56854. Both are well suited for low-end Internet appliance applications and low-end client applications such as telephony, portable devices, Internet audio and point of sale systems.

``Motorola has made a smart strategic move with the introduction of the DSP56800E,`` said Will Strauss, president of market watcher Forward Concepts. ``By providing state-of-the-art MCU capability with significant DSP horsepower, the chip provides Motorola`s huge MCU customer base with both better performance and an easy migration path to DSP implementation that is becoming necessary for a number of evolving products.``

Traditionally, DSPs were designed to execute signal processing algorithms efficiently, which often led to challenges between developing a good DSP architecture and a good microprocessor architecture. Many DSP applications have used both a DSP and microcontroller, relying on the DSP for computational performance and the microcontroller for functionality. The use of extra chips can lead to added material costs for the final product, so combining the functions of the separate chips in one becomes quite attractive in terms of cost-efficiency and development time.

``Customers are requiring greater integration without increasing system cost. The 56800E, a hybrid architecture, combines the best of both onto a single chip,`` said Debbie Drysdale, vice president and general manager of Motorola`s DSP Standard Products Division. ``This expansion to our portfolio offers ideal solutions for entry-level telecommunications, data communications, industrial and motor control applications for what we anticipate to be just pennies per MIPS. As with all Motorola embedded processor families, the 56800 and 56800E architectures are supported by software and hardware development tools that are designed to shorten the customer`s design time. These sophisticated, easy-to-use development tools help to make the transition from MCU to DSP simpler for the traditional MCU user.``

      56800E Core Features

The 56800E core architecture features an embedded 16-bit processor with 32-bit extensibility combined with MCU-type features for ease of programmability and enhanced compiler efficiency. The DSP56800E includes a 16-bit arithmetic logic unit (ALU) with 36-bit accumulator, a 24-bit address generation unit (AGU), a program decoder, and a bit manipulation unit. The instruction set is a superset of the existing DSP56800; the enhanced version offers true software stack support subroutines, flexible user-defined and multi-level interrupts priority support. The new core offers increased performance to 200 true DSP MIPS at 200 MHz, and low power consumption, down to 34.45mW at 120 MIPS and 120 MHz. Additional features include:

Support of 8, 16, and 32-bit data types for additional code flexibility and exceptional programming efficiency,
External data and program memory capacity up to 32MBytes and 4Mbytes, respectively; Plug-ins are also available to enhance the external memory expansion,
Tracking of variables in real time using Enhanced On-Chip Emulation (EOnCE) for debugging; and,
Increased efficiency, flexibility, precision and consistency for programming through register extensions, additional interrupts and multi-precision functions.
The 56800E core is designed to be fully synthesizable and scanable to enable system-on-chip (SoC) embedded solutions and licensing. The SoC methodology enables Motorola to leverage its rich peripheral base to provide highly-integrated, embedded solutions with reduced chip design and manufacturing cycle times.

      DSP56853 & DSP56854 Features

      56800E Core
      32K bytes of RAM
      10K bytes ROM
      Serial ports
      External Memory Interface
      Timer modules
      General purpose I/O
      JTAG/OnCE port
      Development Tool Support

The 56800E core, as with the 56800, is expected to be supported by the Metrowerks compiler and IDE toolset. The products are expected to have target development boards for software development and companion daughter cards developed for market-specific applications.

      Pricing and Availability

Samples of the DSP56853 and DSP56854, along with software and development tools, are expected to be available in the second quarter of 2001. Suggested OEM list price for a 10,000-piece quantity is less than US$4.75. Other members of the 56800E family are expected to be available beginning in mid-2001.

      About Motorola

As the world`s No. 1 producer of embedded processors, Motorola`s Semiconductor Products Sector offers multiple DigitalDNA technologies which enable its customers to create ``smart`` products and new business opportunities in the networking and computing, wireless communications, transportation, and imaging and entertainment markets. Analysts Look to Motorola Bench to Fill In for Exec From Key Division

Departure of executive following downward earnings guidance could be turned into a positive, they say.

      By Tally Goldstein
      Staff Reporter

The departure of a key executive just a day after a downward revision for coming-year earnings and revenue expectations should send a cold chill down investors` spines. But analysts said the jury is still out on Motorola`s (NYSE: MOT - news) announcement yesterday that executive vice president Merle Gilmore is leaving the company.

The reason they didn`t hit the panic button? Analysts believe there are three up-and-coming executives who can fill Gilmore`s shoes. If this bench proves deep enough, Gilmore`s departure may even be a long-term positive, they say.

"The company`s bringing in new blood, prepping for a new management team and laying down the foundation for the future," says Wit SoundView analyst Matt Hoffman. (Wit SoundView does not have an investment banking relationship with Motorola.)

Gilmore is a long-time company executive who headed up the key Communications Enterprise division, which is responsible for 70% of Motorola`s revenue. It is responsible for Motorola`s broadband, mobile-phone manufacturing, global integration and two-way radio operations. Gilmore was seen as having initiated a turnaround in the division since taking the helm there in 1998, according to a research note from Chase H&Q .

His departure was announced yesterday, just a day after Motorola said it was cutting fourth-quarter and 2001 expectations. It said revenue and earnings per-share estimates for next year have been cut by $3 billion, or 6%, to $44 billion and $0.22, or 15%, to $1.20, respectively. The company also says it expects worldwide mobile-phone sales of between 410 million to 420 million in 2000, and between 525 million to 575 million in 2001. These numbers are down from estimates of 425 million to 450 million and 600 million, respectively. Motorola said the weak euro dragged down fourth-quarter operating margin estimates from 8%-8.5% to 6.5%.

The three executives analysts point to as possibly filling Gilmore`s shoes are Edward Breen, Bo Hedfors and Mike Zafirovski. They currently oversee the company`s broadband, global telecom solutions and two-way radio sectors, respectively. All three executives, who reported to Gilmore, joined Motorola within the last 18 months.

Prudential Securities analyst Pete Peterson agrees that this could be a strong enough bench to make up for the loss of a 30-year industry veteran. He says Breen, Hedfors and Zafirovski are all outsiders with first-rate industry reputations. "They`re all well thought of," he said. (Prudential does not have an investment banking relationship with the company.)

The fact that the three are relative newcomers to Motorola could also be a positive, Peterson says, because Motorola has suffered from management credibility issues in the past. New leaders could help build a new start. That`s not to say everything is rosy at the company. Far from it. Peterson downgraded Motorola from a strong buy to accumulate and slashed his 12-month price target by 58% to $28 from $67 on news of its performance revisions. He didn`t downgrade the company to a hold, he says, because he still believes Motorola is well positioned over the next two years to take advantage of industry changes, such as the growing importance and presence of code division multiple access (CDMA) technology.

And success is far from assured for the three execs or the division. In a note released after Gilmore`s departure was announced, Lehman Brothers said, "Following MOT`s disappointing (third-quarter 2000) results and a resetting of investor expectations, we believe the somewhat sudden departure of Mr. Gilmore may add incremental uncertainty around the communications businesses and Motorola shares."

Motorola has kept mum about whether Gilmore`s resignation is tied to the company`s earnings-forecast revisions. The company said that Robert Growney, president and chief operating officer, will take over as acting president of Communications Enterprise. Gilmore has been in charge of the Communications Enterprise since July 1988 and has held executive positions with the company since 1994.

In its note, Lehman said Gilmore`s departure "may have come as a surprise internally."

Wer weiß, was wirklich los ist????
