      Good day everyone,

      I`m writing you today with some important news about the Company. As part
      of our efforts to get our arms around our financial situation, we`ve had to
      look at several options, some more difficult than others, to resolve the
      issues we face. One of the toughest decisions I have had to make is the
      one we are announcing today; namely, a broad-based staff reduction over
      the next few weeks.

      I`m sure you know that we are not alone in having to take such
      steps. Other technology leaders, including Cisco, Nortel and Intel, have
      had to take similar action. Nonetheless, this announcement pains me
      personally because I know how hard each and every one of you has worked to
      make PSINet, in my opinion, THE most powerful commercial Internet firm in
      the world.

      Like many leading technology companies, we have been forced by a number of
      external factors to take extreme cash conservation initiatives. This recent
      measure helps satisfy our need to reduce PSINet`s operating expenses
      quickly. And, while far from the cure for our situation, this action
      ensures that we are better prepared to execute our long-term strategy
      through this challenging market.

      We are continuing to evaluate a number of additional strategic options that
      we believe will move us towards our long-term goal, including the possible
      sale of PSINet, certain non-core assets, as well as a merger and debt
      restructuring. Again, whichever path is chosen our primary concern will be
      preserving our assets; maintaining a strong, loyal workforce, customer
      base and operating partnerships. While the financial market realities have
      changed, our determination to succeed has not.

      I want to thank you all for your support in the past few months. This has
      been a difficult time, but we are making progress. I will continue to keep
      you informed.

      April 12, 2001 02:27 PSINet cuts jobs as it faces cash
      crunch - report
      WASHINGTON, April 12 (Reuters) - A little more than a week after announcing that it was running out of cash and will likely reorganize under U.S. bankruptcy laws, Internet access provider PSINet Inc. has cut more jobs, the Washington Post reported on Thursday.
      A spokesman for Ashburn-Va.-based PSINet was quoted as saying the company "will impose staff reductions over the next few weeks" to conserve cash. The firm would not say how many pink slips went out on Wednesday. But, some of the laid-off employees put the number of jobs affected at 125, the Post said.

      PSINet warned on April 3 that its auditors may issue a "going concern" qualification, which is used for troubled companies that may go out of business. PSINet, which also provides Web hosting services that run corporations` Internet sites, said it would not be able to file its 2000 financial report in the required time period. PSINet blamed "rapidly changing circumstances" for the delay, but did not elaborate.

      PSINET laid off 300 employees in December, eliminating six percent of its 5,000-member U.S. workforce at the time, the Post said. The company had cut 10 percent of its staff earlier in 2000, the newspaper said. As of March 30, PSINet said, it had cash, cash equivalents, short-term investments and marketable securities of about $254 million. About $27 million of that amount secures obligations under letters of credit and other agreements. PSINet said these funds, as well as the expected proceeds from asset sales, would not be enough to meet its cash needs

      Brazil: Assets of PSINet Brazil to be seized

      Brazil, Apr 12, 2001 (Valor Economico/SABI via COMTEX) -- The founders of Internet provider Openlink got a court order according to the assets of PSINet do Brasil will be seized. The company is a subsidiary of the US company which is in a bankruptcy process since late March and of Interdotnet. The aim is to guarantee the US$1.8mil refering to the last installment (20%) of the sale of the provider to the multi. PSINet has no debts next to suppliers and its infrastructure was totaly paid. PSINet holds 160,000 subscribers in the country.

      PSInet finds itself in fight of its life

      Like the dot-com firms and application service providers that are their clients, second-tier Web hosting companies are now feeling the effects of the high-tech shakeout.

      PSInet Inc., for example, is in the midst of a massive corporate yard sale, and has conducted several rounds of layoffs in recent months. With about 4,500 U.S. employees, $250 million in cash and a stock price that`s dropped from more than $34 dollars to just 19 cents in the past year, PSInet officials have said that bankruptcy is now a realistic possibility.

      Topping the reasons for PSInet`s situation, analysts say, is the Herndon, Va., firm`s numerous acquisitions of companies outside its core networking and hosting competencies. The most notable bad move, according to the experts, was last summer`s acquisition of Houston-based e-business vendor Metamor Worldwide Inc. for $1.9 billion. Metamor is now being sold off piece by piece, officials said.

      "The company really lacked focus. If someone told them to go north, they`d go north. If someone told them to go south, they`d go south. If they had 360 degrees of opportunity out there, they`d chase them all," said Liza Henderson, senior analyst with TeleChoice Inc., in Denver. "I don`t think the company has truly sat down and said `We will be the best in the world at x.`"

      Beside the numerous acquisitions, PSInet has another more unusual expenditure: For $105 million, PSInet in early 1999 bought a 20-year contract to the stadium naming rights of the National Football League`s Baltimore Ravens, last season`s Superbowl winner.

      A Ravens spokesman said PSInet has not yet fumbled, and the team isn`t ready to call a new defense. "They`re still our partner. Doomsday has not yet come," the spokesman said.

      But PSInet isn`t the only second-tier hoster facing tough times. The hosting division of computer maker Dell Computer Corp. is also rumored to be having trouble. According to a recent posting at a popular Web site that tracks such issues, the latest wave of 500 employees laid off at Dell included most of its DellHost division.

      Ich hoffe, daß die Aktien jemals wieder gehandelt werden,
      denn es ist doch ein Eigentumsrecht jedes einzelnen Aktionärs, daß er
      Aktien handeln darf.
      Ich finde es unfair, auf einmal Aktien vom Handel auszuschließen, was macht denn
      der Aktionär, der da unter Umständen tausende Mark investiert hat -
      ein Mist ist das alles.

      Übernahmegerüchte beflügeln Exodus


      Der Webhoster Exodus Communications profitiert heute von Übernahmegerüchten. Aktuell kann die Aktie über 13% auf 9,10 Dollar zulegen.

      Eine britische Zeitung berichtete, daß der britische Telekommunikationskonzern Cable & Wireless an der Übernahme eines amerikanischen Internetunternehmens interessiert sei. Experten gehen davon aus, daß das Objekt der Begierte Exodus heißt.

      Erst Anfang April warnte PSINet, einer der größten Internet-Provider, davor, dass man möglicherweise bald die laufenden Ausgaben nicht mehr decken könne. Nun legte das Unternehmen, das auch zu den wichtigen Backbone-Betreibern gehört, den verspätet veröffentlichten Geschäftsbericht vor. Anfang des Monats hatte man die Bekanntgabe der Geschäftszahlen wegen des "schnell wechselnden Geschäftsumfelds" verschoben – nun gab PSINet bekannt, die Firma habe im vierten Quartal einen Verlust von 3,2 Milliarden US-Dollar bei einem Umsatz von 291,1 Millionen US-Dollar gemacht. Für das Gesamtjahr 2000 betrug der Verlust 5,03 Milliarden US-Dollar bei einem Umsatz von 995,5 Millionen US-Dollar.

      Dem Provider, der nach eigenen Angaben das "leistungsmäßig größte IP-Netzwerk der Welt" betreibt, geht langsam das Geld aus. Momentan hat PSINet noch 520 Millionen US-Dollar an liquiden Mitteln; die Schulden lagen zum 31. Dezember 2000 bei 3,7 Milliarden US-Dollar. Der Provider strebt seit Anfang April unter Berufung auf Chapter 11 des Federal Bankruptcy Code Gläubigerschutz an. PSINet selbst beurteilte die zukünftige Entwicklung des Unternehmens aber sehr skeptisch. Bislang hatten die Schwierigkeiten der Gesellschaft aber noch keine Auswirkungen auf die deutsche Dependance von PSINet. (jk/c`t)

      NEW YORK (Dow Jones)--Exodus Communications Inc.`s (EXDS, news, msgs) battered shares got a 13% lift Tuesday on rumors that British telecom company Cable & Wireless PLC (CWP, news, msgs) might acquire the firm.

      Market players have been awaiting a move by cash-rich Cable & Wireless following a report in London`s Sunday Business that the London company is close to buying a U.S. Internet company.

      Exodus, Santa Clara, Calif., provides Internet system and network management software for companies with Internet operations.

      Exodus officials declined to comment on their stock activity. Cable & Wireless also declined to comment.

      Internet message boards were jammed with comments on the rumors, which have been circulating since the Sunday Business report.

      Cynthia L. Houlton, an analyst for Dain Rauscher Wessels, said the takeover rumors were the driving force behind Exodus` stock in Tuesday`s session. But she added that a takeover would be unlikely because it would be dilutive to Cable & Wireless.

      Exodus had $818.4 million in revenues in 2000, up sharply from the $242.1 million in 1999. But the company`s loss grew to 63 cents a share from 39 cents, including charges.

      The company has been under Wall Street`s microscope since late January, when several analysts downgraded their investment opinions following lower first-quarter earnings guidance and further delays in the opening of Internet data centers.

      Exodus is slated to report first-quarter earnings on April 26 after regular session trading.

      In addition to Exodus, traders are speculating that Cable & Wireless may have its sights trained in PSINet Inc. (PSIX, news, msgs), a Herndon, Va., company that offers access, products and services for the Internet and for Intranets.

      Earlier Tuesday, PSINet reported a fourth-quarter loss of $2.7 billion, or $16.83 a share, on a $2.1 billion charge. The company reiterated it doesn`t believe it has enough cash or cash equivalents to meet its cash needs, and continues to explore the possible sale of the company as well as restructuring its debt.

      Exodus` stock was up $1.08 to $9.11 on volume of 19.7 million, compared to average daily volume of 12.7 million. Earlier, the stock hit an intraday high of $9.60, a 19% gain.

      The American depositary receipts of Cable & Wireless fell 3.7% to $21.38.

      PSINet was halted for trading Monday.
