      Caroline af Ugglas at Skandia Liv appears to be the saver of IT consultants. One week ago, Skandia increased its holding in Framfab and now af Ugglas is buying shares in Cell Network.
       
      "We have a very wide portfolio and then you can take larger risks," says af Ugglas. She does not exclude the possibility that  Skandia Liv will invest in even more companies like Framfab and Cell.
      "I still think that many tech companies will have great possibilities in the future", she says.

      European Commission chooses Cell Network

      Cell Network Sweden will be part of an international consortium consigned by the European Commission. The consortium will draw up guidelines for safeguarding socially-important European IT and telecommunication infrastructures. The project will run for 18 months and is worth SEK 1.2 million.
       
      Cell Network Sweden has been appointed "Point of Excellence - Nordic Region" in the EU consortium, entitled the Dependability Development Support Initiative, DDSI, and which is an international merger of seven European consultancies.
      The aim of the DDSI is to support the development of an action plan for safeguarding socially-important IT infrastructures in Europe.

      "The consignment confirms that Cell Network leads the field as an expert player in matters regarding information security," says Peter Wallström, DDSI project manager at Cell Network Sweden.
      "The work is very exciting and comes at a time when issues concerning the protection of socially-important infrastructures are being discussed and dealt with by EU institutions and member states, not least here in Sweden after the Ministry of Defence`s commission for vulnerability and security submitted its report last May."
      The DDSI will draw up guidelines and action plans to support initiatives for safeguarding the IT infrastructure through the initiation and leadership of working groups in Brussels, London, Stockholm and Munich.
      To this end, private and public sector players will be brought together to produce an agenda for new research and policy initiatives which will aid European decision-makers in the preparation of national action plans.

      IT security — Adcore breaks in

      Adcore and Mideye have entered a partnership intended to increase market awareness of IT security.

      Mideye is offering a service enabling the secure identification of Internet users via mobile phone. Mideye targets its offerings at services providers (corporations, authorities and other organisations) that want to offer specialised www-based services that need high security, which might relate to telecommuting, access to confidential government information, business-to-business transactions or banking services.

      The collaboration comprises Adcore`s growing team of security consultants being trained on Mideye`s software.

      Åke Timmerman of Adcore Sweden, reports: "IT security is a strategic activity for Adcore, where we are witnessing the steady accentuation of market demand. Secure identification forms the foundation of all IT security; corporations are now seeing the possibilities of being able to offer authorised access to information, while also maintaining security. Many Internet-based services, in public and extranet environments, need a reasonable level of security, analogous to the security necessary when making a cash-point withdrawal. This is the kind of security Mideye offers, making services providers` and end-users` lives easier."

      Users enter a name and static password into their PCs in the usual manner to access services protected by Mideye. When approved, a single-use code is displayed on the end-user`s mobile phone, and by keying this into their PCs, user identification is confirmed, with the user gaining access to the protected service. Ulf Schubert, Mideye’s CEO explains: "For a long time now, high security has been associated with heavy costs, principally comprising services providers` administration. Purchasing, distributing and maintaining the units currently used as authorisation tools is very costly, while such solutions have also be implied time-consuming additional difficulties for end-users."

      ADERA MOVING STRONGLY AHEAD IN BRITAIN

      Of the acquisitions made by Adera in 2000, the British e-commerce consultancy firm, Nucleus, has proved one of the most successful. In the first quarter of 2001, the company announced a string of successful projects and won several new contracts.

      Orient-Express Hotels expands its Internet services
      Adera Nucleus has been commissioned to formulate and implement Orient-Express Hotels` core strategy for the Internet. Nucleus will design and construct transaction websites for the Group, using BroadVision e-commerce applications. The Tridion DialogServer system will be used to manage the website content. The purpose of the new applications is to increase the number of direct bookings and offer clients a wider range of web-based services.

      The Thomson Travel Group`s digital television marketing drive
      The Thomson travel agency, in partnership with Adera Nucleus, has carried out a major investment in digital television marketing communication. Great Britain is currently ahead of Sweden in the digital television area, and Adera Nucleus`s assignment consisted of two parts: firstly to develop a host page for the launch of the Telewest digital television service, and secondly to reposition and adapt Thomson`s current consumer site www.just.co.uk for digital television. Adera Sweden believes that this is an area which will expand in Sweden as well, and believes that Adera Nucelus` expertise will be of great benefit in the future.

      International e-commerce strategy for the Buhrmann Group The Buhrmann Group is a world-leading supplier of office material and graphics systems. Just over a year ago, the company invited presentations, and Adera Nucleus won despite fierce competition from other international players. The assignment was to optimise the distribution channel to ensure that the network would continue to be one of the most efficient in the industry. Adera Nucleus carried out an analysis with the aim of identifying a suitable strategy for increasing customer value and safeguarding Buhrmann`s competitive advantages. On the basis of Adera Nucleus` analysis, Buhrmann has announced that it intends to make large investments in their infrastructure over the next three years.

      Cell Network Germany AG and Cell Consulting AG have reviewed 52 German online market places for retailing. The web sites have been ranked on the basis of user friendliness, functions, information about the company and the products. The conclusion is that Otto-Versand (otto.de) is the best electronic market place in Germany.
      A good web site is important for all companies, even if there are no online shopping possibilities. "Internet is a good medium for taking care of customer relations," says Sandra Stegmann, director of Cell Consulting. Information about current offers and travel instructions are such things that can promote shopping anyway.

      Organic growth and profitability

      Ask any IT shareholder - 2000 was a wild ride! And not just for shareholders. For newly merged Mandator and Cell Network, 2000 was a roller coaster of peak highs and sobering lows, from which Cell Network AB has emerged - stronger and more focused than ever.
       
      "The merger of Mandator and Cell Network," explains Niklas Flyborg, president and CEO of Cell Network AB, "created a breadth and mix of expertise that neither company could demonstrate on its own. As a result of the merger, we can manage the entire chain of IT services, from technical integration to business development and design."

      A domino effect
      Following the merger, Cell Network began enhancing its international presence by acquiring companies in Malaysia, Italy, Germany, and Holland. These acquisitions expanded Cell Network`s expertise to include management, e-commerce integrators, and communications agencies. "Unlike many of our competitors, we now have leading-edge skills within all these segments," continues Flyborg.
      By the third and fourth quarters of 2000, however, the market had changed, and Cell Network experienced poor profitability. "People were overconfident about how quickly new technology would break through, and how quickly customers would change their behavior patterns," says Flyborg. "The crisis among dotcom and e-commerce companies set off a domino effect that made it harder for all IT companies to secure venture capital. This caused a significant fall in IT share prices. At Cell Network, we did not heed the signals and adapt to the new conditions in time."
      Continue to position
      The current year, however, looks different. Sobered by the changing market, Cell Network will continue to position themselves in Europe and in Asia, but with greater emphasis on organic growth and profitability. Nonetheless, "it is important," stresses Flyborg, "that Cell Network remain a fast-moving organization at the leading edge of technological development while adapting to the market`s changing demands."

      Adera: the last phase of the restructuring program

      On Thursday, Adera carried out the last part of its restructuring program, that was announced in February. This time Adera closed its offices near Stureplan. Most of the employees will now move to the new office on Drottninggatan, but ten employees will now leave Adera.




      No crisis in the IT sector
      The year of 2000 became known as the year when the IT bubble burst. But a closer study of the figures reveals something else. In fact the entire IT sector had a pretty decent year. Sweden`s 500 largest IT companies had a total turnover of 585 billion crowns, which is an increase of 18 percent compared to last year.
      Niklas Flyborg, CEO of Cell Networks, represented a group of Sweden`s seven largest consulting firms that made a total loss of 7.5 billion crowns last year.
      "Its easy to be wise in retrospect, but we have to remember that this is a rather well-established sector that has seen a lot of ups and downs over time. What`s important now is to focus on what we learned from the past year. For example, we have to pay more attention to changes in our customers` purchasing behaviour," says Niklas Flyborg.

      Stronger Cell is awaiting tougher times

      Cell Network`s interim report from yesterday has two faces. At the same time as the losses are decreasing, the company is warning for a tougher market. It is an agreeable piece of news that the sales increased by 11 percent to SEK407 million during the first quarter, and that the loss before goodwill depreciation was reduced to SEK25 million. But the CEO of the group, Niklas Flyborg, is awaiting tougher times.
      "Especially in the light of Ericsson`s saving package, I think that we have to consider a harder market situation, even if I hold on to the goal that Cell will increase its turnover by 20 to 25 percent this year," says Flyborg.





      Biggest and best in IT-Sweden

      All of IT-Sweden was present when the magazine Veckans Affärer presented its annual list of the 500 largest IT companies in Sweden. One of the most famous debaters was Niklas Flyborg, Cell.

      The editor-in-chief of Veckans Affärer, Weje Sandén, stressed that the "IT crisis"  is just a myth. "It`s the Internet industry that is in crisis, not the IT industry," he said.

      Adera and the international insurance broker Euroben
      have signed an agreement that states that Adera will take part in developing Euroben’s new web site. The new site will be launched in August 2001.

      Euroben is a co-owned subsidiary to the Swedish insurance company SPP and its Norwegian counterpart Storebrand. Euroben targets employees in multinational companies with head offices in Sweden and Norway.

      - Our web site will be one of the most important channels when communicating with customers and potential customers. It is important for us with a partner that can supply us with more than a shallow interface. Adera has shown understanding for our business and that they know what it takes to create a successful web site, says Anders Cato at Euroben.

      The web site will take a central part in Eurobens communication strategy. The site will be used as a sales tool as well as an administrative tool.

      - There are legislative differences between Norway and Sweden when it comes selling insurances. It is important with a logically built web site that helps our customers to retrieve correct information that is relevant to their geographical area, says Anders Cato at Euroben.

      The assignment is in line with Adera’s strategy to deliver a business value to customers that is more than delivering system solutions and applications.

      - Adera has a vast competence in how to build a logical structure and navigation tools for web sites and will assist Euroben in the graphical layout. We enjoy working with customers that understand the need of a user analysis before starting the layout and implementation of the web site, says Martin Randler, Business Developer at Adera.

      (Sjöfartsverket) has signed a new general agreement with Cell Network Sweden. The agreement covers the provision of IT services ranging from strategic and management services to the development and administration of business-critical systems.

      Cell Network develops portal for FMV

      The Swedish Defence Materiel Administration, FMV, has awarded Cell Network a contract to develop a new Intranet portal for the Administration`s 2000-strong workforce.

      The contract involves project management, business development, programming, systems development, graphic design and IT security. The contract comes into effect from 1st June, and it is estimated that the project will employ a good number of staff from various parts of the Group until the end of the year. As well as this contract, there may also be the possibility of a support contract spanning several years.
      - We have chosen Cell Network as our partner because the company had the best solution at the best price, comments Gunnar Ordell, Manager of the FMV Portal project at the Swedish Defence Materiel Administration.
      - This contract is testimony not only to the wide range of skills and expertise to be found within Cell Network, but also to the fact that we can deliver complete solutions. What is more, we have lengthy experience of co-operation with FMV, which has allowed us to acquire a very good knowledge of their business. This - coupled with our major technical know-how - is our strength, points out Magnus Söderström, Account Manager of Cell Network Sweden`s Public Service Division.
      The Swedish Defence Materiel Administration is Cell Network`s third biggest customer after Ericsson and Volvo.

      Handling Cofacerating`s strategic communication via the Internet

      Adera has won a vote of confidence in the form of a new contract from the credit rating company, Cofacerating Sverige AB. Adera had already designed Cofacerating`s strategic communication with respect to message, general advertising and special advertising for the @rating service. When Cofacerating needed help with its web site, it had no hesitation in turning to Adera.

      "Adera did an excellent job on our strategic communication. They formulated the message and broke it down into pictures and text which clearly and effectively showed who we are and what our values are," says Mikael Pettersson of Cofacerating.

      Cofacerating chose Adera because it showed the greatest understanding of the company`s operation, and was able to provide strategic assistance.

      "When the need to communicate over the Internet became clearer, we already had solid confidence in Adera`s expertise. We are very pleased with the work that Adera has done for us," Mikael Pettersson continues.

      Framfab setzt mit Restrukturierungsmaßnahmen auf Erfolg

      Frechen (ots) - Um die langfristige Profitabilität des
      Unternehmens zu sichern, gab Framfab International weitreichende
      Maßnahmen zur Restrukturierung bekannt: Diese beinhalten die
      strategische Partnerschaft mit dem zweitgrößten Softwarehaus
      weltweit, der EDS Group. Darüber hinaus folgt die Berufung von Kaj
      Green in den Aufsichtsrat sowie eine Neuemission in Höhe von ca. Mio.
      DM 71. Framfab konzentriert sich zukünftig auf sechs Kernländer.

      Framfab International stellte die Ergebnisse des weitreichend
      eingeleiteten Maßnahmenpaketes vor, welches die folgenden Details
      beinhaltet: Die strategische Partnerschaft mit EDS und die Gewinnung
      von Kaj Green, Vorstandsvorsitzender von EDS Nordic, als weiteres
      Aufsichtsratsmitglied.

      EDS ist der zweitgrößte IT-Dienstleister der Welt und mit der
      Beratungstochter A.T. Kearney in Deutschland vertreten. Die

      Umstrukturierung trennt sich Framfab international von 650
      Mitarbeitern. In Deutschland wurden insgesamt 57 Mitarbeiter
      entlassen. Dies beinhaltet die Schließung des Standorts Nürnberg
      sowie den Umzug der Mitarbeiter aus Köln nach Frechen. Die
      Mitarbeiter werden von einer Personalberatung im Rahmen eines
      Outplacement-Konzeptes direkt bei der Suche nach einer neuen
      Arbeitsstelle unterstützt.

      Zum 01. Oktober 2001 werden 900 Mitarbeiter für Framfab
      International tätig sein , davon 160 für die Framfab Deutschland AG.

      "Die weitreichenden Restrukturierungsmaßnahmen von Framfab in
      Europa und auch in Deutschland sorgen dafür, dass wir unsere Prozesse

      Framfab gab bekannt, dass mit Ice Securities, einer englischen Emissionsbank, und Alfred Berg, der führenden skandinavischen Investmentbank, erfolgreich Verhandlungen über die Zeichnung von Aktien im Umfang von insgesamt 100 Mio SEK (rund 21 Mio DEM) geführt wurden. Wie dem Börsenprospekt zu entnehmen ist, wird dieser Betrag durch 15 Mio SEK (rund 3,2 Mio DEM) ergänzt, die Führungskräfte und Gründungsmitglieder von Framfab sowie Skandia aufbringen.
      Das Unternehmen informierte die Öffentlichkeit am 25. Mai 2001 darüber, dass die Ausgabe neuer Aktien an strategische und institutionelle Investoren zwischen dem 9. und 24. Mai überzeichnet wurde.
      Nach der erfolgreichen Platzierung der ersten Tranche in Höhe von 175 Mio SEK (rund 37 Mio DEM) an institutionelle Anleger mussten 100 Mio SEK (rund 21 Mio DEM) der zweiten Tranche (insgesamt weitere 150 Mio SEK, rund 31,5 Mio DEM), die an Altaktionäre und Privatanleger gerichtet ist, ebenfalls platziert werden, um die gesamte Kapitalerhöhung durchzuführen. Dies ist mit der verbindlichen Zusage von Ice Securities und Alfred Berg gesichert.
      „Das sind äußerst positive Nachrichten für Framfab, seine Mitarbeiter, Kunden und Aktionäre: beide Aktienpakete sind jetzt gesichert ,“ bemerkt Sven Skarendahl, Aufsichtsratsvorsitzender von Framfab.

      The City of Stockholm signs frame agreement with IconMedialab
      The City of Stockholm has entered into a working partnership with IconMedialab designed to ensure the implementation of the capital`s e-strategy. The municipality’s web site will offer Stockholm’s citizens and businesses alike access to round-the-clock information and an opportunity of handling social service administration matters, such as childcare and housing. The efficient use of IT will raise service levels and provide greater transparency in the decision-making process.

      IconMedialab was previously commissioned by the City of Stockholm to help the municipality pursue its strategic work and conduct pilot projects for security solutions and electronic identification processes. The municipality is today signing a frame agreement regarding continued collaboration. The new two-year agreement offers the possibility of a two-year extension, and was reached subsequent to the customary procurement procedures as stipulated by the Swedish Public Procurement Act.

      "We have based our decision on the financial status, quality, competence, customer references and consulting prices of 63 different suppliers," says Sinikka Suutari-Carlbäck, business developer/procurement officer at the City of Stockholm`s procurement organisation, MFO.

      The frame agreement between the City of Stockholm and IconMedialab covers IT consulting services in the fields of system and business development, IT strategy, project management, programming and design etc., as well as IT security consulting services including sensitivity analyses, IT security development and training.

      "This frame agreement is, of course, an essential and welcome stamp of approval for the quality of our operations and the competence of our staff," says Johan Malmliden, IconMedialab Sweden`s Managing Director. Being involved in shaping tomorrow`s municipal e-democracy is an exciting challenge for us.       The city`s IT initiative will basically allow Stockholm`s citizens to follow municipal issues from proposal to decision, as well as enabling them to contact public sector service organisations via the Internet. Examples might include applying for special housing for the elderly, making changes to childcare contracts, booking doctors’ appointments, communicating in confidence with case workers, etc. People will for example be able to use secure electronic identification and public computers at public libraries to establish interactive and easy-to-navigate contact with the municipal executive board and public administration.

      The big breakthrough within e-commerce has come closer during the past few days. New standards for payment have recently been developed, such as the Paysafecard, a prepaid card used for Internet payment that could open up e-shopping for a lot of young people.
       
      Still, there are several deficiencies when it comes to e-commerce websites. A study made by Aperto/Cell Consulting, Berlin, and Cell Consulting, Frankfurt, shows that Otto is the company with the best website concerning service and customer relations for e-commerce. However, in 70 per cent of the websites included in the study, the information to potential e-customers is scarce or deficient and many websites do not use the opportunity to tie their customers closer to them via newsletters.

      New regional organization structure in IconMedialab
      A decentralized regional organization structure formed to better service clients, enhance quality and improve efficiency.

      The restructuring and refocus work initiated by the company in the beginning of this year has now resulted in a new management structure based on regional responsibilities. The aim has been to leverage the infrastructure put in place, increase the client focus with greater quality through a service and consulting network of strong local offices and work more cost and resource effective as an organization.

      A core Management Team, which is built around regional directors from six regions, and led by Rens Buchwaldt, interim CEO, will have the responsibility for the day-to-day management of the company and ensure optimization of business performance and resources. The six regions, representing the fifteen countries that IconMedialab International AB operates in, are the United States, Sweden, Northern Europe (Norway, Finland and Denmark), United Kingdom, Central Europe (Germany, Switzerland and Austria) and Southern Europe (Italy, Spain, Portugal, France, Belgium and the Netherlands). Rens Buchwaldt will for now take a direct responsibility for the Swedish operations in this structure.

      AU-System Adjusts Full-Year Forecast for 2001

      Stockholm, Sweden - June 14, 2001 - AU-System is currently seeing tangible effects from a general slowdown in the telecom industry. For 2001, the company therefore expects an organic revenue growth of about 25 percent and a decrease of margins compared to 2000. Earlier an organic revenue growth of about 40 percent and an improvement of margins were expected for 2001.

      In light of the above the company will now, with immediate effect, carry out an action program with focus on profitability and increased sales efforts. The program consists of the following main actions:

      * Staff reductions of about 30 persons
      * Cancellation of all subcontractor agreements, in total 40 persons
      * Concentration of Italian operations to Milan
      * Internal savings


      "The uncertainty in the market regarding an economic slowdown currently makes it difficult to predict the short-term future," says Tomas Franzén, President and CEO of AU-System. "We remain positive about the long-term growth potential of our market due to the company’s current market position combined with unique expertise around emerging technologies within IT and telecommunications."

      The action program will be fully implemented during the third quarter and is expected to generate cost savings of approximately SEK 50 million in 2001. The interim report for the second quarter will be presented on August 21, 2001.





      Adcore sell-out cuts share prices

      IT consultancy Adcore announced on Tuesday that it will sell all of its business outside Sweden and that the company will appoint a new MD. This caused the share prices of IT-related companies, including Cell Network, to go down.
       
      At 2 pm on Tuesday,  the share price was only slightly above the subscription rate of the ongoing new share issue.
      This triggered some speculation about the new share issue. The Swedish Internet news service Ekonomi24 writes: "The new Cell Network share issue of 272 MSEK, that expires this Friday, risks not being fully subscribed to."
      But IT-analyst Joakim Wernersson, interviewed by Ekonomi24,  is cautiously optimistic:
      "When it comes to Framfab`s new share issue the discount "disappeared" at times, but finally they succeeded in raising the money. There are also investors who believe in these companies. It`s surprising that Framfab succeeded in getting the money at all, so Cell Network stand a better chance. A recovery seems much more likely for Cell than it does for Framfab. And Cell`s losses seem to be more controllable than Framfab`s," Joakim Wernersson says.
      Robert Karlsson is responsible for investor relations at Cell Network:
      "It`s only after the subscription time has expired that we will know if the new share issue has been successful. That`s the way it always is. In connection with the new share issue we have been in contact with our major owners and we feel comfortable with the situation. A number of owners let us know already some weeks ago that they would subscribe to an equivalent of 25 percent of the new share issue."
      But what will happen if the new share issues doesn`t succeed?
      "We have, of course, analyzed the consequences of this scenario, but we don`t really think that this will happen. We have considered a number of alternative actions to ensure a continued business."

      It is almost exactly six months since Cell Telecom opened its `3G Competence & Solution Centre` in Brighton, UK. And, although the world of telecom is trembling at the moment, Cell Telecom remains stable.
       
      "We have been working methodically to survey the British market and contacted several potential customers. We have had long discussions on a number of orders", says MD Karin Werhagen.
      It was not only Ericsson that suddenly saw a much gloomier future than it had counted on this spring. The whole telecomms industry is worried, and, if not forced to, companies are at least taking the chance to clean up and consolidate their activities. So Cell Telecom in Brighton, England, has also held back on expansion plans, if only temporarily.
      "It was actually an advantage that the brakes were applied now and not in the autumn when we will probably have another ten employees", says Werhagen, who sees a very bright future for Cell Telecom`s subsidiary.
      The company calls itself the `3G Competence & Solution Centre`, and sells bespoke technical services and designs in telecomms to operators and manufacturers in the telecomms industry. The largest and in practice the only UK customer so far is Ericsson.
      Cell Telecom has been in the UK since last year. Management chose to establish its base here because almost all major telecomms operators have their head offices in the country.
      "It`s here we have the chance to make contacts and bring in orders in larger formats", explains Karin Werhagen.
      Brighton is on the coast of Sussex, a county that extends south from London to the sea. With the university as its central point, an IT region - nicknamed `Silicon Beach` - has been formed. Ericsson has had several subsidiaries here for some time.
      "There`s a great deal of competence gathered here. When we placed our first advertisement, we received as many as 65 replies in one single evening".
      At present, the company has eleven employees, including Karin Werhagen who manages it together with Richard Collin. He is responsible for the technical strategy while Karin is responsible for personnel and operational activities.
      "Once we stay at this level for a while, we know we have a good base for taking on solid work".
      Swedish company - an advantage
      Karin Werhagen sees it as an advantage to be a Swedish company in Europe today.
      "We can ride the wave of the positive image that the media is giving to Swedish companies and Sweden as an IT nation".
      In the UK, the `one man band` culture is dominant in the consultancy industry. A number of one-man companies come together under an agency that then arranges jobs. For customers, the problem with this system is that they are forced to engage several firms if they have large-scale tasks to be carried out, with no-one taking overall responsibility on the supply side.
      "Cell Telecom can send in a team of consultants, and also offer larger-scale bespoke design".
      Cell Telecom has worked with several large companies during the spring, and the chances are good that they will bring in a number of orders in the near future. Karin Werhagen does not exclude the possibility that the jobs will also involve Cell Telecom in Stockholm.
      In October, Cell Telecom will also take part in a major telecomms exhibition in Brighton.

      Despite all bad news about the big names within the IT business, several of the internet consultancies keep employing people in Denmark.
       
      New players, like Framfab, Icon Medialab and to some extent Cell Network, grew mainly on the  Swedish  market during the IT hype. The most people that now have been forced to leave were working at these offices in Sweden.

      Framfab Wins Golden Lion in Cannes

      Framfab has been awarded the Golden Lion at the international advertising festival in Cannes for the "Nike Women" web site, designed and developed by the company. Framfab also won a Bronze Lion for its work on Nike Shox. This is the second consecutive year that Framfab has won awards in Cannes – last year, the company took home the Grand Prix Lion for its Nike Football site. Nike has been an important client for Framfab for a long time.

      The Nike Women Web site was designed by Framfab’s Danish subsidiary. This is the fifth Web site that Framfab has developed for Nike. The Nike Women site is designed especially for women, using an intelligent and self-ironic approach based on the tendency of women to tell little white lies about themselves now and again. "Nike Women tackles the simple solutions that most women already know to be untenable. We are trying to cut through all the nonsense that women are still being fobbed off with," explains Bettina Sherain of Framfab. Framfab’s ability to communicate with women in a new, different and liberating manner is an example of the creative skill that the company possesses.

      The Nike Shox commission was particularly challenging for Framfab. The site had not only to launch a new shoe model, but also to highlight the fact that the new, innovative Shox technology is the result of 16 years of research and development. "To create an exciting brand site that also contained all this knowledge, we concentrated very heavily on experiences that communicate what it actually feels like to wear the shoe, and on how the new technology actually works," concludes Lars Bastholm of Framfab.

      In Framfab’s rights issue with preferential rights, which was concluded on June 19, 2001, shares in an amount of SEK 150 million were subscribed, of which 83.5% were subscribed on the basis of preferential rights. Accordingly, the new issue is now fully subscribed and successfully completed.

      In May, Framfab completed a directed issue of new shares in an amount of SEK 175 million, which was oversubscribed. Accordingly, the terms and conditions for both issues have been fulfilled, whereby the total proceeds for Framfab will amount to SEK 325 million, before issue expenses.

A part of Cell Network, Dutch interactive communications bureau WDS has developed the website for Akzo Nobel Decorative Coatings, and the completion of www.flexa.nl is the first result of a long-term co-operation on an international level.
       
      Akzo Nobel Decorative Coatings chose WDS/Cell Network as partner for the Internet solutions when positioning their retail brand Flexa in the Netherlands. The completion of www.flexa.nl is the first phase of the international e-business plan for Akzo Nobel International Coatings. The long-term co-operation with WDS/Cell Network in the area of e-branding and cross media stretches to Belgium, France, Germany, Spain, Denmark and Great Britain.
      Www.flexa.nl helps consumers to find their way through the Internet and give advice on paint and the use of colour.       Kündigungswelle bei Cell Network Germany

      Das schwedische Unternehmen Cell Network steckt offenbar in Zahlungsschwierigkeiten. Die deutsche Niederlassung habe 60 der 110 Mitarbeiter entlassen, berichteten Mitarbeiter gegenüber heise online: "Wir wurden gestern bis kurz vor 10 Uhr am Betreten der Firma gehindert. Anschließend versammelten sich fast alle Mitarbeiter in einem großen Raum, aus dem zuerst die Praktikanten rausgeschickt wurden. Zuletzt blieben ungefähr 50 Personen, denen der Geschäftsführer mitteilte, sie seien mit sofortiger Wirkung von der Arbeit freigestellt."

      Des Weiteren sollen auch Stellen bei Cell Network in Schweden, Frankreich und Italien wegrationalisiert worden sein. Dies sei eine mögliche Reaktion auf die ausstehenden Lohnzahlungen aus Stockholm, sagte einer der Mitarbeiter. "Es ist sogar weiterhin nicht klar, ob wir im Nachhinein unser Juni-Gehalt erhalten werden."

      Dirk Buddensiek, Geschäftsführer von Cell Network Germany, bestätigte die Kündigungen. "Es ist furchtbar, mehr als die Hälfte der eigenen Mitarbeiter plötzlich entlassen zu müssen", sagte er. "Dieser Schritt war jedoch notwendig, um der allgemeinen schwierigen Geschäftslage begegnen zu können." Über den Fortgang der Geschäfte äußerte sich Buddensiek optimistisch: "Wir haben mit vielen Kunden Service-Verträge laufen, die uns die Auftragslage für die Zukunft sichern."

      Im August 2000 hatten die Schweden 51 Prozent am deutschen Unternehmen Aperto erworben. Ziel der Expansionspolitik war es, europaweit zu einem der größten Internet-Dienstleister zu wachsen. Noch vor einem Jahr kündigte das Management an, Cell Network Germany bald an den Neuen Markt in Frankfurt bringen zu wollen. (daa/c`t)

      Adcore`s new deal with Apoteket AB

      Adcore signed an agreement with Apoteket AB by which Adcore will develop a new e-commerce site. The agreement is estimated to be worth 9.8 million SEK.(= 1 mio Euro

      Adcore will build a new e-commerce site for Apoteket, which will enable the consumers to buy over-the-counter products from the on-line pharmacy.

      Adcore provides e-solutions with payment possibilities, information, and links to back office systems. The platform for the future e-commerce site is based on the company Intershop’s software Enfinity. The project is designed as a two-step rocket. The first step will be launched into production on November 1, and the second one on February 1, 2002.

      "We are very pleased to be working for Apoteket. It was an exhaustive procurement, that took place over a long period of time, so we are very proud of the renewed confidence Apoteket has shown us.       Cell closes down office in Gothenburg

      Due to lack of clients, Cell Network closes down its e-learning business in Gothenburg. This action will affect 20 employees.

      This decision is yet another one in Cell`s ongoing savings program in order to cut costs within the company. Cell will continue its venture into e-learning, though, but will handle the main part of this business from Cell`s office in Kuala Lumpur.
      Anders Lugn, Director of Corporate Communication, stresses that some of the employees will remain within Cell Network in Gothenburg. "We don`t know yet how many we`ll be able to offer other jobs to in other parts of our company, or how many employees that will have to go," says Anders Lugn.

      The disposal of Adcore`s international operations et cetera


      As previously announced, the Board of Directors of Adcore has agreed on a disposal of the international operations. The disposal is contingent on approval at an EGM in Adcore, as well as on the acquirer ultimately securing the necessary financing. The acquirer has informed Adcore that, conditioned by the outcome of the acquiring company’s due diligence that shall be finalised during this week, the necessary financing for completion of the acquisition and for the continued running of the business has been secured as of today.

      The acquirer has also informed Adcore that the ownership structure of the acquiring company has changed. Martin Hauge, previous CEO of Adcore’s Danish operations, is no longer one of the owners of the acquiring company. He has also decided to immediately leave his position with Adcore to take on a new position with the acquiring company. The acquiring company will initially be owned by Svein Stavelin alone. Svein Stavelin comes from a position as CEO of the Norwegian consultancy company Ementor, a company within the Merkantildata sphere. Further, the acquiring company has informed Adcore that offers regarding future minority ownership have been made to Martin Hauge and other leading managers within the international operations.

      The acquirer has informed Adcore that the changes in the ownership structure of the acquiring company have taken place in order to eliminate all potential concerns for the completion of the transaction. By doing this, the acquirer has been able to secure venture capital to the acquiring company.

      The announced changes have no consequences for Adcore or for the completion of the transaction other than the fact that the rules of the LEO Act are no longer applicable. However, due to the importance of the transaction, the Board of Directors of Adcore has still chosen to let the EGM on July 9, 2001 decide on the matter.

      The Board of Directors of Adcore yesterday set the final terms and conditions for the proposed incentive program for the newly appointed CEO. The issue price for the debenture with detachable warrants has been set to SEK 4 132 000. The terms and conditions are available at the Company and will be mailed to shareholders who request a copy and who provide a mailing address.

      Today’s Extra General Meeting (EGM)resolved to decide on the sale of Adcore’s units outside
      Sweden as well as Adcore Karlstad.Following the sale of the foreign units,Adcore will focus
      solely on the Swedish market,in accordance with what has previously been communicated.The
      EGM also resolved to decide on an incentive program to the CEO of the company,Ole Oftedal.
      The EGM resolved to decide,in accordance with the Board of Directors’proposal,on a sale of all of Adcore’s units
      outside Sweden.The purchase price amounts to MSEK 30 and the buyer is a company presently wholly owned by
      Svein Stavelin.For accounting purposes,the sale is effective as of April 1,2001.The decision was made through a
      vote where 94.4%of the votes cast as well as the shares represented at the general meeting voted in favour of the
      proposal.The general meeting also unanimously resolved to decide,in accordance with the Board of Directors’
      proposal,to divest Adcore Karlstad.
      Further,the general meeting resolved to decide on an issue of a promissory note with detachable warrants for
      subscription of a maximum of 8.262.000 new shares in the company.The decision was supported by a majority in
      accordance with what is required by the so called “LEO Act”.The issue price for subscription of new shares will be
      fixed at 120%of the weighted average price of the Adcore share during the period July 10-16,2001.After the issue
      price has been fixed,the price at which the company’s CEO will be offered to purchase warrants will be fixed on
      market terms.Through this,the Board of Directors wishes to offer the CEO of the company an incentive program,
      which gives him the possibility to take part of a positive value development of the company.At full subscription,the
      program entails a dilution of 4.71%,calculated after full exercise of now existing warrant and convertible debenture

      New stage in Cell Network´s action programme to restore profitability

      Cell Network is concentrating its resources in Germany on the profitable management consultancy market and is withdrawing from the unprofitable web design market by selling its stake in Aperto.
      Meanwhile, the Cell Media/Communication business area, which includes Journalistgruppen, Propello and Cell Interactive TV, has been sold off.
      "This is an important stage in our action programme to restore profitability and to restructure and refocus the Group," says CEO Niklas Flyborg. "We are now consolidating our operations to become a profitable, albeit smaller business. In addition, our cash position is strengthened and we avoid commitments that put a strain on the Group. We are building a solid platform for future expansion whilst retaining profitability."
       
      Several German web consultants have ended up in financial difficulty due to a dramatically changed market, and this also applies to Aperto.
      During the first six months of the year, Aperto recorded a gross profit from operations equivalent to
      minus SEK 15 million. The forecast for the rest of the year indicates continued losses, and the company now has urgent need of a capital injection. In the beginning of July, the management of Aperto gave notice of redundancy to 70 of the company`s staff of just above 90 people.
      On 11 July, Cell Network transferred its 51 percent stake in Aperto to the German company DeltaVest. At the same time, Cell Network is giving Aperto a capital injection of DEM 3 million. All Cell Network`s obligations to Aperto and those who sold it to Cell Network in September 2000 will thus cease.
      Cell Network thereby avoids future commitments in the form of such things as performance-based additional purchase sums equivalent to SEK 70 - 300 million, and anticipated losses for the second six months of the year equivalent to at least SEK 15 million. The deal means a reduction in the Group`s goodwill in excess of SEK 200 million and capital losses of approx. SEK 140 million.
      Cell Network will henceforth be collaborating with Aperto when this is commercially justified in order to satisfy customer demand.
      Cell Network`s operations in Germany are now focusing on the significantly more profitable management consultancy market through Cell Consulting, which is 18 percent owned by Cell Network. Cell Consulting commenced operations in January 2001 and these are progressing ahead of plan with some 70 people now employed. The customers include Lufthansa, Deutsche Post and MAN. Cell Network has undertaken to finance the operation during 2001 through a maximum loan of SEK 100 million. During 2002, Cell Network can convert this loan into shares in Cell Consulting, whereby Cell Network will become the majority owner.
      Refocus
      Cell Network will, at the same time, continue to refocus its business by selling the Cell Media / Communication business area.
      Subsidiaries Journalistgruppen and Propello have been sold to Bure Equity. Subsidiary Cell Interactive TV has, as has previously been reported, been sold to SPARKidea Consulting in London. Cell Media / Communication employs around 200 people.
      Henceforth, Cell Network will also continue to have access to the expertise which the sold companies possess.
      As a subsidiary, we provided a joint offer to customers whenever it was right to do so, comments MD of Journalistgruppen, Anders Lugn. This is something we will continue to do when we are part of Bure Equity. Customer benefit comes first, with ownership second.
      The deal will strengthen Cell Network`s cash position, and represents an important step in the refocusing of the Group which is now under way. The deal is a logical step in the process to create a profitable, well established and focused consulting company within business development, systems development and convergence.
      More measures implemented
      Cell Network has made a range of major and minor changes in the second quarter as it strives towards its priority goal, profitability for all business units as well as the Group as a whole. Around 110 people in total will be leaving the company in Spain and in Scandinavia.
      All staff at the e-Learning unit in Gothenburg have been given redundancy notices. A number of these will be employed within other units in Gothenburg, so Cell Network will be maintaining its expertise in e-Learning.
      The Örebro and Västerås offices will be closed, and their staff have been given redundancy notices. Some operations will be moved to other units within Cell Network Sweden. Cuts have also been made in Malmö and Borlänge as well as at the Group headquarters in Stockholm.
      In Norway, cuts have been made in Oslo whereas the Molde office has been closed and the operation moved to Stavanger. In Spain, half the workforce have been given notice of redundancy.
      The staff reductions that have been made are estimated to involve structural costs of SEK 35-40 million. When they have been implemented, the monthly savings are estimated to be around SEK 6-8million.
      Continuing as planned
      "We are now in the middle of the programme of measures called Push for Profit, which we adopted in the spring," says CEO Niklas Flyborg. "As planned, we are continuing to look over all parts of the Group. Units that are not considered able to show a profit within a reasonable time will be sold or closed."
      "As we have stated earlier, we have seen the utilisation rates for our consultants for the second quarter develop in the direction of being lower than we had calculated in our internal forecasts. In Scandinavia, the tougher market in particular, but also the lower number of days worked, has meant that it has not been possible to sustain the positive trend in utilisation rate in the second quarter. A number of larger strategic projects have been secured, but the market is marked by greater uncertainty and longer decision-making times. Certain markets outside Scandinavia are considerably weaker than we had anticipated, whilst others are showing a good level of profitability. The development of the Cell Telecom business area is somewhat below expectations. However, Cell Telecom has managed to place sales with new customers to compensate for the cancellations and the loss of projects with Ericsson. Within Cell ITS, losses have continued to fall according to plan and the company is at a turning point and reached profitability in June.
      "This is a tough programme of changes we are carrying out," says Niklas Flyborg, "but we are convinced that we will achieve our goal of creating a profitable and focused consultancy company within IT/ Internet and telecommunications. By refocusing our business and continuing to invest in management consulting we are also moving higher up the value chain. We have prioritised the five segments of financial services, telecom, automotive, public, and retail, which today represent 70 percent of the turnover."

      Journalistgruppen and Propello is sold to Bure Equity, a private equity company which concentrates on unlisted companies within the TIME sector that includes Telecom, IT, Media and E-Knowledge.
      Bure Equity was established in 1993 and is quoted on the A list of the OM Stockholm Exchange. There are over 20 companies within the Bure Group, amongst them Appelberg Publishing Agency, Mercuri International Group and Systeam.
      The deal is presented only a week after subsidiary Cell ITV was sold to SPARKidea Consulting in London.
      Cell Network will continue to collaborate with the former collegues.
      "As a subsidiary to Cell Network we have made joint offerings to our customers when it has been businesslikely profitable", says Journalistgruppens MD Anders Lugn. "As a part of Bure Equity Journalistgruppen will be able to continue to support Cell Network. Customers benefit comes first, with ownership second."

      Tough market in Germany
      As a part in the action programme to restore profitability Cell Network also sells the German subsidiary Aperto.
      On 11 July, Cell Network transferred the whole of its 51 percent stake in Aperto to the German company DeltaVest while giving Aperto a capital injection of DEM 3 million. All Cell Network`s obligations to Aperto and those who sold it to Cell Network in September 2000 will thus cease.
      Cell Network thereby avoids future commitments in the form of such things as performance-based additional purchase sums equivalent to SEK 70 - 300 million, and anticipated losses for the second six months of the year equivalent to at least SEK 15 million. The deal creates capital losses of just over SEK 130 million.

      The Extraordinary General Meeting of Adera AB (publ), held on July 17, 2001, resolved to reduce the share capital of the company by a total amount of SEK 113,460.60 through a withdrawal of 1,134,606 Series B shares without repayment.       Revenues for the quarter are reported at SEK 318.0 million****,with an operating loss,before
      goodwill amortization and provision for social security fees related to employee stock options,of
      SEK 97.9 million,including a gain on the sale of the Brandlab operations of SEK 17 million.
      The US operations outperformed a challenging US market environment,and reported essentially
      even revenues from the first to the second quarter.
      Although the economic and business environment continues to be uncertain,the management
      expects the second half of the year revenue level to be impacted by the large increase in sales
      activity and client and project development over the past six months,including revenues from
      projects with Stora Enso,FöreningsSparbanken and MasterCard.In addition the company
      expects to generate important incremental revenues over the next twelve months from the global
      alliance with IBM that was announced early July.IBM and IconMedialab have jointly developed a
      Corporate Communications Platform (CCP),which is a modular e-business offering,built on a
      combination of IBM technologies and IconMedialab services.
      Staff reductions and restructuring actions have been executed in line with previously announced
      plans and the company will continue to bring its cost base down in line with the difficult market
      conditions.
      “Due to the economic and consulting market slowdown,the revenue level in the quarter is below
      what we had hoped for in particular in Sweden and Germany.Client wins during the second
      quarter and current large sales activities should help us achieve a stronger second half of the

      During the second quarter the market has become tougher and sales cycles longer with weaker financial results as a consequence. As was announced earlier this spring, the upward trend in utilisation rates reported during the first quarter could not be maintained during the second quarter.

      Cell Network has prepared itself for these market changes by tackling them head on with an aggressive action program aimed at strategically streamlining its operations and closing down or divesting itself of units that were deemed unlikely to report a profit within an acceptable time period. The divestments that have been effected strengthen Cell Network’s cash position and result in significantly fewer financial commitments for the future. Adapting the Nordic operations has resulted in a considerable reduction in costs. The action program is partially complete, but further important changes will also be made to achieve profitability and clarity of focus.

      Our prime objective is to reach a position of profit, quickly, explains CEO Niklas Flyborg. We are on the way to a profitable, albeit smaller, Cell Network. The new Cell Network will grow over the long-term with a sustained level of profitability.

      First six months – 2001

      * Net sales for the first six months totalled SEK 769 m**** (759), an increase of 1 percent year-on-year.
      * During the second quarter the utilisation rate was 63%, a fall of three percentage points compared to the first quarter.
      * Gross earnings (EBITA) before items affecting comparability amounted to SEK –101 (-51) during the first half of the year. Restructuring costs of SEK –66 m were charged to income during the period. Gross earnings including restructuring costs amounted to SEK –167 m. Goodwill derived from international operations and companies that were sold during the third quarter, has been written down by SEK 452 m.
      * A new share issue was carried out by Cell Network during the second quarter. The new shares carried preterential rights for existing shareholders and the issue, which was taken up at 100%, has generated SEK 256 m for the company.

      Action Program

      The following stages of the action program have been carried out to date:

      * The Cell Media/Communication business area has been effectively shut down through the sale of Journalistgruppen, Propello and Cell Interactive TV.
      * The stakeholding in web-related German company, Aperto, has been sold.
      * In Sweden, offices in Västerås and Malmö have been closed down, the eLearning unit in Göteborg has been sold, cutbacks have been made in Borlänge and Malmö and Cell Network’s head office has been rationalised. In Spain half the workforce has been made redundant and cutbacks have also been made in Norway.
      * The divestments made in this action program strengthen the group’s cash position by SEK 31 m. Cell Network will also avoid future commitments relating, inter alia, to performance related additional purchase sums estimated at SEK 70 -325 m, as well as an anticipated loss for the second half of the year of at least SEK 25 m. Furthermore, the cutbacks in the Nordic region will give rise to an estimated saving of SEK 40 m in the second half of the year. These sell-offs have reduced the workforce by 300 and around 100 people have been lost through cutbacks.

      Cell Network sells French company
      Cell Network transfers all its shares in Cell Network France to the former owners.
      “This is a logical step in our ongoing Push for profit action plan,”says CEO Niklas Flyborg.“Among other
      things,it means that we are selling or closing units that are not deemed able to achieve profitability within a
      reasonable time.”
      With the deal Cell Network will be able to reduce its future financial commitments by up to SEK 35-40 million,
      and avoid a considerable loss for the second half of the year.
      The sale means capital losses of SEK 85 million,already allocated in the balance sheet at the end of June
      through goodwill being written down to zero.
      The deal is covered by an act on private placements known as the Leo Act,meaning that it is conditional upon
      finding approval from a general shareholders’meeting of Cell Network.
      Earlier this year,Cell Network sold its Swedish subsidiaries,Cell Interactive TV,Propello and
      Journalistgruppen,plus German subsidiary,Aperto.In Sweden,the Västerås and Örebro offices have been
      closed,the e-learning unit in Gothenburg has been sold,closures have been made in Borlänge and Malmö,and
      Cell Network’s head office has been rationalised.In Spain,half the staff have been laid off and closures have
      been made in Norway.

      Framfab has received its first assignment for Sony. The Internet consultancy has developed the new campaign site for Sony Walkman™ in Germany, and adds another strong brand to its client portfolio. Framfab’s mission has been to create a concept and a design that gives the Walkman™ brand a new image that attracts the youth groups of today.

      The site is aimed at Generation Y, fun-sports and extreme-sports enthusiasts between the ages of 15 and 25. Skateboarders, BMX riders and hip hop fans should identify with the design and content.

      Framfab extraordinary general meeting approves sale of Framfab Labs in Lund
      The extraordinary general meeting at Framfab (Stockholm: FTID.ST - nyheter) today elected to approve the proposal of the Board regarding the new issue of shares in Lund Labs, bypassing preferential rights for shareholders. This deal covers the Lund branch of Framfab Labs, employing 54 members of staff, which developed - among other things - the BRIKKS Internet portal platform. The management, staff and external financial backers will contribute SEK 4 million to the new issue and subsequently control 80.1 per cent of shares in the newly formed company Lund Labs AB. The remaining 19.9 per cent will be owned by Framfab. This deal will reduce costs for Framfab by around SEK 3.5 million a month. At the same time, opportunities will be created for future income for Framfab on account of payment of a royalty on the turnover of Lund Labs. This will amount to 2 per cent of the turnover of Lund Labs as of 2002 and continue for ten years, on the condition that the turnover is in excess of SEK 30 million.

      Major changes in the Framfab management team

      Framfab`s winding-up of the company’s non-core activities is now coming to end. In connection with this, there will be changes in the company management. Göran Westling, Head of Framfab Business Partners, is to leave the company, and will continue to devote himself to a range of board assignments. Leif Andersson, VP Corporate Communications, has tendered his resignation, as Framfab has not continued its international expansion as was planned when he took up his duties in December 2000. Leif will be providing communication consultancy services out of his own company. Sofia Ericsson, VP Mergers & Acquisitions, leaves the company management and will leave Framfab once the winding-up of the company’s non-core activities has been completed.

      In addition, Ralf Pispers, Head of Framfab’s international activities, will be moving to a senior position as a partner in Framfab’s German division. The new organisation of Framfab is now focusing on activities in six countries, with the CEOs in each country reporting directly to Johan Wall, Group CEO.

      Die Deutsche Renault AG und die Framfab Deutschland AG geben gemeinsam Gas im Internet. Der Autobauer und die Internetagentur haben einen Rahmenvertrag über eine enge Zusammenarbeit geschlossen. In dem unterzeichneten Dokument vereinbarten die Unternehmen die Betreuung und Pflege von www.renault.de durch Framfab. Zudem wird die Internetagentur diverse Intranet-Projekte für die Deutsche Renault AG durchführen.

      Framfab sieht in dem Vertrag das Resultat einer bereits fruchtbaren Kooperation. Der Internet-Dienstleister hatte zuletzt einige Projekte erfolgreich für die Deutsche Renault AG realisiert. „Die Zusammenarbeit mit einem weltweit agierenden Unternehmen wie Renault ist eine Herausforderung, der wir uns gerne stellen. Wir wollen den Kunden auch in Zukunft bestens beraten und so im Internet auf die Überholspur bringen“, erklärt Michael Mühl, Vice President der Framfab Deutschland AG.

      The internet consultancies have a tough time making forecasts, since their clients put orders later and later.

      Anders Lugn, Director of Corporate Communications, says that it is hard to make reasonable estimations of the situation this Autumn.
      But according to Anders Lugn, traditional it consultants still have a slightly better situation. "In times of crises, companies cut down internet related services, while traditional it services are always needed," says Mr Lugn.

      Torbjörn Lindh becomes the working chairman of Adera’s IT-driven Business and En-terprise Development business area.

      In June Adera announced its intention of carrying out a restructuring programme with the objective of giving the various areas within Adera the conditions for growing on their own terms by concentrating on their core businesses.

      The two business areas operating within Adera today are IT-driven Business and Enter-prise Development, based in Stockholm, and Integrated Communications, based in Gothenburg. These two business areas will be run as companies and hence each has acquired its own board.

      Torbjörn Lindh has been appointed working chairman of the business area IT-driven Business and Enterprise Development. Over the last 20 years he has held senior posi-tions at Cap Gemini, Telia and Merkantildata.

      The Market

      The market for consultancy services based on Internet technology has seen a decline during the spring.
      Despite the declining market and the uncertainty surrounding Framfab’s financial situation,the company
      has succeeded in retaining its biggest customers.Following the successful completion of the new issues,
      Framfab’s customers have shown renewed faith in the company,see also the section marked Market in the
      financial reporting for April –June.
      Today,Framfab is a pure Internet consulting company.The company has long experience of working with
      user interfaces,brand management and application development based on Internet technology.

      Sales

      The consolidated sales figure reached SEK 418.5 million (840.5)during 1H 2001.In 1H 2000,the company created
      additional operating revenue by converting the additional purchase price in Bredbandsbolaget worth SEK 104.0
      million and sales of other companies worth SEK 7.0 million.Adjusted for these items affecting comparability sales
      decreased by 43%between the half years.

      Operating profits/losses

      The operating loss after depreciation of tangible fixed assets (EBITA)was SEK -924.1 million (131.2)during
      1H 2001.Over the period,one-off effects from the restructuring program and sales of operations affected the EBITA
      margin with SEK -496.3 million.Adjusted for items affecting comparability,the operating loss after depreciation of
      tangible fixed assets was SEK -427.8 million
      (-29.2).

      Sales of operations
      During Q2 and in early Q3,a total of 5 units within the core business and 5 companies within the non-core business
      were sold with a resulting reduction of 314 in the workforce.A capital loss of SEK 12 million resulted from the
      sales,which is balanced by reserves made in Q1.The resulting effect is +/-0 for the quarter.For additional details,
      see Appendix 1.

      Operations

      Framfab Internetconsulting (FFC)–Framfab’s core business (Internet consulting)reported sales of SEK 336.7
      million (609.2)for the period.The operating loss after depreciation of tangible fixed assets (EBITA)was SEK 337.7

      The difference between the results for several of the A-listed companies predicted by analysts versus the results the companies actually show is very big. When it comes to IT companies like Cell Network, Framfab and Icon Medialab the gap is about 70 percent.

      "The spread in the profit estimates reflects the uncertainty of the market. Many companies were too optimistic during the first quarter this year and did not predict the downturn during the second quarter," says Carnegie`s Chief Analyst, Magnus Matstoms. According to Mr Matstoms, the forecasts differ as much as they do partially as a result of the rapid downturn in the economy, but also as a result of the fact that the difference between the forecast and actual result is greater, percentage-wise, for smaller companies, a category that includes many IT companies.

      Framfab to sell Dimac AB – again

      On 4 July, Framfab entered into a contract relating to the sale of software company Dimac AB to Dropside Technologies Limited. However, Dropside has failed to fulfil its undertakings in accordance with this contract. Consequently, Framfab has found a new buyer for Dimac AB.

      Today, Framfab has entered into an agreement relating to the sale of shares in Dimac AB to Jonas Hedberg, who has plenty of experience of the information technology industry.

      "We are really pleased that we have found a good solution for Dimac so quickly, and we are very happy with the new buyer, Jonas Hedberg," says Johan Wall, CEO of Framfab.

      IconMedialab to decrease its workforce
      The current difficult market situation has made it necessary to reduce the workforce of IconMedialab’s Swedish operations by 70 staff.
      - It is a very difficult and hard decision to lay-off excellent staff, but there is no other option available to us at present as we are facing a general slow-down of the economy. Our shareholders, clients and not the least our staff have the right to demand a profitable and successful business going forward, said Michael Gustafsson, Regional Director of IconMedialab Sweden.
      - We are continuously managing the cost base of the company, and the market situation in Sweden has forced us to do this reduction of the work force, said Rens Buchwaldt, interim CEO of IconMedialab International. Sweden is and has always been an important market to IconMedialab, and I would like to point out that our international presence is still strong and well functioning.
      In total, IconMedialab will employ 300 staff in Sweden after the reductions and about 1300 in total, in 15 countries (excluding IconMedialab Asia).

      Icon Medialab International AB (publ.) plans financial restructuring to strengthen its long-term financial position

      The Board of Directors of IconMedialab today announced that it is investigating alternative financing plans that can provide substantial cash resources to the company. Among the alternatives is a restructuring plan that will enable the company to capitalize its unrealized tax losses.
      As constructed, this restructuring plan is to provide the company substantial cash for operations and will be non-dilutive to existing shareholders. The company has today significant unrealized tax losses in excess of SEK 2.5B stemming from the fact that the market value of its combined subsidiaries is significantly lower than the tax base.
      The company seeks to monetize these tax losses through a restructuring plan based on the following key elements:

      ? A new unlisted holding company ("New IconMedialab")

      makes a public offer for all shares in IconMedialab, whereby the shareholders in IconMedialab are offered new shares in exchange for their shares in IconMedialab. No bid premium will be offered.

      ? Following the offer, IconMedialab will sell all shares in its subsidiaries to the “New IconMedialab”. “New IconMedialab” will then seek to sell for cash to a new buyer all shares in IconMedialab. It is expected that the purchase price for IconMedialab will be a portion of the amount of the capital losses.
      ? "New IconMedialab" will apply for a listing on the Stockholm Stock Exchange O-list and IconMedialab will be delisted.
      The result of the restructuring plan is intended to be that the current shareholders will be shareholders in a new but identical IconMedialab with a strong cash position and balance sheet. The transaction would also create the financial prerequisite necessary for quickly reaching a positive cashflow.

      Framfab to create European site for the Coca-Cola Company

      The Coca-Cola Company has asked Framfab Denmark to create a website for the launch of Powerade, a new sports beverage, in Europe.

      Framfab will develop a brand website for the European launch of this new product. The website will be live at the end of December and will be launched in six countries in four languages. The site will be supporting and expanding an offline campaign created by Wieden +Kennedy in Amsterdam. Framfab Denmark has worked with Wieden + Kennedy on a number of Nike projects in the past.

      Framfab is looking forward to this challenging project and to working with the Coca-Cola Company in the future.
