eine klage von pathway ist eingereicht worden. es geht um den bruch von vereinbarungen. imho hier stinkts ganz gewaltig nach FRAUD mir persönlich gefällt die formulierung mit den John Does`s ganz gut. es werden wohl unterlassungsklagen und pfändungen beantragt. jetzt wird die ganze geschichte wohl aufgedeckt und es geht einigen an den kragen. wenn das ding durchgeht ist upgrade vom kurszettel verschwunden JMO ein "trading halt" wäre nach otcbb rules möglich. naja, malen wir mal den teufel nicht an die wand
The Pathways Group, Inc. Announces Institution of Litigation Against Upgrade International Corporation and Its Key Executives
WOODINVILLE, Wash., Aug 21, 2001 (BUSINESS WIRE) -- The Pathways Group, Inc. ("Pathways") has announced that it has filed a lawsuit against Upgrade International Corporation ("Upgrade"), its President and CEO Daniel Bland, and its Executive Vice President, COO and CFO Howard Jaffe, in Sonoma County Superior Court in Santa Rosa, CA, Case No. 227650. Pathways has been advised that all of the named defendants have been served with the summons and complaint.
The Board of Directors of The Pathways Group, Inc. approved a resolution authorizing the institution of litigation proceedings against Upgrade, its two top executives, and multiple "John Does".
Some of the claims stated and remedies requested in the complaint include but are not limited to:
Breach of Merger Agreement; Breach of Financing Agreement; Breach of Oral Agreement; Fraud; Negligent Misrepresentation; asserting claims for relief of damages; specific performance and injunctive relief.
The history of the behavior of Upgrade and its senior management is laid out in the complaint that was filed.
In summary, the complaint filed in the lawsuit states that Upgrade repeatedly breached its obligations in both its Financing and Merger Agreements with Pathways both by failing to fund the sums by which it was contractually committed as well as failing to timely fund. The complaint states that Upgrade repeatedly breached firm assurances of remedial funding causing Pathways to continue to incur financial obligations in reliance upon Upgrade`s representations that it would cure its failures with regard to its Financing and Merger Agreements.
In a comment, Mr. Carey Daly, President and CEO of The Pathways Group, Inc., stated "None of that factual history recited in the complaint was acknowledged by Upgrade in its press release of August 16, 2001, in which Upgrade acknowledged the lawsuit by Pathways against Upgrade. In my opinion the omissions of those relevant facts appear to be and may have been a failure by Upgrade to disclose relevant information concerning part of the basis of the lawsuit filed by Pathways against Upgrade, Mr. Bland and Mr. Jaffe. However, The Pathways Group, Inc. does not intend to try the lawsuit in the press. Whether the claims of Pathways have merit will be for the court and jury to decide. Pathways believes that the suit has merit, and reasonably expects to prevail on its claims in court."
Pathways also disclaims any right of Upgrade International Corporation or its executives to use the name, The Pathways Group, Inc., or the shortened popular name of "Pathways" or any trademarks or any materials prepared by or copied without permission from Pathways` materials, for the purpose of promoting the sale of investments in Upgrade International Corporation, and advises that if such use(s) of such materials has been made by Upgrade International Corporation such use was done without the permission of Pathways pursuant to any licensing agreement or similar agreement authorizing the use of the intellectual property of Pathways.
