PRG-Schultz Obtains Commitment for Bridge Financing; Company Reports Continued Progress in Financial Restructuring
PRG-Schultz International, Inc. (Nasdaq: PRGX), today announced that Parkcentral Global Hub, Blum Strategic Partners II, and certain of their affiliates have committed to supply $8 million of bridge financing, pending a restructuring of the company`s 4 3/4% convertible notes due November 26, 2006. The bridge financing, which will mature on the earlier of May 15, 2006 or the closing of such restructuring, will be used for general corporate purposes, including the payment of interest on the convertible notes prior to the end of the 30-day grace period that commenced on November 28, 2005. The bridge financing remains subject to several conditions, including completion of diligence and documentation.

" We are grateful for the continuing support of Parkcentral and Blum, and look forward to the support of our other major lenders as we work to improve our capital structure," said James B. McCurry, PRG-Schultz`s President and Chief Executive Officer. " The funds that would be made available under the bridge financing allow us to remain current on our public debt and provide additional working capital while we focus on completing our financial restructuring discussions."

As previously announced, an ad hoc committee of convertible note holders has been organized to negotiate the terms of a potential restructuring of the convertible notes. Negotiations are ongoing at this time, and the company anticipates reaching a mutually acceptable resolution with the ad hoc committee in the near future. Affiliates of Parkcentral and Blum are members of the ad hoc committee.

In the late 1960`s, a large department store faced with deadlines forced hundreds of invoices through for payment without verification. This created an accounting nightmare of huge supplier bills and an out-of-control payment processing system. The retailer promptly hired a new controller, who ordered a thorough review of the improperly processed paperwork. This review netted roughly $40,000 in overpayment recoveries … a considerable sum at that time.

That controller`s name was Howard Schultz. Seeing an opportunity for conducting accounts payable audits with other organizations, he formed Howard Schultz & Associates in 1970. In its first month, this new company recovered more than $250,000.

Meanwhile, John Cook, a former CFO in the retail industry, was in charge of a small recoveries firm, Roy Greene Associates. He recognized that by using Electronic Data Interchange (EDI), a technologically advanced firm could handle larger, more profitable recoveries. In 1990, he formed The Profit Recovery Group International, Inc. (PRG). In 1991, he acquired the assets to Roy Greene Associates, Inc. and Bottom Line Associates, Inc. Ridgeland, MS, NOV 30, 2005 (EventX/Knobias.com via COMTEX) -- What do you say when a $0.31 stock doubles in one day? Even if you have no interest, you have to stop and take a look on the 2nd day when it nearly doubles again.

PRG-Schultz International Inc (PRGX) has nearly tripled in just 2 trading sessions and the daytraders love it. You want to bet that 90% of them have no clue of the absolutely intriguing story unfolding in the house of PRGX?

For starters, the "PRG" stands for "Profit Recovery Group". According to the PRGX website, "PRG-Schultz is the world leader in Profit Recovery and a leading profit improvement firm." This seems comically ironic when you look at the company`s financials. For the fiscal years 03-04, PRGX has reported and average annual revenue of $366M with average 2-yr losses of ($116M). Wow...sounds like they should hire themselves, considering the 3 previous years (00-02) were all profitable (excluding discontinued ops). "Profit Recovery" does seem in order.

On 10/21/04, PRGX reported that it, and CIBC, had decided to explore strategic alternatives, including the sale of the Company. On 05/04/05, PRGX said it "...has met with a number of interested parties". A month later...PRGX ends the strategic evaluation and its Chairman and CEO resigns.

Enter stage left, Cannell Capital, LLC, a long-time 10% holder of PRGX`s 4.75% convertible notes due 11/26/06. This 12-yr-old San Francisco investment firm is entitled to at least 1.5M shares via these notes (convertible @ $7.74/shr). Best we can figure, Cannell and affiliates have also purchased 6M shares on the open market at MORE than $4.00/shr, including an aggressive buying spree around the time that the "strategic evaluation" ended.

The BOMB.

On 11/29/05, after PRGX has fallen from $5 to $3, Cannell files an SC 13D reporting open market buying and ownership of 7.5M shares. In the filing, Cannell post a letter offering to buy PRGX for $3.43/shr (+20% premium)...an offer subsequently turned down. A month later, Cannell files these nasty comments in an SC 13D:

"Is it true that the Board received robust indications of interest from several buyers? Did at least one indication of interest come from a very large financial buyer with significant experience in completing public to private transactions? Were other indications of interest similarly kiboshed by the Board before they blossomed into definitive offers? Was the "evaluation" intended to benefit all stockholders, or merely two, who are burdened with an $8.72shr cost basis?"

It Gets Better.

With no response, Cannell withdrew the $3.43 bid on 10/25/05 and the stock began a nose-dive from $3. Along the way, Cannell sold ALL of their stock (excluding 1.5M shares issuable upon note conversion) at an average price of approx $0.296/shr. Not sure about the math, but this may equate to a $22M-plus loss for Cannell.

This week, PRGX announced that 2 of its `other` convertible note holders committed to $8M in bridge financing, pending a restructuring of the notes. Remember...Cannell holds approx 10% of the notes and is probably very upset at this point. The $8M will most likely allow PRGX to pay interest on notes and no more, as it`s losing $26M per quarter.

Conclusion: Someone thinks PRGX is worth $3.43/shr...the stocks @ 86c. Notes holders seem willing to help, minus Cannell. So whats the problem? Did the company ignore much larger offers as Cannell accuses? Did Cannell really dump $22M-plus in losses? Talk about "Profit Recovery"...Dont think for a second that THIS battle is over.

Warum?????

Es ging auch fast ohne Pause von 3 Dollar binnen zwei Monate auf 0,31 Dollar.

Wenn da eine Pause stattgefunden hat dann stagnierte der Kurs.

Nichts anderes wird momentan auch passieren.Wenn es mal eine Pause geben wird, wonach es momentan nicht aussieht, wird der Kurs um den Vortageskurs pendeln um am nächsten Tag weiter zu steigen.

Angst bei einer schlechten USA Eröffung nicht mehr herrauszukommen.
Habe meine in D auch alle Verkauft (15000). Hier kann man mit grossen Stückzahlen schön sitzen bleiben und bekommt sie nicht Verkauft bei einem Kursrutsch.

Nach diesem Kursanstieg ist es doch ganz normal wenn die Aktie nachgiebt.Immerhin hat sie doch in USA mit knapp 6% im Plus geschlossen.
Ich denke es geht nach einm leichten Rücksetzer weiter stark aufwärts.

Also stabil würde ich den Kurs auch nicht bezeichnen. Habe selten eine größere Volatilität gesehen.
Momentan pendelt der Kurs um den Schlußstand von vorgestern, nach dem fulminanten Anstieg. Ist doch nicht schlecht!

Habe so langsam das Gefühl das solange weiter abwärts geht bis wir positive Nachrichten vom Unternehmen hören werden.
Schade , denn eigentlich habe ich mit einer stabilisierung der Aktie bei 0,60 Dollar letzte Woche gerechnet jedoch muß einsehen das ich mich da geirrt habe.

Der Verkaufsdruck ist noch groß und komischerweise je weiter die Aktie momentan fällt je größer wird er.

Na dann bleibt wohl nur das abwarten ob sich das Unternehmen in der nächsten Zeit mit positiven NEWS zu Wort meldet.

Item 1.01 Entry into a Material Definitive Agreement.

1. Amendment to Increase and Extend Financing Commitment

On December 9, 2005 PRG-Schultz International, Inc. (the "Company") entered into an amendment to the financing commitment letter dated November 28, 2005 with Petrus Securities L.P. and Parkcentral Global Hub Limited (the "Petrus Entities") and Blum Strategic Partners II GmbH & Co. KG. and Blum Strategic Partners II, L.P. (the "Blum Entities") that (i) increased the principal amount of the loan commitment to PRG-Schultz USA, Inc., a subsidiary of the Company, from $8 million to $10 million, (ii) extended the commitment to December 15, 2005, and (iii) provided a pro-rata increase in the commitment fee payable to the lenders based on the $2 million increase in the commitment.

The Blum Entities are beneficial owners of the Company`s common stock and 4 3/4% Convertible Subordinated Notes due 2006 (the "Convertible Notes"), and they have the right to designate a member of the Company`s Board of Directors and to have an observer present at all Board meetings. The Petrus Entities are beneficial owners of the Company`s common stock and Convertible Notes. The Petrus entities and affiliated entities of the Blum Entities serve on the Ad Hoc Committee of holders of the Convertible Notes to consider strategic alternatives relating to the Company.

2. Amendment to CEO Employment Agreement.

On December 8, 2005, by consent action the independent members of the Board of Directors approved an amendment to the Employment Agreement of James B. McCurry dated July 25, 2005 (the "McCurry Employment Agreement"). Under the terms of the McCurry Employment Agreement before the December 8th amendment, Mr. McCurry is entitled to a severance payment if his employment is terminated by the Company without "Cause" or by Mr. McCurry for "Good Reason". His severance payment has two components, a percentage of his salary and a separate percentage of his annual bonus. The percentages of his salary and his bonus both increase with the term of Mr. McCurry`s employment, with the salary percentage reaching its maximum percentage after 16 months of employment (November 25, 2006) and the bonus percentage reaching its maximum percentage after December 31, 2005. After the December 8th amendment, if a "Change in Control" occurs and Mr. McCurry`s employment is terminated before November 25, 2006 either by the Company without "Cause" or by Mr. McCurry for "Good Reason", Mr. McCurry`s severance payment would be calculated using the maximum percentages for each of the two components. The capitalized terms in quotation marks used above have the meanings given such terms in the McCurry Employment Agreement. See the Company`s Report on Form 8-K filed with the Securities and Exchange Commission on July 25, 2005 for a copy of the McCurry Employment Agreement.

Mr. McCurry is the President and Chief Executive Officer and a director of the Company.

Der erste Wiederstand liegt bei 1,15 Euro! Da ist erstmal Platz!

Heute wird sich rausstellen wie groß der Kaufdruck weiterhin ist oder ob es gestern wieder nur eine Eintagsfliege bleibt.Der Kurs reagierte vor zwei Wochen auf positiven News und das selbe gestern.

Vor zwei Wochen ging der Kurs bis auf über 1 Dollar wo er allerdings nie geschlossen hat.Heute bis jetzt erst mal Gewinnmitnahmen weil viele vielleicht Zweifel haben warum es diesmal klappen sollte mit dem überwinden des Dollars.

Bleibt abzuwarten wie sich der Tag und der Rest der Woche entwickelt.

Na das war wohl nichts heute.Ich glaube das die Aktie ohne positive Unternehmensdaten oder Richtungsweisende Unternehmensnachrichten nicht weiter nach oben laufen wird.Das soll aber nicht heißen das nicht jeden Tag mit so einer Nachricht gerechnet werden kann und der Kurs daraufhin stark ansteigen wird.

Bin trotzdem zufrieden heute mit meinem Einsatz zu 0,79 Dollar ausgestigen zu sein um "nur noch" dem Gewinn laufen zu lassen was aber auch 10000 Aktien sind.

ITEM 1.01 ENTRY INTO MATERIAL DEFINITIVE AGREEMENT.
Amendment to Extend Financing Commitment

On December 15, 2005 PRG-Schultz International, Inc. (the "Company") entered into an amendment to the financing commitment letter dated November 28, 2005 with Petrus Securities L.P. and Parkcentral Global Hub Limited (the "Petrus Entities") and Blum Strategic Partners II GmbH & Co. KG. and Blum Strategic Partners II, L.P. (the "Blum Entities") that extended the commitment to December 19, 2005.

The Blum Entities are beneficial owners of the Company`s common stock and 4 3/4% Convertible Subordinated Notes due 2006 (the "Convertible Notes"), and they have the right to designate a member of the Company`s Board of Directors and to have an observer present at all Board meetings. The Petrus Entities are beneficial owners of the Company`s common stock and Convertible Notes. The Petrus entities and affiliated entities of the Blum Entities serve on the Ad Hoc Committee of holders of the Convertible Notes to consider strategic alternatives relating to the Company.





ITEM 3.01 NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD, TRANSFER OF LISTING.
On December 12, 2005, PRG-Schultz International (the "Company") received a notice from the Nasdaq Stock Market indicating that it is not in compliance with Nasdaq Marketplace Rule 4450(a)(5) (the "Minimum Bid Price Rule") because, for the last 30 consecutive business days, the bid price of the Company`s common stock has closed below the minimum $1.00 per share. In accordance with Nasdaq Marketplace Rule 4450(e)(2), the Company will be provided 180 calendar days, or until June 12, 2006, to regain compliance with the Minimum Bid Price Rule. This notification has no effect on the listing of the Company`s common stock at this time.

If at any time before June 12, 2006, the bid price of the Company`s common stock closes at $1.00 per share or more for a minimum of 10 consecutive business days, Nasdaq will notify the Company that it has achieved compliance with the Minimum Bid Price Rule. If the Company does not regain compliance with the Minimum Bid Price Rule by June 12, 2006, Nasdaq will notify the Company that its common stock will be delisted from the Nasdaq Stock Market.

In the event that the Company receives notice that its common stock is being delisted from the Nasdaq Stock Market, Nasdaq rules permit the Company to appeal any delisting determination by the Nasdaq staff to a Nasdaq Listings Qualifications Panel.

Entry into Material Agreement, Change in Directors or Principal Off


ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On December 15, 2005, the Compensation Committee of the Board of Directors of PRG-Schultz International, Inc. (the "Company") authorized the immediate vesting of all outstanding unvested time vesting options that have option prices that are out of the money as of such date (the "underwater" stock options). This action accelerated the vesting of 2,355,116 options of the 10,861,918 options outstanding as of November 30, 2005. The accelerated options have option prices that range from $3.16 per share to $17.25 per share and a weighted average option price per share of $4.97. The optionees whose options were accelerated included (among others) the non-executive Chairman of the Board, David Cole (150,000 options) and the following executive officers: James McCurry (500,000 options), James Moylan (375,000 options) and James Benjamin (75,000 options).

The Board`s decision to accelerate the vesting of these "underwater" stock options was made primarily to avoid recognizing compensation expense associated with these stock options in future financial statements upon the Company`s adoption of Statement of SFAS No. 123R, "Share Based Payment."

There are no previously unreported material relationships with any of the foregoing executive officers or directors of the Company.



ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On December 20, 2005, the Company`s principal accounting officer, Michael D. Picchi, resigned effective February 3, 2006 as Senior Vice President - Finance and Corporate Controller to accept a senior finance position with another company.

PRG-Schultz Reaches Agreement in Principle on Financial Restructuring

Company Closes on $10 million of Bridge Financing

ATLANTA--(BUSINESS WIRE)--Dec. 27, 2005--PRG-Schultz International, Inc. (Nasdaq: PRGX - News), today announced that it has reached an agreement in principle with the ad hoc committee of noteholders for the company`s 4.75% Convertible Subordinated Notes due 2006 (Notes) on the terms of a financial restructuring of the Notes. Investors owning approximately 52% of the Notes have agreed to support the proposed restructuring. In related developments, the company announced that it closed on its previously announced bridge financing with certain of the holders of the Notes and paid November interest on the Notes within the contractual grace period. The bridge financing is in the amount of $10 million, calls for monthly interest payments at the annual rate of 12%, and has an outside maturity date of August 15, 2006.

"We are on target with our plans to improve our capital structure," said James B. McCurry, PRG-Schultz`s President and Chief Executive Officer. "This agreement in principle for the restructuring of our public convertible notes, coupled with $10 million of bridge financing, demonstrate the support of our major lenders to the financial restructuring process."

Under the agreement in principle, the company will offer to exchange the $125 million of outstanding Notes for $50 million of new senior notes, $60 million of new senior convertible notes, and new series A convertible preferred stock having a liquidation preference of $15 million. In 2011 all the new notes will mature and any shares of the preferred stock remaining outstanding will be redeemed by the company.

* The new senior notes will bear interest at 11%, payable semiannually in cash, and are callable at 104% of face in year 1, 102% in year 2, and at par in years 3 through 5.
* The new senior convertible notes will bear interest at 10%, payable semiannually in cash or in kind, at the option of the company. The new senior convertible notes will be convertible at the option of the holders (and in certain circumstances, at the option of the company) into shares of new series B preferred stock having a 10% annual dividend and a liquidation preference equal to the principal amount of notes converted. Dividends on the new series B preferred stock may be paid in cash or in kind, at the option of the company. The new series B preferred stock will be convertible at the option of the holders into shares of common stock at the rate of $0.65 of liquidation preference per share of common stock.
* The new series A preferred stock will have a 9% dividend, payable in cash or in kind, at the option of the company. The new series A preferred stock will be convertible at the option of the holders into shares of common stock at the rate of $0.28405 of liquidation preference per share of common stock.
* The series A and series B preferred stock will vote with the company`s common stock on essentially all matters requiring shareholder votes. The company has the right to redeem the new senior convertible notes at par at any time after repayment of the new senior notes. The company also has the right to redeem the new series A and series B preferred stock at the stated liquidation preference at any time after repayment of the new senior notes and the new senior convertible notes.

Immediately after completion of the restructuring, existing common shareholders will own 54.1% of the equity of the company. If all the new senior convertible notes converted into series B preferred stock immediately on completion of the restructuring, existing common shareholders would own approximately 30% of the equity of the company (exclusive of any dilution for management incentive plans).

The company intends to accomplish the restructuring through an exchange offer for the Notes, which is currently scheduled to commence in mid-January, 2006. The company will be seeking a 99% minimum acceptance level of the Notes in the exchange offer. In addition, as a condition to the exchange offer, the company must refinance its senior secured bank debt and add a second lien facility to increase liquidity. The aggregate amount of first and second lien debt cannot exceed $47.5 million.

Jungs die 200000 Stück bei 0,80 Dollar sind weg.Das war wohl mal wieder eine Fake Order.

Und was Kursziele wie die 2 Dollar aus dem Amiboard angeht kann ich nur sagen lieber nicht übertreiben.Die Amis sind bei solchen Aktien genauso wie einige Deutsche bei Aktien aus Deutschland die unter 1 Euro stehen.
Es kommt eine NEWS und schon wird der Kurs übertrieben nach oben geredet.

Ein Schritt nach dem anderen ist OK. und die Erwartungen in Maßen halten.

Irgentwie ist mir das alles hier viel zu bullisch.
Wenn man sich die Kommentare im Yahoo.COM Board von PRGX mal durchliest stellt sich mir die Frage ob das nicht alles viel zu postiv ist und wir kurz nach der Eröffnung eine negative Überraschung erleben werden.

Bin zwar noch investiert habe aber einStop-Loss Limit in den USA gesetzt um nicht böse erwischt zu werden.
