da der letzte Thread schon als historisch markiert wurde, hab ich hiermit gleich mal einen neuen eröffnet

Im August 2008 stellte WCI Antrag auf Gläubigerschutz (Insolvenz nach Chapter 11) bei Zahlungsverbindlichkeiten von 1,8Mrd USD, nachdem die Gläubiger einer 125Mio USD Wandelanleihe nicht zugestimmt hatten und auf pünktliche Barauszahlung bestanden.
Mittlerweile steht der "Reorganization Plan" der Company und am 17.07.09 kam das "ok" vom Court zu diesem Chapter 11 - Plan.
Am 26. August 2009 soll die abschließende Bestätigung des Planes durch die Darlehensgeber ("lender") erfolgen - das prinzipielle Einverständnis der lender wurde bereits kommuniziert (News vom 17.07.09).
Hinzu kam nun, dass WCI bei mindestens 200 Objekten fehlerhafte und gesundheitsschädigende Trockenbauwände aus China verbaut hat. Sammelklage läuft hierzu. WCI hat bekanntgegeben, dass die Company in einem Trust 900.000,- USD hinterlegt hat, um den Geschädigten zu helfen.
Der Anwalt der Kläger zeigte sich sehr zufrieden mit dem Ergebnis "..wenn man bedenkt, dass WCI insolvent ist...".
Zu bemerken wäre noch, dass neben WCI noch andere Homebuilders vor diesbezüglichen Klagen stehen.
Sollte der Reorganization Plan endgültig abgesegnet werden, dürfte dies erstmal den Druck nehmen und der Aktienkurs dürfte sich m.M.n. "leicht" erholen. Bei aktuell ca. 42Mio o/s wird WCI mit einer Market Cap. von ca. 840.000,- USD bewertet. (Wer sich mit einer Fun-Position bedienen will, sollte dies natürlich in USA tun!)
Weiterhin dürfte sehr interessant sein, wie die Zahlen für das Q2 2009 ausgefallen sind, die wahrscheinlich bis Ende August erscheinen werden.
D.h. dieser Monat dürfte schon wegweisenden Charakter für die weitere Entwicklung von WCI haben.
Außerdem sieht der US-Häuser-Markt immernoch derart schlecht aus, null Optimismus, schlechte Meinungen und Einschätzungen sowie Stimmung am Boden - also eigentlich der beste Zeitpunkt hier mal ganz genau hinzuschauen und auf positive Überraschungen zu warten ;-)

Deals Reached With Senior Lender Groups, Unsecured Creditors Committee and Drywall Claimants; Confirmation Set for August 26
Bonita Springs, Florida - July 17, 2009 - WCI Communities, Inc. announced today that the Delaware Bankruptcy Court presiding over its chapter 11 cases has approved the adequacy of its Disclosure Statement for its Plan of Reorganization. At the hearing, it was announced that agreements on terms of the Plan had been reached with the steering committees for the Company’s senior secured term and revolving lenders, the WCI Official Committee of Unsecured Creditors and representatives of a group of homeowners claiming damages related to Chinese drywall.
The Court’s approval paves the way for WCI to begin soliciting votes to accept its Plan of Reorganization, which already enjoys the support of the steering committees for the Company’s secured term and revolving lenders and the Official Committee of Unsecured Creditors. It is anticipated that Plan materials and ballots will be mailed by July 24, 2009. The deadline for returning ballots is August 19, 2009, in accordance with instructions in the Bankruptcy Court’s order and on the ballots. A hearing to confirm the Plan is scheduled for August 26, 2009.
“We are very pleased to have cleared this important hurdle in our path toward exiting from chapter 11,” said David L. Fry, Interim President and Chief Executive Officer. “With the voting process about to begin, and with the firm support of our primary constituencies, WCI is squarely on track to emerge from chapter 11 as a deleveraged lifestyle community developer and land holding company with the flexibility to navigate its business during these unprecedented times and beyond.”
Under the Plan, it is anticipated that the Company’s senior secured lenders will receive new first lien debt in the aggregate amount of $450 million, which includes a $150 million payment-in-kind (PIK) component and an initial 95% equity stake in the reorganized company. The remaining 5% would be shared by the Company’s unsecured creditors. The unsecured creditors’ share would begin to increase when the new debt is
fully retired and would reach a maximum of 34% after the secured lenders have received payments that are equivalent to the amount currently owed to them (approximately $740 million).
The Plan also includes an agreement reached with the lead attorneys representing the Chinese drywall claimants. The terms of the agreement as described in the Plan provide for the creation of a Chinese Drywall Trust and allow the Chinese drywall claimants to pursue causes of action related to the manufacture and installation of defective imported drywall in their homes.
“Today marks an important step in WCI’s restructuring. The Company and its secured lenders and the Official Committee of Unsecured Creditors have been able to work together to maximize value under extremely challenging circumstances and to ensure that recoveries are allocated fairly among the Company’s stakeholders,” said Thomas Lauria of White & Case, WCI’s counsel in the Chapter 11 case. “This consensual resolution is a tribute to all involved, given that we had no agreement with any of our creditors when we commenced these cases just 11 months ago, and in light of the unprecedented events that have transpired since.”

Claims, die nicht bis gestern 19.08. 4pm eastern time eingegangen sind, werden nicht mehr berücksichtigt.

So, da ich gerade auf Dienstreise bin und gestern bis vor 4 Stunden kein Internet hatte, habe ich somit den gestrigen und gleichzeitig spannendsten Tag für WCI verpasst!
Gestern also der Anstieg von über 100% bei trotzdem recht verhaltenem Volumen, und heute gehts wieder runter. Hier der Grund:

Ich bin davon ausgegangen - und auch die Ami´s in Boards, dass dies nur bei Unternehmen unter Chapter 7 der Fall ist, aber offensichtlich ist dies auch bei WCI, obwohl unter Chapter 11, der Fall!
Die shares hab ich heute veräußert und bin mehr oder weniger mit +/-0 raus!
Allerdings wenn ich mir den heutigen Handel so ansehe, dann finde ich, sieht Verkaufspanik doch etwas anders aus, und meine Shares wurden ziemlich schnell veräußert. Also wo ein Verkäufer, da auch ein Käufer. Nur wer kauft mit dem Wissen, dass die shares ja eh verfallen Irgendwie ist mir das Ganze hier momentan echt zu undurchsichtig und damit auch zu heiß. Mich würde ein nochmaliger harter Anstieg allerdings auch nicht überraschen Also ich bin nun trotzdem raus!

Ich bin davon ausgegangen - und auch die Ami´s in Boards, dass dies nur bei Unternehmen unter Chapter 7 der Fall ist, aber offensichtlich ist dies auch bei WCI, obwohl unter Chapter 11, der Fall!
Die shares hab ich heute veräußert und bin mehr oder weniger mit +/-0 raus!
Allerdings wenn ich mir den heutigen Handel so ansehe, dann finde ich, sieht Verkaufspanik doch etwas anders aus, und meine Shares wurden ziemlich schnell veräußert. Also wo ein Verkäufer, da auch ein Käufer. Nur wer kauft mit dem Wissen, dass die shares ja eh verfallen Irgendwie ist mir das Ganze hier momentan echt zu undurchsichtig und damit auch zu heiß. Mich würde ein nochmaliger harter Anstieg allerdings auch nicht überraschen Also ich bin nun trotzdem raus!

Das war heute so weit..., zwischenzeitlich etwa 200% im Plus!!
Ich schaue mir dies trotzdem von der Seitenlinie an, da keiner wirklich weiß, was mit den Shares passiert. Die let´zte offizielle Meldung lautete, dass alle Shares gecancelled werden ohne recovery!
Entweder war das heute ein Zockerspielchen, oder da steckt mehr dahinter....
