Na jetzt ist es raus. Das Announcement ist nichtsagend und ohne SUbstanz. Das Markt in Australien Dankt dafuer und gibt auf 20 AUCent nach.

Interessant ist, dass das announcement exakt dem entspricht was Christoph Thaller angekuendigt hatte. Er muss also noch einen Insider im Unternehmen haben der ihn mit Infos versorgt.

Was denkt Ihr? War dieses Announcement den Laerm wert den ASC darum gemacht hat? Ist das das letzte Zucken eines sterbenden? Oder ist das als positiv zu sehen. Die bezahlen vorwiegend mit Aktien das bedeutet zwar dass unsere Anteile verwaessert werden aber der Barbestand nicht wesentlich angegriffen wird.

Sollte Christoph mit dem Cash-Flow positiv recht haben koennte das die Rettung des Unternehmens sein. Was denkt Ihr?

AdultShop.com Limited is pleased to advise that it has come to an agreement for the acquisition of a company operating in the on-line adult entertainment business.

The target company has been operating in the on-line adult entertainment business for more than 2 years. With recent expansion, the company currently has approximately 27,000 active paying members subscribing to online entertainment. The vendors have advised that, due to the recent expansion initiatives, the company is in a growth phase and the company`s turnover and earnings are expected to increase steadily.

AdultShop.com Limited has recently been developing a presence in the on-line adult entertainment business. This acquisition into an established, profitable on-line adult entertainment business would significantly expand the market share of AdultShop.com Limited in a growth industry. In addition to expanding our presence in this market, there are also substantial benefits to be reaped from synergies between the target company and the on-line retail business
of AdultShop.com Limited.

The purchase consideration for the target company is a total of $12 million, of which $11 million will be payable by the issue of 61,111,111 ordinary shares in the capital of AdultShop.com at 18 cents per share and $1 million will be cash payable in four equal consecutive monthly instalments of $250,000 commencing from the completion date of the acquisition. It is proposed that fifty per cent of the shares issued as part consideration for this acquisition are to be held in escrow for a period of 6 months from the date of their issue.

The parties are currently settling the detailed terms and conditions of a purchase contract and it is anticipated that a binding agreement will be executed within the next week. Completion of the acquisition will be subject to due diligence by AdultShop.com Limited and the Company obtaining all regulatory approvals, including shareholder
approval for the acquisition.

Das ist nicht gut! Normalerweise setzt die ASX nur bei massiven verstoessen der Regeln auf suspended! Das announcement war der ASX offensichtlich etwas zu duenn!

Hier die Begruendung der ASX warum AdultShop endgueltig suspendiert wurde und die Antwort des Unternehmens darauf.

Sieht echt nicht gut aus. Ich denke Malcolm hat hier eine grosse Chance verbockt!

Oder aber die naechsten Quartalszahlen sind so schlecht, dass man durch eine Aussetzung sagen wir von 6 - 8 Wochen ein weiteres Abfallen des Kurses verhindert. Das waere ein strategisch kluger Schachzug. Die Boerse erinnert sich in 6 - 8 Wochen nicht mehr an die Deatails???

So gefällt mir der Eric schon besser. Negativ aber nicht emotionell. Keiner wird persönlich angegriffen oder beleidigt. Wie lange das wohl anhält? Ausserdem scheint er jetzt nur noch einen Nick zu verwenden.

Das mit der Suspension durch die ASX ist allerdings sch....! Ich denke wir werden hier gewaltig verarscht!

Ich habe mal schnell nachgerechnet:

Shares on issue ca 250.000.000
zusaetlich fuer den angekuendigten Deal 61.111.111

macht rund 310.000.000 Aktien

Das bedeutet, dass der neue Shareholder rund 25% Anteile erhaelt. Die anderen Shares und damit auch Malcolms werden verwaessert.

Das bedeutet auch, dass der neue Shareholder mehr hat als Malcolm oder Rod Smith alelrdings nicht mehr als die beiden zusemmen.

Also mir gefaellt das nicht. Was denkt Ihr darueber?

Die Frage ist, ob die Aktionäre der geplanten Übernahme zustimmen (notwendig wg. Kapitalerhöhung) und was der neue Großaktionär mit den Aktien machen will. Für 50% der neuen 61 Mio. Aktien soll es eine Lock-Up-Frist von 6 Monaten geben (held in escrow = treuhänderisch verwahrt).

Von Verwässerung kann man ja wohl kaum sprechen, da ja für die 61 mio Anteile ein profitables Geschäft eingegliedert wird - für jeden Aktionär siehts also besser aus als vorher!
