Enron India Pwr Unit To Attend Lenders Mtg In Singapore

SINGAPORE -(Dow Jones)- Enron Corp.`s (ENE) Indian unit, Dabhol Power Co., said Tuesday it will attend talks in Singapore this week involving foreign and domestic creditors to its troubled power project in the western Indian state of Maharashtra.
Two consortia representing DPC`s foreign and domestic lenders will meet Thursday and Friday to assess the future of DPC`s 2,184-megawatt power project, Indian banking sources said Tuesday.

"We confirm being invited to the lender meetings scheduled for Singapore this week which we will attend," said DPC`s Director of Corporate Communications Jimmy Mogal.

Earlier Tuesday, it was unclear whether DPC would be represented at the talks.

Leute schaut doch einfach mal ab und zu in www.nasdaq.com unter ene "company news" rein. Dort werden zur Zeit laufend neue Meldungen eingestellt. Zur Zeit ist es halt der asiatische Sektor von Enron. Manche News wiederholen sich aber so manche sind auch im Detail neu. Es scheint auf jedenfall so zu sein als ob dort so Einiges am Kochen ist und jeder irgendwie etwas von dem Kuchen abhaben will.
Enron scheint ja in einigen interessanten Projekten dabei zu sein bzw. teilweise auch mit 65-75% der Hauptanteilseigner an den Projekten zu sein.
Enron hat nur das Problem, daß die Anteile wahrscheindlich weit unter dem Wert verkauft werden müssen den diese Projekte wirklich haben. Gerade das wollen anscheinend jetzt die "Geier" ausnutzen, denn diese kreisen schon sein Tagen.
Die Frage wäre natürlich hierbei was die Banken machen. Sehen sie zu wie die Perlen vor die Säue geschmissen werden oder tun sie was... und wenn sie was tun wollen werden sie es wohl bald machen müssen um so die eine oder andere Mrd.$ mehr rausholen zu können.

Tja es bleibt auf jedenfall spannend und ich bin nach wie vor der Meinung, daß Enron (wenn auch in Stücken) wesentlich mehr wert ist als dies der derzeitige Aktienkurs wiederspiegelt. (Aktienkurs x xx-fach !)
Genau das wissen sehr viele "Große" auch unter Anderem auch die Banken.

Mein Ziel bleibt bei mindestens 3$ und das ist Enron auch wert denke ich... vielleicht auch noch mehr.

Enron Japan units file for bankruptcy in Tokyo
TOKYO, Dec 11 (Reuters) - Enron Japan Corp said on Tuesday that it and three other Japanese affiliates of U.S. energy giant Enron Corp (NYSE:ENE - news) had filed for bankruptcy in accordance with Japanese bankruptcy law.

Enron Japan, Enron Japan Marketing Corp, Enron Japan Funding Corp and E Power Corp filed for bankruptcy on Monday in Tokyo after the parent company filed for Chapter 11 bankruptcy in the United States, Enron Japan said in a statement.

The statement did not offer other details, including the value of the companies` debts, and Enron Japan officials could not be reached for comment.

The parent company filed for Chapter 11 bankruptcy on December 2 burdened with debts of at least $16 billion.

Enron Japan, wholly owned by Enron Corp, said earlier this month it had not made a decision on the future of operations in Japan.

Enron has been studying the possibility of building large-scale power plants in Japan, taking advantage of industry deregulation now taking place

kleine Zuammenfassung: UBS Warburg, Citigroup und J.P. Morgen bereiten unhabhängig voneinander ein Übernahmeangebot vor. Mit einem Angebot ist frühestens in ein paar Wochen zu rechnen, da man sich in einem sehr frühen Stadium befinde.Es geht um gemeinsame Handelsaktivitäten im Bereich internetbasierte Handelssysteme für Energie und Metalle, das als hochprofitabel gilt!!!
Meine Meinug: Ein paar Wochen heist so viel wie, ich lasse mir nicht in die Karten schauen und versuche der Konkurrenz einen Schritt voraus zu sein. Tokio (vwd) - Die Enron Japan Corp, eine hundertprozentige Tochter der insolventen Enron Corp, Houston, hat am Montag Insolvenz angemeldet. Wie Enron Japan am Dienstag mitteilte, betrifft der Insolvenzantrag nach dem japanischen Konkursrecht auch die drei angeschlossenen Unternehmen Enron Japan Marketing Corp, Enron Japan Funding Corp und E Power Corp. Die Muttergesellschaft Enron Corp hatte am 2. Dezember Gläubigerschutz nach Chapter 11 des US-Insolvenzrechts beantragt.

Nearly 600 Enron Employees Got More Than $100 Million in Bonuses Last Month As Company Went Bankrupt

HOUSTON (AP) -- Nearly 600 Enron Corp. (NYSE:ENE - news) employees deemed critical to running its prized energy trading business received more than $100 million in bonuses last month as the company faced a merger and then bankruptcy.


While those payments may appear unseemly, they`re legal and common, said Todd Zywicki, a law professor and bankruptcy expert at George Mason University.

About half of those bonuses, given to 75 traders in early November when Enron was planning to merge with smaller rival Dynegy Inc. (NYSEYN - news), may have to be repaid because the merger collapsed, Zywicki said.

``It`s conceivable that there could be some way of recovering those bonuses since the merger didn`t consummate,`` Zywicki said. ``It would be a judgment call whether to pursue it. It has at least the smell of fraudulent conveyance.``

Enron spokesman Mark Palmer said the $50 million given to traders before the merger crumbled ``was done in discussions with Dynegy to protect and preserve the value of the trading organization through what we thought was going to be a fairly long merger process.``

Dynegy spokeswoman Debbie Fiorito said Monday that Dynegy didn`t approve or endorse those bonuses. ``The onus was on Enron to find a way to basically retain the people they needed to keep their business viable until the merger closed,`` she said.

Enron distributed an additional $55 million to 500 employees two days before filing for bankruptcy protection as an incentive for them to remain with the company while Enron works to emerge from Chapter 11.

Enron filed one of the largest bankruptcies in history in the Southern District of New York on Dec. 2, five days after Dynegy walked away from a $8.4 billion buyout that was announced Nov. 9.

Enron also sued Dynegy for $10 billion in New York, claiming its rival illegally abandoned the merger and forced what was once the world`s largest buyer and seller of natural gas into bankruptcy. Enron`s lawsuit aims to ensure it keeps a prized pipeline that Dynegy plans to acquire in return for a $1.5 billion investment in Enron.

Dynegy countersued in state District Court in Houston on Dec. 3, claiming it has a right to the pipeline in return for its investment and that it properly invoked an escape clause in the merger agreement because Enron didn`t fully disclose how dire its financial situation was.

Enron laid off about 4,000 of the 7,500 employees at its Houston headquarters the day after filing for bankruptcy with a promise that each would receive a $4,500 severance payment.

Zywicki said bankruptcy judges generally approve of retention bonuses because talented workers may jump from what they perceive to be a sinking ship.

``What`s unseemly about it is that if everybody has so much confidence that the company can reorganize, why do you have to bribe key employees to stay there? And why take money out of creditors` pockets to do it? Those are the key questions,`` he said.

Palmer said the payments also were intended to retain employees crucial to the trading business.

Shares of Enron closed at 79 cents, up 4 cents or 5.3 percent, on the New York Stock Exchange on Monday.

Just months ago Enron was the country`s seventh-largest company in terms of reported revenue. But investors and traders scattered after the company in October revealed questionable partnerships that helped keep billions of dollars in debt off its books and Enron acknowledged it overstated profits for four years.

The speedy collapse has launched investigations by the Securities and Exchange Commission, Labor Department, Justice Department and the House Energy and Commerce Committee.

U.S. Rep. Billy Tauzin, the Louisiana Republican who chairs the committee, has asked SEC Chairman Harvey Pitt to divulge its reviews and records of Enron`s accounting practices since 1997.

The swift and stunning collapse of Enron Corp. will
be in the congressional spotlight this week as hearings begin on the fallout
from the biggest corporate bankruptcy in U.S. history.

Wednesday, the House Financial Services Committee plans to pepper Enron chief
executive Kenneth Lay with questions at the first of many hearings planned on
Capitol Hill.

The committee will try "to get to the bottom of the current situation and to
ensure this doesn`t happen again," said Chairman Michael Oxley, R-Ohio.

But whether Congress ultimately will do anything to prevent another Enron-size
collapse or to curb the financial maneuvers that lay behind it is a matter of
debate.

"Congress is not going to do anything about this," said Alan Bromberg, a
securities law professor at Southern Methodist University in Dallas. "They will
stir up a furor over it and make some accusations."

But ultimately, he said, lawmakers will not be able to design legislation
detailed enough to head off all disasters in extremely complicated industries
such as the unregulated power trading business that Enron dominated.

The size of the Enron debacle is unprecedented.

As the stock plunged to pennies a share, it vaporized the retirement funds of
the company`s 21,000 employees and legions of other investors, including
numerous mutual funds. Enron`s fall has rattled the energy trading market and
left creditors worldwide on the hook for huge amounts.

Even if the task of preventing future Enron-like disasters is daunting, Congress
appears eager to explore the issues.

Several committees have announced plans for hearings.

The House Financial Services Committee has asked not only Lay to testify, but
also Joe Berardino, chief executive of Andersen (formerly known as Arthur
Andersen), Enron`s accounting firm, and Harvey Pitt, chairman of the Securities
and Exchange Commission, which is conducting an investigation into Enron.

Rep. Billy Tauzin, R-La., chairman of the House Energy and Commerce Committee,
last week sent investigators to Houston to meet with Enron executives, SEC
officials and Enron`s accountants at Andersen. Next month, he will hold hearings
into Enron`s accounting practices and how the company`s problems will affect
electricity and natural gas markets.

"We intend to be very aggressive," Tauzin said.

"We will try our best to ferret out what caused this and whether or not we have
some responsibility in terms of legislation" to ensure it doesn`t happen again.

Tauzin said the complexity of Enron`s business dealings is the only thing
delaying his hearings until January.

The Senate Energy Committee also is preparing for hearings early next year.

The topics Congress intends to explore include:

-- Whether to toughen requirements for how companies are audited and what
information must be disclosed to investors. Andersen approved Enron`s financial
statements, even though it was later revealed that its profits were overstated
and huge amounts of debt were hidden.

"Do we need better disclosure or accounting standards that give investors the
real picture?" asked Rep.

Richard Baker, R-La., who sits on the Financial Services Committee.

There may not be a legislative answer on this issue. But Congress could use the
hearings to urge the accounting profession to adopt stricter rules, a tactic it
applied earlier this year with Wall Street analysts, who quickly adopted new
ethics standards.

-- Whether to change rules on stock purchases for pension funds and 401(k)
plans.

Jay Westbrook, a law professor specializing in bankruptcy at the University of
Texas, said pension-fund reform might be the one aspect of the Enron case that
most lends itself to a legislative solution.

As is common at many companies, Enron made its matching contribution to employee
funds only in stock. And the company essentially froze employees` ability to
sell their shares days after the first revelations of its tenuous financial
condition.

"An awful lot of people are extremely upset that the Enron employees were
trapped into having only Enron stock" in their retirement plans, Westbrook said.
"They not only lost their jobs, but their pension funds as well."

Westbrook said the Enron case also has the potential to lead to new laws
involving so-called hedge funds. He noted that the only other corporate
catastrophe approaching the magnitude of Enron was the 1998 case involving
Long-Term Capital Management, a speculative investment fund whose near-collapse
shook the financial markets.

Like Enron, that company was involved in extremely complex financial
transactions that hedged risks in trading deals. Because the Federal Reserve
Board stepped in and cleaned up much of the mess, a financial meltdown was
averted.

"It wasn`t a disaster. We got through it, Westbrook said. "So no one did
anything" in Congress. Similarly, "if we get through this (Enron collapse)
without it being a disaster, no one will do anything."

Additionally, Westbrook said Enron`s political clout will help it forestall
regulation. Lay is one of President Bush`s biggest contributors. And Enron has
donated to the campaigns of 71 sitting senators and 43 percent of House members,
according to the Center for Responsive Politics.

"The people involved in this business are very well-connected folks, and they
don`t want to be regulated, he said.

-- Whether the federal government should rein in energy trading, the unregulated
market that Enron dominated.

This may be the least likely target because of the size and complexity of the
business and the tendencies by leading Republicans not to tamper with free
markets.

Whether Congress will initiate legislation specifically growing out of the Enron
case remains to be seen. But eventually, lawmakers may decide to tackle the
broader issue of deregulation, predicted Jeff Eisenach, president of the
Progress & Freedom Foundation, a Washington think tank that was founded by
former Republican Seaker of the House Newt Gingrich.

"I think that Congress and federal agencies are going to find themselves needing
to take a look at their whole theory of deregulation," he said.

Eisenach said several messy meltdowns have demonstrated serious flaws in the
deregulation of several industries, especially electricity and
telecommunications.

In California, for example, electric power deregulation turned into a debacle
that led to price increases and accusations of price-gouging by providers and
traders -- including Enron.

Eisenach thinks those failures resulted from deregulation efforts that did not
go far enough, and instead preserved some of the worst aspects of regulation.

"This middle ground is a no-man`s-land between a regulated world and a
deregulated world," he said. "It has now shown itself to be a pretty
uninhabitable place."

Congress has been reluctant to reopen deregulation issues.

"But Enron may be the straw that breaks the camel`s back in terms of getting
people to focus on a new approach to deregulation," Eisenach said.

Philippines Aims To Buy Out Enron Pwr Pacts By End 1st Quarter `02

SINGAPORE -(Dow Jones)- The Philippine state agency Power Sector Assets and Liabilities Management Corp., or Psalm, which is leading negotiations to buy out Enron Corp.`s (ENE) power contracts, aims to complete the deal by the end of the first quarter of 2002.
"March 2002, this isn`t our deadline," a Philippine Department of Energy official told Dow Jones Newswires late Wednesday. "It`s just our target date...we hope to have the transfer completed then."

The official said Psalm has been in talks with Enron for more than two months over the troubled U.S. energy giant`s plans to pull out of the country`s power projects.

The Philippine government isn`t under pressure to complete the buyout of Enron`s power contracts ahead of its plans to privatize state-owned National Power Corp. (Q.NAP), or Napocor, power generation assets in 2002, the official said.

Psalm can continue negotiating with Enron during Napocor`s privatization, the official added.

Enron`s operations in the Philippines include two oil-fired plants - the 110- megawatt Batangas plant and the 116-MW plant in Subic Bay - which the company runs under build-operate-transfer contracts with Napocor.

Under the terms of its power contracts with Napocor for the Batangas and Subic Bay power plants, if one party seeks to pull out of the contract ahead of the expiry date, both parties will negotiate the cost of exiting the contract prematurely.

COMTEX) -- Florida soon will add its name to the growing list of states suing
fallen energy giant Enron, officials with the state Board of Administration said
Tuesday.

"The decision has been made," said Lee Baldwin, a board spokeswoman.

At one time, Florida`s $94 billion pension plan owned 9.7 million shares of
Enron`s stock. But after the Houston-based power trader disclosed it had
inflated its profits by half a billion dollars and filed for bankruptcy, the
stock value dropped like a stone, and the state fund lost hundreds of millions
of dollars.

Tom Herndon, the board`s executive director, was in meetings all day and
couldn`t be reached for comment. But Baldwin said Herndon and other key staff
made the decision after consulting with the board`s trustees -- Gov. Jeb Bush,
Comptroller Bob Milligan and Treasurer Tom Gallagher.

"The purpose of the lawsuit is to try to recoup some of the losses," Baldwin
said, adding that a formal vote of the trustees is not required to file suit.

Bush couldn`t be reached for comment on the board`s decision late Tuesday but
said earlier in the day that the fund is not in danger.

"The pension fund has been well-managed over time, and there`s no cause for
concern for people," said Bush following a morning memorial for Sept. 11
victims.

Karen Denne, a spokeswoman for Enron, declined to comment on the board`s
decision Tuesday.

The board likely will not file suit until it retains an outside law firm to
handle the case, Baldwin said. She added that the state currently plans to file
suit by itself, but officials are still discussing whether to join a potential
class-action lawsuit with other states, which would be filed Dec. 21.

"It`s not a lighthearted decision to make," she said. "We`re looking at
everything."

Herndon is scheduled to give an update on Enron`s collapse during next Tuesday`s
meeting of the Florida Cabinet, although the potential lawsuit is not currently
a topic of discussion, Baldwin said.

The state`s pension fund covers 650,000 state and local government employees.

Fund managers purchased most of the state`s Enron stock in the last 18 months,
when the stock was selling for between $20 and $84.88 per share, Baldwin said.

But in October, company officials admitted that they had inflated their reported
profits by $586 million since 1997, launching Congressional and regulatory
probes. When a deal to sell the company to competitor Dynegy Inc. fell through
last month, Enron`s fate was sealed, and the company filed for Chapter 11
bankruptcy.

As a result, the company`s stock -- considered a good investment for pension
plans across the country during Enron`s rise -- fell to a low of 25 cents per
share. It was selling for 72 cents a share on Tuesday.

Baldwin said the state has sold all of its Enron stock but didn`t have a firm
estimate for how much value the fund lost other than "a couple hundred million
dollars."

Still, she noted that the stock made up less than 1 percent of the overall fund.

Floridas Pensionsfonds will Enron verklagen

New York (vwd) - Der staatliche Pensionsfonds Floridas, Florida Retirement System, will gegen die Enron Corp, Houston, vor Gericht ziehen. Man werde die Klage rechtzeitig vor Ablauf der Klagefrist am 21. Dezember einreichen, sagte eine Sprecherin des Pensionsfonds am Dienstagabend. In dem 96 Mrd USD schweren Pensionsfonds befinden sich auch 9,6 Mio Enron-Aktien, die offenbar in den vergangenen 18 Monaten gekauft worden waren. Als Folge des Zusammenbruchs von Enron drohen nun dreistellige Millionenverluste.



Einige ebenfalls betroffene private und staatliche US-Pensionsfonds, wie etwa der New York State Common Retirement Fund, erwägen offenbar ebenfalls rechtliche Schritte gegen den US-Energiehändler, der am 2. Dezember Gläubigerschutz nach Chapter 11 des US-Insolvenzrechts beantragt hatte.

Calpine Stock Takes Another Drubbing Due to News Story

COMTEX) -- Investors pummeled Calpine`s stock for a second day as the San Jose
power generator continued to feel the fallout of a critical news story.

On Sunday, the New York Times published a story that suggested Calpine is
looking like Enron, the energy trading giant that filed for bankruptcy. Since
the story appeared, Calpine`s stock has fallen 27 percent, including 13 percent
Tuesday. And it seems any response from Calpine executives only makes things
worse.

The New York Times story ran under the headline "After Enron`s Failure, Should
Calpine Investors Worry?" In short, the story said the answer was "Yes."

"But, in some ways, Calpine is looking more like Enron by the day. Its status as
a high-growth company, generating the 30 percent annual earnings growth that
Wall Street expects, looks increasingly doubtful, and it, too, has financial
statements that are, at times, opaque," the Times wrote.

Calpine primarily makes its money by building power plants and then selling the
power. The Times article said Calpine was becoming increasingly dependent on
profits from trading its own generation, depended on Enron for 23 percent of its
revenue, and was unlikely to continue increasing its earnings by 30 percent
annually.

On Monday, when the stock markets opened, Calpine`s stock began to slide on its
way to dropping 17 percent for the day. So the company held a conference call to
refute the story during which Calpine Chief Executive Peter Cartwright called
the Times article "ridiculous."

However, the company didn`t take questions during the call, which seemed to
aggravate critics.

"Perhaps tellingly, Calpine didn`t take questions on its conference call," Steve
Eavis, a senior columnist for TheStreet.com wrote after the Monday call. "Until
the company answers its critics, stay well away from this stock."

So Calpine heeded that advice Tuesday and held a three-hour conference call with
analysts where it offered to answer any lingering questions. Officially, the
call was scheduled to announce that Calpine would meet with California officials
later this week to discuss a possible restructuring of long-term electricity
contracts.

"Calpine is obviously one of the principal energy suppliers," said Gov. Gray
Davis. "They are a good company. They have treated us fairly and we are actively
pursuing discussions with them to try and reduce the state`s costs."

Neither Calpine nor Davis would divulge the details of the discussions or how
such contracts might be restructured.

But for the bulk of the call, analysts questioned executives about details of
the company`s earnings statements, balance sheet and accounting methods.

By the time the call was over, Calpine`s stock was sinking once again.

Übergabe von 2,1 Mrd USD in bar und in anderen
Vermögenswerten zu zwingen. Wie das "Wall Street Journal"
(WSJ) in seiner Mittwochausgabe berichtet, veranschaulicht die
Doppelrolle von J.P. Morgan Chase als Verfechter der
Gläubigerinteressen und als Finanzierungspartner nach dem
Konkurs die Verworrenheit des Enron-Falles. J.P. Morgan Chase
führt ein Konsortium an, welches 1,5 Mrd USD zur Finanzierung
der Weiterführung und Umstrukturierung von Enron bereitstellt.

Darüber hinaus gehöre J.P. Morgan Chase zu den drei Banken,
die mit Enron die Gründung eines Joint Ventures zur Fortführung
des Energiehandels-Geschäfts erwägen. Vertreter von J.P.
Morgan Chase und Enron verwiesen darauf, die Einreichung beim
Konkursrichter durch die Bank sei formaler Natur und sei kein
Hinweis auf einen Bruch zwischen den Unternehmen, schreibt
das WSJ.

Der Einreichung zufolge habe Enron ihre zahlreichen
Tochtergesellschaften dazu genutzt, Schulden und
Vermögenswerte nicht in den eigenen Büchern erscheinen zu
lassen, schreibt die Zeitung. Enron habe den
Tochtergesellschaften zu Krediten von J.P. Morgan Chase und
anderen Banken verholfen, damit diese Forderungen von Enron
erwerben konnten. Enron habe es versäumt, diese
Vermögenswerte zu übergeben oder die Gläubiger über die
Zusammensetzung ihrer Assets zu informieren, laute der Vorwurf
der J.P. Morgan Chase. Vor zehn Tagen hatte der Energiehändler
Gläubigerschutz nach Chapter 11 des US-Konkursrechts
beantragt und damit den Schutz vor dem Zugriff seiner
Geldgeber erlangt.
