Wer weiß, ob Lukoil Vz. eine Dividende
bezahlen? In 1997 gab es für 1996 noch
4,56 DM.

      An alle Lukoil Aktionäre!

      Hallo prior.no,

As was announced before, the General Shareholders Meeting of LUKOIL held on June 29, 1999 has adopted a decision to pay the dividends in accordance with the financial results of the year 1998 as follows: 0.25 ruble on one common share and 2.67 rubles on one preferred share.

LUKOIL has taken steps forward in consolidation of subsidiaries of the KomiTEK holding, which was bought by Lukoil last year. A shareholders meeting of Komineft, the main operating subsidiary, voted for an all-Lukoil board of directors, and Leonid Fedun, the Lukoil securities chief, said that his company now owns 76% of Komineft, implying that Dart stakes have been bought out. In another development, Lukoil has succeeded in buying the 50% British Gas stake in KomiArcticOil for $28m. KomiArcticOIl is the best of KomiTEK`s joint ventures, with one million tonnes extraction last year. British Gas forced Lukoil to pay more than it wanted by threatening to sell to a Canadian-Finnish company, Bitech Petroleum. Overall oil extraction in the Komi Republic in 1999 was 7.3 million tonnes, down 5.5% from 1998.

LUKOIL boosted net profits per share from 2 cents in 1998 to $1.63 in 1999 according to preliminary RAS results for 1999. Sales were up 19% to $10bn and pre-tax profit improved by 800% to $1.3bn. Leonid Fedun, the Lukoil finance chief, said pre-tax profit in 2000 is expected to be $1.5-1.7bn based on an exchange rate of R32 to the dollar. In an interview Fedun said that the company will carry out an IPO with Level-3 ADRs in London or New York at the end of 2000 or start of 2001. The shares will come from the residual government stake in Lukoil. Fedun said that the company will release international accounts for 1995-1999 by June this year, clearing the way for the IPO

LUKOIL will announce at its forthcoming AGM the percentage of
annual profits to be paid as dividends in future years. In a separate
development, the oil company has run into trouble in its campaign
to establish full control over Komineft subsidiaries following
acquisition of the oil company last year. Bitech Petroleum of
Canada, in alliance with Fortum, had agreed to buy the 50% British
Gas stake in KomiArcticOil, the best Komineft joint venture, before
Lukoil began its acquisition. Lukoil then made Komineft exert its
lawful priority right to buy the stake, depriving Bitech. The
Canadian company is now asking the EBRD to demand immediate
payment of a $40m loan, made to the JV on security of that same
stake. The Bitech argument is that Lukoil is an unreliable borrower
since it still lacks IAS accounts. Meanwhile, Lukoil is on good terms
the Russian government, which has raised the company`s Q1 export
quota by 550,000 tonnes to reward early tax payment by Lukoil and
      its subsidiaries.

Lukoil announced that it will pay $28m to obtain 50% in KomiArcticOil from British Gas, turning it from a KomTEK joint venture into a KomiTEK (Lukoil) subsidiary.

Russian oil giant LUKoil will be ready this summer to issue American Depository Receipts (ADRs) on a portion of the shares currently held by the Russian Federal Property Fund, Interfax reported.

All the required audit reports will be prepared by that time, company Vice President Leonid Fedun said.

LUKoil is currently working jointly with the government on the program for issuing the securities. "We would like to implement this program by the end of the year," he said.

Earlier Igor Shuvalov, chairman of the Russian Federal Property Fund, said work on issuance of derivatives backed by 4-7 percent of LUKoil shares would begin in the near future

LUKOIL gave a presentation in the northern oil town of Usinsk this week, where the company made clear that it wants a monopoly in the promising Timano-Pechora oil province in North European Russia. Lukoil has committed to raising production in the region to 27.3 million tonnes a year, which is nearly 10% of Russia`s total current annual oil production. Timano-Pechora currently produces 11.5 million tonnes per year. It was also announced that Komineft, controlled by Lukoil since last year, has bought out 90% of the 50% British Gas stake in key Komineft joint venture, KomiArcticOil. Lukoil chairman, Vagit Alekperov, was dismissive of remarks by Yury Spiridonov, governor of the Komi republic, which covers much of the oil province. Spiridonov said that rights to some local fields could be given to other companies, to which Alekperov responded: "When there are two wives in a family, it is not competition, it is a whorehouse."

LUKOIL is the most likely candidate to buy the Norsi oil refinery, near Nizhny Novgorod, after the Federal Bankruptcy Agency announced that it will launch bankruptcy proceedings to recover debts of R873m to the federal budget (the refinery owes a total R930m). Norsi Oil, the company which owns the refinery, has said it would welcome a takeover by Lukoil, which accounted for 72% of crude supplies to the refinery last year. Auction conditions will likely include a guaranteed minimum 6 million tonnes of crude supplies per year.
Vagit Alekperov, the president of Lukoil, announced that his company will take part in auctions for share stakes in the state oil companies, Rosneft, Slavneft and Onako. He also said that Lukoil will press on with its attempt to persuade Rosneft to sell its stake in Arkhangelskgeoldobycha, which is one of the last oil companies in the Komi region, which are not yet under full Lukoil control. However, Lukoil is having trouble gaining control of the medium-sized oil company, Northern Oil, which is based in Komi, and has also been unable to prevent the republican authorities from setting up a new company, the Komi Oil Company (KNK), which expects to extract 2 million tonnes per year in the south of the republic starting from 2002.
The EBRD will lend Lukoil $150m under an agreement signed on May 15. The Bank said that it may relax the loan conditions when Lukoil completes IAS auditing for 1999.

LUKOIL is advising its AGM (due on June 8) to approve issue of 35
million common shares. The shares, equal to 4.29% of charter
capital, will be exchanged for shares in newly acquired subsidiaries
in the Komi republic and also for placement on foreign markets.

LUKOIL has signed an agreement with Mazeiku Nafta, the Lithuanian
refinery, which is the biggest in the Baltic states, guaranteeing
annual crude supplies of 6 million tonnes. Oil products from the
Lukoil crude will be sold through a joint venture between the two
companies. The agreement puts an end to acrimony between Lukoil
and Mazeiku after the Lithuanian government last year sold a 33%
stake in the refinery to a US company instead of offering it to
      Lukoil.

LUKOIL shareholders at the company`s AGM voted in favour of a charter amendment, which makes CEO Vagit Alekperov almost irremovable. The right of dismissing the company CEO is transferred from the board of directors to the shareholders, and 75% of total shareholder votes must be cast in favour of dismissal. Lukoil itself controls more than 25% of voting shares. The state holds 16% of voting shares. The AGM elected company representatives to 9 out of 11 board seats, with state representatives taking the remaining 2 seats. It was also announced at the meeting that BP Amoco, which owns over 7% of Lukoil will likely propose one representative to the board next year with the support of the Russian company. The Lukoil board and management promised that the portion of net profit paid out in dividends will be increased to 15-20% in the period from 2001 to 2005 and will reach 35-40% in 2010. Managers are setting a target of 30% of total Russian oil production by 2010. The company will invest $600-800m a year in development of new reserves, concentrating on Timan-Pechora, the Caspian and Iraq. Another target is to grow the company`s business range, with an expansion into petrochemicals, natural gas, transportation and services, which should together represent 15% of consolidated profits by 2010

LUKOIL stock will be offered to international investors in ADR form on the NYSE in October-December this year, according to a plan presented to the Russian government by Morgan Stanley and Credit Suisse. Up to 5% of stock will be placed.

The State Property Ministry has formulated its proposals (traditionally accepted by government) for sale of stakes in the state oil companies, Slavneft and Onako, due later this year. A 19.68% stake in Slavneft will be sold via a so-called specialised auction, in which the shares can be split into several lots for several buyers. This will encourage a generous offer from TNK, which has already accumulated 12.5% of Slavneft and needs a further 12.5% for a blocking stake (TNK`s offensive is bitterly opposed by current Slavneft managers). An 85% stake in Onako will be sold in one lot at an auction with investment conditions. It is likely that the auction will be won by a joint bid from Lukoil and Yukos. Meanwhile Lukoil, Yukos and Gazprom have agreed to register a joint company, the Caspian Oil Company (KNK), for exploration and development of fields in the Russian sector of the Caspian Sea

Lukoil stake to be sold for $600m
Interfax reported on July 20 that the Russian government intends to sell 4.5% of Lukoil in the form of American Depositary
Receipts on the New York Stock Exchange this fall and expects to raise some $600-$650m. ADR placement at NYSE will
also help to "raise the financial rating not only of the company, but of Russia as a whole," state property minister Farit Ga-zizullin
was quoted as saying. Earlier this year, the government said that Morgan Stanley Dean Witter & Co. (MWD) and
Credit Suisse First Boston Corp. (CSFB) would advise it on the Lukoil sale. Based on the current price of $54 per Lukoil
ADR, the government predicts market growth of 10-30% this fall.

Lukoil increases its influence in Russia™s future oil Klondike
Lukoil has acquired a 20% stake at Kharyaga - a key Timano-Pechora field – as well as a block in another field in the oil
province via a subsidiary. Lukoil’s ambitions to dominate Timano-Pechora could also be moved forward by participation
in the Timano-Pechora Company, which is dominated by foreign majors.
Lukoil this week made a further move in its campaign to
dominate the promising Timano-Pechora oil province in the
north of Russia. The company has announced acquisition of
a 20% stake in the Kharyaga oil field, which is being devel-oped
under PSA terms in the Nenetsk autonomous region.
The field has total proven reserves of 1168 barrels, of
which 708 million are inside the contract zone. According
to a press release by TotalFinaElf of France, which is the
project operator, Lukoil has purchased two 10% stakes,
one from the French company and the other from Norsk
Hydro of Norway. Lukoil spokesman, Igor Beketov declined
to name the purchase price, saying the deal has yet to re-ceive
approval from federal and regional governments, but
earlier reports put the price tag at $20m. After re-concession
the distribution of stakes in the field is as fol-lows:
      TotalFinaElf – 40%, Norsk Hydro – 30%, Lukoil –
      20%, Nenetsk Oil Company – 10%.
Meanwhile the Russian President, Vladimir Putin, was due
to discuss Timan-Pechora development at the Millenium
Summit meeting with US President, Bill Clinton. It is antici-pated
that the sides will sign an agreement to change cur-rent
      ownership of the US-dominated Timan-Pechora Com-pany
(TPC). Russia wants to see Lukoil among participants
of the project. The Russian government is willing to give
the TPC up to 2920 million barrels of proven oil reserves,
or one third of the Timan-Pechora total, in order to speed
up the province development and to attract investments
from international oil majors. Lukoil, with its powerful lob-bying
abilities and dominance in the region, might accelerate
TPC activity. It is also rumored that TPC may be united
with the Northern Territories project (another Timano-Pechora
development, run by Lukoil) if Lukoil is admitted
      to TPC.
The Timano-Pechora oil province stretches over the terri-tory
of two Russian regions: the Nenetsk autonomous dis-trict
and the Komi Republic. The province has 190 hydro-carbon
deposits of which 149 oil fields, 5 gas and oil fields,
11 oil and gas condensate fields, 2 oil and gas fields, 8 gas
condensate fields, and 15 gas fields. Total oil reserves are
9,621 million barrels of which 3,701 million in the Komi
Republic and 5,920 million in the Nenetsk region. Total in-vestment
requirements for all projects in the province are
      estimated at $21bn.
Lukoil runs Northern Territories through Ark-hangelskgeoldobycha
(AGD) jointly with the US Conoco
under production sharing terms. Northern Territories, set
up in 1990, includes four oil fields with proven reserves of
1,022 million barrels of oil. Conoco has already invested
      $70m in the project.
The Russian government has made several attempts to attract
investments for cranking up field operations in the Timano-Pechora
province. In September 1990 the Russian company
Arkhangelskgeologia and the US Texaco signed a deal to de-velop
four oil fields in Timano-Pechora, with proven reserves es-timated
at 1,292m barrels. Required investments in the project
were about $50bn. Later the Russian government revised the
deal insisting that it had to be signed between the government
and the contractor. Russia therefore signed an agreement in
May 1994 with four international companies, Texaco, Exxon,
Amoco and Norsk Hydro to develop the project. Ownership of a
consortium, christened the Timano-Pechora Company (TPC), was
      distributed as follows: Texaco – 30%, Exxon – 30%, Amoco –
20% and Norsk Hydro – 20%. Later, in April 1995, the Russian
government managed to bargain a 20% stake in the consortium
for the state-owned company Rosneft. After re-concession, the
stakes of Texaco and Exxon shrank to 24% each and stakes of
Amoco and Norsk Hydro fell to 16% apiece. The inclusion of a
Russian company in TPC did not help foreign companies to cope
with obstacles at the local level, in the Nenetsk autonomous dis-trict.
The local governor was reluctant to see oil majors roving
over his fiefdom. As a result TPC scaled down its activity and
Amoco quit the project in 1998.
Lukoil made another acquisition in Timano-Pechora this
week. Ritek, a small independent company controlled by
Lukoil, has won rights to develop the 3297 sq km Lenzitsk
block in a tender for upstream acreage held in the Yamal-Nenets
autonomous district. The Lenzitsk block is believed
to contain potential reserves of about 1,650 million barrels
of which 86 million barrels are proven. There are also large
possible reserves of natural gas, estimated at 1,412 billion
cubic feet. Ritek paid approximately $1m for the deal.
Ritek, set up in March 1992, specializes in exploration and de-velopment
of oil and gas fields and research of new technologies
for development of complex oil fields. Ritek has total oil reserves
of 395 million tonness. Last year Ritek pumped out 2.1 million
tonnes of oil. The shareholder structure of the company is as
      follows: Lukoil – 40.36%, Tatneft – 14.95%, Russian Invest-ments
      – 9%, private shareholders – 16%. The company has a
      total 825 shareholders.

Lukoil first-half results confirm its Russian
      leadership
Lukoil showed record performance in H1 2000, tripling its
second-quarter consolidated earnings under Russian Ac-counting
      Standards to R30,086m ($1,058m) from R9,786
($406m) in the same period of 1999. Soaring oil prices
lifted the company’s sales to R166,119m ($5,839m) from
R61,117m ($2,536m) in the same period of 1999. Lukoil
also saw growth in oil output by 2.4% and gas production
by 5.7% y-o-y. For six month of 2000 all subsidiaries
pumped out 38.5 million tonnes of oil and 2.5 billion cubic
meters of gas. The company’s exports amounted to 14.4
million tonnes, representing a 3% hike y-o-y. Lukoil used
the windfall revenues to almost triple capital expenditures.
As a result, drilling operations went up by 68% to 837,000
meters. The company built 256 new wells, discovered 4
new oil fields and started exploration of 5 promising blocks.
Significant growth was recorded in downstream operations.
Oil throughput at company refineries climbed by 19% and
totaled 11.3 million tonnes. Production of gasoline rose by
12%, diesel by 20%, fuel oil by 16% and lubricants by 17%.
Export of refined products was 3.1 million tonnes, a 54%
increase compared to the same period in 1999.

Lukoil to Buy Getty Retail Chain on U.S. East Coast (Update7)
By Eduard Gismatullin and Laura Zelenko

Moscow, Nov. 3 (Bloomberg) -- OAO Lukoil Holding, Russia`s biggest oil producer, said it will take over
a chain of 1,300 U.S. filling stations, seeking to make its name and red-and-white logo the most
visible Russian brand in America after Stolichnaya vodka.

The Russian producer will pay $71 million, or $5 a share, for Getty Petroleum Marketing Inc., 45
percent above Getty`s closing price yesterday. The purchase of the Jericho, New York, company is
the first Russian acquisition of a publicly owned U.S. business.

After experimenting with a handful of suburban retail outlets with Food Lion Inc. in the 1990s, Lukoil
is buying a remnant of the Getty Oil Co. empire of billionaire J. Paul Getty to establish a permanent
presence in the U.S. Lukoil will join the Getty name on stations on the East Coast. It also may supply
Russian crude to the U.S. and is considering the purchase of a U.S. refinery.

``This is more than just symbolic, it`s strategic,`` said Timothy McCarthy, chief investment officer at
Troika Dialog Asset Management, with $140 million in Russian and East European assets, including
Lukoil shares. ``It`s not going to be like the Japanese real estate buying binge of the 1980s (in the
U.S.) when the Japanese bought at the peak and sold at the drought. I don`t think there`s going to
      be any backlash.``

Russian shares of Lukoil fell 56 cents to $12.65. Getty shares rose $1.38, or 40 percent, to $4.81 in
      early afternoon trading.

      Eye on Refining

The purchase is part of Lukoil`s plan to refine more of its crude oil production into fuel. Lukoil`s
reserves of 20 billion barrels are the largest of any oil company with publicly traded shares.

``We produce a lot of crude, but we only have the capacity to refine 35 percent,`` Chief Executive
Vagit Alekperov said in an interview. ``We are interested in selling more refined products.``

At first, Lukoil will supply crude to BP Amoco Plc refineries in the U.S. for sale at the Getty stations. It
later may buy its own U.S. refinery, Lukoil spokesman Dmitry Dolgov said. The company probably will
swap oil products in Europe for BP Amoco`s fuel in the U.S., analysts said.

The brand names on the stations will change to Lukoil-Getty or Getty-Lukoil ``until the public gets
used to`` the Lukoil name, Dolgov said.

Getty sells gasoline and diesel fuel in 13 Northeastern and mid-Atlantic U.S. states. It also sells
heating oil in New York`s Hudson Valley and is a wholesale distributor of petroleum products on the
      East Coast.

      Aging Stations

The bid, though lower than he expected, was probably the best that Chief Executive Leo Liebowitz,
who holds a significant stake in the company, could negotiate, said Steven Glass, managing director
at Shufro Rose & Co., which held 128,000 Getty shares in June. Getty could be worth $15 a share if
it upgrades stations and adds convenience stores, Glass said.

``I assume Lukoil has money to throw at some of this,`` he said.

Effat Ramadan, operator of a Getty gasoline station in Princeton, New Jersey, said Getty didn`t invest
      enough in its retail outlets.

``This station is a piece of junk,`` Ramadan said. ``My pumps are about 50 years old.``

Getty lost $5.2 million in the six months ended July 31, down from net income of $300,000 for the
comparable period last year. Profit margins are low in the U.S. refining business, and analysts
questioned whether Lukoil`s money might be better invested elsewhere.

``It`s a terrible business because of high competition,`` said Erik Wigertz, an analyst at Brunswick UBS
Warburg. ``There is no logic for Russian companies to enter the U.S. market.``

      Building a Brand

For Lukoil, which analysts estimated will have more than $17 billion of revenue this year because of
decade-high oil prices, the acquisition may be more of an image-building exercise than a
profit-making venture and could become costly if it tries to supply the stations from Russia, analysts
      said.

It also could hurt the company`s larger plans to build refining and retail operations closer to home, in
      the Mediterranean and Eastern Europe.

``We do not expect that this acquisition will bring any major profit to the company,`` said Valery
Nesterov, an analyst at Chase brokerage in Moscow. ``We recommend the company concentrate on
increasing efficiency and profitability of its already acquired assets in Europe, which have vast
      liabilities.``

The purchase almost doubles the number of filling stations Lukoil runs worldwide, mostly in a chain
it`s developed across the former Soviet Union and Eastern Europe. It has said it plans to add another
500 stations in Eastern Europe, where it already is a major competitor in the growing retail business.

The first gas station a visitor to Prague sees on the trip from the airport to the city center carries
Lukoil`s distinctive red-and-white logo, and the company also has bought refining and marketing
companies in Romania and Bulgaria and is considering the acquisition of a refinery in Yugoslavia that
was damaged by last year`s North Atlantic Treaty Organization bombing.

      Remnant of an Empire

Lukoil officials say they`ve long been considering expansion in the U.S. Planned expansion in the
U.S. fuel market is an extension of Lukoil`s strategy to build up its business in Europe and the former
Soviet Union outside of Russia. Lukoil plans to triple exports of its oil products over the next several
      years.

``It`s an excellent opportunity for Lukoil because it gives us entry into the vast American market in
partnership with a highly regarded brand,`` said Ralif Safin, Lukoil`s first vice president, in a statement.

By one measure, the Getty purchase was cheap. The price values each gas station at about
$55,000. Building new stations would cost 10 times as much, said Chase`s Nesterov.

Getty Petroleum Marketing was spun off in 1996 from Getty Petroleum Corp., a remnant of the Getty
empire. Getty Petroleum had acquired the marketing and distribution assets in 1985 from Texaco
Inc., which bought Getty Oil Co. for $4 billion in 1982.

Lukoil, which plans to produce about 75 million tons of crude this year, reported first-half profit rose
three-fold to 30.1 billion rubles ($1.1 billion) from the same period last year after the company
      increased output.

The company was advised by Credit Suisse First Boston. Getty was advised by ING Barings LLC.

LUKOIL TO ACQUIRE GETTY IN FIRST ACQUISITION OF PUBLICLY HELD US COMPANY BY A RUSSIAN CORPORATION
OAO Oil Company LUKOIL (OTC: LUKOY), Russia`s largest oil company, and Getty Petroleum Marketing Inc. (NYSE: GPM), one of America`s largest independent marketers of gasoline and petroleum products, yesterday announced the signing of a definitive merger agreement for LUKOIL to acquire Getty at a price of $5.00 per share of Getty common stock. This represents a 54% premium over Getty`s closing price of $3.25 on Wednesday, November 1. Getty serves retail customers through approximately 1,300 gasoline stations located in 13 Northeastern and Mid-Atlantic states. Getty is also a marketer of heating oil in New York Mid-Hudson Valley and is a wholesale distributor of a variety of petroleum products through its East Coast petroleum storage and distribution network.

The all-cash transaction is structured as a first step tender offer followed by a cash merger to acquire all remaining shares of Getty common stock and is valued at approximately $71 million. As part of the transaction, Getty will have an adjusted initial 15-year lease agreement with Getty Realty Corp. (NYSE: GTY) with renewal options through 2049 for a substantial number of the gasoline stations.

The tender offer is subject to a number of conditions, including the valid tender of at leas a majority of the outstanding shares of Getty common stock. Several principal shareholders of Getty, who collectively own approximately 40% of Getty`s common stock, have agreed to tender their shares, subject to certain conditions.

Getty`s headquarters will remain Jericho, Long Island, New York. LUKOIL stated that no employee layoffs are expected and that it will retain most, if not all, of the current management.

"LUKOIL is extremely enthusiastic about acquiring one of the premier and best known retail brands of petroleum products in the United States," said Ralif Safin, First Vice President of LUKOIL. "This is the first acquisition of a publicly held American company by a Russian corporation, and it is the first step in our expected expansion into the U.S. market. It is an excellent opportunity for LUKOIL because it gives us entree into the vast American market in partnership with a highly regarded brand. In the future, we may seek to supply the Getty stations with our own petroleum products."

"The combination of Getty`s strong presence in the American market with LUKOIL`s capabilities as a world class integrated oil company is going to create a formidable new company," said Leo Liebowitz, chairman and chief executive officer of Getty Petroleum Marketing. "We anticipate a smooth transition and expect that LUKOIL will immediately benefit from the outstanding infrastructure, knowledge and experience that Getty Petroleum Marketing brings to this outstanding, world-class organization."

LUKOIL received its financial advice from Credit Suisse First Boston Corp. and its legal advice from Akin, Gump, Strauss, Hauer& Feld, L.L.P. Getty was advised by ING Barings LLC and Latham & Watkins.

Getty shareholders are advised to read the tender offer statement regarding the acquisition of Getty, described in this press release, which will be filed by LUKOIL with the Securities and Exchange Commission and the related solicitation/recommendation statement which will be filed by Getty with the Commission. The tender offer statement (including an offer to purchase, letter of transmittal and related tender offer documents) and the solicitation/recommendation statement will contain important information which should be read carefully before any decision is made with respect to the offer. These documents will be made available at no charge to all stockholders of Getty Petroleum Marketing Inc. By contacting the information agent, D.F. King & Co. Inc. Shareholders may contact the information agent at (800) 290-6429. These documents also will be available at no charge on the SEC`s web site at www.sec.gov.

Lukoil got another project in Caspian
Lukoil and the Azerbaijan State Oil Co (SOCAR) signed an
agreement on January 9 for joint rehabilitation, exploration,
development, and production sharing at the Zykh and
Govsany onshore oil fields outside Baku. Both oil sites
cover 128 km 2 , of which 52 km 2 will be rehabilitated. The
fields have been under development for over 50 years and,
according to preliminary assessments, contain about 20 mil-lion
tonnes of remaining reserves. The oil will be refined in
Baku into gasoline for sale at Lukoil`s chain of petrol sta-tions
in Azerbaijan. The cost of the project is estimated at
      $250m.

      Hallo Leute,

      hi, Albatossa
