Aquila Passes Major Milestone to Completing Sale of Australian Properties

KANSAS CITY, Mo.--(BUSINESS WIRE)--July 10, 2003--Aquila, Inc. (NYSE:ILA) announced today that it has moved closer to completing the sale of its Australian energy investments to a consortium representing Alinta Limited (ASX:ALN), AMP Henderson (ASX:AMP) and their affiliates for US$589 million.
After fees, expenses and taxes the sale is expected to yield Aquila approximately US$445 million.

A majority of the shareholders of United Energy Limited (ASX:UEL), other than Aquila and AMP, voted to approve that part of the sale transaction by which Aquila`s indirect 34 percent interest in UEL will be sold to the Alinta and AMP consortium. The transaction now requires final court approval and the satisfaction of certain transaction conditions. Aquila purchased its interest in UEL in 1995, the first electric distribution system to be privatized by the State of Victoria.

"Gaining the UEL shareholders` approval was an important step in our process to complete Aquila`s exit from its Australian investments," said Keith Stamm, Aquila`s chief operating officer. "We continue to pursue regulatory and other approvals and expect to complete this transaction in the third quarter of this year."

The net proceeds will be applied to paying Aquila`s obligations under its recent 364-day secured loan, as well as strengthening the company`s balance sheet.

Aquila has substantially completed the divestment of its 30 percent indirect ownership in Alinta, a gas distributor and operator of a retail gas business in the state of Western Australia. Aquila expects to complete its exit from Australia with the divestment of its remaining interest in Alinta and its interest in Multinet Gas, a gas distribution business in Victoria, upon completion of the UEL transaction and subject to the satisfaction of certain transaction conditions.

Based in Kansas City, Mo., Aquila operates electricity and natural gas distribution networks serving customers in seven states in the United States and in Canada, Australia and the United Kingdom.
