OSE USA, Inc.(OSEE) is the exclusive North American sales and marketing organization for Orient Semiconductor Electronics, Ltd.(OSE), a Taiwanese company and the company’s controlling stockholder . OSEE is also the exclusive North American sales and marketing organization for Orient Semiconductor Electronics Philippines, Inc.(OSEP). OSEE derives revenues from fees received on the sales of OSE and OSEP semiconductor assembly and test services to customers headquartered in North America, in accordance with a distribution agreement. The company recently completed the sale of assets of its manufacturing division to a third party company. The assets included related equipment, inventory, books and records, permits and licenses, and intellectual property, for a total of $1 million, including $500,000 in cash and a $500,000 three year note.



The trend in the industry is that most high volume production will continue moving to the low manufacturing cost areas and OSEE, with the capacities and capability provided by OSE and OSEP, can service North American customers who are seeking low cost high volume contract manufacturers in the Asia region. OSE USA, Inc. (OSEE) provides sales/distribution services for OSE and OSEP to a wide variety of customers, ranging from large multinational companies to smaller emerging technology companies, including start-ups. The company’s marketing and sales efforts are focused on North American semiconductor companies that design or manufacture IC devices which are used in applications such as personal computers, modems, disk drives and telecommunication products.



Because of the variety of design and manufacturing services offered by OSE and OSEP, the company believes that it is well positioned to offer services to customers in most market segments. The principal elements of competition in the semiconductor packaging market include delivery cycle times, price, product performance, quality, production yield, responsiveness and flexibility, reliability and the ability to design and incorporate product improvements. OSEE believes it is competitive on the basis of shorter delivery cycle times it can offer customers due to the close proximity of its affiliated manufacturing facility to its customers’ operations and the end users of its customers’ products. The company expects that average selling prices for its products by OSE and OSEP will stabilize or increase in the future if, as many industry analysts predict, the semiconductor industry has an upswing in 2004.



On April 15, 2004, OSE USA, Inc. announced the hiring of Steve Lerner as its new President. Mr. Lerner was founder and chief executive officer of Gigasys Corporation, an advanced semiconductor packaging firm specializing in System-in-Package (SIP) solutions and supplier related management services. Lerner is a recognized authority in microelectronics packaging and test foundry services with significant international experience in both Southeast Asia and Europe. Prior to his association with Gigasys Corporation, Mr. Lerner was CEO and founder of CS2, a Belgian component contract test and assembly company.

Und...... das mein Favorit -NITE- MM den Bid nach oben gezogen hat.

Bei diesen Zahlen wuerde ich ein Investment aber noch mal dringend ueberdenken.
Auch ein Kursanstieg von weit ueber 1.000% seit Maerz laedt nicht gerade zum Kauf ein. Waere sehr vorsichtig.

Das ist mir doch auch klar.
Sehr gute Informationen erhält auf der HP von OSEE

Es geht auch darum das 78% der Aktien sich in festen Händen befinden und ein Kauf den Kurs schnell nach oben bewegt da kaum Aktien handelbar sind. Zudem war Ende März HV und OSEE plant Aktien aus dem Markt zu nehmen.
Geplant sind 50%....Der Anstieg kam nach der HV und der Kauf von weiteren 300.000 zu 0,055USD von Chefs der Firma am 27.05.04 lassen doch hoffen...Oder wer investiert schon 150.000 USD wenn er denkt das OSEE bald wieder bei 0,003 handelbar wäre.

Ich denke da ist etwas im Busch und es geht noch weiter nach oben. Das war erst der Anfang

Cortal Consors bin ich auch. -> was meinst du mit Cusip No? Ich kann die Order ja in Berlin absetzen, nur kein Umsatz, habe aber gerade gesehen, dass man auch direkt NYS handeln kann... aber dann sicher nur, wenn die US-Börsen auf haben (wenn ich dann Limit angebe, dann in $ oder €?).

Ich weis ja nicht wie lange Du schon handelst:

Also Du gibst einfach unter Order -Feld suchen-
das Kürzel osee ein. Dann kommt Cusip no.. oder WKN von Berlin.

Dann einfach auf Kaufen klicken und Betrag und limit eingeben. Consors rechnet dann den Kurs für Dich um .
Du brauchst kein Eu oder Dollar eingeben. Es wird nach Kauf der Kurs umgerechnet..

Alles klaro?

Kleiner Tipp: Da Osee sehr eng gehandelt wird ist es besser in den Ask zu kaufen und genauso in den Bid zu verkaufen. Alles weitere was zwischen den Orders steht könnte Dich Viel Geld kosten.

Na mal sehen. Die Story und die Ziele der Restrukturierung stimmen. Vielleicht ist man ja diesmal zu einem Zock/ Hyme drin, bevor er losgeht und man hat die wirklich richtig billigen Kurse abgegriffen. Die PERFEKTE Aktie für soetwas wäre hier zumindest vorhanden, aus den angegebenen Gründen.

So. Mal sehen was daraus wird

Ich kann Dich beruhigen. Bin kein Pusher und bin zum Teil zwischen 0,03 - 0,05 drin.

Mich interessiert nun, warum Insider bei 0,055 am 27.05.04 eingestiegen sind. Ich mache jede Wette da kommt noch etwas und wir sehen 0,10 - 0,15 sehr schnell wieder.

- Osee hielt am 28.04.04 ein Aktionärstreffen
- es wurde beschlossen das Kapital um 50% zu reduzieren
- Insider halten 78% der Aktien

was das heisst kann man sich denken. Das würde auch den grossen Kaufdrang gegen Ende April bestätigen.
Osee hat die Reorganisierung abgeschlossen und will nun ununterbrochen Gewinne schreiben...

Also ich verkaufe keine einzige Aktie mehr..denn wenn von 56Mille Shares nur 15Millionen an der Börse handelbar sind und Osee auch noch 50% Kapitalveringerung beantragt hat dann sind nur noch 25 Mille an der Börse ......ABER 78% davon in festen Händen. Was heisst das nur noch 5 Millionen handelbar sind..........................

Von der Homepage. Wer richtig lesen kann ( englisch), der liest heraus das eine -Kapitalreduzierung- um 50,3% bei der letzten HV am 28.04.04 genehmigt und beantragt worden ist.

Aufgrund der Neuausrichtung, Aktienreduktion, neuer Chef, niedriege Umsätze, kaum jemand will verkaufen, ist eine Neubewertung bald sehr wahrscheinlich. Ich hoffe es

ihr könnt mir glauben. Ich habe ebenfalls schon länger versucht zwischen den Bid und Ask -Aktien- zu bekommen.
Leider ohne Erfolg obwohl der Kurs genau mein limit getroffen hatte. Bei Consors hatte ich mich dann beschwert und die leiteten eine Untersuchung ein...Natürlich nicht im Grossen Stil:
Fakt war das der Broker zuwenig Aktien hatte um bedienen zu können. Ob das rechtlich ok sei, sagte man mir:
Das ist OTCBB und Pinksheets, da kann das schon mal vorkommen.
Fazit: Nur Kaufen in den ASK - Nur verkaufen in den BID

Die MM`s wissen schon warum keiner bedient wird.
Ich denke auch da machen sich einige selber Ihre Kurse.

Wird das ein Reverse-Split (Höherer Kurs, aber automatische Verringerung der Stücke, welche man im Depot zu liegen hat :-( ) werden oder ein Aktienrückkauf?
Das erstere wäre nicht optimal, denn es ist wirklich nichts weiter als ein Split, das andere würde den Kurs antreiben.

Das sehe ich nicht so.
Ich sehe das so das jegliche Art einer Reduzierung bei Osee sehr positiv ist. Denn

1. halten 78% Insider Aktien....die nur zu Reduzieren sind wenn ein Reverse Split d.h: doppelter Kurs - halbe Aktienanzahl , durchzuführen ist

2. einen Rückkauf von 50% wird es wohl nicht geben denn wie soll das möglich sein?????????

Also gibt es einen Split.....aber das erhöht den Kursverlauf bei steigenden Zahlen

Wenn man überlegt wieviele Aktien es nach einer Reduzierung von 50% gibt?

eine Kapitalherabsetzung um 50,322% beabsichtigt. dieser Plan ist under Prüfung der SFCOSE´s Stocks könnte gehandelt werden wenn die Berechtigung genehmigt wurde.


Ist uaf jedenfall kein RS Splitt.Bin mir noch nicht im klaren was die mit dieser kapitalherabsetzung wollen. Normalerweise macht man eine Kapitalerhöhung. heisst soviel wie das Sie Aktien aus demmarkt nehmn wollen und somit das Grundkapital niedriger wird.

habe ich etwas falsch verstanden. Kapitalherabsetzung ist werde Rückkauf noch RS Splitt.

das ist kein Aktienrückkauf sondern eine Kapitalherabsetzung. Mit Aktienrückkauf machst du ja keine Kapitalherabstzung denn die Aktien bleiben in der Company und somit das Kapital das gleiche.

Also was anderes als Aktienrückkauf kann ich mir nicht vorstellen! Die gekauften Aktien könnten ja dann wieder der Gesellschaft einverleibt werden und vermindern das freie Kapital. (positiv )

Die Aktien müssen ja auch nicht am freien Markt gekauft werden, sondern könnten von Stillhaltern bezogen werden oder wer auch immer noch Aktien hat. Habe gerade keine Lust, nachzusehen.

@ja erstaunlicherweise war es im Gegensatz zu vorher ein riesiges Volumen. Da sind meine 8000 gar nicht mehr aufgefallen. Leider habe ich sie für 0,05 gekauft ask das ask noch bei 0,055 lag. Aber egal wenn der Kurs bei 0,15 oder 0,20 ist ist mir das egal.

Nun ist Geduld angesagt und warten. Vielleicht kaufe ich ja heute noch mal 10k. Mal sehen was der Kurs sagt

Keine Sorge. Im Moment beunruhigt mich das noch kein bißchen denn die bid Seite ist voll 150 und die ask Seite ist dünn 50 bei 0,04 50 0,055 und dannkommt erst 150 bei 0,06

Wäre viel schlimmer wenn die Ask Seite voll wäre dann wollen nämlich zuviel verkaufen.

Die MM machen soetwas öfter um ein paar Leute nervös zu machen um dann teuer zu verkaufen.
kann sich ganz schnell drehen. Vergiß nicht das ist OTC und da misst man nicht mit normalen Maßstäben

Die Währung ist NT$.....das heisst new taiwan dollar

es wurden an der Heimatbörse für OSE (Code: 2329) bei 2.92 (best offer: 2,93) gerade mal 6552 Stücke umgesetzt. Das ist ja lächerlich und hat keinerlei Aussagekraft. Es ist somit egal, was die TSE sagt, das sind Umsätze die an der OTC mit einer Transaktion (meist mehr) rübergehen und nicht an einem Tag. Sehr komisch

Liegt wohl daran, dass wenn wer verkaufen will, der sofort bedient wird... mit einem Käufer, wenns so viele gibt.

Sollte aufwärts gehen insgesamt also. Nur der Unterschied TSE & OTC ist sehr merkwürdig.

Bein Finanztreff meinte ich die Kurse aus Berlin.....

Stimmt, die Berliner Kurse gibts bei Finanztreff nicht.

Volumen mal 1000? Gut

Bleibt immer noch das Gap zwischen TSE & OTCBB! Laut aktueller Umrechnung würde sich der von mir angegebene Kursu errechnen! Zumindest müsste (nach Abschlag?) 0,08 oder 0,07 drin sein? Derzeit ist es ja an der OTCBB weniger als die Hälfte des wirklichen Kurses an der Heimatbörse.
Ausserdem werden die Volumen an der TSE gesetzt und dagegen sind die OTCBB Volumen lächerlich (mit dem tausender Faktor)!

Entweder können die in Taiwan nicht an der OTC handeln was ich aber nicht glaube oder ist das denen zu wenig Volumen.
Denn in Taiwan werden mehrere 100-500K Blöcke gehandelt.
Mache das mal an der OTC......Das geht doch fast gar nicht.
Es ging einmal und das war nach dem Shareholdermeeting als wir bei 0,13 standen. Deshalb bin ich mir sicher das wir das wieder erleben werden.

So nun wünsche ich aber nice Weekend.

-78% der Aktien werden von Insidern gehalten. Da braucht es nicht viel Volumen um den Kurs nach oben oder unten zu bewegen.
-Insiderkäufe....Option wurde ausgeführt bei 0,055
-Hohe Volumen bis 0,13
-News bezüglich Kapitalreduzierung von über 50% stehen an
-Nächste Zahlen kommen bestimmt
-Osee hat in 5 darauffolgenden Quartalen den Umsatz gesteigert....Das Dürfte auch weiterhin so bleiben
-Taiwan werden Volumen wieder grösser und es geht seit 5 Tagen nach oben

an der OTC wird der Kurs ausschließlich von den MM gemacht allerdings dürfen auch die nicht so eine brutale Differenz lassen. Wäre Betrug. Bei dem Wert höchstens 0,005 Cent differenz. Und das ist in Prozenten schon beträchtlich.

wie ist denn momentan der Umrechnungskurs

Umrechnungskurs aktuell Taiwan $ zu US $: 33,57

ergibt einen fairen Kurs an der OTCBB von exakt $0,081! Mit Abschlag würde sich ein $0,065 rechtfertigen, aber niemals irgendwas unter $0,055.

entspäche einen Kurs von 0,066 und alles unter 0,06 oder auch 0,05 ist eine Frechheit.

Verstehen tue ich das auch nicht. auch wenn es OTC ist. sind aber nicht die Pinksheets wo alles möglich ist sondern OTCBB. Und da gibt es Grenzen.

Knapp 57 mio Shares outstanding und davon 13 mio im Freefloat.

Wenn das 2Q genauso wird wie das 1 und die Ihre Kosten in den Griff bekommen dann wird die Aktie die 0,03 nie mehr sehen.

Und bei eine MK von 1,42 mio und einem Umsat im 1Q von 1 mio dann verstehe ich nur das die Verluste letztes Jahre exorbitant hoch waren und die Aktie deshalb dort steht.

Die 2,2 Mio Verlust letztes Jahr drücken den Aktienkurs ziemlich deutlich aus.

Positiv zu sehen ist das die Zahl der Shares für so einen Wert sehr gering sind.

Alles in allem wenn die noch ein 2. gutes Quartal hinlegen mit einer Umsatzsteigerung dann dürfte die Marge wieder besser werden und dann sehen wir die 10 cent schneller als wir uns vorstellen können

es ist möglich baer sehr komlpiziert und teuer. Dazu müsste man Richtig Kohle investieren damit es sich lohnt. Da aber die Umbuchung der Lagerstelle bis zu einer Woche dauert, kann auch nur 1-2 Tage sein ist es sozusagen aussichtslos. Denn 2-5 Tage warten bis man verkaufen kann ist bei diesen Werten viel zu Risikoreich.

Was geht hier eigentlich ab. So nun fange ich wieder an einzukaufen.
Das ist echt der Hammer. Ich sage Euch drinbleiben. Die zocken einen echt ab.
Habe versucht zu 0,028 zu kaufen. Es wurde teilausgeführt obwohl 2mal meine Stückzahl bedient wurde.
Danach ging es gleich auf 0,026 und die Bids wurden weggezogen. Nun erhöhen sie langsam wieder.

Wie kann man nur so schiss haben. Bei diesem RSI und MAC

Ich kann nur raten jetzt zu kaufen.

Verluste gibt es erst wenn man die Aktie verkauft.
Gewiine kann es aber schnell geben...denn ich denke das Spielchen hat bereits angefangen.

Was mich aber beruhigt ist das wir im April Volumen von 15 Millionen in einer Woche hatten und seitdem mit kleinen Volumina fallen.
Selbst wenn man gegenrechnet müssten sich noch über die Hälfte also 7,5 Millionen in festen Händen befinden.
Nur der Kurs ist 4mal kleiner....

Osee hatte 2003 350 Millionen dollar Umsatz gemacht.
Osee hatt einen deal mit Infineon...Diese Firma steht bei so fast alle EMS unter den ersten 5 oder 10.

Osee ist derzeit mit 4800 Mitarbeiter auf PLATZ 25 der Weltrangliste.

Der Wert von Estimated Market Cap: 987,280 as of 2004-07-26 ist doch ein Witz........

Ich kann Dir ganz genau sagen warum der Kursverlauf von Taiwan nicht nachvollzogen wird.
In Taiwan wird OSEE gehandelt. AN der OTCBB und Pink sheets wird OSEE USA gehandelt.

Das heisst das es an der OTCBB Shares Outstanding: 56,416,000 as of 2002-11-20 gibt die eine Börsenkapitalisierung von derzeitEstimated Market Cap: 959,072 as of 2004-07-30 in den USA haben. Die Aktien werden in USD gehandelt.

In taiwan wird OSEE unter dem Symbol: OSE Ticker 2329 gehandelt. Währung NTD: new taiwan dollar
Total actual shares issued ------ 1,584,624,525

Es sind 2 Unabhängige Aktien von der gleichen Firma. Die eine wird in Taiwan gehandelt und die andere in den USA.

Wenn wir mal rechnen:
Taiwan:
1,584,624,525 mal Aktienkurs 2,34ntd = ca 3Milliarden ntd was umgerechnet 87Millionen USD Börsenkapitalisierung entspricht.

USA
56,416,000 mal Aktienkurs 0,017 usd = ca 1Million.

So und jetzt kommt dass das ich überhaupt nicht verstehe.
87Miilionen zu 1 Million...

Ich denke es ist ganz einfach: Da keiner Interesse hat in USA zu kaufen bleibt auch der Kurs unten. Erst wenn Käufer kommen steigen wir auch..Und das sehr schnell. Normalerweise müssten wir weit höher stehen als 0,017.

Revenues for the three and six month periods ended June 27, 2004 for continuing operations were $1,207,000 and $2,230,000, respectively, compared with revenues of $782,000 and $1,552,000 for the same periods one year ago. The Company reported a net loss applicable to common stockholders of ($632,000) or ($0.01) per diluted share, for the second quarter of 2004, compared with a net loss applicable to common stockholders of ($3,903,000) or ($0.07) per diluted share, for the same quarter of 2003. For the first six months of 2004, the Company reported a net loss applicable to common stockholders of ($940,000) or ($0.02) per diluted share, compared with a net loss applicable to common stockholders of ($6,083,000) or ($0.11) per diluted share, for the same period of 2003.

On June 28, 2004, the Company filed a complaint in the Superior Court of Santa Clara County, California against Integrated Packaging Assembly Corporation, the purchaser of the assets of the manufacturing segment of the Company on September 8, 2003. The complaint asserts several causes of action but alleges primarily that the purchaser has not performed all of its obligations with respect to the $500,000 promissory note issued by the purchaser as part of the consideration for the purchase of the Company`s manufacturing assets. Due to the uncertainty of the collection of this note and the unresolved dispute between the Company and the purchaser, the Company decided to fully reserve the note. The corresponding bad debt expense of $500,000 was included in the financial results of continuing operations.

Founded in 1992, OSE USA, Inc. has been the nation`s leading onshore advanced technology IC packaging foundry. In May 1999 Orient Semiconductor Electronics Limited (OSE), one of Taiwan`s top IC assembly and packaging services companies, acquired a controlling interest in IPAC, boosting its US expansion efforts.

Using patented technology from Advanced Interconnect Solutions (“AIS”), IPAC-TA can offer the most cost-effective WLCSP contract manufacturing service available. The AIS process gives a dimensional tolerance of +/- 10 microns, producing patterns of 0.10mm (4-mils) pitch using widths and diameters as small as 0.05mm (2 mils). The technology also provides thickness control, allowing multi-layer printing of metal paste and polyimide with 0.03mm clearance between patterns. With this flexibility and precision, the technology can be used to fabricate CSPs for most applications, including RF, analog, mixed signal and high-speed memory.

3.Operations plan for replacement of share certificates for the capital
reduction:
I: In order to handle exchange of share certificates due to the
Company`s capital reduction in 2004, this Operational Plan was
made by the company in accordance with the Specifications for
Printing Share Certificates by Public Companies and the
Operational Procedure for Listed Companies Handling Exchange
of Share Certificates.
II: The existing share certificates to be exchanged for new share
certificates include all share certificates issued by the
Company in the past which represent 787,198,219 shares of
common stock and 74,515,906 shares of preferred stock with
the par valued of NTD 10 per share, and the total amount of
such share certificates is NTD 8,617,141,250.

III: The company reduced capital NTD 8,729,104,000 by canceling
872,910,000 shares of the Company`s issued and paid-in stock
to offset the Company`s accumulated losses.According to
article 168 of the Company Law,the reduced capital should be
deducted proportionally in accordance with the existing
shareholders` shareholding and the capital reduction ratio
is 50.322%.

IV: The total number of shares and amount after capital reduction:
The number of shares to be exchanged after capital reduction is
861,714,125 with the par value of NTD 10 per share and total
amount is NTD 8,617,141,250.

V: Cancellation of the existing shares and exchange of new share
certificates shall be calculated in accordance with the number
of shares held by each shareholder on the shareholders roster on
the Exchanfe Record Date. Every 1,000 existing shares shall
exchange for 496.78 new shares (ie every1,000 existing shares
shall be reduced by 503.22 existing shares).
Fractional shares will not be issued on exchange but the
equivalent amount calculated in accordance with the par value
will be paid by cash and all such cash paument shall be made to
the nearest NTD 1.

IPAC announces a company-wide reorganisation.
Company to focus on its traditional hot lot fast turn business and aggressively pursue the full production of its new Mold Array Package Family

The company has implemented a reduction-in-force of 86 employees, which represent approximately 30% of the total workforce. Patrick Verderico, president and CEO, and Richard Oshiro, vice president, quality, have resigned their executive positions with the company. Mr. Verderico will continue to serve as a member of the board of directors. Mr. Edmond Tseng, chairman of the board of IPAC, has been appointed the new chief executive officer of the company.

"As a result of these actions, IPAC will focus on its traditional hot lot fast turn business and aggressively pursue the full production of its new Mold Array Package Family," said Edmond Tseng. "Customer demand for the new Mold Array Package Family has been strong and should aid the continued growth of the company. With these changes, we will be better positioned to return IPAC to profitability."

Osee is a great company...no hype, they let the #`s speak for themselves. How they can be this undervalued is strange to me. I guess because the co. doesn`t hype itself it gets overlooked alot. They run a tight ship and this co. is owned by Orient Semi...a blue chip. If you`re looking for a pennystock that you can invest in and put away for later, osee is probably it...no worries about r/s or scam co, or going out of business.

Like a phoenix from the flames ... well, nothing ever burned, so there weren`t actual ashes from which to arise, but anyway IPAC is back in Silicon Valley. Integrated Packaging Assembly Corporation (IPAC) bought the manufacturing arm of Orient Semiconductor`s US subsidiary so it could continue its business of packaging and testing microchips. Orient had bought the business in the late 1990s, when it was called ... IPAC. The old IPAC had been founded back in 1993 by a group that included Victor Batinovich; the new IPAC was bought by a group led by ... Victor Batinovich. (He was CEO back then, he`s CEO again now.) Like we said: IPAC is back.
