ZAP Announces Orders of $4.98 Million for SMART Car

Receives Second $2 Million Purchase for Smart Americanized by ZAP

SANTA ROSA, Calif., Dec. 20 /PRNewswire-FirstCall/ -- Automotive technology pioneer ZAP (OTC Bulletin Board: ZAPZ - News) announced today it has received a second 100-unit wholesale purchase order for the SMART Car, bringing the total in wholesale fleet orders in hand to $4.98 million.

ZAP is in discussion with a number of government and corporate fleets as well as automotive wholesale dealers for purchase orders of 100 or more cars by December 31, 2004. ZAP unveiled the SMART Car to U.S. consumers in November at the San Francisco International Auto Show, announcing that the U.S. Environmental Protection Agency has issued a Letter of Conformity. This regulatory approval clears the way for ZAP to begin organizing U.S. marketing and distribution for the SMART Car. ZAP has an exclusive distribution contract with SMART-Automobile LLC for the rights to sell the cars in the United States with a near-term goal of 150 dealer outlets by second quarter of fiscal year 2005.

The SMARTCAR enables ZAP to execute its new business plan of establishing a ZAP auto dealer network that caters to socially responsible car buyers with advanced automotive technologies, including fuel-efficient automobiles powered by gasoline, electric, hydrogen and other fuels. The publicly owned Northern California Company made a name for itself over the past decade pioneering the market for electric cars, bikes and scooters.

SMART-Auto LLC is an independent, privately-held company that oversees the direct importation and modification of automobiles to meet U.S. standards.

      Brokerface,

      Gruss,

Zap to Unveil Lithium Battery for Laptops at CES in Las Vegas
Wednesday January 5, 8:06 am ET
Portable Power Supply Works With Laptops, Phones, Cameras, More

LAS VEGAS, Jan. 5 /PRNewswire-FirstCall/ -- Advanced transportation pioneer ZAP (OTC Bulletin Board: ZAPZ - News) will unveil a new lithium battery system that powers a wide array of mobile electronics, from mp3 players to laptops, at the world`s largest technology trade show, CES in Las Vegas.

ZAP is at the Consumer Electronics Show in Las Vegas to unveil its new battery system to one of the world`s largest events for the electronics industry. A pioneer in electric cars, scooters, bicycles and other advanced transportation technologies, ZAP is establishing an energy division for the advanced energy technologies it has been developing for cars and packaging it for the electronics industry. CEO Steve Schneider says battery technology is progressing rapidly and sees an opportunity for ZAP to pursue the co-development of these technologies.

"The U.S. market for advanced batteries is expected to double over the next three years and much of the predicted growth is attributable to hybrid and electric vehicles sales," says Schneider. "We see an opportunity for ZAP to take a leadership role in both these areas of development to further our goal of zero-emission transportation. The battery technology also works well with our research into hydrogen hybrid vehicle systems."

Schneider says ZAP`s new Portable Energy(TM) system will revolutionize mobile electronics. The lithium-polymer battery system has four times the energy density of conventional batteries and is compatible to 80 percent of mobile electronics. About the size of a diary, the rechargeable battery system can power and recharge a wide range of mobile electronics devices, including laptops, cell phones, handheld computers, gaming systems, audio players, cameras, camcorders and more -- several at the same time.

The ZAP Battery is great for traveling business people. The battery system can be recharged at any household outlet and is rechargeable up to 500 times. The ZAP can power a wide range of electronics through different power ports, including a USB port for 4 to 6 volt gadgets, DC port for 7 to 11 volts and a DC laptop port for up to 19 volts.

Although ZAP is listed on the OTCBB, the shares have been relatively liquid particularly in the past two months in spite of a small market capitalization. ZAP has a price per book that is higher than the industry average but in line with UQM as the market probably gives a premium to the future potential of the Company`s products. We believe that ZAP has an excellent opportunity with the SMART Car, which is a testimony of its leadership in a niche market. Management has the background and the skills in the fuel efficient vehicle industry but the rapid expansion will put additional strain on a small management team. The Company needs to have access to financing for working capital requirements and set up effective distribution channels in order to capture this opportunity. The future of ZAP lies in management`s ability to exploit the opportunity and the ability to translate that potential into a capital market success to be reflected in the share price. Based on the projections and the underlying assumptions, we feel that the price of ZAP should range between $4.20 to $5.40 with a mid-point of $4.80, which price we are using as our 12-months share price target.

      COMPETITION AND MARKETING STRATEGY
      1. SMART Car In North America, the SMART Car is currently only available in Canada. Mercedes Benz is the sole distributor and has delivered approximately 60 SMART Cars across Canada since launching in September 2004. Mercedes Benz plans to enter the U.S. market in 2006, and only with SUV and 4-door sedan models. Accordingly, it will not be competing against ZAP`s 2-door models. Comment: Because the major automobile manufacturers decided to vacate the compact car market in advanced technology vehicles, it offers ZAP an excellent opportunity to dominate this niche area. However, there is an urgent need to establish a considerable distribution channel for warranty service and sales support for the SMART Car. The recent EPA approval initiate sales of the 100 SMART Cars that SA currently has warehoused in California. ZAP intends to partner with companies with distribution capabilities to market and service its SMART Car. ZAP had its first public display of the SMART Car at the Moscone Center auto show in San Francisco during the last week of November, 2004. The following is a comparison of other comparable products to the SMART Car in the U.S. market: Table 3 - Comparison of Comparable Products Source: Company reports The above table shows that the major competition for the SMART Car comes from the Toyota Echo. The SMART Car is competitive in gas mileage and is only slightly more expensive. While almost all of the automobile manufacturers are skeptical about the small car market in the U.S., the introduction of the SMART Car offers ZAP an enormous opportunity in this niche market and permits it to maintain a leading position. Comment: The challenge that faces ZAP with the SMART Car sales will be to increase sales volume in a niche market. The SMART Car is priced at the low end of the automobile market, which is not always price sensitive and, with a profit margin of 5%, improving sales volume through a large and effective distribution channel is essential.
