On November 18, 2001, NetBank, Inc. ("NetBank") and its wholly-owned subsidiary, Palmetto Acquisition Corp. (the "Merger Sub"), entered into an agreement with Resource Bancshares Mortgage Group, Inc. ("RBMG") providing for NetBank`s acquisition of RBMG pursuant to the merger of Merger Sub with and into RBMG, with RBMG surviving the merger. In the merger, RBMG shareholders will receive 1.1382 shares of NetBank common stock in exchange for each share of RBMG common stock they own.
Immediately following the closing of the merger, Douglas K. Freeman, who currently serves as Chief Executive Officer of RBMG, will serve as NetBank`s Chief Executive Officer. T. Stephen Johnson will continue as Chairman of NetBank until the date of NetBank`s public announcement of $.25 per share or more for operating earnings in a quarter (or at such earlier time as Mr. Johnson may cease to serve in such role.) From and after that date, Mr. Freeman will serve as Chairman until December 31, 2005. D.R. Grimes will continue as Vice Chairman of NetBank after the merger. NetBank`s Board of Directors will consist of 11 members, which will include six directors from the pre-merger NetBank Board, four directors from the pre-merger RBMG Board and one director common to both Boards. RBMG will operate as a wholly owned subsidiary of NetBank after the merger.
Consummation of the merger is subject to certain conditions, including approval by the shareholders of NetBank and by the shareholders of RBMG. The merger is expected to close during the first half of 2002.

Manchmal ist es merkwürdig hier im Board.
Manche Threads werden diskutiert bis zum Erbrechen, andere werden - wie dieser - überhaupt nicht beachtet.
Netbank eine aussichtsreiche Internetbank.
Vor Jahren habe ich damit schon einmal ein paar Tausender verdient. Jetzt habe ich sie wieder gekauft.
Der von Dr.Ich erwähnte Merger wird die Erträge deutlich steigern.
Seit seinem Thread ist die Aktie um 50% gestiegen. Das KGV 2003 liegt bei 13!!!

This Georgia-based Internet bank has quietly amassed $2.9 billion in assets and 245,000 accounts in all 50 states and 20 foreign countries. After searching for its niche, NetBank is showing signs of maturity and looks poised to become a full-service financial services firm.
Besides solid fourth-quarter performance, NetBank shareholders have even more reason to be optimistic: A number of initiatives slated for 2002 should help push the stock higher.
Bring NetBank`s deposits together with Resource Bancshares` loans, and you get instant earnings leverage. "The marriage of NetBank and Resource Bancshares solves each other`s problems immediately," says Marinac. He rates the stock an outperform, and his firm has not provided banking services for NetBank.
Marinac thinks the merger, scheduled to close in March, will add 30 cents to NetBank`s 2002 per-share earnings and even more in 2003. He expects Resource Bancshares to originate about $8 billion in new mortgage loans in 2002, even after accounting for reduced activity as interest rates stabilize and refinancings slow.

... damit ist es erst einmal vorbei. Habe vorgestern meine NTBK-Papiere verkauft, zu 18,60€. Grund: Charttechnik und Elliot-Waves deuten auf eine Schwäche hin. Bin der Meinung wir haben im März entweder c von A bzw. 3 von I abgeschlossen. Langfristig deutet aber alles auf eine Fortsetzung der Aufwärtsbewegung hin. Vorerst jedoch mehrwöchige Korrektur. Steige wieder bei ca. 13 USD ein.
Auch fundamental scheint diese Firma ganz gut aufgestellt zu sein.
