NanoSignal Corp. Announces Funding: $10 Million Line of Credit

Tuesday September 27, 3:06 pm ET

LAS VEGAS--(BUSINESS WIRE)--Sept. 27, 2005--NanoSignal Corp. (Pink Sheets: NNOS - News) announced today that it has secured a credit line through AMC International Law Associates represented by Dr. Rodney Daniel, executive vice president. This credit line is established at Standard Charter Bank for $10 million.

"This credit line is to assist NanoSignal Corp. in two areas," said Dr. Rupert Perrin, chairman of the board of NanoSignal Corp. "The first is to complete SLICES(TM) Technology and the second is the acquisition of 10 MRI centers located in South Florida.

"This is a great day for such an announcement as we can commence with our plans. We want to prepare a progress report for all our shareholders of record before the end of next month," concluded Dr. Perrin.

Funding is expected to be released within the next 10 business days or upon our completion of certain necessary documentation and some of the completed funding will consist of a private funding collateral document being completed and accompanying materials by the legal counsel. One million dollars is intended to finish development of "SLICES" and make it ready for markets. Additional line of credit of $1 million is going directly to NanoSignal Corp. for manufacturing and production of "SLICES" and the balance of $8 million for the acquisition of up to 10 MRI centers located in South Florida.

This press release contains "forward-looking statements" within the meaning of the Private Securities Litigation Reform Act of 1995. Such statements can be identified by the lead-in "Looking Forward." These statements are not guarantees of future performance and involve significant risks and uncertainties.

NanoSignal`s Classic Penny Stock Split Amid Shareholder Frustration

      Thomas Catino

      October 17, 2005

Rodney Dangerfield once said it best; “I don`t get no respect.” Recently, shareholders of NanoSignal Corporation (OTC: NNOS) have been sharing the same sentiment. Last week, the board of directors of NanoSignal, in classic penny stock fashion, authorized a 20-for-1 reverse split of its corporate stock. Before the split, there was a huge amount of about 2,753,757,078 shares of all classes of stock. Once the reverse split occurs, there will be 183,087,853 shares of stock. The most interesting tidbit from this release was odd in that all shares were reversed by the 20-for-1 factor except for 24 million shares of common stock that were exempted.

Apparently, these shares were exempted by a special meeting of the board of directors that was held on September 21, 2005. It is only left for speculation, since management did not disclose any reason, as to why these shares were left unaffected by the reverse split. However, investors could reason that management or certain corporate insiders needed the shares to lock-in a majority ownership of the company. That majority position would continue to give them voting control of the company, giving them the right to make corporate decisions, such as authorizing a reverse split, without requiring a shareholder vote.

The explanation stated for why the board determined to reverse split the company’s shares, was that it is needed to address the significant suspected short position in the stock. Accompanying this reverse split is a new CUSIP number. In addition to this move, the board authorized the president to explore finding a transfer agent and new auditor in Nevada. Furthermore, one other reason was that the reverse stock split is necessary to attract capital to the company to complete its Slices(TM) technology.

The reasons that management presented seem to contradict each other. For example, if the company is attempting to address a short position, why would it reverse split the stock, and then continue with fresh dilution because it needs to engage in equity financing? Shareholders also have to ask that after amounts of 560 million, 25 million and 75 million shares were cancelled in the summer, why are the number of shares now out in the billions?

The company was originally on the right track with hiring a new President and CEO, Retired Judge Kelly Slade. Also, it had successfully secured as secured a credit line through AMC International Law Associates established at Standard Charter Bank for $10 million. This money would be used to develop their SLICES(TM) Technology and help complete their acquisition of 10 MRI centers located. Ultimately, this would enhance shareholder value. However, with the latest news of a reverse split and Slade’s laughable comments that state he is “finding a remedy for the bashers of the company and where slander and libel laws apply” to pursue legal action, the company has gotten off track.

NanoSignal, for starters, should start filing regular reports with the Securities and Exchange Commission that would help to ease the minds of many of its shareholders. This would give investors factual evidence about the company’s financial status, corporate liquidity, and any other material events that are required by the SEC. At the same time, providing the information was positive, this would present no incentive or opportunity for fraudulent individuals to manipulate the company’s shares. Actual valuation of the company will validate its business model and clear any problems of short selling because short sellers would be afraid to short a “legitimate” company. All of this would reward loyal shareholders as well.

In the end, management just needs to keep their focus on its business, not its share price. Keeping this simple concept in mind will benefit the company and shareholders in the long run.
