      Products and Services

      The company has 4 Divisions:

      1. The Wireless Age

      The retail division, The Wireless Age, operates cellular/PCS stores in Manitoba and Saskatchewan which provide cell phones & service, accessories, wireless networking equipment, land mobile radios, PDAs, pre-paid phone cards, satellite phones, batteries & chargers to consumers, commercial and enterprise & government customers. Some locations also provide Digital TV service and landline phone service offered by the company’s two network operator partners, MTS Mobility and SaskTel Mobility.

      2. Wireless Source

      The Wholesale Division has two key customer groups: Cellular/PCS stores and Land Mobile Radio Dealers. The division operates two distribution centres -- in Regina and Toronto (Mississauga) – and has sales offices in all major centres across Canada. The Cellular business is operated under the trade name iMobile.
      Each of the two groups is served by a dedicated sales force, and the focus of this group is on building a quality dealer network. The products offered by the two are as follows:

      Land Mobile Radio:
      Two-way radios including hand-held, mobile (in vehicle) and base stations and repeaters
      Antennas
      Towers
      Batteries & Chargers

      iMobile:
      Pre-paid phone cards

      3. Wireless Works

      This division operates broadband public access and private networks in Southern Ontario, and develops and deploys consumer and commercial products for those networks. This includes:
      Network design and implementation and technology development and integration. Currently the company provides high speed data services and voice service. The network will also support wireless digital television, home security and remote monitoring.

      4. mmwave (http://www.mmwave.com)

      This division does specialty distribution and network engineering and integration, for carriers and manufacturers of communications equipment in Canada.       Posts 66% Year-over-Year Third Quarter Revenue Increase

      Wireless Age Communications, Inc. (OTCBB:WLSA - News), a leading supplier of solutions to the Canadian wireless communications industry, today reported revenues (including commissions and residuals) of approximately US$2.1 Million for the month of September 2005 and approximately US$6.5 Million for the third quarter ended September 30, 2005. This compares to revenue of US$6.4 Million reported this past quarter and US$3.9 Million reported in the third quarter of 2004.

      yup die gute alte WLSA. Vor allen mit den ganze Insiderbuys zu wesentlich höheren Levels. Hab mich da immer gefragt, wie lange das so bleiben kann. Simmons hat ja 0,75 per share und in private Transactions glaube ich sogar mal über nen Dollar gezahlt, wenn ich das richtig erinnere. :D

      I will answer your questions to the best of my ability.

      First off, we too are frustrated with the stock price. We do not spend
      a lot of time working on tactics particular to that however, because in
      our opinion that is not part of running a business. We believe that
      that market will eventually realize that we do not deserve the price we
      are trading at and the short sellers will leave us alone and pick on
      someone else. If the market perceives that we are constantly trying to
      manipulate our stock price we will lose their confidence. That said,
      each of the officers and directors own significant stakes, so we do care
      in the long run. Here are my answers...

      1. Are you going to do anything at all to improve the share price.
      I believe I have answered this. We have no plans for any tactics aimed
      solely at increasing share price other than solid earnings and
      completing a few small, non-dilutive acquisitions

      2. What is your planned projection of revenue for the next year 2006.
      What will be the major revenue source for next year.
      We do not have guidance yet for 2006 so I can`t answer. The major
      sources or revenue are likely to remain unchanged but Wireless Works
      revenues will begin to become material in 2006.

      3. Why the azonic phone is not yet on the market?
      I am not the CEO of Azonic which is now called Midland. I know a few
      things that are going on in the background but am not at liberty to say.
      What I can say is that as the President of one of the largest if not the
      largest shareholder in Azonic/Midland, I believe our investment will
      begin to pay off soon.

      4.Is WLSA paying for the cost of management for the azonic phones?
      There are basically no costs other than some management time, which we
      are paid for by Midland. WLSA is not in any way absorbing any costs
      associated with Midland`s business.

      4. What are you doing to improve the visibility of the company.
      I can not say but will be in a position to talk about this in more
      detail in about two weeks. Suffice it to say I am not happy with our
      visibility either, and we will be taking positive steps to improve it.

      5. Do you have plans to maintain the profitability and keep a
      sustainable revenue grwoth?
      Absolutely! We are meeting as a management team in two weeks to talk
      about this more. We have stated publicly that we still plan to get on a
      senior exchange as soon as possible and this means increasing both top
      and bottom line and will require some acquisitions.

      6. Mr.Simmonds indicated he is buying more on the open market. This will
      be a good move to show his confidence, When is he going to do that?
      I don`t know. You would have to ask him.

      7. Why there are no other insider buys?
      In most cases Mr........, the officers and directors already have a
      significant portion of their assets tied up in WLSA shares. That is the
      case for me.

      wie bist du den auf die aktien aufmerksam geworden?;)

      @all,

      also ich hatte und habe bei der company irgendwie immer ein schlechtes bauchgefühl - trotz der insiderkäufe.

      die jüngste pr sagt mal wieder nix zu den gewinnen/cash-flow, simmonds hat sich aus dem operativen zurückgezogen und ein offizielles quartals-filing kann ich net finden.

      schaue ich mir dazu den chart an... also irgendwas köchelt da im hintergrund?!

      bisher war der cash-flow nicht dicke, auch net besonders viel liquidität in der hinterhand, ausserdem müssen die vielen übernommenen unternehmen noch integriert werden - eine insolvenz halte ich da nicht für ausgeschlossen. wäre nicht das erste unternehmen was an liquiditätsmangel trotz umsatzschub kaputt geht.:(

      aber warten wir mal das filing ab - wird wohl aufschluss geben:confused:

      A Tech stock actually worth owning

      As 321gold readers know, I virtually never mention any stocks other than resource stocks. The sole exception may have been last October when I saw a temporary bottom in the stock market and mentioned that NT was cheap at $.50. For those who care, Nortel is now $4.26 and not nearly as cheap as it was 11 months ago.

      But a tech. company came to me recently and wanted to sign up for advertising. It`s a Canadian Wireless company, Wireless Age Communications (WLSA, OTCBB $2.25 US) with an interesting slant. The company head, John Simmonds, has been THE leader in Canadian telecommunications for the last 20 years and he`s about to hit another home run. I found some interesting information about Simmonds and Wireless Age.

      John Simmonds began his first company, Midland Canada, in 1978. In eight short years, he went to $20 million in annual revenue. In 1981, he began a long career of buying low cost acquisitions and building them up for later resale. He purchased Dynacharge out of bankruptcy for $100,000 and sold it four years later for $10 million. Without being negative, John Simmonds is a wheeler-dealer and a very good one indeed.

      In 1987, John took over Glenayre, a mid-level mobile communications business doing $40 million in sales. Through a series of strategic acquisitions, Simmonds increased revenue to over $400 million in 18 months.
      Mr Simmonds went on to spin the US subsidiary of Glenayre off under its own IPO and the company reached a market cap of $3 billion US in less than five years. In 1992 and 1993, Glenayre was the biggest gainer on the Nasdaq as the stock roared from $14 a share to $700 (split-adjusted).

      In 1994, Simmonds bought Intec at $.44 a share. When he sold the company two years later, shareholders got $12, a gain of 2600%.

      The wireless industry in Canada is essentially fragmented into small and inefficient units. Simmonds intends to consolidate these smaller companies into a much larger integrated company providing high margin hardware solutions to wireless customers.

      Wireless Age buys companies on the basis of high margins, a positive cash flow and a strong base of residual payments from wireless phone companies. They can be very selective in their purchases so they can constantly be increasing efficiencies and profits by "rolling up" a fragmented industry.

      As a result of a US FCC change in frequency spacing in 2-way radios, anyone using 2-way radio in the US and Canada will need to upgrade their systems in the next three years. Wireless Age intends to use the Midland brand name to sell a variety of proprietary products which will comply with the new regulations. Manufacturing and distribution agreements are already in place.

      The company has 17 million shares outstanding and only 3 million in the float. Volume on the stock is fair and increasing daily.

      I rarely put a target price on a stock but since this is a tech stock, which I would normally shun like sin, Wireless Age is an easy 3-5 bagger in any market. It has a solid business plan, top notch management and a high growth market regardless of economic climate.

      This is neither a buy nor sell recommendation, we have not been paid to produce this piece. We don`t own the stock but we might buy some - and they do advertise with us.

      hi jose,

      habe damals auch länger über den wert nachgedacht, aber da sind ein paar sachen, die gefallen mir einfach net - bisher:

      -simmonds doppelrolle ceo wlsa und azonic, jetzt ja nur noch letzteres. sowas ist ein full-time-job

      -trotz offensichtlich frapierender unterbewertung fällt das teil wie ein stein - die amis sind meistens cleverer darin ne gute business-story zu erkennen und der stock ist da ja durchaus bekannt

      -simmonds hat zwar ein paar insiderkäufe getätigt, aber bezogen auf sein privatvermögen müssen das nur peanuts sein, warum legt er nicht nach?

      -das wachstum ist fast nur auf aqcuisition aufgebaut, intern eher schwach und der sharepreis als übernahmewährung bringt momentan net viel

      -die firma ist noch relativ klein, aber besteht auf vielen units und übernommenen einheiten. sowas zu integrieren macht häufig enorme schwierigkeiten

      -aber der eps muss ja nicht = cash sein, da gibt es auch andere möglichkeiten


      wie gesagt, der nächste 10q sollte zeigen woran wir sind, ist auch nur ein leichte befürchtung meinerseits aber ich bin bei dem stock eher zurückhaltend

      @jose- irgendwie kenne ich Dich doch von TTL ;)

      Bin auch in Wireless Age investiert- schon (viel zu) lange- sprich ich bin dermaßen im Minus daß +/- 20% nix ausmachen...
      In der letzten Meldung auf der Homepage steht, daß sie jetzt eine IR-Firma beauftragt haben ein bisschen IR zu betreiben- na mal schauen ob es was bringt. Ich überlege, auf dem Level nochmal zu verbilligen- bloß sind ja quasi keine nennenswerten Stückzahlen in D zu bekommen :(

      das Interessante ist jedoch, wenn nur 20% der
      Rumours von damals bzw. der Erwartungen auch vom
      neuen CEO eintreffen, dann sollte die Aktie bald deutlich
      höher stehen.

      Na mit solchen Einstiegkursen wäre ich glücklick... Hatte gestern schon überlegt in USA nachzulegen- den falschen Tag ausgesucht. Na ich beobachte das mal noch etwas... Erinnere mich gut an eine Analyse Anfang 2004 "Kursziel 8USD"- wow- solche Analysten müsste man steinigen ;)
      Weiß jemand, was WLSA an Cash hat? Rein das operative Geschäft sieht ja nicht schlecht aus- wobei die voll auf stationären Handel zu setzen scheinen. Die Website ist ne Katastrophe (@jose: das hat Sie mit unserer TTL und BDI gemeinsam *lol*)... Warum keinen Online-Shop im Retail-Bereich? Viel zu wenig werblich. Aber vielleicht "ticken" die Canadier ja auch anders....

      I am confused by your comment they do not need to borrow to run the business. Their 9/30 10Q states, "As at September 30, 2005, the Company had current assets of $5,093,237 and current liabilities of $5,480,878, indicating a working capital deficit of approximately $388,000 down from working capital of approximately $285,000 at the beginning of the year. The Company`s working capital ratio decreased from 1.07 at the beginning of the year to 0.93 at September 30, 2005. As the Company has risen to higher operating levels working capital has become a matter management must address. The Company plans to improve upon working capital through aggressive asset based lenders or other measures available to the Company at its current stage of maturity. Item 3. Defaults Upon Senior Securities.

      As at September 30, 2005 the Company was in breach of certain financial ratio covenants with its working capital lender."

      Working capital has declined primarily due to funding losses at Knowlton Pass. Where will the funds come from to build inventory for the holiday selling season? I too feel the company has potential, but they presently appear to be anything but cash flow positive. Please explain your comment that they are cash flow positive.

      1. Does the company have enough cash for the next phase and is there an influx of cash coming that will avert a squeeze.

      Wireless Age is currently in the process of seeking additional working capital and capital expenditure financing to accommodate the growth anticipated next year. We are optimistic that the incremental financing will be non-dilutive.

      2. What gives WLSA any type of advantage in the marketplace? What is to stop it`s competitors from doing what it`s doing, and what is WLSA doing to maintain whatever market it has?

      We are reluctant to answer questions regarding competitive issues. What we can say is that we have several exclusive arrangements in place that provide an advantage to the company. We also have a very capable management team in Messrs. Cowie, Mackinnon and Poulos (Glenn), running our business units.

      3. How is core growth of WLSA without MMWave, relative to core growth with WLSA?

      We anticipate that for the period ended December 31, the organic growth for the “non-mmwave” portion of the business will be in the range of 15%.

      4. Is Simmonds actually going to buy the stocks from Phantom Fiber, or is he just going to count it as bought since it`s through a company he runs?

      This is a matter between a third party and one of our directors. We have no specific knowledge of the matter.

      5. What is WLSA`s rough progress (estimated) on it`s wireless works project as a % of completion of the project, and a % of completion of estimated cost.

      The Wireless Works project is on budget, and is about 75% complete in terms of its build out of the Niagara region. The build or acquisition in other regions has not yet begun.

      6. What are going to be the main catalysts for this stock going forward?

      This is not an appropriate question for management to comment on.

      7. Does the current stock price represent a bargain for insiders yet?

      Management considers the stock price to be a very good value at the recent levels.

      8. What are you and WLSA doing to increase interest in the company?

      In addition to our portal on the Agora website, Wireless Age is using the services of Stockhouse.ca to reach over 500,000 registered members, and 600,000 unique monthly visitors, all of whom are seeking information on small cap stocks.

      9. What about forecasts for 2006?

      We will not be making forecasts for 2006 for several quarters. We would like to reassure our shareholders that our company is strong, and we anticipate a very good 2006, however specific guidance for that period is premature.

      10. What about the Midland cell phone?

      Wireless Age provides administrative services only to Midland. The services provided are primarily in the area of public company compliance. It is more appropriate for their CEO to comment on the plans and progress of the company.

      11. If it`s not appropriate to comment on Eiger`s business plan, then at least tell us what per cent of John Simmonds time is now being devoted to WLSA. His involvement in WLSA was a factor in my original investment decision. His part-time status is a concern. If his involvement with Eiger is going to have some positive benefit to WLSA, I`d like to know what that is.

      There is no relationship between Eiger and Wireless Age. Mr. Simmonds is our non-Executive chairman and he spends several hours per week with our CEO, primarily on issues of strategy, in addition to time spent as a board member and on various committees. The current CEO, Mr. Poulos, has over 20 years’ experience in the wireless business, including leading mmwave to the #8 position on the Profit 100 list of Canada’s fastest growing companies in 2001 (followed by #21 the next year).

      12. If it`s not appropriate to comment on Midland`s business plan, then at least tell us what to expect with WLSA`s 10-20% (I don`t recall the exact number) ownership of Midland stock. Was this a management boon-doggle or will there be some future positive benefit to WLSA?

      Wireless Age currently owns approximately 16% of Midland. We believe based on the information that we have, that the investment in Midland will prove to be positive.

      13. When are the ``trading windows`` referenced? When is the next window? Do the insiders intend to buy at that time (the next window)? How many windows were there in the past 9 months?

      Trading windows for officers, directors, employees and insiders open the date commencing on the third business day after (i) general public release of the Company’s annual or quarterly financial results and (ii) ending two weeks before the end of the then-current calendar quarter. The CEO also has the authority to close a then open window if in his discretion feels that material undisclosed information exists. Since the beginning of 2005, there have been two windows, plus the one that remains open at the time of writing (November 21, 2005).

      14. What type of compensation is Agora receiving for WLSA promotion? Is this in cash or stock? What is the amount of cash/stock?

      Agora received 100,000 restricted shares of Wireless Age, and is paid a monthly fee of US$2,500.

      15. Does the company still expect to have earnings of 5 cents a share for 2005?

      We are continuing to strive for 5 cents/share. We are not in a position to reiterate guidance as we are currently investigating some issues surrounding taxation, and percentage of completion of some of our larger projects in mmwave. Five cents remains the goal however.

      16. What is the bank overdraft of $410 K for?

      Wireless Age operates its businesses through a few separate legal entities. The bank overdraft balance of $410,709 is the sum of outstanding cheques across all legal entities that have not yet cleared the bank account. If as of balance sheet date some of these cheques had in fact cleared the line of credit would have been higher.

      17. Did Mr. Simmonds complete the transaction for all shares he publicly stated he was buying at .75?

      This is a matter between a third party and one of our directors. We have no specific knowledge of the matter.

      18. What do you mean when you say ``investigating other options for listing on a senior North American exchange``? Please explain. Does this imply a buyout or merger? How would you get the $50 million market cap, or does one of the other exchanges not have this requirement?

      There are several options open to the company that do not require a $50Million market capitalization. We are investigating these so that the company may migrate off the over the counter bulletin board more rapidly. At this time there are no plans for a merger, buyout or any other business combination.

      Still expects to achieve record earnings

      TORONTO--Nov. 29, 2005-- Wireless Age Communications, Inc. (OTCBB:WLSA - News), a leading supplier of solutions to the Canadian wireless communications industry, today announced that it was revising downward its earnings per share (EPS) outlook for fiscal 2005 but still expects to achieve record earnings.

      Management previously stated that it expected the Company to achieve $0.05 EPS. In the first three quarters ended September 30, the Company has achieved $0.026 EPS. However, operating results of the wholesale business segment thus far in the fourth quarter have been affected by several timing issues and market factors that include the following:

      1) the lack of traditional fourth quarter spending by the major telephone companies in Canada

      2) a major long term client that traditionally represents a significant portion of the company`s business has experienced delays in obtaining financing for its next phase of build out

      3) technological changes in the WiMax arena have delayed two significant contracts and pushed them into 2006.

      In addition, operating results for the fourth quarter will be affected by the settlement with Simmonds Mercantile & Management Inc. with respect to early termination of the management services contract. Management believes that virtually all of the business anticipated in the fourth quarter will ultimately be realized, resulting in a deferral to future quarters due primarily to timing issues in the current quarter. At this time management is not able to provide specific guidance beyond its expectation that fourth quarter profits will be marginal.

      ``The good news is that we believe Wireless Age will still achieve record earnings in 2005, a great accomplishment for the Company and our shareholders.`` stated Mr. Gary Hokkanen, CFO. ``Retail operations are slightly ahead of plan for the fourth quarter and Wireless Works is on track to profitability.``

      yep,

      eventuell könnte jetzt absoluter tiefpunkt sein. die schlechten zahlen kommen ja nach aus der simmonds-ägide.;)

      jedoch hat das management bisher nicht verdient, dass man als anleger in vorleistung geht und jetzt schon eine position einnimmt.

      mir ist das nach wie vor zu unsicher - ich bleib noch aussen vor.:(
