Umsätze sind Angesprungen, da aber die Aktie sonst kaum handel hat, sind selbst die 500 k die vorgestern rumgingen sehr viel.
Steubesitz ist ganz gering, es gibt nur 4,5 Mio Aktien.!


Ashlin Development Corporation Enters Into Merger Agreement With Gales Industries Incorporated
Tuesday November 15, 9:44 am ET

BOCA RATON, Fla., Nov. 15 /PRNewswire-FirstCall/ -- Ashlin Development Corporation (OTC Bulletin Board: ASHD - News; the " Company" ) announced today that it has executed a Merger Agreement (the " Merger Agreement" ) under the terms of which a newly formed Ashlin subsidiary will merge with privately-held Gales Industries Corporation (" Gales" ) in a stock-for-stock exchange (the " Merger" ) utilizing Ashlin Common and Preferred Stock. Contemporaneously with the closing of the Merger, Gales will acquire all of the outstanding capital stock of privately-held Air Industries Machining Corp. (" AIM" ) (the " Acquisition" ). Gales is a holding company formed to effect the Acquisition. The Merger will result in a change of control of Ashlin, and accordingly, with the exception of Mr. James Brown, who will remain a director, our management and Board of Directors will change as of the closing date.

ADVERTISEMENT
The Merger Agreement is subject to, among other things: (i) the consummation by Gales of a private placement offering of a minimum of $6.5 million of equity securities (the " Offering" ); (ii) AIM securing a new loan facility in the amount of $14 million; and (iii) completion by the Company, prior to closing of the Merger, of a 1-for-1.2494 reverse split of our common stock (the " Reverse Split" ). The Reverse Split will reduce the number of shares of Common Stock that we have outstanding on a fully-diluted basis (currently 4,707,813 shares) to approximately 3,768,000 shares. The reverse split will be effective prior to, or simultaneously with, the Merger. Any of our shareholders who, as a result of the Reverse Split, would hold a fractional share of Common Stock, will receive a whole share of Common Stock in lieu of such fractional share. We expect that the shares of our Common Stock currently outstanding will constitute approximately 7% of our Common Stock outstanding on a fully-diluted basis immediately after the Merger; i.e., at that point, the enterprise will have approximately 55,000,000 million shares outstanding on a fully-diluted basis. Existing Ashlin shareholders are subject to further dilution if an amount greater than the minimum threshold of securities is sold in the Offering. We anticipate that the Merger will be consummated during the fourth quarter of 2005.

Founded in 1969, AIM manufactures aircraft structural parts and assemblies principally for prime defense contractors in the aerospace industry, including Sikorsky, Lockheed Martin, Boeing and Northrop Grumman. For the six months ended June 30, 2005, AIM`s revenue totaled approximately $14.1 million. For the twelve months ended December 31, 2004, AIM`s revenue totaled $24.8 million. Approximately 85% of AIM`s revenues are derived from parts and assemblies directed toward military applications, although direct sales to the military (US and NATO) constitute less than 10% of AIM`s revenue. AIM`s parts are installed onboard Sikorky`s Blackhawk helicopter and Lockheed Martin`s F-35 Joint Strike Fighter.

Bedeutet, die absolut unterbewertete Aktie die nur eine MKP von zur zeit 700.000 Dollar hat , wird ein großer Player !

bei 3,5 Mio- 5 MIo MKP sind die somit noch absolut niedrig bewertet zumahl sie 1,5 MIo Cash mit sich bringen.

von den 700 k die sie grad also wert sind, können sie locker sich verzehnfachen.

Kursziel 2 Dollar.

Also noch fett was drin in der Aktie.

Da gibts laut level 2 nur noch 5000 St dann ist der nächste kurs 2 dollar, danach 10 dollar

Wenn da aber mal Umsatz aufkommt, geht sie durch die decke bis 3-5 dollar

es sind nur noch ca 10000 st in level dan ist alles weg !

Soweit mein englisch reicht, sehe ich das so, daß Ashlin von "Gales Industries Corporation" übernommen wird.
Gales will dann die "Air Industries Machining Corp. (" AIM" )" gegen Aktien einbringen. Der Streubesitz wird danach etwa 7 % betragen.
Nach Abschluss der Transaktion wird Mr. James Brown von Gales Ind. die Kontrolle übernehmen.
Die 100.000 $ Frage ist nun: mit welchem Wert wird AIM eingebracht !!
Da noch eine weitere Gesellschaft von Gales Ind. dazwischengeschaltet wird, um erstmal die Aktien von AIM zusammen zu kriegen, besteht die Gefahr, daß die Einbringung zu einem überhöhtem Wert erfolgt. Sicherlich ist AIM eine gute Comp., da sie aber bisher privat geführt wurde, ist alles etwas undurchsichtig.
Da Ashlin eine Gesellschaft ohne Geschäft ist, beträgt der Wert der Aktie bei ca 3,768 Mio Shares und 1,5 Mio cash (wie meisterfu schreibt) demnach ca 0,40 $.
Das heist, unter 0,40 $ könnte man kaufen, bei 0,60 $ spätesten aber wieder raus.
Da ich selbst noch seit "Health and Nutrition" Zeiten investiert bin, freue ich mich natürlich, daß der Cashbestand endlich bewertet wird, beobachte aber sehr skeptisch was da passiert.

Also das Problem oder das schöne an Ashlin momentan ist halt das überhaupt keine Stücke da sind.
Niemand hält sie noch.

Da aber das Meger an der Börse interesse auslöst, wir sie weiter steigen.

Du hast recht der faire wert ist eigentlich gar nicht zu bestimmen, da ich nicht weiß wieviel aim verdient.

Aber klar ist Insider kaufen !
Heute wieder 50000 St zu 0,7 gleich am anfang und es geht weiter aufwärs.

Ich denke echt wir sehen die Aktien bei 2 Dollar wenn es so weitergeht.


Was wirklich fair ist ist ganz Problematisch zu sagen.
Ich denke aber momentan ist fair 1 Dollar, angesichts dessen dass kaum Stücke da sind.

Auszuschließen ist aber nicht dass sie auch auf 5 Dollar oder 10 Dollar steigt !

Die Börse ist halt so !

Denke sogar sie steigt weiter, denn es gibt einfach keine stücke mehr auf dem markt.
