MJS And TSA Consolidate Joint Venture Interests In China

Further to their joint news releases dated January 19, 2005 and August 24, 2005, Majestic Gold (TSX.V: MJS) and Trans America Industries (TSX.V:TSA) wish to announce that their existing joint venture agreement dated January 14, 2005 has been amended dated effective February 1, 2007 (the "JV Agreement"). Pursuant to the amendment, MJS and TSA no longer have a joint Area of Interest and the Shandong Licenses and Yantai Licenses (defined below) are no longer subject to the JV Agreement. Only the Jing Cheng Licenses (defined below) remain a part of the joint venture.
The Jing Cheng Licenses adjoin MJS' Song Jiagou gold property (as described in its news releases dated February 15, 2007 and November 29, 2006), which MJS is pursuing in a separate joint venture with its Chinese partner, Shandong Yantai Muping Gold Mine. The Jing Cheng Licenses share the Song Jiagou geology, and MJS and TSA are concentrating their efforts on exploring the possibility of an extension of the Song Jiagou mineralization.
In 2006, Majestic conducted an IP survey, soil sampling, and geological mapping with a focus on the northwest portion of the license area. One of the first targets identified in this program was drilled with negative results. Several more targets remain to be tested, including a series of IP anomalies associated with a major fault zone. Surface exploration of the remainder of the license area is planned for 2007.
"The Jing Cheng licenses possess great potential to host additional gold mineralization in the immediate area around Song Jiagou, "says John Zimmerman, exploration manager for MJS. "There is a large area with the same host rock as at Song Jiagou and at least two major regional faults that may be important controls for gold mineralization, and there is no better place to discover more ounces than in your own back yard."
Under the JV Agreement, TSA acquired the right to earn 50% of MJS' interest in certain gold exploration licenses held by or for MJS by providing initial funding of $750,000 to MJS. The parties also agreed to explore and develop targets in a 900 square kilometer joint Area of Interest on the Jiaodong Peninsula, Shandong Province, China.
Subject to MJS and TSA entering into formal shareholder agreements as required under the JV Agreement, TSA earned an interest in certain gold exploration licenses held by or for MJS referred to as Dazai, Shugezhuang and Chenjiaguo (the "Shandong Licenses"), Yuhuangding and Beiyujia (the "Yantai Licenses") and Jing Cheng East, Jing Cheng West and Duoshan (the "Jing Cheng Licenses"). All are located in Shandong Province, China.
The amended JV Agreement provides that the Shandong Licenses and the Yantai Licenses are no longer subject to the joint venture. Further, the Area of Interest is deleted and there is no longer any area of interest which is subject to the JV Agreement. TSA continues to hold its interest in the Jing Cheng Licenses.

Majestic Gold Closes Private Placement

Majestic Gold Corp. ("Majestic") announces that it has closed its non-brokered private placement announced on May 3, 2007 and May 11, 2007. On closing, Majestic issued 13,332,500 common shares and 6,666,250 share purchase warrants, each whole warrant entitles the holder to purchase an additional common share of Majestic at $0.60 per share for a period of two years. The proceeds of the private placement total $5,333,000.
Finders' fees in connection with the private placement were paid in accordance with the policies of the TSX Venture Exchange.
All shares issued or acquired pursuant to an exercise of warrants will have four month hold periods expiring on October 2, 2007.
The proceeds from this financing will be used to fund property expenditures, evaluate properties for potential acquisitions, and for the Majestic's general working capital.
