As Asia Telemedia is opposing the winding up petition, the judge gave directions to the filing of evidence from the company and the petitioner and further adjourned the hearing to October 15.
Trading in the shares of Asia Telemedia has been suspended with effect from June 6 pending the assessment on the impact of the winding up petition on the business, operation and financial position of the group.

(Infocast News) Asia TeleMedia Limited (0376) said that it has valid grounds to oppose the winding up petition after considering the advice from its legal advisors. Asia TeleMedia has filed evidence in opposition and attended the court hearing on October 15 to strenuously oppose the petition. No date has yet been fixed for the court hearing of the winding up petition.
Asia TeleMedia has applied for resumption of share trading with effect from this morning.
In the event that the court rules against Asia TeleMedia in the proceedings, Asia TeleMedia intends to settle the outstanding debt through fund raising exercise. According to the estimation of the legal advisors of Asia TeleMedia, Asia TeleMedia considered that it has sufficient time to conduct the necessary fund raising exercise before the winding up process concludes.
The winding-up petition was served on Asia TeleMedia on June 6 by a petitioner. It was alleged in the petition that Asia TeleMedia was indebted to and had failed to satisfy the petitioner of a debt in the amount of approximately $70.27 million as at April 26 together with interest thereon.

The company shares rose 52.63% to $0.435 yesterday.

(Infocast News) Asia Telemedia (0376) has agreed to place 154 million warrants on a best endeavours basis at $0.01 per unit, or $1.54 million in total. The net proceeds of $1.3 million will be used as general working capital.
The company has applied for resumption of trading in its shares with effect from this morning.
The exercise price for each warrant is $0.44 per share. Upon full conversion of the warrants, a total of 154 million shares will be issued, representing 9.1% of the enlarged issued share capital of the company. Further fund of $67.7 million will also be raised from the full conversion, and the net proceeds of $67.6 million will be utilised for general working capital.
The issue price and the exercise price of the warrants total $0.45, representing a discount of more than 18% to the price of $0.55 on the last trading day before suspension of trading.

(Infocast News) Asia Telemedia (0376) has agreed to terminate its original placing agreement on placing warrants, as its fallen share price has made placing unattainable.
On the other hand, the company has entered into a new placing agreement for the placing of 154 million warrants also at $0.01 per warrant, or $1.54 million in total. The subscription price per share is $0.25, compared to $0.44 for the previous proposed warrants.
The company has applied to the Stock Exchange for resuming trading in its shares starting from this morning.
$0.26, being the aggregate of the issue price and the subscription price, represents a discount of approximately 13.33% over $0.3, the last closing price of Asia Telemedia's share price before suspension of trading. It is expected net proceeds of approximately $1.3 million will be raised by the placing and the same will be utilised by the group as its general working capital.
Immediately after the full exercise of the subscription rights attaching to the warrants, 154 million shares will be issued by the company, representing 9.07% of the company's enlarged issued share capital, for an extra $38.5 million. The net proceeds of $38 million will be utilised by the group for its general working capital and as funds for future development of the existing business and other business when investment opportunities arise. At present, the company does not have any specific development and investment plans.
The directors believe that it is in the interests of the company and the shareholders as a whole to terminate the original placing agreement and the termination has no material adverse impact of the existing business and financial position of the group.

At this stage, the SFC has identified approximately $31.2 million held in the bank accounts of two individuals, "C" and "D" as well as in the bank accounts of two British Virgin Islands companies (BVI companies) controlled by "C". The Court has suppressed the identities of "C" and "D". These bank accounts are now frozen under the terms of the interim worldwide injunction. The SFC is continuing to make inquiries to identify more assets up to the value of $43.662 million.
The SFC's action was based on evidence and suspicions that "C" sold approximately 100 million shares through his own and suspected nominees' accounts between 27 April and 30 May 2007.
Investigations by the SFC found that these transactions occurred before ATML informed the market that a winding-up petition had been served on the company and that winding up proceedings had commenced.
The sum of money frozen by the injunction is the loss that appears to the SFC to have been avoided by "C" in selling approximately 100 million ATML shares before news of the statutory demand and winding up petition became generally known.
The injunction serves to prevent the dissipation of assets pending the finalisation of the SFC's investigation and to ensure there are sufficient assets to satisfy any financial penalty, compensation or disgorgement orders, if relevant proceedings are commenced and orders are made against "C".

Der Investor und die Verwalter erwarten, dass die Bedingungen, unter denen die Exklusivität Zeitraum verlängert wird zu gegebener Zeit vereinbart werden. Die Parteien haben nicht formal in einer Vereinbarung über eine Verlängerung eingesetzt.
Asien TeleMedia sagt, dass es sich nicht in eine rechtlich verbindliche Dokumentation für die geplante Transaktion wie die Vereinbarung über die Umstrukturierung und selbst wenn eine solche Dokumentation ist in abgeschriebenen, es gibt keine Zusicherung, dass die geplante Transaktion abzuschließen.

Pursuant to the Facility Agreement (which has been amended and supplemented by the
Amendment Agreement and the Amendment and Restatement Agreement), the Investor has
agreed to make available to MHF an interest-bearing term loan facility of up to HK$23.7
million secured by the Share Charge, to finance the regulatory capital requirements and
general working capital requirements of MHS and/or for general corporate purposes.
The Investor, its controlling shareholder and the Liquidators (acting as agents for and on
behalf of the Company without personal liability) have further agreed pursuant to the Third
Letter dated 17 December 2010 that up to the date on which (i) the listing of the Company’s
shares on the Stock Exchange is cancelled, (ii) the Restructuring Agreement is entered into,
or (iii) the Investor withdraws from negotiations on the Proposed Transaction, whichever is

A proposal dated 17 December 2010 has been submitted by the Company to the Stock
Exchange in respect of the Proposed Transaction and resumption of trading of its shares on

Exchange in respect of the Proposed Transaction and resumption of trading of its shares on
the Stock Exchange.
At the request of the Company, trading in the shares of the Company on the Stock Exchange

(Infocast News) Asia Telemedia (00376) announced that pursuant to the facility agreement, Gainhigh Holdings agreed to provide Mansion House Financial (MHF) with an interest-bearing term loan facility of up to HK$23.7 million secured by share charge to finance MHF's regulatory capital requirements and general working capital requirements and/or for general corporate purposes.
The loan facility bears an interest rate of 5% and the interest on any overdue amount of the loan is set at 12% per annum.
Gainhigh will have an exclusive right to negotiate the proposed transaction during the exclusivity period.

(Infocast News) The Stock Exchange has placed Asia Telemedia Limited (00376) in the third stage of delisting. After Asia Telemedia submitted a resumption proposal and made various subsequent submissions to the Stock Exchange, the Stock Exchange informed the company that it was allowed to proceed with the resumption proposal, subject to prior compliance with the following conditions to the satisfaction of the Listing Division within six months from the date of the Stock Exchange's letter.
The said conditions include completion of the subion of new shares and convertible notes by the investor, the scheme of arrangement between the company and its creditors and all transactions under the resumption proposal; recruitment of qualified institutional sales; inclusion in the circular to shareholders a pro forma balance sheet upon completion of the transactions under the resumption proposal and provision of a comfort letter from the auditors; publication of all outstanding financial results; and permanent stay of the winding-up order and the release of the liquidators.

(Infocast News) Asia Telemedia Limited (00376), the liquidators and the investor (Johnson Chun-shun Ko, Chairman of Varitronix International (00710))have entered into a subion agreement in respect of the subion of the subion shares and the convertible notes pursuant to the restructuring agreement.
Under the subion agreement, the investor has agreed to subscribe for the subion shares at HK$0.62 each for HK$79.5 million and the convertible notes with a principal amount of HK$92.5 million convertible in full into 149 million new shares at an initial conversion price of HK$0.62 per new share.
The subion price of HK$0.62 per subion share represents a discount of 88% to the theoretical quoted price before the suspension of trading in the shares of Asia Telemedia.
Moreover, Investec Capital Asia Limited has been appointed as the independent financial adviser to advise the independent shareholders in respect of the restructuring agreement, the subion agreement, the whitewash waiver and the special deals.
