THAIWAHGROUP,ging vor 2 jahren durch neue regulierung am set in die nonperforminggroup, TWC ist eine foodholding deren major asset die LRH ist,sowie andere beteiligungen, durch verschuldung in USD ging die gruppe 1999 in den konkurs, und arbeitete weiter unter thailaendischem konkursrecht. die gruppe hat hervorragende beteiligung mit sehr hohemwert. in 2002 war der buchwert der aktie minus 55 thb, in 2003 minus 48 baht. aufgrund der guten aussichten, kaufte ich und ein bekannter ein paket von aktien in der hoffnung auf rueckkehr. die aktie notiert bei 1,70 und wurde ausgesetzt.
in diesem jahr sieht es operativ wie folgt aus bei dieser aktie.
135 mio marketcapitalisierung bei einem umsatz von ueber 2 milliarden ( KUV 0,05) operativ EPS 9,66 (kgv 0,5) auch in 2005 waren 10 baht verdient worden . der buchwert ging von minus 55 auf ausgeglichen.
einer wiedereinsetzung der aktie stand nichts mehr im wege!!! ein kurs bei wiedereinstzung von 15 baht oder mehr lag greifbar.

BESTANDTEIL IN DER BILANZ WAR UND IST DIE LAGUNARESORT

DIESE IST IN DER BILANZ MIT 80,00 THB BEWERTET.
TWC BESITZT 30 MIO AKTIEN, der bilanzwert betreagt damit 2,4 milliarden thb. nun hat lrh eine kapitalerhoehung gemacht im verhaeltniss 1 zu 1,5 neuen zum preis von thb 10. diese kapitalerhoehung ist extrem positiv in einem erstklassigen geschaeftsfeld mit hervorragenden aussichten. haette etzt TWC gezeichnet, haetten sich die bilanzrelationen extre positiv verschoben. denn
denn 30 mio aktien zzgl den neunen aus der kapitalerhoehung von 45 mio macht 75 mio aktien, der bilanzwert angepasst auf 40 thb ( also 20% unter marktpreis !!!!) waren 3 milliarden thb minus dem zeichnungpres von 450 mio thb ,macht bilanzwert 2,55 milliarden bei 20% niedrigerer bewertung vs marktpreis

und jetzt kommt der hammer
diese wiederlinge und BETRUEGER haben die KE nicht gezeichnet aus nichtnachvollziehbaren gruenden, jeder creditor wuerde eigentlich hier diesen minikredit einreaeumen, denn es ist normalerweisse auch in seinem intresse, die firma kuemmerte sich erst tage vorher um ein loan, und nicht monate vorher nach ankuendigung, die BETRUEGER fuehren hier boeses im schilde.
da die ke nicht gezeichnet wurde,bietet sich fuer TWC folgendes bild, 30 mio aktien der LRH muessen jetzt in der bilanz neu bewertet werden, UND ZWAR VON 80 THB AUF 40 ABGESCHRIEBEN WERDEN, ALSO EINE ABSCHREIBUNG VON 1,2 MILLIARDEN THB VERTEILT AUF 78 MIO AKTIEN MACHT DAS EIN VERLUST 17 THB PRO AKTIE , DAMIT IST DER BUCHWERT WIEDER AUF TIEFSTEN MINUS ZAHLEN VON CA 15 THB PRO AKTIE EINE RUECKKEHR AN DIE BOERSE GEHT DAHER UNTER KEINEN UMSTAENDEN DIE FIRMA IST SOMIT PLEITE !!!!!!!!!!!!!!!!!!

Reference: SET letter dated 10 July 2007 and Company letter
dated 13 and 17 July 2007

Reference is made to Thai Wah Public Company Limited ("Company")'s
recent notification to the Stock Exchange of Thailand (the "SET")
which stated that the Company was in the process of ascertaining
whether the Company would undertake an investment by way of
acquiring additional shares in Laguna Resorts & Hotels Public
Company Limited ("LRH")'s right offering process. The Company
would like to provide additional information as follow:

1. The Company had been contacted by a number of its financial
creditors that they would be interested in granting a new loan
of not exceeding THB 441.71 million to the Company (the "New Loan").

2. The Company then contacted the proposed lenders several
times so as to seek clarifications on the New Loan and requested
a formal offer letter from each of the proposed lenders. In the
evening of 18 July 2007, the Company was made aware by its
legal advisors that the proposed lenders had provided the legal
advisors copies of the offer letters which set out terms and
conditions of the New Loan. The aggregate amount of the New Loan
conditions of the New Loan. The aggregate amount of the New Loan
THB 254.14 million. The Company and the proposed lenders
then agreed to have a meeting to negotiate on terms and
conditions of such loan.

3. On 19 July 2007, the Company and the proposed lenders had
a meeting together. One of the material terms of the New Loan
being raised by the proposed lenders was that the new shares
in LRH have to be pledged so as to become security pursuant
to the existing pledge agreement. However, the Company and
TMB Bank Public Company Limited are both arguing about the
legal validity of such existing pledge agreement and this
argument is now subject to an existing legal proceeding
at the Southern Bangkok Civil Court as black case number
6249/2007. If the Company were to accept the proposed
condition to pledge the new shares under the existing
but validity-questioning pledge agreement., it would
prejudice the proceeding and cause damage to the Company.
In addition, the proposed lenders further stated that the new
shares could not be discharged from being pledged even after
the Company had paid in full the New Loan together with
interest thereon. The liabilities and obligations owed by the
Company would be higher than the benefits of the New Loan
received by the Company and this transaction would also be
treated as an undue preference given to some creditors
which is legally prohibited. The New Loan transaction
could therefore cause damage to the representatives of the
Company personally if they were to accept such conditions
of the proposed lenders. The proposed lenders would not
grant the New Loan unless the Company accepted all such
conditions.

The Company hereby notify you that the proposed lenders decided
