RAM Energy Resources (RAME) recently reduced its overall debt by divestiture of gas assets. In December of 2010 they reported the sale of $51.7 million. This was the first time RAM had debt lower then $200 million since 2007. This year they are targeting a mix of 66% oils/liquids and 37% natural gas. RAM will produce approximately 1.7 to 1.8 MMBoe. In Osage County, RAM has 56,320 net acres. This area is predominantly oil. RAM is a very risky play, but may have a high reward. Currently, its debt is very high at $197 million at the end of 2010. Over the past three years, RAM has reduced its debt by $139 million, and now has a much higher oil price to create revenue. RAM is selling itself on price/cash flow. This valuation is attractive only because its production is significant. Price to tangible book value looks expensive.

RAM Energy Resources Announces Operational Update to Planned Activity at Osage Exploration Play

12 Wells Planned for Osage Mississippian Oil Play During 2011

Planned Spending of $5.4 Million, 15 % of CAPEX Budget of $35 Million

More Science – Two Early Wells Undergoing Fracture Stimulation
TULSA, Okla., April 11, 2011 (GLOBE NEWSWIRE) -- RAM Energy Resources, Inc. (Nasdaq:RAME) today announced an update to activity in its Mississippian oil play in Osage County, Oklahoma. Approximately $5.4 million, or 15%, of RAM's 2011 capital expenditure budget totaling $35 million is allocated to the company's 56,320 acre concession, a part of the broad Mississippi Chat / Mississippi Solid / Arbuckle oil play in the region. Interpretation of the first phase of 3-D seismic, acquired in 2010, and initial drilling results indicated that a substantial portion of the acreage surveyed could be prospective. Although the Mississippi Chat has been the company's primary objective to date, the company's practice is to drill through the Chat and through the Mississippi Lime formation in order to gather additional science for future development. The initial wells drilled have encountered Chat zones 40-70 feet thick and porosities ranging from 20% to 35%. Similarly, initial wells have drilled through Mississippi Lime zones of 100 feet, or more, in thickness with a porosity range similar to the 5% to 15% range of porosities experienced by other operators in the western portions of the play.

"We are encouraged with the initial results from our Osage concession and have allocated a large proportion of our capital budget to test the productivity of the area. The combination of rig availability, relatively low drilling cost per well and ample infrastructure in the area allows us to aggressively pursue the play in the coming year," said Larry Lee, CEO of RAM.

Stepped up Pace of Drilling Planned in Osage Mississippian Exploration Play

Following the drilling of the company's three initial vertical wells in the concession during 2010, the company drilled the Farmland #1 during the first quarter 2011, targeting the Mississippi Chat formation. Currently the company is evaluating cores taken from the well. Also during the first quarter 2011, the Surber #3-SWD, a salt water disposal well, was drilled to service existing and future producing wells in the area. In the Surber #2-Twin, drilled during the first quarter near the Surber #3 SWD, core samples have been taken and casing set. RAM is awaiting the evaluation of the core data prior to completing.

The Rickets #3 well and the Surber #1 well, which were drilled to the Mississippi Chat formation late in 2010, have been fracture stimulated in order to test the impact of the slick water frac technique on reservoir permeability, thus advancing the science and knowledge associated with completion techniques in the area. Completion of the salt water disposal well facilitated the ability to fracture these and other planned wells in the area. The company has spud the next well in the series, the Surber #2-27, approximately one section to the west of the Surber #2-Twin. This offset to the Surber #1 and Surber #2-Twin is an exploration well targeting the continuation of the Mississippi Chat formation through seismic identification and sample cuttings from a previously drilled well by another operator. In mid-April the Farmland #2-16, an exploratory well, is scheduled to spud, also targeting the Mississippi Chat. The well, located approximately 2 sections northwest of the Surber #2-Twin, has been permitted and the location built. Immediately following the drilling of this well, the rig is scheduled to move to the location of the Christiansen #3-2. This exploration well is scheduled for a spud date later in April. The well targets the Arbuckle formation and will evaluate the Mississippi Chat and Lime formations. Two wells initially planned for the fourth quarter, the Surber #1-35 and the Rickets #1-35, are now likely to be drilled late in the second quarter as a result of rig availability. The drilling permit application process is underway for both of these wells. The location of the wells is anticipated to be immediately south of the successful Surber #1 well drilled in late 2010 which recorded an initial production rate of 80 barrels of oil per day (BOPD) in the Mississippi Chat formation.

Subsequently, in the third quarter 2011, the company plans to drill the Farmland #1-20 exploration well located southwest of the Farmland #2-16. At the northern boundary of RAM's initial seismic survey, the company plans to drill three wells; the Kendrick #1-27, the Stuart #1-28 and the Jones #1-33. These three exploration wells are designed to test the productivity of the Mississippi Chat and Lime formations in this unexplored part of the concession. If commercial potential exists, then RAM is likely to also drill another salt water disposal well to service these and potentially other future wells in this area of the lease. Archeological studies are proceeding on these wells which are precursors of the drilling permitting process.

In May 2011 the company plans to initiate acquisition of a second round of 3-D seismic on its Osage concession adjoining that of its first round of seismic acquisition. This second phase of 3-D seismic acquisition is planned to cover an additional 19,840 acres in the company's concession and is anticipated to add additional drilling prospects principally for 2012 and beyond when interpreted, later in 2011.

      Advantaged Revenue Stream

Within the broad Mississippian play, the portion of the area covering RAM's Osage concession appears to yield primarily oil. Accordingly, commercialization of the company's acreage could add significantly to RAM's already above-industry-average mix of oil and oil-price driven natural gas liquids (NGL) in its hydrocarbon mix. The proportion of crude and NGLs as a percent of total BOE produced rose to 66% in December 2010 (adjusted to exclude assets sold in December 2010). Similarly, based on RAM's proved reserves at year-end 2010, oil and NGLs accounted for 64 percent of total proved reserves.

RAM Energy Resources Announces Operational Update to Planned Activity at Osage Mississippian Oil Play and Other Operational Activity

TULSA, Okla.--(BUSINESS WIRE)-- RAM Energy Resources, Inc. (Nasdaq: RAM) today announced an update to activity in its Mississippian oil play in Osage County, Oklahoma which encompasses the company’s 56,320 acre concession, a part of the broad Mississippi Chat/Mississippi Solid/Arbuckle oil play in the region. Interpretation of the first phase of 3-D seismic (Phase I), acquired in 2010, and initial drilling results indicate that a substantial portion of the acreage surveyed could be prospective. Although the Mississippi Chat has been the company’s primary objective to date, the company’s practice is to drill through the Chat and through the Mississippi Lime formation in order to gather additional science for future development. The initial wells drilled have encountered Chat zones 40 – 70 feet thick and porosities ranging from 20% – 35%. Similarly, initial wells have drilled through Mississippi Lime zones of 100 feet or more in thickness with a porosity range similar to the 5% – 15% range of porosities experienced by other operators in the western portions of the play.

Progress on the initial Phase I 3-D seismic shoot covering 16,000 acres can be broken down into the following areas:

      (1) Southern Surber Area: RAM has drilled the following eight wells in the southern area of Phase I seismic shoot: Surber 1-26, Ricketts 3-26, Surber SWD, Farmland 1-26, Surber 2-T, Surber 2-27, Surber 1-35, Ricketts 2-35.

The Surber 1-26, the initial discovery well in this area, was drilled to a total depth of 2,530 feet and completed in the Mississippi Chat. After acidizing, this well had initial production of 80 barrels of oil per day (BOPD) and declined to 20 – 25 BOPD prior to fracture stimulation. The Surber 1-26 was slick water fractured in late March 2011 and, after stimulation, was producing 100 – 107 barrels of oil equivalent per day (BOEPD) comprised of 87 BOPD and 119 thousand cubic feet of gas per day (MCFPD). Since June 1 it has been producing 65 – 75 BOEPD, comprised of 35 – 45 BOPD and 200 MCFPD, while we continue to de-water the formation.

The capacity of the Surber SWD to dispose of produced salt water has limited the company’s ability to fully test the other wells in the southern Surber area. RAM is currently increasing the capacity of the Surber SWD to dispose of 7,000 – 8,000 barrels of salt water per day and installing production and testing equipment on the remaining wells in the Surber area. Daily production for the Surber 1-26 has been consistently above the average type curve of wells in the area studied by RAM and has already cumulatively produced in excess of 5,000 barrels of oil in the past nine months.

      (2) Central Mashunkashey Area: The first well drilled by RAM in the play, the Mashunkashey 1-15 which targeted the Mississippi Chat and deeper Arbuckle formations, was found not commercially productive in either formation; however it was completed in a shallower Skinner Sand. Late in the first quarter of this year RAM drilled the Farmland 2-16 and has recently tested a Bartlesville Sand at 20 – 30 BOPD. Also, late in the first quarter of this year RAM drilled the Christenson 3-2 to the Arbuckle formation and recently tested 750 MCFPD of gas. The Farmland 1-20, another seismic anomaly, will be drilled in the central Mashunkashey area in the second half of 2011.

      (3) North Jones Area: RAM is currently working on securing a drilling rig for up to four wells in the northern portion of the Phase I seismic shoot. The Jones 1-33, Stuart 1-28 and the Kendrick 1-27 wells have been permitted, and the Stuart 2-28 SWD permit is in process. The company anticipates drilling these test wells in the third quarter of this year.

Phase II of the 3-D seismic shoot covering an additional 19,000 acres of the company’s Mississippian oil concessions is currently underway with approximately 50% of the acquisition completed.

“We continue to be encouraged by the initial results from our Osage Mississippian oil concession. Once production and disposal facilities are finalized in our southern Surber area, we will provide the market additional production information on this area, as well as regular updates on drilling activity in the central and northern areas of Phase I. We also look forward to completing the acquisition of Phase II’s 19,000 acres of seismic data,” said Larry E. Lee, President and CEO.

Electra/Burkburnett – Production Enhancement Through Waterflood

RAM continues redevelopment of selected leases in its Electra/Burkburnett area of north Texas in an effort to mitigate normal production decline. The company has increased to 15 the number of wells converted to injectors since the second half of 2010 in an effort to enhance the productivity of the existing waterflood at its Piper lease. As a result of the effort to date, production on the lease has more than doubled to 150 BOPD from the previous range of 60 – 70 BOPD. One additional injector is planned for the near future. An 8% – 10% oil cut in new wells drilled in the area indicates that additional upside estimated ultimate recovery of reserves potentially exists from additional waterflood development. The significance of this initial effort is that the Piper lease is only one of many leases in the Electra/Burkburnett area which could potentially benefit from waterflood development.

      Forward-Looking Statements

This release includes certain statements that may be deemed to be “forward-looking statements” within the meaning of the Private Securities Litigation Reform Act of 1995. All statements in this release, other than statements of historical facts, that address the status of exploratory or other operational activities are estimates of events or developments that the company expects or believes and are forward-looking statements. Although the company believes the expectations expressed in such forward-looking statements are based on reasonable assumptions, such statements are not guarantees of future performance and actual results or developments may differ materially from those in the forward-looking statements. Factors that could cause actual results to differ materially from those in forward-looking statements include oil and gas prices, exploitation and exploration successes, actions taken and to be taken by the government as a result of political and economic conditions, continued availability of capital and financing, and general economic, market or business conditions as well as other risk factors described from time to time in the company’s filings with the SEC. The company assumes no obligation to update publicly such forward-looking statements, whether as a result of new information, future events or otherwise.

RAM Energy Resources Announces Appointment of Chief Operating Officer and Certain Executive Officer Retirements

TULSA, Okla.--(BUSINESS WIRE)-- RAM Energy Resources, Inc. (NASDAQ: RAM) today announced the appointment of Mr. G. Les Austin as Chief Operating Officer. Mr. Austin has served as Senior Vice President, Chief Financial Officer, Secretary and Treasurer of RAM since April 1, 2008 and will continue to serve in these capacities. Prior to joining RAM Energy Resources, Mr. Austin was Vice President and Chief Financial Officer of Matrix Service Company, a NASDAQ company providing engineering, fabrication, construction, repair and maintenance services to energy and industrial markets throughout the U. S. and Canada. He is a certified public accountant and serves as a director on the Advisory Board of the Oklahoma State University School of Accounting.

“We are pleased to announce Les’s promotion to the position of Chief Operating Officer of RAM,” said Larry E. Lee, Chairman, CEO and President of the company. “In the three and one-half years since coming on board, Les has proven himself to be an invaluable member of the management team. He understands our business, has done an excellent job working with our lenders and is experienced and well regarded in the capital markets. Les is an exceptional executive with the ability to identify opportunities, manage complicated transactions and supervise the day-to-day execution of the business plan. We look forward to realizing the benefits of Les’s leadership in his new role as COO,” added Mr. Lee.

The company also announced the retirement of Mr. Larry G. Rampey, Senior Vice President - Operations, scheduled for December 2011. Mr. Rampey has been Senior Vice President - Operations of the company since May 2006 and a Senior Vice President of RAM Energy, Inc. since 1998. He was a Vice President of RAM Energy, Inc. from 1989 to 1998.

The company also announced the planned retirement of Mr. Drake N. Smiley, Senior Vice President - Land and Exploration, effective June 2012. Mr. Smiley has been Senior Vice President - Land and Exploration of the company since May 2006 and a Senior Vice President of RAM Energy, Inc. since 1998. He was a Vice President of RAM Energy, Inc. from 1989 to 1994, and again from 1997 to 1998.

Mr. Rampey and Mr. Smiley previously worked for Reading & Bates Petroleum Co. whose domestic properties RAM acquired in 1989. Prior to their retirement dates, Messrs. Rampey and Smiley will assist Mr. Austin in consolidating day-to-day executive management functions into the Chief Operating Officer role.

“Larry Rampey and Drake Smiley have made enormous contributions to the success of RAM Energy Resources and its predecessor, RAM Energy, Inc., since joining the company in connection with our acquisition of Reading & Bates Petroleum Co. in 1989,” said Mr. Lee. “Consistent with their loyal service to the company over the past 22 years, Larry and Drake decided to notify the Board of their retirement plans in connection with the operational reorganization of the company we are also announcing today. We hate to see them go, but at the same time appreciate their willingness to stay on through the end of the year for Larry, and through mid-2012 for Drake, in order to facilitate a seamless transition in the executive management structure,” added Mr. Lee.

While Mr. Austin will assume greater management responsibilities as COO of the company, Mr. Lee will actively continue in his capacities as Chairman, President and CEO.

RAM Energy Resources Reports Update to Osage Mississippian Play
Three of four new wells planned have spudded: one more in queue
Ricketts #2-35 chosen as next well to fracture stimulate
Process of picking drilling locations on Phase II seismic survey underway

TULSA, Okla.--(BUSINESS WIRE)-- RAM Energy Resources, Inc. (NASDAQ: RAM) today announced an update of operational activity on its Osage Mississippian oil play.

      Update to Drilling Activity

Drilling of the four vertical wells planned for the third quarter was delayed until late in the quarter due to rig availability. The Cooper #3-35 was spudded on September 24 and drilled to a total depth of 2,380 feet. The Kendrick #1-27 was spudded on September 30 and drilled to a depth of 2,411 feet. Both wells drilled through the Mississippi Chat and Lime formations and are currently awaiting completion operations. The Ricketts #2-25 spudded on October 7, 2011 and is currently drilling. The fourth well, the Jones #1-33, has been temporarily delayed pending resolution of an access road to the drill site. Further, the permitting process is underway for the company’s second salt water disposal well in the play, the Ricketts #3-35 SWD. The Ricketts #3-35 SWD is anticipated to add significant disposal capacity for the salt water which is produced in association with the oil and gas from the Mississippian formation.

      Southern Surber Area

The Surber #1-26 continues to produce at rates considerably above the type curve of vertical wells surveyed. After fracture stimulation was applied to the Chat formation, the well produced at a daily rate of 108 barrels of oil equivalent (BOE) in June. As of September 30, 2011 daily production from the well was 61 BOE. As a result of the production response observed to date after fracturing the Surber #1-26 well, the company is planning to fracture stimulate the Ricketts #2-35 in the Mississippi Chat formation when a frac date becomes available, which is anticipated to occur sometime during the fourth quarter.

Testing is currently underway on multiple vertical wells previously drilled, including the Ricketts #2-35, Ricketts #3-26, Surber #1-35 and the Surber #2T. The company is continuing to evaluate the feasibility of fracture stimulating these wells. In the meantime, the wells are producing a total of approximately 30 BOEPD.

      Central Mashunkashey Area

The Christenson #3-2, which initially tested at 750 MCFPD (125 BOEPD) of natural gas from the Arbuckle formation and subsequently tested natural gas in the Mississippi Dense (Lime) formation, is awaiting regulatory authority to commingle both zones for additional testing.

      Additional Activity

RAM is tentatively planning to drill its first horizontal Mississippi well in early 2012. The processing and interpretation of the company’s Phase II seismic survey, which covers 31 square miles of the concession to the south and east of the 25 square-mile Phase I survey, is complete. The identification of potential new drilling locations over the Phase II survey is beginning, setting the stage for future drilling.

Petrohawk Chief's Firm To Obtain Majority RAM Energy Stake

      DOW JONES NEWSWIRES

RAM Energy Resources Inc. (RAM) said Halcon Resources LLC, a company led by former Petrohawk Energy Corp. Chief Executive Floyd C. Wilson, agreed to provide a $550 million capital injection, half of which will give it a majority stake in the oil-and-gas explorer.

Under the deal, expected to close in the first quarter of next year, Wilson will become the new chief executive of RAM Energy, which will be renamed Halcon Resources Corp.

RAM Energy co-founder and CEO Larry E. Lee noted Wilson's "outstanding track record of growing" small-capitalization exploration and development companies into large-capitalization enterprises. The capital injection also will provide funds "to expand operations into new and emerging resource plays," as well as develop other projects.

Wilson, who founded oil-and-gas explorer Petrohawk with an initial $60 million, after eight years sold the business to Anglo-Australian resource company BHP Billiton Ltd. (BHP, BHP.AU). The deal, initially valued at $12.1 billion, closed in August.

Under the deal, RAM Energy will issue 220 million shares to Halcon Resources LLC, representing a stake of roughly 74%. The transaction also includes a $275 million convertible note and warrants to purchase 110 million shares, which could increase Halcon's stake further. The conversion price on the warrants was set at $1.50 a share.

RAM shares recently rose 27.3% to $1.40 premarket.

Separately, RAM said it received notice from the Nasdaq that it regained compliance with bid-price listing requirements after trading for at least 10 consecutive trading days since Sept. 15.

RAM Energy Resources, Inc. (RAM) has skyrocketed the past few days, and the big news here is that Floyd Wilson will become CEO of RAM Energy Resources. Keep in mind that Wilson was chairman and CEO of Petrohawk (HK) before that company was sold to BHP Billiton (BHP). Wilson is also investing big in RAM Energy Resources, and the deal includes $275 million of common stock, $275 million of convertible notes, and $110 million of warrants. Here’s what RAM Energy Resources founder, Larry Lee, has said about the change in direction:

This investment will provide the company with the capital necessary to expand operations into new and emerging resource plays, as well as accelerate development of our Mississippian oil concession in Osage County, Oklahoma. It will also allow for the continued development of our major oil fields in Oklahoma and Texas.

Interestingly, RAM Energy Resources went up so much after this announcement that the firm Rodman & Renshaw decided to downgrade the stock to Market Perform. Outside of the recent transaction, cash flows for RAM have been mixed: $90,000 flowed out during 2010, but $10,000 flowed in during the first 9 months of 2011. That can be explained by RAM’s increased willingness to take on debt.
