I have read most of the posts today, except of course those from that “select few” that thankfully most of you seemed to have placed on ignore.
In my firm opinion there are no downsides to ADVC, and I am really the only person in a position to know all of the facts in that regard. In reality, I personally believe, that the inter-company affairs of both enterprises are rapidly growing from strength to strength.
Those who judge the state of company affairs of ADVC by the results of the stock market are missing the obvious in regard to ADVC. Many of your comments on RB, in regard to “opportunities”, would seem very appropriate to me.
Although much of the time I am accused by some of relaying facts without substance, I know this is not the case. From my perspective I am attempting to update the concerned investors the best I can, considering the restrictions I must observe. It is easy to snipe at and ridicule the genuine efforts of others when hiding behind a non disclosed alias.
On a more positive note:
WE HAVE relentlessly, and progressively, proceeded to broaden the base, and solidly establish a very strong operational and financial foundation for the rapid expansion of ADVC’s activities. This will become evident, if it has not already, to most soon, and we will continue resolutely down this path despite the apparent inability of some to understand what we now have in progress.
I have always planned, and proceeded to implement a “two pronged” approach to both ADVC, and ACT AUS. By that I mean, that in ADVC, the parent company is the high tech entity committed to developing and then marketing a leading edge technology, while Advanced Global Communications (AGC – the wholly owned subsidiary of ADVC) is the revenue-generating arm, and it is generating increasing revenues, albeit at a lower level that anticipated.
As well, ACT AUS is the parent devoted to developing several leading edge technologies, while Australon is the revenue-generating arm.
Most high tech companies always suffer from a lack of revenues in the R&D and production stages. The revenue generating subsidiaries will support the R&D&P in the early stages, but the revenues from “SpectruCell” and associated technologies will far exceed revenues from the subsidiaries in the not to distant future.
Splitting ACT AUS into two ASX listed public companies will give tremendous strength to the Australian operations, both from an operational and financial and fund raising basis. In addition, considering the twenty percent ownership of ADVC in ACT AUS, this will obviously also reflect positively in the ADVC stock prices, by virtue of the “cross pollonization” effect that is now possible between the US and AUS operations.
I returned last night from Perth, Australia where I completed initial arrangements for the merger of ACT into another ASX listed company, that should provide ACT AUS with AU$13 – $20 million, for a 10% – 15% dilution of ACT AUS. An official announcement should be made prior to the 30th April, 2000. It is not completed at this stage, but completion is anticipated. This is in addition to the AU$5 - $25 million that will be received via the Australon merger with Gawler Gold.
The recent Wall Street crash has had no effect on either of these transactions.
All of the actions mentioned in my last post (RB –ADVC- Post 23847) are current and ongoing, and there are more. Australon is already engaged in two substantial merger/acquisitions that will provide additional immediate revenues, in addition to a substantial number of documented orders in place.
There is no point in releasing new PR until the market stabilizes into an upward mode, which should now be imminent (I hope!). I have at least seven (7) major announcements with more to follow once I return to the USA. There may be major press coverage in the Australian financial press in the next ten days.
ADVC and ACT AUS are both in the process of engaging large PR firms to embark upon a major PR campaign to support both a Road show to the brokerage community during May 2000, and create public awareness to the investment community.
My return to the USA has again been delayed as I will be traveling to Korea and Japan on the 27th , 2000, and then onto Switzerland, London, and back to New York on the 4th May, 2000. These plans may vary slightly..
The trip to Japan is especially important as it is in regard to establishing a strategic relationship to J/V network runouts all over the world with an established organization, as well as to “piggyback market” SpectruCell and Australon products with established complementary sales offices (150) located in almost every country in the world. This trip is the next step, following months of discussions and negotiations.
If there were any negative scenarios, or circumstances that I had any knowledge of, I would report them here, as I have in the past.
We are not making reckless and impetuous decisions in response to market pressures, but we are proceeding rapidly, a step at a time, to consolidate and develop the enormous potential we believe is the assured future of ADVC and ACT AUS.
We are also proceeding with plans to commence operations in the UK and Europe in the third quarter of 2000, as previously stated.
There are always delays due to unexpected circumstances (like last Friday !) but we work around these occurrences, and still go forward accordingly, as we always have.
On a less pleasant note:
The RB board for ADVC does, unfortunately, seemed to have attracted a disproportionate number of detractors. I saw today that one of them had posted 1454 posts in the last seven months. A performance, on average, of seven or more totally negative posts a day, every day of the week, for the last seven months. Truly Amazing !. But we are in the process of dealing with this element appropriately, at last.

Thank you for the continued faith and support of all the “longs” and other more recent ADVC investors. In my personal opinion, you will not be disappointed.
Much has happened during this quiet period, since I arrived in Australia six weeks ago.
This trip has been extremely productive, both for ADVC and ACT AUS. I have been laying foundations. Very solid foundations.
I will be returning to the USA on the 18th April, 2000.
There are no negatives of any nature regarding any of the business activities of either ADVC or ACT USA, as will become very evident in the next two weeks. In fact the situation is quite to the contrary. We have made tremendous progress, both in the USA and South America, and in Australia, and other parts of the world. We have continued to lay very strong foundations globally.
SPECTRUCELL
Production of the SpectruCell wireless base station prototype unit is on schedule for June/July 2000, and expanded applications have been added which I believe will substantially increase marketability universally.
We have always planned a “Cisco style” of market approach that in essence is one of becoming a supplier to all areas of the communications industry. To the network providers, and all other communication providers generally where use of the expanded SpectruCell applications will be appropriate. Much progress has already been made in the early implementation of this style of distribution and marketing approach, while still adhering to the principles of “piggy back “ marketing. Every indication is that we are still far ahead of any competition, and in fact, we have yet to identify a legitimate competitor.
There is extensive interest in SpectruCell from several large international companies. Two of these are being vigorously pursued from a strategic relationship perspective, particularly in regard to the installation of wireless networks in 2nd and 3rd world regions on a partnership basis.
ACT USA - ADVC & Advanced Global Communications (AGC)
I signed funding commitments on the 3rd April, 2000 with Trinity Capital to provide initial funding of US$2-$3 million, with a further facility of US$12 million within 120days.
I have also executed an Agreement to raise US$25 million on a private placement basis with a Washington D.C. based merchant-banking firm that specializes in funding the wireless communications industry. I will announce the name of the company upon execution of the formal placement agreement within the next 21 days.
AGC
Through World IP, AGC has been granted International Carrier Licenses for voice and data provision in the country of Chile. Similar license applications are in process in Nicaragua and Guatemala.
Following Jim Rennie’s trip to Central America, three weeks ago, GSM and CDMA license applications are in process, and being aggressively pursued in several countries in that region in order to facilitate a proposed SpectruCell rollout in that region. From initial discussions, a positive outcome is expected, but no actual definitive status of these licenses can be reported at this stage.
AUSTRALON
Australon has caught us by surprise. While I always looked upon Australon as a means to achieve immediate substantial revenues, the amount of incoming inquiries for potential large orders has swamped us. We have a team traveling to Korea the week after next seeking to finalize one order from a large multi national corporation for a RF radio linked remote temperature control and monitoring device that has been estimated at a total value of AU $300 million. We are currently working on order inquiries in excess of AU$900 million dollars. This is especially pleasing as we have not established a marketing team for Australon at this time. Australon’s position, through the Unilon association, of being one of only 16 L.I.D.’s ( Lonworks Independent Developers) in the world, combined with it’s ten years of experience in LonWorks applications, and the patented interface board that allows for the rapid production of complicated network control applications, has produced a “snowball” effect in attracting new business.
ACT (AUS) PTY LTD – BEING MERGED INTO TWO SEPARATE, PRESENTLY LISTED, AUSTRALIAN PUBLIC COMPANIES. – TOTAL FUNDING –AU $38 MILLION
AUSTRALON PTY LTD – to become Publicly listed –ASX (Australian Stock Exchange) company.
Australon was spun off as a separate Australian private corporation in October, 1999. Subsequently, an agreement in principle has been reached to merge Australon into an existing ASX publicly listed company, on a reverse merger acquisition, or rollover basis. Australon will be the surviving PLC (Publicly Listed Company) with a large majority control, once all of the ASX compliance requirements have been met and approved by ASX, which may take 60 days.. ACT AUS still owns 70% of Australon, and ACT USA (ADVC) does now own 20% percent of ACT AUS, which means it will have a substantial, and financially valuable interest in the Australian public company Australon Ltd.
Deloitte, Touche & Tohmatsu are currently completing an independent valuation of Australon as required by ASX. This study will be made public upon completion and will list verified details of the potential and existing Australon client orders. The report is due next week.
Upon consummation, the merger will provide immediate cash of AU$5 million with an additional AU $20 million, from one-year stock options, expected within the short term. This will provide initial total funding for Australon (AUS) of AU$25 million.
Australon will expand operations into the USA, establishing West Coast offices immediately. The possibility of an IPO for Australon (USA) Inc. will be aggressively explored and pursued
ACT PTY LTD - to become a Publicly listed –ASX (Australian Stock Exchange) company.
An agreement in principle has also been reached to merge ACT Pty Ltd with another existing ASX publicly listed company, on a reverse merger acquisition, or rollover basis. ACT AUS will be the surviving PLC with a large majority control, once again when all of the ASX compliance requirements have been met and approved by ASX, which may also take 60 days. ACT USA (ADVC) ‘s 20% percent ownership of ACT AUS, will result in ACT USA owning a substantial interest in the surviving Australian public company Advanced Communications Technologies Ltd.
Deloitte, Touche & Tohmatsu is also undertaking an independent valuation of ACT AUS as required by ASX. This study will be made public upon completion. The report is due in 21 days.
Upon consummation, the merger will provide immediate cash of AU$13 million for ACT AUS, with a larger secondary offering being considered for the third quarter of this year.
ACT AUS will experience a 10% dilution for the AU$13 million in capital from the existing AUS public company. The PriceWaterhouseCoopers proposed funding agreement, from March, 1999, called for a 30% dilution for AU$20 million in capital. ACT AUS decided not to proceed with the PWC funding proposal in March, 2000.
The initial ACT AUS application for AU$9.5 million in matching R&D grants has been submitted for approval from Aus Industry, and a favorable outcome is expected within two months.
Once the public company mergers are approved by ASX, further capital raisings for both companies will be evaluated, via secondary offerings in the public marketplace, for both ACT AUS and Australon.
In essence, the last two months have been spent consolidating many aspects of both the US and Australian operations, while at the same time putting in place substantial foundations designed to provide a solid structure and sound financial platform to dramatically expand both the operational and revenue bases of the companies throughout the global marketplace..

regard. In reality, I personally believe, that the inter-company affairs of both enterprises are rapidly growing from strength to
strength.
Those who judge the state of company affairs of ADVC by the results of the stock market are missing the obvious in regard to
ADVC. Many of your comments on RB, in regard to “opportunities”, would seem very appropriate to me.
Although much of the time I am accused by some of relaying facts without substance, I know this is not the case. From my
perspective I am attempting to update the concerned investors the best I can, considering the restrictions I must observe. It is
easy to snipe at and ridicule the genuine efforts of others when hiding behind a non disclosed alias.
On a more positive note:
WE HAVE relentlessly, and progressively, proceeded to broaden the base, and solidly establish a very strong operational and
financial foundation for the rapid expansion of ADVC’s activities. This will become evident, if it has not already, to most soon, and
we will continue resolutely down this path despite the apparent inability of some to understand what we now have in progress.
I have always planned, and proceeded to implement a “two pronged” approach to both ADVC, and ACT AUS. By that I mean, that
in ADVC, the parent company is the high tech entity committed to developing and then marketing a leading edge technology, while
Advanced Global Communications (AGC – the wholly owned subsidiary of ADVC) is the revenue-generating arm, and it is
generating increasing revenues, albeit at a lower level that anticipated.
As well, ACT AUS is the parent devoted to developing several leading edge technologies, while Australon is the
revenue-generating arm.
Most high tech companies always suffer from a lack of revenues in the R&D and production stages. The revenue generating
subsidiaries will support the R&D&P in the early stages, but the revenues from “SpectruCell” and associated technologies will far
exceed revenues from the subsidiaries in the not to distant future.
Splitting ACT AUS into two ASX listed public companies will give tremendous strength to the Australian operations, both from an
operational and financial and fund raising basis. In addition, considering the twenty percent ownership of ADVC in ACT AUS, this
will obviously also reflect positively in the ADVC stock prices, by virtue of the “cross pollonization” effect that is now possible
between the US and AUS operations.
I returned last night from Perth, Australia where I completed initial arrangements for the merger of ACT into another ASX listed
company, that should provide ACT AUS with AU$13 – $20 million, for a 10% – 15% dilution of ACT AUS. An official announcement
should be made prior to the 30th April, 2000. It is not completed at this stage, but completion is anticipated. This is in addition to
the AU$5 - $25 million that will be received via the Australon merger with Gawler Gold.
The recent Wall Street crash has had no effect on either of these transactions.
All of the actions mentioned in my last post (RB –ADVC- Post 23847) are current and ongoing, and there are more. Australon is
already engaged in two substantial merger/acquisitions that will provide additional immediate revenues, in addition to a substantial
number of documented orders in place.
There is no point in releasing new PR until the market stabilizes into an upward mode, which should now be imminent (I hope!). I
have at least seven (7) major announcements with more to follow once I return to the USA. There may be major press coverage
in the Australian financial press in the next ten days.
ADVC and ACT AUS are both in the process of engaging large PR firms to embark upon a major PR campaign to support both a
Road show to the brokerage community during May 2000, and create public awareness to the investment community.
My return to the USA has again been delayed as I will be traveling to Korea and Japan on the 27th , 2000, and then onto
Switzerland, London, and back to New York on the 4th May, 2000. These plans may vary slightly..
The trip to Japan is especially important as it is in regard to establishing a strategic relationship to J/V network runouts all over the
world with an established organization, as well as to “piggyback market” SpectruCell and Australon products with established
complementary sales offices (150) located in almost every country in the world. This trip is the next step, following months of
discussions and negotiations.
If there were any negative scenarios, or circumstances that I had any knowledge of, I would report them here, as I have in the
past.
We are not making reckless and impetuous decisions in response to market pressures, but we are proceeding rapidly, a step at
a time, to consolidate and develop the enormous potential we believe is the assured future of ADVC and ACT AUS.
We are also proceeding with plans to commence operations in the UK and Europe in the third quarter of 2000, as previously
stated.
There are always delays due to unexpected circumstances (like last Friday !) but we work around these occurrences, and still go
forward accordingly, as we always have.
On a less pleasant note:
The RB board for ADVC does, unfortunately, seemed to have attracted a disproportionate number of detractors. I saw today that
one of them had posted 1454 posts in the last seven months. A performance, on average, of seven or more totally negative posts
a day, every day of the week, for the last seven months. Truly Amazing !. But we are in the process of dealing with this element
appropriately, at last.

Könnte mir auch vorstellen, dass nach dem Nasdaqeinbruch gestern diese Woche keine News mehr kommen. Meiner Meinung nach macht R.May den Fehler, anstehende Sachen z.T. vorher anzukündigen und damit Überraschungen vorweg zu nehmen, die mögliche Wirkung eines guten Newsreleases verpufft einfach.
Naja, halb so schlimm, im Juni/Juli soll der Prototyp fertig sein, auf die Zeit bin ich WIRKLICH gespannt!

I haven`t posted for a while, but I have been following the board and I think there are a few things that I can respond to.
SpectruCell Testing and accreditation

Firstly, there was a technical question regarding what testing equipment we are using. The products mentioned in the post (24946), were basically web testing and transaction testing software (Mercury Int, CYRANO). We will be load testing the base station (BTS) using telecommunications grade testing procedures and software. The SC prototype will not be formally accredited by a third party, but the production version (SC version 1) will. We are at present evaluating several packages for cost benefit, complexity, etc. These are packages like Crossbow, NetHawk, and the HP Telecommunications Testing Suite. We are also looking at several testing laboratories to certify that our BTS meets the relevant GSM and CDMA specifications/accreditation, as well as EMC, power and environmental ratings. These are accredited testing laboratories, which have a waiting list of several months. We are presently negotiating timeframes with them. Most of these laboratories are in Europe and will send people to our facilities in Melbourne for the 20-30 day accreditation procedure. In general though, the implementation details of our test plan are presently being finalised, subject to the results of these evaluations/discussions. This timeframe has been incorporated into our project planning and we are anticipating beginning our testing implementation in the last quarter of this year.
SC Marketing

The core marketing philosophy of ACT is to leverage off existing marketing and distribution channels. As such we are presently creating associations and strategic partnerships with this aim. The recent trip to Tokyo was for this purpose. As we finalise such arrangements, they will be made public. We have assembled an experienced team of sales and marketing and promotional staff to aid in this procedure. Our corporate planning requires this team to be fully operational within the next three months. At present we have filled the VP International Business Development and VP Marketing positions.

There has been a lot of grumbling about the lack of a substantial press release. There are two main reasons for the lack of news from ACT, the NASDAQ crash, and the fact that we will only release news when it is the appropriate time. By this I mean that we will not make public statements until all arrangements (legal and otherwise) have been finalised. Over the past few months we have been extremely busy in forming associations, joint ventures, strategic alliances and the like. These things do not happen overnight, they take time. As such we will be releasing details when they are ready for public dissemination. What we have been doing is building a company with very solid foundations. We are not a high flying dot com style of company that many investors have become accustomed to., We are actually building a very solid foundation for the company. This does not happen in Internet time. We have been very busy and I have outlined some of our progress and activities below, as has Roger May in his recent posts on this board.
Is Software Defined Radio the way to go?

Simply stated --> Yes. This is the way that the industry is heading. A question was posted asking whether or not SDR (software defined radio) is a good direction to head or not. This person formed the opinion that it was bad based on a post from Wicked Wanda. I do not believe that Wicked Wanda is an expert in the field, and the poster in question should do a bit more research in the area before forming such opinions. The SDR forum (www.sdrforum.org) would be a good start.
General Progress

We have recently made significant progress with the SEM (Spectrally efficient microwave link) development. We are also discussions with a large design firm that will significantly decrease the SEM development and production time. We are having some minor difficulties in sourcing DSP chips from Texas Instruments, but we feel confidant that we have worked this problem out. The SC prototype is still on track, with our first build of GSM and CDMA implementation scheduled for July 2000. There will be some debugging and refining to this build, but basically we are still on track with our product development plan.
Australon

As many of you are aware, we have been arranging a backdoor listing for Australon on the Australian Stock Exchange. This is well along the way to completion and gives Australon access to significant resources to further the development and sales of the Australon range of products. Senior Australon management are presently on a sales and marketing tour of several Asian regions, including Korea, Taiwan, Singapore and Hong Kong. This tour is aimed at introducing Australon products to the region (and existing LonWorks Integrators), touring manufacturing facilities and forming relationships with companies for product supply and distribution. The trip is proving to be tremendously successful. There will be more news (public) about this in the coming weeks. Again though, this is not an Internet timeframe.
Everything that we have been doing (ACT & Australon) during recent months has been positive and successful. We have not experienced any noteworthy setbacks. We have a well founded long-term vision for these companies, and are building foundations that will support this vision. There will be a press release in the very near future (within a few days) outlining some of the activities of the past few weeks and some of the results of those activities.

ich möchte mich an dieser Stelle mal für Eure Geduld und Eure Informationen bedanken!!
Es dauert ein weilchen die OTC BB zu durchschauen, gerade die Position/Macht der MM, die Funktion der hyper und der basher ... ich habe jedoch bislang noch in keinem anderen Marktsegment soviel verdient ... und auch verloren ... so ganz langsam ist jedoch das "Zehnerl" gefallen und das Verdienen überwiegt bei weitem ...
Zu ADVC: die kommen noch, und dann schätze ich gewaltig ... und wenn nur die hyper wieder Oberwasser bekommen ...
RM hat zwar etwas von MD (SNMM) aber solange es nur das Mundwerk ist ... LONG in ADVC!!
Ich habe zu diesen günstigen Kursen meine Position weiter aufgestockt und es kann von mir aus auch gerne noch ein weilchen unten bleiben, der Zyklus wird schon wieder einsetzten, dann werde ich wieder etwas abbauen, dann wieder ggf. ein paar 100% güstiger wieder einsteigen ...
So wird zwar nur ein kleiner Teil steuerfrei und langfrisig gehalten ... aber an der OTC BB ist das bislang mein Erfoglsrezept ...

ich möchte mich an dieser Stelle mal für Eure Geduld und Eure Informationen bedanken!!
Es dauert ein weilchen die OTC BB zu durchschauen, gerade die Position/Macht der MM, die Funktion der hyper und der basher ... ich habe jedoch bislang noch in keinem anderen Marktsegment soviel verdient ... und auch verloren ... so ganz langsam ist jedoch das "Zehnerl" gefallen und das Verdienen überwiegt bei weitem ...
Zu ADVC: die kommen noch, und dann schätze ich gewaltig ... und wenn nur die hyper wieder Oberwasser bekommen ...
RM hat zwar etwas von MD (SNMM) aber solange es nur das Mundwerk ist ... LONG in ADVC!!
Ich habe zu diesen günstigen Kursen meine Position weiter aufgestockt und es kann von mir aus auch gerne noch ein weilchen unten bleiben, der Zyklus wird schon wieder einsetzten, dann werde ich wieder etwas abbauen, dann wieder ggf. ein paar 100% güstiger wieder einsteigen ...
So wird zwar nur ein kleiner Teil steuerfrei und langfrisig gehalten ... aber an der OTC BB ist das bislang mein Erfoglsrezept ...

Nachdem es gestern Abend viel Aufregung am RBboard wegen dem verspäteten SEC-filing (Quartalszahlen 1.Quartal 2000) gab, hat Jason Webster heute mit Roger May gesprochen. Dabei erfuhr er folgendes:
Das SEC-filing, um das es soviel Wirbel gab besagt lediglich, daß die Frist zum Einreichen der Unterlagen um 5 Tage verlängert wurde.
Die Unterlagen werden rechtzeitig in dieser Frist eingereicht.
Die lang erwartete PR wird es am Montag oder Dienstag geben. Einiges von ihrem Inhalt hat RM bereits in seinen Postings angedeutet.
Die Aufregung über die Notiz des verspäteten filings bezeichnet er als Sturm im Wasserglas.
