LEANLIFE HEALTH: CLOSING PRIVATE PLACEMENT
LeanLife Health Inc. has closed the second tranche of its previously announced non-brokered private placement and is issuing a total of 22,920,000 units at a price of five cents per unit for an aggregate of $1,146,000 of which $465,000 was issued as shares for debt to current debt holders. Each unit comprises one common share and one share purchase warrant for an additional share at 7.5 cents per share for three years from the date of issuance. In connection with the placement, the company had provided for finders' fees of up to 10 per cent, payable in cash. Total finders' fees are $22,000.

LeanLife Health Inc., pursuant to its 10-per-cent rolling stock option plan, has granted incentive stock options to certain officers, directors and consultants entitling them to purchase an aggregate of 4.9 million common shares of the company at an exercise price of five cents per share for a three-year term expiring at close of business on Feb. 7, 2022.

LEANLIFE APPOINTS OPERATIONS MANAGER
LeanLife Health Inc. has hired an operations manager.
The company introduces Glenn Nichols, who will lead the buildout of LeanLife's production facility.
Mr. Nichols's involvement is part of a company-wide reboot, where every position and expenditure is evaluated for its strategic benefit.
He brings more than 15 years of product and operations management experience, having worked with large multicompany teams, combined with a strong automation engineering background.
Over the past several years, he has played key roles in the nutraceutical market, bringing a manufacturing plant operational while automating several of its complex processes to maximize efficiencies, reduce labour requirements, and improve product quality and consistency.
One of Mr. Nichols's primary strengths is his ability to identify problems with current or planned products and processes. His creative solutions have resulted in him being named in several patents granted, pending or in the application stage, for every company he has worked with over the past 18 years.
Mr. Nichols will continue where Ms. Liu left off. LeanLife thanks Ms. Liu for her past service.
"LeanLife looks forward to benefiting from Mr. Nichols's expertise as it prepares a clear path to fulfilling its original mandate of providing a shelf-stable omega-3 product to meet the growing demand," said Stan Lis, chief executive officer.

LEANLIFE HEALTH INC. ANNOUNCES AGM RESULTS AND OFFICER CHANGES
LeanLife Health Inc.'s shareholders voted in favour of all resolutions brought forth at the company's annual general meeting of shareholders held in Vancouver, B.C., on Jan. 4, 2019.
Resolutions that were proposed and approved (99.96%) at the Meeting included:
1. Setting the number of directors of the Company at five (5);
2. Election of the following directors of the Company for the ensuing year;
Stan Lis
Glen Macdonald
Marcin Lukaszewicz
Robert Chanson
Casey Forward
3. Appointment of Charlton and Company, Chartered Professional Accountants as
auditors of the Corporation for the ensuing year; and
4. Ratifying the Company's Stock Option Plan as described in the Information Circular.
For health reasons Casey Forward had to resign as a Director and later as CFO on January 9, 2019.
Mr. Jason Tong, CPA, CA, CFA, of Vancouver has been appointed CFO following the resignation of Mr. Forward. Mr. Tong has served in senior management positions for a number of public and private companies in his career. Mr. Tong was previously the Chief Financial Officer of Pathway Capital Ltd, a venture capital firm with a portfolio of early stage ventures with market capitalization ranging from $5M to $100M. Mr. Tong was the Chief Financial Officer of Turnberry Resources Ltd. from February 2012 until the Company was acquired in April 2014. Currently, Mr. Tong is the Chief Financial Officer of ExGen Resources Inc. and is a senior advisor to several high- growth companies.
