Er beinhaltet den Kauf von Wertpapieren eines Emittenten seitens der Bank, bevor diese überhaupt der Öffentlichkeit zum Kauf angeboten wurden.
In Folge eines solchen Vertrages wird die Emissionsbank gegenüber der Öffentlichkeit vom Beauftragten zum Auftraggeber und übernimmt damit auch sämtliche Risiken bezüglich des Handels mit den Wertpapieren.
Zwischen den Vertragspartnern wird ein Preis ausgehandelt, der in der Regel unterhalb des aktuellen Marktwertes liegt.
Der Emittent zieht aus einem Bought Deal den folgenden Vorteil:
- Abgabe der Risiken an die Emissionsbank
Für die Emissionsbank ergeben sich die folgenden Vorteile:
- Wertpapiere relativ preisgünstig eingekauft -> Verkauf mit Gewinn möglich
Der Nachteil dabei ist, dass die Bank die Papiere bei Misserfolg nicht einfach verkaufen oder abgeben kann. Sie muss diese im Bestand halten.
