T.V.G. Technologies Ltd. Makes Several Announcements

REHOVOT, Israel, May 24 /PRNewswire/ -- T.V.G. Technologies Ltd. (the ``Company`` or ``TVG``) (Nasdaq: TVGTF - news) made the following announcements today:

1. The Company announced that HIS Software AG, a private company which specializes in selling security products for banks in Europe, was nominated by TVG to be its exclusive distributor in Switzerland,
Austria and Hungary for banking institutions. HIS Software also serves as a marketing agency of Check Point, a world leader company of security and firewall products.

2. The Company announced that it will invest up to $2 million to establish a smart card factory in Germany, to be 100% owned by the Company. The Company intends to increase sales by being closer to its
customers. The Company believes that production of the smart cards will begin during the fourth quarter of 2000. The Company plans to expand production of smart cards with a local partner in Germany.

3. The Company announced that TVG and Embers have cancelled their agreement, dated March 22, 2000, concerning a $2 million investment by the Company in Embers. The Company intends to invest in a
production facility in the United States at a later stage. Pursuant to the Cancellation Agreement, all monies received by Embers have been returned to the Company.

4. The Company announced that it is still continuing to negotiate with Emprise, a German company that, among other activities, is involved in e-commerce and Business-to-Business software and network
consulting. Emprise`s shares are traded on the Neuer Market of the Frankfurt Stock Exchange. An investors conference is planned to take place on May 29, 2000, at the Hilton Tel-Aviv where, both TVG
and Emprise will announce the main principals of the common business between the two companies.

T.V.G. Technologies Ltd. is an Israeli-based high technology company primarily engaged in the design, development, manufacture, marketing and support of software and hardware products involving smart
cards.

1. TVG gibt bekannt, daß die HIS Software AG, eine private Gesellschaft, die auf den Verkauf von Sicherheitsprodukten an Banken in Europa spezialisiert ist, von TVG ernannt wurde, ihr ausschließlicher Vertreiber für Kreditinstitute in der Schweiz, Österreich und Ungarn zu sein. HIS Software dient außerdem als Marketing Agentur von Check Point, einer weltweit führenden Gesellschaft in Sicherheits- und Firewall-Produkten.

2. TVG gibt bekannt, daß sie bis zu 2 Millionen Dollar investieren will, um eine SmartCard-Fabrik in Deutschland zu errichten, die zu 100% TVG gehören wird. TVG beabsichtigt, ihren Absatz zu steigern, in dem sie näher bei ihren Kunden ist. TVG glaubt, daß die Produktion der Smart Cards während des vierten Quartals 2000 beginnen wird. TVG plant, die Produktion von Smart Cards mit einem in Deutschland ansässigen Partner zu erweitern.

3. TVG gibt bekannt, daß TVG und Embers ihre Vereinbarung vom 22.März 2000, hinsichtlich einer 2 Millionen Dollar Investition von TVG in Embers, aufgelöst haben. TVG beabsichtigt, zu einem späteren Zeitpunkt in eine Produktionsmöglichkeit in den USA zu investieren. Entsprechend der Auflösungsvereinbarung wurden alle Gelder, die Embers bereits erhalten hatte, an TVG zurückgegeben.

4. TVG gibt bekannt, daß sie noch immer mit Emprise in Verhandlungen steht, einer deutschen Gesellschaft, die, neben anderen Aktivitäten, im Bereich E-Commerce, B2B-Software und Network Consulting tätig ist. Die Aktien von Emprise werden am Neuen Markt der Frankfurter Börse gehandelt. Eine Investorenkonferenz ist für den 29.Mai 2000 im Hilton Tel-Aviv geplant, bei dem TVG und Emprise die Eckdaten ihrer geschäftlichen Zusammenarbeit bekanntgeben wollen.

die news waren nicht so überraschend. eigentlich zum teil schon bekannt. was ich aber trotzdem hoffte, war, daß der kurs
sich nördlich bewegt. dies ist nicht eingetreten. sehr verwunderlich. na ja, warten wir mal den 29.5. ab. wenn dann aber keine
kursreaktionen zu verzeichnen sind ( nach oben ), sollte man sich gedanken machen.

1. TVG dicovered a hole in the existing security systems. TVG also found the "cure" to it and showed it to Hitachi. Hitachi was convinced and decided to use TVG solution, meaning, using its
READER/WRITER for smart cards and adjust them to its customers.
2. Hitachi will pay small royalties to TVG for each R/W that will be sold.
3. This R/W will enable to every computer,
cellular phone or any other device to do safe transactions in the net !!!!
4. so the aim is that this R/W will be integrated or conected to every computer or device that is connected to the net. so, the market is huge.
5. TVG is in connection with other very BIG companies in the area of SC, to sell them their solution.

How did TVG close the security hole ?
THE hole is in the security is because the data of the smart cared are held on the cpu of the comuters. But we all know, that any hacker can get in and read it from our computer.
The solution of TVG is to seperate these data
from the computers by olding them in a separate device: the READER/WRITER. SO, on the (spu of the) computer you have only encoded (coded) information that a hacker can`t do with it
a lot.
In that way it secures the connection between the SC and the computers or the USB device.

They claimed that there is a good chance that other companies will choose their solution.
If I am remeber correctly, they also intend to supply by themselves R/W. This is planned to the end of the year.
They will also sell the software and SC.

The Company is still continuing to negotiate with Emprise, a German company that, among other activities, is involved in e-commerce and Business-to-Business software and network
consulting. Emprise will adjust TVG software to the german market which is a big one. But yet, they didn`t closed any specific deal (contract).
Emprise, representatives were not attended at to conference because they couldn`t come.
The conference was organized very nicely. About 60 representatives of all the important investing institutes in Israel and private investors were attended.
I asked to, and they promised, to update their website.
Also they have invested in startup in Israel dealing in WAP.

The royalties are above $1 for every W/R. I don`t think that it`s good to say exactly how much it is.

The balance sheet of 1999 will be out in about a month, since then no analyst is able to give any recommendations.

They explained, that Emprise couldn`t come because inside problems. One of their daughter companies has failed with an IPO, because of the bad market.
I don`t think TVG is controlling Emprise decisions and things like that can happen.
I think that they don`t have any experience in PR, therefor they are arising expectations before its time.
I can`t take responsibility whether to buy or sell but I agree to put my neck on their honesty.
I don`t think that their success depends with Emprise deal. It all depends on big deals like HItachi.
This deal is very importent. We were told that hitachi worked on several kinds of R/W and after TVG showed them its R/W, they decided to continue only with it.
Hitachi are working on it very seriously.

Actually it seems, that TVG solved some very serious problem in the SC security which prevented SC from geting into market.
Their R/W will cost between 20-30$ (I think to the end user).

They also said in the conference, that another big company has visited them several times and it`s seems to them, that they will also choose their solution.
I am trying, not to create more expectations then existed, but to inform (as I promised )most of the relevant thing I heard.

Anyhow I`ll be in touch with company and report u on good as on bad things.

Ich würde sagen, daß hört sich ja mal wieder ganz gut an. Da wird uns TVG wohl noch so manche Überraschung
auf den Teller servieren.

Jetzt muß TVG nur noch mal wieder eine aktuelle offizielle Bekanntmachung abgeben, die diese Aussagen
bestätigt. Und eine Aktualisierung der Homepage wäre auch ganz nett.

Hatte leider keine Kohle mehr um nachzukaufen.
Ist aber echt schön mal wieder etwas Aktivität nach oben zu sehen nach der langen Durststrecke.
Habe ebenfalls keine News gefunden.

Hey,

bin ebenfalls noch im Boot, allerdings immer noch mit 500 ST. a 6$.

Wenn mich die Gebühren nicht so abschrecken würden, hätte ich damals fast bei 2,25 noch mal zugelegt. Aber was hilft jetzt, und in der Verganheit, jammern. Hoffen wir, dass einer von Euch, mein englisch ist immer noch nicht besser geworden, irgendwo im www ddiiee positive Nachricht für die Nordrichtung findet und hier postet.

Ich bin sicher, während ich die zeilen hier schreibe, sind Charger und Moneymonster in dieser Richtung aktiv.

Ansonsten bin ich immer noch der Meinung, dass der Deal mit Hitachi und der Produktionsbeginn Ende des Jahres für weiteren Aufschwung
sorgen werden. Und kann geht auch langsam das Spekulationsjahr zu Ende.

... und weiter nach oben !!! Schon wieder 15%.

Aktuell liegt der Kurs bei 2 7/8 $ und das bei gar nicht so geringen Umsätzen.

Immer noch keine News gefunden und auch aus Israel ist nichts zu hören. Mal sehen
wie es mit dem Kurs weitergeht und wann endlich die News zu dieser Kursrallye folgen.

Oder hat da jemand mal wieder ein Pump and Dump vor? Den Kurs mit riesen Umsätzen
nach oben treiben, um die Aktie wieder in den Fokus zu bringen, damit kleine Aktionäre
fleißig dem Kurs hinterher rennen und dann bei passender Gelegenheit wieder ordentlich
absahnen.

Wie auch immer, der Wert wird sowieso am Jahresende stark gestiegen sein, wenn die ersten
Umsätze aus dem Hitachi-Deal fließen.

TVG steigt seit 5 Tagen kontinuierlich,auch gegen den Trend und nirgends sind irgendwelche kursbewegenden News zu finden.
Ich denke daß die Anleger(nicht die Zocker)langsam das Potential dieses Wertes
erkennen.
Schön ist zu erkennen,daß der Wert nach dem Kursrückgang nicht zum
Spielball der Zocker verkommen ist.Hoffentlich hat TVG die Zeichen
erkannt und überrascht uns in nächster Zeit mit positiven News.

Bei TVG ist ja zur Zeit Achterbahnfahrt angesagt. Mal gespannt ob die aktuellen News Schwung in die Aktie bringen. Unter den Anfragen an Steve Harmon wurde auch eine Frage zu TVG gestellt; die Antwort ist aber auch nicht aussagefähig! Also, auf bessere Zeiten!
PS: Ich glaube das Auslaufen der Opt.-Scheine wird noch kurzfristig Leben in die Aktie bringen!

Now I understand why it was so important for them to extend warrants A, B and C.

BTW, zeees forgot to tell you a few things... but 1`st I`d like to tell my buddies about it. Later on I`ll post the article here as well. In general, Siemens (zeees, this is the correct spelling, it`s a well known
german company) is just part of the picture.

wenn, ja wenn an der sache was dran sein sollte, dann bin ich froh, daß noch einige stücke tvg in meinem
depot sind. falls diese sache wirklich zum laufen kommt, kommt garantiert der kurs ins laufen. ach, was
sage ich, er wird rennen. jetzt ist warten auf offizielle news angesagt. nachkaufen??? schaun mer mal.
auf jeden fall wäre dies auch eine plausible erklärung dafür, daß man mit emprise keinen deal gemacht hat.

hei leute habe heute einen kurzen artikel in der nrz gelesen
wo drin steht das siemens mit der lufthansa einen vertrag geschlossen
der beinhaltet das die lufthansa ihre bordkarten abschaffen will und
dann nur noch mit chipkarten arbeitet die von siemens kommen und siemens bekommt
sie von ?????????????????????????????

Morgen Leute !

Im Yahoo-Technologie Message Board scheint die Stimmung nach der langen
Durststrecke langsam wieder ins positive überzugehen, was die Aktivitäten
von TVG anbelangt.
Die Gerüchte,die seit langem im Umlauf sind scheinen sich langsam aber
sicher zu bestätigen.

1. Neue Produktionsstätte in Deutschland ist fertig und beginnt bald mit der Produktion !

2. Eine Tochtergesellschaft wurde letzten Monat in den USA gegründet (100% TVG controlled)

3. Hitachi Deal bringt ca. 15 Mill.$

4. Ein zweiter "Großauftrag" soll ca. 30 Mill.$ bringen.

5.Bar Reserve beträgt ca. 2,5 Mill.$

6. Die oben genannten Punkte sollen in naher Zukunft offiziell gemacht werden.


Falls diese 6 Punkte der Wahrheit entsprechen( es sind keine offiziellen Pressemitteilungen,
sondern nur Gerüchte/Postings),würde die Marktkapitalisirung ca. 40-50 Mill.$ betragen.
Das würde dann einen Kurs von 6 - 8 $ bedeuten.

Dies ist keine Kaufaufforderung,nur die Meinung eines Shareholders.

TVG wird seinen Weg machen,da bin ich mir sicher!!
