Hallo allerseits

Es sind sehr viele Gerüchte und Infos bezüglich Tausch von RICARDO via QXL im Board. Die einen sagen so, die Anderen so.
Weder bei meiner Bank noch von sonst irgendwo (geschweige auf der Seite von RICARDO) finde ich fundierte Angaben bezüglich des "angeblichen" tausches
der Aktien.

Daher meine Frage an "Fachleute" :
Wie und wann soll das Tauschangebot stattfinden ?
In welchem Verhältnis ?
Wann stehen Fakten bereit ?
Wozu ratet Ihr mir ?

Why is the merger being sought?
The merger of ricardo and QXL will combine two former competitors to create a strong European company and by far the biggest online auction house in Europe with around 1.3 million members. The new company will be represented in ten countries: as market leader in Germany, the UK, Switzerland, the Netherlands, Sweden, Denmark and Norway, and in leading positions in Italy, Spain and France. ricardo and QXL have very similar business models. Through their merger many positive synergetic effects can be achieved. The new enterprise will therefore be able to operate even more efficiently than before.

What will the new company be called?
After completion of the merger the new company will be called QXLricardo plc. PLC stands for Public Limited Company and is the English equivalent of "Aktiengesellschaft".

What will I gain from the merger as a customer?
The merger of ricardo and QXL will combine the strengths of both companies, creating a much bigger product range and a huge virtual marketplace with nearly 1.3 million buyers and sellers in Europe.

What will happen to the ricardo shares?
The details of the share swap are currently being planned. It is agreed that a swap offer of 42.6 QXL shares for one ricardo share will be made to the ricardo shareholders. This swap offer includes a premium of 27 percent based on the closing prices of QXL (180 pence) and ricardo (100 euros) on May 15, 2000. This public offer is likely to be made in July. You will be informed in good time about the details of the procedure. The merger is intended to be completed at the end of August.

On which stock exchanges will QXLricardo shares be listed?
The new share will be traded on the Nasdaq in New York and on the London Stock Exchange. Depending on the merger talks between the Frankfurt and London stock exchanges a listing on the Neuer Markt will be sought.

Where will the new company have its head office?
QXLricardo`s head office will be in London. The German headquarters will remain in Hamburg.

Zusammenfassung: konkretes Übernahmenangebot kommt im Juli, die Fusion dürfte dann im August abgeschlossen sein. Das Umtauschverhältnis ist definitiv bei 42,6 QXL für eine Ricardo Aktie.

QXLricardo ist dann unbestrittener Marktführer in Europa (ebay kann bis auf seiner Deutschland-Filiale wenigstens in Europa noch nicht mithalten , die andere Filiale in Europa ebay-UK ist unbedeutend klein! ). QXLricardo ist dann Marktführer in UK, Deutschland, Niederlande, Schweiz (Marktanteil über 80 %!), Schweden, Dänemark und Norwegen.

Ich rate natürlich zum Kauf
Bei einem 30 %igen Diskount von ricardo gegenüber QXL kann man mit einem Kauf im Moment wohl nicht viel verkehrt machen. Außerdem ist ricardo mit einem KUV von 11 und einem KGV von 140 angesichts des extremen Wachstums äußerst günstig bewertet.
