      ADSX News on Bloomberg:

The Insiders Are Buying at AIG, Applied Digital:
      John Dorfman
      By John Dorfman

Boston, Oct. 25 (Bloomberg) -- If anyone should know when things are getting
better at a company, it is the company`s insiders. In most cases, they know a
company far more intimately than any Wall Street analyst ever will.

That`s why I like to keep a close eye on insider transactions. First
Call/Thomson Financial publishes a tally of companies showing clusters of
insider buying and selling. Such tallies can be good divining rods for finding
companies to consider as investment candidates.

The latest ``Insider Trading Monitor`` from First Call shows clusters of buys at
Applied Digital Solutions Inc., American International Group Inc. and The Good
      Guys Inc.

According to First Call, each of those stocks has shown nine or more insider
purchases in the past three months, with insider trading exceeding 100,000
shares. Each also has a market value exceeding $100 million.

Insiders are officers, directors or holders of more than 5 percent of a
company`s stock. Under federal securities laws, they must report their trades
to the Securities and Exchange Commission no later than the 10th of the
month following the trade. The First Call tally is based on those filings.

At Applied Digital Solutions, 18 insiders have acquired shares in the past
three months, and no insiders have sold. The company`s officers and directors
acted as a group to buy shares on Sept. 27, the day the stock price touched
a 52-week low of $2.75. They exercised options that had a strike price of
$2.75, the same as the market price that day.

      Interesting Speculation

Based in Palm Beach, Florida, Applied Digital Solutions makes an
implantable transceiver about the size of a dime that can be used to
electronically tag livestock, pets or even people. The product is called Digital
      Angel.

The company also provides products and services used for
business-to-business electronic commerce. The stock reached a high of
$16.13 a share in March, and since then has plunged. After reaching the
$2.75 low the day the insiders bought, it has bounced to $4.16.

At today`s price, Applied Digital shares look cheap by some measures. They
sell for 0.9 times per-share revenue, and for 1.9 times book value (corporate
net worth per share). A price- earnings ratio can`t be calculated, since the
company posted a loss of 2 cents a share for the past four quarters.

At a market value of $358 million, Applied Digital is small. No brokerage-house
analysts follow it, according to the Bloomberg recommendation database. I
think the stock looks like an interesting speculation, although I haven`t done a
full due- diligence investigation of it.

At American International Group, 19 insiders have acquired shares in the past
three months, and one insider has sold. Based in New York, AIG is a big
international insurance company that last year posted a profit of $5.2 billion on
revenue of more than $27 billion.

The one seller was a big name, Evan G. Greenberg, the company`s president
and chief operating officer -- and the son of Chief Executive Maurice ``Hank``
      Greenberg.

The younger Greenberg was being groomed for the top slot but, like his older
brother Jeffrey (who left the company in 1995 and now heads Marsh &
McLennan Cos.), he apparently tired of waiting for his turn to wield authority.

      Small Buyers

Evan Greenberg sold 27,857 shares on Sept. 26. As of that date, he still held
      284,862 shares.

The buyers are buying in much smaller amounts. Eight directors picked up
100 shares apiece on Sept. 1. The other 11 buys were options exercises. The
strike prices on the options varied, but they were all way below the current
      market price of $97.50.

Thus, the buying isn`t a super-bullish sign. Still, it`s better to see executives
exercising options and holding onto the shares than exercising options and
      selling the stock.

Dreman Value Management, with which I have an affiliation, owns AIG shares
(847,996 shares as of June 30). I think AIG is an excellent company but I
wouldn`t establish new positions at the current price. The stock has doubled in
the past two years and now sells for 43 times recent earnings.

The Good Guys is the smallest stock in this group, with a market value of just
$121 million. Based in Brisbane, California, the company retails consumer
electronics products -- a notoriously difficult business in which to thrive.

The Good Guys chain has not thrived, having run up four consecutive annual
losses, culminating in a $39 million loss in fiscal 1999 (through September).
The stock, which reached $15.38 in June 1998, now sells for $5.88.

However, the sole analyst following the company, David Childe of Morgan
Keegan Inc., estimates that the loss narrowed to 6 cents a share in fiscal
2000 (ended last month) and that the company will earn 15 cents a share in
the fiscal year that just started.

      High Risk

That doesn`t make Good Guys cheap on an earnings basis. However, the
stock price is only 1.3 times book value and less than 0.2 times revenue.

Apparently, insiders found these ratios appetizing and believe in the incipient
turnaround. Nine insiders purchased shares in August, most of them paying
$4.64 a share. Among the buyers was Ronald A. Unkefer, the chairman of the
board, who bought 646,468 shares, bringing his total to more than 2 million.

Many of the other purchases were also substantial. For example, director
Stanley R. Baker bought 161,617 shares, bringing his total to 326,470.
Kenneth Weller, recently lured from Best Buy Co. to be Good Guys` president,
      bought 500,000 shares.

Despite last year`s unpleasant losses, Good Guys has kept debt down to a
reasonable level, recently 58 percent of stockholders` equity.

No question, Good Guys would be a very speculative purchase. But there
does seem to be a turnaround in progress, and I find the insider buying
heartening. If you have high risk tolerance, Good Guys might be an intriguing
      speculation.

      so wenigen bekannt?

Applied Digital Solutions Agrees to Purchase Exclusive License to Proprietary Digital Delivery Service, DDS
      PALM BEACH, Fla.--(BUSINESS WIRE)--Oct. 25, 2000--

Agreement includes license to a proprietary mixed-media encryption technology providing file-streaming security of all file types, along with data tracking capability to recognize the origin and destination of data packets

Applied Digital Solutions, Inc. (Nasdaq: ADSX) today announced that it has agreed to acquire a series of licenses to proprietary technologies from an undisclosed partner.

The technologies will be integrated into existing products sets, most notably NetVu and the Digital Angel Delivery System which will provide data warehousing, management and distribution, customer service routing, and data security and authentication. Under the terms of the agreement, Applied Digital will pay $40 million for the exclusive rights to the proprietary technologies.

In a statement, Richard J. Sullivan, Chairman and CEO of Applied Digital Solutions, commented on the importance of the licenses: "This technology is a tremendous enhancement to our existing products. This DDS provides complete functionality in areas such as fulfillment, customer service routing, credit card authorization, accounting management, information entry, file storage, and content management-distribution. Moreover, this technology will form the basis of the Digital Angel Delivery System, offering key features such as integration and synchronization of Internet video and audio and data tracking, which are key to providing an efficient and secure site for Digital Angel subscribers." Background on Digital Angel(TM)

In December of 1999, Applied Digital Solutions announced that it had acquired the patent rights to a miniature digital transceiver -- which it has named Digital Angel. Digital Angel will be able to send and receive data and be located by GPS (Global Positioning System) technology. The company believes this technology will enable it to tap into a multi-billion dollar marketplace with a number of applications that will prove to be extremely popular. These potential applications include: monitoring the medical condition of at-risk patients; tracking endangered wildlife or household pets; managing livestock and other farm-related animals; pinpointing the location of valuable stolen property; finding lost airline baggage and postal packages; managing the commodity supply chain; preventing the unauthorized use of firearms; and providing a tamper-proof means of identification for enhanced e-commerce security.

      Brainy
