Anglo sells FirstRand stake: The deal in a nutshell

Anglo American has swapped three-quarters of its stake in South African
financial services company FirstRand in a deal valued at $842 million
(R6.4 billion) to investment holding company Rembrandt Holdings
(Remgro). In return, Anglo receives considerable stakes in mining
companies Billiton and Gold Fields. A full analysis of the deal is to be
found in the linked story, but here is the deal in a nutshell.

Anglo has swapped 74.5% of its 20.6% in FirstRand for Remgro`s 7.1%
stake in Billiton (equal to 165.2 million shares), and its 11.3% stake in
Gold Fields (equal to 51.1 million shares).

Billiton is listed on the Johannesburg Stock Exchange (JSE) and the
London Stock Exchange while Gold Fields has a presence on the
Nasdaq as well as the JSE. Gold Fields was the company seeking a
merger with Canadian royalty mining company, Franco Nevada.

In other aspects of the deal, De Beers will also receive 1.1% of Billiton
from Remgro in return for its 1.8% stake in FirstRand.

Two major conditions of the arrangement is that Anglo American will not
lift its stake in Billiton to above 15% for a year nor make an unsolicited
bid for Billiton in that time. But, if there is a third party offer for Billiton,
Anglo will be free to table a bid of its own if it wants.

Secondly, Remgro has pressed home a condition of its own that Anglo
will share half of the proceeds of any bid for Gold Fields if a bid is made
above the R25 a share level. (One interpretation of this is that Remgro
clearly believes Gold Fields is up for grabs at some stage).

The transaction is subject to the usual regulatory conditions including the
approval of Remgro shareholders (42.2% have already indicated they will
support the arrangement).

Anglo American will be left with 5.3% of FirstRand and the group said it
has no plans to dispose of this shareholding.

Hallo zusammen,
vor einigen Monaten konnte man Anglo Gold noch als Indikator für steigendes Gold gebrauchen. Inzwischen ist der Xau um über 20 % gestiegen und Anglo ist noch auf Allzeittiefs.
Ist das jetzt eine so verstaubte Klamotte die keiner mehr haben will, oder ein Dino der erst noch in Schwung kommen muss. Oder gar ein Negativindikator für Gold ??
Die Meldung hat sich bisher nicht ausgewirkt.

Wenn sich der Markt positiv entwickelt die Einstiegsgelegenheit?

Die anderen sind schon eine Ecke von ihren Allzeittiefs entfernt.

Gemeint ist auch nicht Anglogold, sondern die Mutter AngloAmerican.
Die stehen nicht zuletzt aufgrund des Anstiegs der PGM und ihrer
konsequenten Strategie fast auf Höchststand.
