Microsoft Announces Strong Results Driven By Windows 2000 Professional and Windows Me

REDMOND, Wash., Oct. 18 /PRNewswire/ -- Microsoft Corp. today announced income before accounting change of $2.58 billion for the quarter ended Sept. 30, an 18 percent increase over the $2.19 billion reported last year. Revenue totaled $5.80 billion and diluted earnings per share before accounting change were $0.46. Diluted earnings per share for the Sept. 2000 quarter were $0.40 after including the required adoption of Statement of Financial Accounting Standards No. 133 (SFAS 133), ``Accounting for Derivative Instruments and Hedging Activities.``

``Results were solid across all businesses, led by accelerating deployments of Windows®(R) 2000 Professional in the business sector and Windows Me in the consumer arena. We also continued to make great progress with our server products, proving our ability to deliver mission-critical solutions to customers such as Lycos, FreeMarkets, RadioShack, The Home Shopping Network and GMAC,`` said John Connors, chief financial officer at Microsoft. ``While we remain guarded about worldwide economic conditions, we are extremely enthusiastic about our Windows 2000 generation of server products.``

At Microsoft`s Enterprise 2000 launch on Sept. 26, Microsoft President and Chief Executive Officer Steve Ballmer, along with leading enterprise partners and customers such as Compaq Computer Corp., Intel, Dell, Hewlett-Packard, Unisys, Andersen Consulting and IBM, outlined a new generation of industry- standard hardware, software and consulting services to build and run today`s most demanding enterprise applications. At the event, Microsoft demonstrated cutting-edge solutions addressing the emerging opportunities presented by the new digital economy and announced eight new server applications, including Microsoft® SQL Server(TM) 2000 and Exchange 2000 Server. Microsoft also launched Windows 2000 Datacenter Server, the most powerful server operating system ever offered by the company. These products, comprising the .NET Enterprise Server family, provide a rich set of building blocks for quickly building, deploying and managing integrated, Web-based solutions.

``We are breaking new ground with the Windows 2000 platform and the .NET Enterprise Server family,`` Ballmer said. ``Microsoft is creating end-to-end solutions for partners and customers to win in a changing industry, where business agility and the use of information technology to drive revenue and profit growth have become critical.``

In early October, SQL Server 2000 achieved a record-breaking TPC-C benchmark, delivering 505,302.77 transactions per minute (tpmC) on a 24-node Compaq ProLiant 8500 cluster of servers running Windows 2000 Advanced Server. This result represents the best-ever published TPC-C performance number, and at a price/performance ratio of $20.68/tpmC, is a third lower than the closest competitor.

On Sept. 14, Microsoft announced the availability of Microsoft Windows Millennium Edition (Windows Me), the new operating system for home PC users. Windows Me delivers exciting technology advancements in the areas of digital media, home networking, gaming, online experience and PC health.

During the quarter, MSN®, the Web`s largest network with more than 210 million unique users worldwide, announced several key relationships with industry leaders. MSN and Sprint PCS announced an alliance to bring MSN Mobile services and content, such as the MSN Hotmail® Web-based e-mail service, the MSN Messenger Service, the MSN MoneyCentral(TM) personal finance online service, MSNBC.com and Expedia, Inc. to Internet-ready phones. MSN and Compaq Computer Corp. announced the availability of the Compaq iPaq Home Internet Appliance, the first MSN Companion device. MSN Companions are a convenient and affordable way for users to get connected to the Internet. Also, MSN and RadioShack announced MSN High Speed broadband Internet access via DSL or satellite available through the 5,600 Microsoft Internet Centers at RadioShack company-owned and dealer stores.

Actual results will vary because of factors such as PC shipment growth; technological shifts; customer demand; competitive products and pricing; product mix; product ship schedules; life cycles; terms and conditions; litigation; and other issues discussed in the company`s Form 10-K and other SEC filings.

      Setting First-Quarter Record

DULLES, VA, October 18, 2000 -- America Online, Inc. (NYSE:AOL) today reported results for its fiscal first quarter ended September 30, 2000 -- reaching new highs for consolidated revenues, advertising, commerce and other revenues, operating income, EBITDA and first-quarter AOL membership growth.

The quarter`s net income, fully taxed and excluding one-time items, totaled $350 million, or $0.14 per diluted share, up from $182 million, or $0.07 per diluted share, on the same basis last year. The Company reported net income of $345 million, or $0.13 per diluted share, up from $181 million, or $0.07 per diluted share, in fiscal 2000`s first quarter. Reported net income included one-time merger-related charges of $6 million. Excluding these items, operating income for the quarter climbed more than 86% over the year-ago quarter to $484 million.

The quarter`s consolidated revenues climbed 34% to $2.0 billion from $1.5 billion in last year`s first quarter. Advertising, commerce and other revenues reached a record $649 million, climbing 80% over fiscal 2000`s corresponding quarter.

With a record 1.4 million net new subscribers for the quarter, the AOL service totaled more than 24.6 million members worldwide on September 30. The CompuServe 2000 service added 165,000 members, bringing the combined CompuServe 2000 and CompuServe Classic membership to more than 2.8 million at the end of the quarter.

Momentum-Building Quarter Approaching AOL Time Warner Merger

Steve Case, America Online`s Chairman and Chief Executive Officer, said: "This is truly an exciting moment for our Company, as we approach our landmark AOL Time Warner merger. Our record-breaking results underscore that we are continuing to build our interactive businesses at a rapid pace, both in the US and around the globe. And to make interactivity even more central to people`s daily lives, we`ve stepped up the roll-out of our AOL Anywhere services -- including AOLTV, AOL Mobile services, the `AOL by Phone` voice portal, and `Instant AOL` Internet appliances with Gateway."

Mr. Case added: "AOL Time Warner will be a one-of-a-kind company that will launch new platforms for growth, and empower consumers in ways we could have only dreamed of just a few years ago. Over the past several months, we`ve worked closely with the Time Warner management team, and we`re confident that we have the right assets, strategies, experience and vision to take full advantage of the tremendous opportunities before us. We are on track to close the merger this Fall, and we will hit the ground running."

Bob Pittman, America Online`s President and Chief Operating Officer, said: "This record-breaking quarter reflects the great momentum behind our world-class brands and focused business strategies. Clearly, our diversified, multiple-revenue-stream business model sets us apart from the industry, and this will be further enhanced by our merger with Time Warner."

Mr. Pittman added: "Our distinctive strategy of focusing on large strategic marketing agreements with major mainstream companies is paying off in the continuing strength of our advertising and commerce revenues, which will substantially benefit from the merger. Our advertising and commerce growth prospects are underscored when you look at the top 100 advertisers each for Time Inc., Turner Networks and AOL, and find that only four out of the 300 are duplicated on all three lists. Catalysts for future subscriber growth include the launch of our next-generation AOL 6.0 software, international partnerships with NTT DoCoMo in Japan and Banco Itaú in Brazil, and powerful cross-promotional initiatives with Time Warner brands."

Other operating highlights from the quarter include:

** Subscription Revenues: Revenues from subscriptions increased to $1.2 billion, a 21% rise over the fiscal 2000 first quarter.

** Advertising, Commerce and Other Revenues: Advertising, commerce and other revenues climbed to $649 million, increasing more than 80% over last year`s corresponding quarter.

** Advertising and Commerce Backlog: The consolidated backlog of advertising and commerce revenues grew to more than $3.0 billion at September 30, 2000, from $2.0 billion a year earlier.

** AOL Member Usage: Average usage per member per day was 58 minutes during the quarter, compared with 55 minutes during last year`s first quarter.

** Sales and Marketing Expenses: Consolidated sales and marketing expenses amounted to 15.1% of revenues.

** Operating Margins: Operating margins before one-time events improved to 25%, from 18% in last year`s first quarter.

** EBITDA: Before one-time events, EBITDA reached $599 million for the quarter, a 78% increase over a year ago.

      AOL Interactive Services Highlights

During the quarter, America Online experienced substantial gains in its worldwide membership and advertising/commerce partnerships, continued to roll-out its AOL Anywhere initiatives, and advanced its CompuServe and Netscape brands.

Continuing to drive the Company`s strong membership growth momentum, the AOL service will launch the next-generation AOL 6.0 software by the end of the month. AOL 6.0 will deliver a new level of convenience and ease-of-use to AOL members, and extend AOL`s valuable benefits through multiple AOL Anywhere initiatives and across all broadband platforms. AOL 6.0 will incorporate AOL Plus multimedia content and features like full-motion video and streaming audio, plus the all-new AOL Media Player to set-up and manage multiple playlists.

A key AOL Anywhere element of AOL 6.0 will be the "AOL by Phone" voice portal now undergoing beta testing. Based on the technology of Quack.com, which the Company acquired during the quarter, "AOL by Phone" will enable AOL members to use simple spoken commands over the telephone to access their favorite AOL features and content.

Among the other AOL Anywhere initiatives that will help drive continued strong membership and usage growth, the Company has successfully completed the test-marketing of AOLTV in eight cities, and soon will be offering the service to consumers through Circuit City`s more than 300 stores nationwide, and online.

The first of the AOL/Gateway household Internet appliances is scheduled to launch later this year to make it even easier and more convenient for consumers to take advantage of the AOL experience anywhere in their homes. These lightweight appliances feature simple touch-screen access to the new "Instant AOL" service, and a customized version of AOL`s software that offers AOL Mail and Instant Messenger, as well as convenient services like AOL`s My Calendar.

In the wireless arena, the Company launched its AOL Mobile services -- including AOL Mail, news, stock quotes and weather, as well as features and content from Digital City, MapQuest and Moviefone -- on AT&T`s Digital PocketNet and Sprint PCS Internet-ready telephones. In addition, the Company announced a new strategic agreement with OmniSky Wireless Internet services.

In another wireless initiative last month, America Online and NTT DoCoMo, the world leader in mobile Internet services, created a joint venture to drive the development of next-generation convergence technologies. In addition, DoCoMo will feature AOL Mail and Instant Messenger on its i-mode service for its more than 13 million subscribers in Japan. And, in Latin America, America Online Latin America announced its first wireless initiative for Internet-ready mobile phones in Brazil.

Later this year, the Company plans to launch the AOL Mobile Communicator that will enable consumers to use both AOL Mail and Instant Messenger with a mini-keyboard that allows for quick and easy text input. This lightweight, compact device is made by Research In Motion Limited and operates over the BellSouth Wireless Data nationwide network.

To expand its AOL Anywhere capabilities, the Company acquired iAmaze -- an Internet technology company specializing in the emerging DHTML or "Dynamic" HTML platform that produces fast and intuitive Web-based applications accessible from any Internet browser or device.

Extending its industry-leading advertising and commerce with leading mainstream retailers and brands during the quarter, America Online continued to build new strategic alliances with such major companies as Target Stores, CitiGroup, Pizza Hut, the Spanish Broadcasting System and Office Depot.

Earlier this month, America Online and American Airlines launched AOL AAdvantage Rewards, the largest online and offline rewards program. In addition, the Company announced a strategic alliance with NASCAR that includes extensive online and offline cross-marketing and promotion, and another with Volvo to launch its new S60 sedan through advertising on AOL.

Looking ahead to the holiday shopping season, Shop@AOL this quarter introduced a new streamlined layout and innovative new tools including an enriched Shop@AOL Search that features consumer product and store reviews, and "fly-out" menus that enable shoppers to move faster among departments. In addition, a dynamic new Bargain Basement area provides one-stop shopping for consumers looking for the best deals from top merchants.

During the quarter, the Company`s other Interactive Services brands continued to experience strong momentum.

CompuServe launched CompuServe Shop Direct, which offers special savings on software, books and consumer products, plus the convenience of using the credit card on file for CompuServe charges.

Netscape Communications launched Netscape Netbusiness, an innovative service that provides a free one-stop home on the Internet for owners of small businesses to better manage both their operations and everyday lives -- offering easy-to-use and fully customizable information resources, productivity and communications tools, and a free online presence to reach new customers.

This month, Netscape made available its final beta version of its revolutionary new Netscape 6 browser and communications suite, powered by Gecko technology. Netscape also introduced its redesigned Netscape.com that includes a new layout to enable Internet consumers to more quickly find and use the tools and resources they want. And Netscape`s Internet search directory, the Netscape Open Directory Project (ODP), surpassed two million Web sites, doubling in size in less than a year, to become the Internet`s largest human-edited directory.

      Interactive Properties Group Highlights

The Interactive Properties Group continued to grow and strengthen its businesses in local interactive services and products, instant messaging, and Internet music, as evidenced by its record metrics and new product initiatives.

During the quarter, Digital City widened its lead as the #1 local online network. The service now reaches 6.5 million unique users a month. As the only national network of local guides, Digital City now serves over 200 cities -- more than three times its nearest competitor. Additionally, Digital City signed up a record 800 new local advertisers. Digital City also announced a new distribution agreement with USA Today, making it the exclusive local news and content provider to USATODAY.com.

MapQuest extended its #1 position in mapping/directions by posting 7.5 million unique users, while MapQuest`s B2B unit continued to "map-enable" the Internet with 1,750 paying customers -- more than double a year ago.

AOL Moviefone continued to lead the industry in providing easy-to-use and convenient movie information on the telephone -- where its popular 777-FILM logged its 500 millionth call this quarter -- and on the Internet, where moviefone.com was ranked the most frequently visited movie site this summer by Media Metrix. Extending the AOL Anywhere strategy, consumers can also purchase tickets through Moviefone on wireless devices from OmniSky, Sprint PCS and AT&T Wireless, along with the Palm VII. And Moviefone launched several innovative film promotions with Universal, Sony, New Line, and Warner Brothers, while adding 7 new theater chain partners -- including IMAX.

ICQ launched the newest version of its industry-leading software -- ICQ 2000b -- which is available for free at icq.com. ICQ 2000b is the first two-way SMS (short messaging service) product for instant messaging that allows users to send and receive messages between PCs and wireless devices. Available in 10 languages, ICQ 2000b includes enhanced communications features that incorporate IP telephony and one-click e-mail.

With up to 100,000 installations daily, AOL`s industry-leading music player, Winamp, has surpassed 42 million installations in this quarter -- an increase of approximately 38 million installations since its acquisition by AOL just over a year ago.

Spinner.com, a leading broadcaster of streaming music, continues to offer the most music online, with over 150 channels broadcasting more than 23 million songs each week. Last month, Spinner.com hosted the first Global Listening Party featuring the world premiere of Madonna`s Warner Bros. album "Music," and helping to launch it to the #1 position.

      International Highlights

The Company`s international operations and joint ventures extended their strong momentum with groundbreaking initiatives in Europe, the launch of new services in Latin America, and a new joint venture in Japan.

In Europe, AOL Europe`s AOL and CompuServe services added more than 290,000 net new members, a record for the first quarter, bringing the total served to more than 3.9 million members.

Leading the drive to bring US-style flat-rate pricing to European consumers, AOL UK began the rollout of its unlimited-use subscription plan to its current members and anticipates making it available to all UK consumers in the coming months.

In Japan, DoCoMo last month agreed to become a partner in the AOL Japan joint venture. DoCoMo will market AOL Japan as its preferred ISP in its popular DoCoMo shops nationwide and cross-promote AOL Japan to DoCoMo`s wireless voice and data subscribers through a full range of innovative initiatives.

During the quarter, AOL Latin America successfully completed its public offering and launched the first two Spanish-language AOL services, America Online Mexico and America Online Argentina. As of September 5th, the two services, along with America Online Brasil, totaled 250,000 members -- a record start for new AOL services.

      Netscape Enterprise Highlights

iPlanet E-Commerce Solutions, the strategic alliance between Sun Microsystems and Netscape Enterprise, continued to solidify its position as the world`s leading e-commerce software platform supplier.

During the quarter, iPlanet announced the industry`s first comprehensive platform architecture, the Internet Services Deployment Platform, an open, scalable software infrastructure that allows ISPs and enterprises to rapidly develop, assemble and deploy highly scalable Internet services. The new iPlanet platform was endorsed by more than 20 leading service providers, integrators, system vendors, and third-party software companies.

iPlanet also announced major agreements with AirFlash, CinNetic, Reliant Energy, Gateway Networks, Hewlett Packard, AnswerThink, Powerschool, ClearCommerce and the Western Australian Government; along with a joint initiative with Sun to develop payment application specifications for Identrus Project Eleanor, a consortium of financial institutions.
