      Hallo,
ich habe mal folgendes Posting des users madinvestor2000 von RB kopiert, da es ziemlich auf den Punkt bringt, was da gerade läuft:

      icu2uknow and all,

Thank you. Yes, I do feel very suspicious for a number of reasons:

1- I have (as well as you) never heard of a company stating that they plan on filing bankruptcy... That in itself is suspicious... What I find even more so however is that they are giving a 5 to 10 day notice that they are "filing"... One big ? Why the 5 to 10 days?? Why not just file... The process is not instantaneous anyhow...

2-Why now? Why not at the deadline date that the creditors gave??

3-Why did the 3rd biggest institutional holder of eToys (Moore Capital Managment INC/NEW)increase their position during the after hours on Friday?? I believe it is safe to assume that the increase was done during after hours because of the large (over 1 million shares blocks) traded in extended hours on Friday, and their increase not showing up/ reported by Moore until Saturday. I feel after hours is important because it is less visible/more discreet... I.e. less eyes watching...

4-Why have none of the top institutions sold significant amounts of there stake, if any at all (the only reported sale by a top holder was G&S, but the sale was small compared to there holdings and it took place a while ago, i.e a 247,229 sale and their current holdings are 1,293,097.... ???

5-Why the same doom and gloom??? I.e. We believe are shares are worthless.... We don`t think we will find a buyer...

6-Why all the generalizations, but no definitive statements/words?? I.e.
      "Plan to"

      "expects to"

      "doesn`t expect to"

      "belief that "

      "in the very near term"

8-If the creditor theory is correct (i.e. creditors have been buying up shares to get their money/eToys debt back and a profit when the price rises) isn`t this going to be the ultimate time for them to do so.... ? The price will drop to a few cents and they will be able to scoop up all that they haven`t before (not "all" though ☺... ).

7-Finally what I find most interesting is that Nasdaq has all but acknowledged that this sounds fishy by releasing this statement:

"Nasdaq Changes Status of Trading Halt in eToys Inc. And Requests Additional Information from Company"

They are "requesting" that eToys tell them what exactly is going on, before they allow trading to resume... In my opinion Nasdaq thinks this is shady as well...

Ultimately time will tell, and I have said it before, since I got in to this stock; "this is a 50-50 gamble don`t do it if you can`t afford to lose it"... Each person should make their own decision based on their own research which may or may not be based on others. In conclusion, this is your deal, no one elses, and I wish you all good luck! My position on this topic is and has been clear, i.e. I am riding this out...

      Best wishes!
      -Mad
PS:Icu2uknow, thank you for your unselfish time and effort! Your karma points have risen significantly!

      @ Andrax

Indeed, you bring up a good point. Now the sale of this babycenter to be announced tomorrow cannot take place just prior to a BK filing. Whether Chapter 7 or 11. No sale of any assets can take place 6 months to filing a BK petition (unless it is done so in the normal course of operating a business). So for this deal to be announced now seems contradictory to the BK announcement. The BK judge can render void and nullify any deal hashed out just prior to a BK filing. Toby Lenk cannot sway the judge to any deals just worked on even if the deal benefits all parties concerned.

Selling off assets in and of itself is not a bad thing when the other alternative is filing BK. But the two strategies must reside exclusive of one another. They cannot be done complimentary, or supplementary to one another. A BK judge will dismiss a BK petition if he discovers that asset sales occured prior to the filing of the BK petition.

EToys Is Giving Up Its Babycenter
      By Miguel Helft

EToys is selling its Babycenter unit, a group of content sites for new and expecting parents, to health-care products giant Johnson & Johnson for about $10 million in cash, according to people familiar with the situation.

The sale is expected to be announced Friday before the stock market opens. It comes after weeks of unsuccessful efforts by eToys to sell itself, following a disappointing holiday season. The company, whose shares have fallen to 9 cents, is saddled with about $280 million in debts.

Earlier this week, eToys said it will soon file for bankruptcy. At that time, the Santa Monica, Calif-based toy retailer halted trading in its shares, saying they likely will become valueless.

Babycenter has long been praised for the quality of its parenting content. The Babycenter unit comprises the Babycenter.com site, as well as Parentcenter.com and Babycenter.co.uk.

The Babycenter store, which is operated from eToys` warehouses, is not part of the transaction and will be temporarily closed, according to the sources.

Johnson & Johnson, of New Brunswick, N.J., plans to keep Babycenter`s San Francisco location. The company plans to retain current Babycenter employees and expects to expand the unit.

With approximately 98,500 employees, Johnson & Johnson is the world`s largest maker of health care products, selling to consumers as well as to the pharmaceutical and professional markets. It has more than 190 operating companies in 51 countries around the world, selling products in more than 175 countries. Babycenter will become part of Johnson & Johnson Consumer Companies.

EToys acquired Babycenter shortly before going public in May 1999, after a bidding war with rival Amazon.com, which also was interested in the site.

Neither company was available for comment.

CORRECTED - Johnson & Johnson to buy eToys` BabyCenter

In NEW BRUNSWICK item headlined "Johnson & Johnson to buy
eToys` BabyCenter", please read in first paragraph ...from
nearly bankrupt... instead of ...from bankrupt...
Please read fifth paragraph as ...On Monday, eToys said it
planned to file for bankruptcy five to 10 days hence... instead
      of ...eToys filed for bankruptcy...
(Corrects to show that company has not yet filed for
      bankruptcy.)
      A corrected version follows.

NEW BRUNSWICK, N.J., March 2 (Reuters) - Healthcare goods
maker Johnson & Johnson on Friday said it will acquire
Internet content provider BabyCenter Inc. from nearly bankrupt
Internet toy store eToys Inc. for $10 million in cash.
BabyCenter operates Web sites including BabyCenter.com,
      ParentCenter.com, and Britain`s babycentre.co.uk.
BabyCenter`s advertising business and all other site
activity, including health and parenting articles as well as
weekly e-mail newsletters, will continue to operate
independently, Johnson & Johnson said. The BabyCenter Store was
not a part of the transaction, and will be temporarily closed.
BabyCenter will be part of Johnson & Johnson Consumer
Companies Inc. and will remain based in San Francisco. It
expects to retain and add to the current staff, Johnson &
      Johnson said.
On Monday, eToys said it planned to file for bankruptcy
five to 10 days hence, and called its stock worthless.
