With the receipt of the Audited Financial Statements yesterday afternoon, ACT`s SEC attorneys are now able to file documents with the NASDAQ, which will be done today and tomorrow, that management believes will meet the requirements for ACT to be fully reporting,immediately upon filing.
Accordingly, based upon the success of similar filings from many other OTC BB companies in recent weeks, our attorney`s believe that the "E" will be removed prior to February 9th, 2000, and ACT -ADVC will not go to the "Pink Sheets".
Despite the disparaging comments of some, ACT management has been working extensively day and night for weeks to achieve this outcome. Without the exhaustive efforts of the new ACT CFO, Wayne Danson, I doubt that we would have achieved, what we now believe will be a positive outcome.
There will be no press releases or announcements until after the "E" is removed from the ADSVC symbol.
From a corporate perspective everything is very positive for all of our initiatives, on all fronts.
The PWC funding in Australia is finally due for completion in late February, early March 2000, if not sooner.
The completion of the positive evaluation of the SpectruCell technology by Neil Boucher, has had a major positive impact on all aspects of the company`s operations.
Everything previously reported is still in process, there are no negatives, but the "E" has caused some major delays in several situations, including the proposed NASDAQ company merger, some aquisitions, and capital raising. A re-direction of efforts for the last monbth or so has been necessary.
The next highest priority for ACT, that will now be addressed, is still a NASDAQ listing for ACT, ASAP by one means or another. The expected time frame for this is still 60-120 days after the removal of the "E", and much is in progress in this regard.

Das sogenannte "high level design" (eine Stufe in der Entwicklung) ist beendet.
Für SpectruCell müssen ca. 200.000 bis 250.000 Zeilen Quellcode geschrieben werden.
Sie finden ausreichend qualifiziertes Personal, bis Ende März werden es 35 Ingenieure sein.
Der Zeitrahmen bis zum fertigen Prototyp bleibt bei Juni/Juli
Der Prototyp wird komplett aus Software und Hardware bestehen, es wird dieselbe Hardware benutzt, die im fertigen Modell eingesetzt wird.
Der Prototyp wird im Labor vorgeführt, und wird GSM und CDMA Signale von echten Handys verarbeiten.
Feldtests können erst durchgeführt werden, wenn SpectruCell dafür zugelassen wurde.
Die Software von SpectruCell wird durch Copyright geschützt sein, aber das Systemdesign und Konzept von SpectruCell soll auch zum Patent angemeldet werden.
Zur Validierung durch Unabhängige Gutachter/Firmen:
Das größte Problem ist, Leute zu finden, die glaubwürdig und unabhängig sind. Bisher ist Neil Boucher der beste, den sie gefunden haben.
Derzeit finden Gespräche und Verhandlungen mit mehreren "Gorillas" statt!!
Sie dürfen die Namen dieser Firmen erst bekanntgeben, wenn diese Firmen es gestatten.
Der erste "Gorilla" sollte eigentlich nur eine unabhängige Validierung der SpectruCell Technik machen, aber als er verstanden hat, was hier entwickelt wird, wollte er mitinvestieren und war damit nicht mehr unabhängig.
Das "Problem" besteht darin, daß jeder, der einmal verstanden hat welches Potential SpectruCell hat daran interessiert ist zu investieren.
Die Leute die es nicht verstehen, wollen aber eine unabhängige Validierung, dafür wurde der Bericht von Neil Bouchers in Auftrag gegeben.

Thank you for the continued faith and support of all the “longs” and other more recent ADVC investors. In my personal opinion, you will not be disappointed.
Much has happened during this quiet period, since I arrived in Australia six weeks ago.
This trip has been extremely productive, both for ADVC and ACT AUS. I have been laying foundations. Very solid foundations.
I will be returning to the USA on the 18th April, 2000.
There are no negatives of any nature regarding any of the business activities of either ADVC or ACT USA, as will become very evident in the next two weeks. In fact the situation is quite to the contrary. We have made tremendous progress, both in the USA and South America, and in Australia, and other parts of the world. We have continued to lay very strong foundations globally.
SPECTRUCELL
Production of the SpectruCell wireless base station prototype unit is on schedule for June/July 2000, and expanded applications have been added which I believe will substantially increase marketability universally.
We have always planned a “Cisco style” of market approach that in essence is one of becoming a supplier to all areas of the communications industry. To the network providers, and all other communication providers generally where use of the expanded SpectruCell applications will be appropriate. Much progress has already been made in the early implementation of this style of distribution and marketing approach, while still adhering to the principles of “piggy back “ marketing. Every indication is that we are still far ahead of any competition, and in fact, we have yet to identify a legitimate competitor.
There is extensive interest in SpectruCell from several large international companies. Two of these are being vigorously pursued from a strategic relationship perspective, particularly in regard to the installation of wireless networks in 2nd and 3rd world regions on a partnership basis.
ACT USA - ADVC & Advanced Global Communications (AGC)
I signed funding commitments on the 3rd April, 2000 with Trinity Capital to provide initial funding of US$2-$3 million, with a further facility of US$12 million within 120days.
I have also executed an Agreement to raise US$25 million on a private placement basis with a Washington D.C. based merchant-banking firm that specializes in funding the wireless communications industry. I will announce the name of the company upon execution of the formal placement agreement within the next 21 days.
AGC
Through World IP, AGC has been granted International Carrier Licenses for voice and data provision in the country of Chile. Similar license applications are in process in Nicaragua and Guatemala.
Following Jim Rennie’s trip to Central America, three weeks ago, GSM and CDMA license applications are in process, and being aggressively pursued in several countries in that region in order to facilitate a proposed SpectruCell rollout in that region. From initial discussions, a positive outcome is expected, but no actual definitive status of these licenses can be reported at this stage.
AUSTRALON
Australon has caught us by surprise. While I always looked upon Australon as a means to achieve immediate substantial revenues, the amount of incoming inquiries for potential large orders has swamped us. We have a team traveling to Korea the week after next seeking to finalize one order from a large multi national corporation for a RF radio linked remote temperature control and monitoring device that has been estimated at a total value of AU $300 million. We are currently working on order inquiries in excess of AU$900 million dollars. This is especially pleasing as we have not established a marketing team for Australon at this time. Australon’s position, through the Unilon association, of being one of only 16 L.I.D.’s ( Lonworks Independent Developers) in the world, combined with it’s ten years of experience in LonWorks applications, and the patented interface board that allows for the rapid production of complicated network control applications, has produced a “snowball” effect in attracting new business.
ACT (AUS) PTY LTD – BEING MERGED INTO TWO SEPARATE, PRESENTLY LISTED, AUSTRALIAN PUBLIC COMPANIES. – TOTAL FUNDING –AU $38 MILLION
AUSTRALON PTY LTD – to become Publicly listed –ASX (Australian Stock Exchange) company.
Australon was spun off as a separate Australian private corporation in October, 1999. Subsequently, an agreement in principle has been reached to merge Australon into an existing ASX publicly listed company, on a reverse merger acquisition, or rollover basis. Australon will be the surviving PLC (Publicly Listed Company) with a large majority control, once all of the ASX compliance requirements have been met and approved by ASX, which may take 60 days.. ACT AUS still owns 70% of Australon, and ACT USA (ADVC) does now own 20% percent of ACT AUS, which means it will have a substantial, and financially valuable interest in the Australian public company Australon Ltd.
Deloitte, Touche & Tohmatsu are currently completing an independent valuation of Australon as required by ASX. This study will be made public upon completion and will list verified details of the potential and existing Australon client orders. The report is due next week.
Upon consummation, the merger will provide immediate cash of AU$5 million with an additional AU $20 million, from one-year stock options, expected within the short term. This will provide initial total funding for Australon (AUS) of AU$25 million.
Australon will expand operations into the USA, establishing West Coast offices immediately. The possibility of an IPO for Australon (USA) Inc. will be aggressively explored and pursued
ACT PTY LTD - to become a Publicly listed –ASX (Australian Stock Exchange) company.
An agreement in principle has also been reached to merge ACT Pty Ltd with another existing ASX publicly listed company, on a reverse merger acquisition, or rollover basis. ACT AUS will be the surviving PLC with a large majority control, once again when all of the ASX compliance requirements have been met and approved by ASX, which may also take 60 days. ACT USA (ADVC) ‘s 20% percent ownership of ACT AUS, will result in ACT USA owning a substantial interest in the surviving Australian public company Advanced Communications Technologies Ltd.
Deloitte, Touche & Tohmatsu is also undertaking an independent valuation of ACT AUS as required by ASX. This study will be made public upon completion. The report is due in 21 days.
Upon consummation, the merger will provide immediate cash of AU$13 million for ACT AUS, with a larger secondary offering being considered for the third quarter of this year.
ACT AUS will experience a 10% dilution for the AU$13 million in capital from the existing AUS public company. The PriceWaterhouseCoopers proposed funding agreement, from March, 1999, called for a 30% dilution for AU$20 million in capital. ACT AUS decided not to proceed with the PWC funding proposal in March, 2000.
The initial ACT AUS application for AU$9.5 million in matching R&D grants has been submitted for approval from Aus Industry, and a favorable outcome is expected within two months.
Once the public company mergers are approved by ASX, further capital raisings for both companies will be evaluated, via secondary offerings in the public marketplace, for both ACT AUS and Australon.
In essence, the last two months have been spent consolidating many aspects of both the US and Australian operations, while at the same time putting in place substantial foundations designed to provide a solid structure and sound financial platform to dramatically expand both the operational and revenue bases of the companies throughout the global marketplace..

Wenn ich das lese,kommt das Feeling vom November wieder auf(Herzrasen,
schon in diesem Stadium bei einer derartigen Technologie dabei zu
sein!),meiner Meinung nach sollte man zumindest mit dem Grossteil der Shares für 3-5 Jahre drin
bleiben und dem Unternehmen Zeit geben,sich zu entwickeln.

nach dieser langen Pause um ADVC war ich doch in letzter Zeit etwas
beunruhigt.
Aber umso mehr freue ich mich bei wieder guten Nachrichten :-))
Auch im Ami-Land scheint die Nachricht gut anzukommen

As SpectruCell is in essence a software defined radio, it can be used as a wireless gateway device for a host of different applications. At present we have identified several of these potential applications, including: wireless local loop, smart antenna(beam steering) for deployment in other RF arenas, other data specific services such as tracking devices for delivery vans, and other RF signal applications of this nature.
We have also identified several other key areas within the digital signal processing domain where there will be spin off applications for the SpectruCell basestation. These include radar, sonar and the medical imaging and sensing fields. If you have any other questions of a technical nature, feel free to post them or email me via the ACT web site.

Und die nächste Meldung. ADVC hat ja einen 20 % Anteil an ACT Australia (spätere Fusion der beiden erwünscht). Diese wiederum 70 % an Australon ( = ADVC hält 14 % von Australon). Durch ein reverse merger wurde jetzt Australon (Echelon/Lonworks Rechte!) zu einer eigenständigen (gewinnbringenden) Firma. Dies ist von Vorteil für neue Finanzierungen und damit Wachstum von Australon und ADVC.
10Apr2000 AUSTRALIA: Gawler Gold and Mineral Exploration N.L.(GAW.AX)Heads of Agreement.
Further to the Company`s announcement dated April 3, 2000, the Board
of Directors of Gawler Gold and Mineral Exploration NL ("Gawler")
wishes to advise that the Company has received the technical report
relating to certain technologies which have been presented to Gawler
for its consideration.
Following a review of the technical report, the Directors have
executed a Heads of Agreement (the "Agreement") pursuant to which
Gawler will acquire a 100 percent interest in the company which owns
the technologies and related assets, subject to the satisfactory
completion of various matters, including the presentation of an
acceptable independent expert`s report, incorporating a valuation of
the company, and the prior approval of the Gawler shareholders.
Pursuant to the Agreement, and subject to the matters mentioned
above, Gawler will acquire 100 percent of the issued capital of a
Melbourne-based technology company named Australon Enterprises Pty.
Ltd. ("Australon"). It is envisaged that the consideration for the
purchase of Australon will be satisfied by the issue of shares in
Gawler, following which the current Australon shareholders will
obtain control of the listed company.
WHAT WILL THE "NEW" GAWLER BECOME?
By acquiring Australon, Gawler (which is likely to be renamed
Australon Limited) would aim to become a leading developer of
applications based on the innovative Lonworks technology.
WHAT IS LONWORKS?
* The Lonworks technology was released to the market in 1991 by a
US-based company named Echelon Corporation - NASDAQ-listed (ELON).
* The key component of the technology is the patented "Neuron Chip"
which acts as a complete microprocessor or computer brain with
"intelligence". Whilst Echelon developed the Chip, it is now
mass-produced by major companies such as Toshiba and Cypress
Semiconductors.
* Importantly, Echelon does not develop applications for the use of
its technology, but rather it relies on a select group of companies
such as Australon to provide the connection between the technology
and the consumer. Australon has already developed a proprietary
"motherboard" for use with the Neuron Chip. Further, a cheap, small
