FOCUS-Spain`s Endesa in B2B deal with Commerce One

MADRID, Feb 21 (Reuters) - Spanish electricity giant Endesa on Monday announced a joint venture with U.S. e-commerce company Commerce One Inc (NasdaqNM:CMRC - news) and consultants PricewaterhouseCoopers to tap growing online corporate sales.

Endesa, the leading private utility in Latin America and Spain, said the venture would be floated later this year.

The new company would provide business-to-business (B2B) services for clients in Spanish and Portuguese-speaking markets, as well as in Europe and North Africa.

``The initiative seeks to make the most of its market of companies, suppliers and current and future clients,`` Endesa told Spain`s National Securities Market Commission.

Endesa will own 78 percent of the new venture which will begin operations in June, PricewaterhouseCoopers will have 12 percent and Commerce One will have 10 percent.

While the B2B sector is only beginning to take shape in Europe, sales in the United States are expected to grow to $1.4 trillion by 2003 from about $90 billion in 1999, Endesa said in its statement.

``Endesa is showing its capacity to establish itself in the new technology sector, a market which offers exceptional growth forecasts,`` the company said.

NEWS BOOSTS ENDESA SHARE PRICE

The electricity company`s shares, which have underperformed for a sustained period, got a shot in the arm from the deal, adding 1.2 percent to 19.39 euros versus a nearly two percent fall in the Ibex-35 main share index at 1050 GMT.

``Endesa shares are at a very attractive levels and any news related to the Internet is enough to stir up interest among investors,`` said a Victor Peiro, an analyst at Caja Madrid.

Analysts also focused on the planned stock flotation.

``The news is very good for Endesa, which is trying to integrate its activity with B2B`` said Nicolas Fernandez, an analyst at Madrid brokers Ibersecurities.

``The creation and stock market flotation of the new company will serve to bring out the value and give visibility to a part of Endesa, as well as providing capital gains,`` he added.

Earlier on Monday, Commerce One announced another B2B joint venture with Portugal Telecom to operate in the Portuguese-speaking market -- including Latin America`s biggest market, Brazil -- and in Morocco.

Endesa said its alliance was open to Commerce One`s existing partners and suppliers, including British Telecommunications plc (quote from Yahoo! UK & Ireland: BT.L), Nippon Telephone & Telegraph , General Motors Corp (NYSE:GM - news), Royal Dutch Shell and Deutsche Telekom .

Endesa said it expected to manage around 13 million orders via the portal.

The utility is currently negotiating with fellow Spanish electricity company Union Fenosa and Telecom Italia over a separate plan to group their telecommunications and Internet assets in Spain, including their shareholdings in Retevision, the country`s second biggest telecoms operator.
