NEW YORK, Nov. 20 /PRNewswire/ -- 2dobiz.com, Inc. (OTC Bulletin Board: DOBZ) announced today that it has instructed its transfer agent to cancel an additional 4,529,722 shares of the issued and outstanding common stock of the Company. The cancellation of these shares by the Company`s board of directors reduces the total number of the common shares outstanding from 17.4 million to 12.9 million.
The cancellation of these shares comes as a result of an on-going internal investigation into the propriety of various prior stock issuances by the Company. The inquiry has been conducted by the law offices of Jenkens & Gilchrist Parker Chapin LLP (the New York office of Jenkens & Gilchrist, P.C., a full service 600-attorney national law firm), which also serves as the Company`s legal counsel. The shares cancelled today were held by David Roth, the Company`s former President and CEO, who resigned his position from the Company on August 10, 2001.
The Board also today unanimously elected to remove David Roth and Meinrad Zaehner as directors of the Company. In a separate action, the board appointed Richard Liu to be a director of the company. Mr. Liu is the company`s Vice President for Business Development and had been instrumental in securing the joint venture for the Company with China National Machinery Import and Export Corporation.
The Company is moving expeditiously to open its New York office as part of its plan to transform itself from a technology-focused company to one more broadly focused on commercial trade and relations with China.
