LUKoil Finally Pays Dividend to Foreign Shareholders

Staff Writer After months of delay and antagonism from foreign investors, LUKoil`s overseas shareholders have finally received their long-awaited dividends.

"The dividend pay date for LUKoil is today," Lorna Rainford, a dividend coordinator for the Bank of New York, said Friday.

Many foreign investors in a conference call last week demanded to know why they hadn`t received their dividends. About half of LUKoil -- Russia`s largest oil company -- is held abroad in the form of American Depositary Receipts and Global Depositary Receipts.

LUKoil is a Russian blue chip with relatively high liquidity, but repeated delays in releasing financial results have soured its relationship with investors.

At a meeting in June, LUKoil shareholders approved a 59.16 ruble ($1.92) dividend per preferred share and an 8 ruble dividend per ordinary share.

While local shareholders were promptly paid, holders of depositary receipts -- for which the Bank of New York acts as a depositary -- did not receive their payout due to taxation issues, said Andrei Kochetkov, LUKoil`s director of investor relations.

To avoid double taxation of their capital gains, foreign investors are required to submit documentation specifying whether they want to pay taxes in Russia or in their home country.

Kochetkov said the delay was caused by a prominent investment house that was slow in specifying its tax preferences. He declined to name the investment house.

"We wanted to pay out all dividends at once," Kochetkov said. "We could have transferred them to the Bank of New York and then waited for the all-clear from the tax authorities. But why should the Bank of New York be collecting interest on that money when it could be working for us in our accounts here?"

He said LUKoil came under fire from Russian tax authorities last year when the oil company decided not to withhold tax from the dividend payout.

The dividend sum -- which analysts estimate to be about $170 million -- was transferred to the Bank of New York on Feb. 5. The processing time required to pay out money to individual shareholders is about 10 days.
