Inc. (OTCBB-WISV) is pleased to announce that the company has made preliminary
arrangements for a secured financing. The company is in receipt of a letter of
interest for debt financing ( ) through U.S. Capital Financing of San Diego,
California. U.S. Capital Financing is a California company specializing in
debt and equity financing. U.S. Capital financing is currently bringing to
market a ten-year, $75 million ( ), insured, fully secured, asset backed,
structured note. $25 M of this will be managed by U.S. Capital Financing with
the intent to finance oil and gas projects. Mr. Don Christensen, Chairman and
CEO of U.S. Capital Financing, has made arrangements for his corporate agent,
International Investment Capital Corp. to assist Whistler in the assemblage
and completion of all necessary documentation for financing approval of

(OTCBB-WISV) is pleased to announce that the company is currently finalizing negotiations with vendors to acquire a 25% working interest in a large, producing oilfield in California. The project is currently [/b]producing in excess of 1400 barrels of oil a day[/b]. The field has a strong production history and a third party engineering report states probable reserves of 8 million barrels. Whistler`s project partners believe that production could be increased to 2000 - 2500 barrels per day.

Whistler feels that this major acquisition meets the corporate criteria and has informed U.S. Capital Financing, of San Diego, California and their project agent, Mr. Roger Osborne of International Investment Capital Corp. of the company`s intent to pursue this acquisition.

This acquisition would immediately net Whistler approximately 350 barrels of oil per day, thusly allowing the company to become a significant producer in the state of California.
