      BellSouth will not pay $19 bln for AT&T - WSJ

      NEW YORK, Oct 29 (Reuters) - BellSouth Corp. (NYSE:BLS - News) stopped merger talks with AT&T Corp. (NYSE:T - News), balking at the prospect of buying the long-distance carrier for about $19 billion in cash and stock, The Wall Street Journal said on Wednesday, citing people familiar with the matter.
      The companies, which had been in discussions about merging before, had made significant progress in the latest discussions that began over the summer, the report said.

      The companies had reached agreement on major aspects of a deal and had hoped to announce a definitive transaction as soon as next week, the paper said.

      Demand is sprouting for new devices, more storage
      BY PAUL ANDREWS


      If the seers of technology could whisper a word in Dustin Hoffman`s ear for 2003, it would be "storage."

      From Joe Consumer to the Fortune 1,000, data consumption is exploding. Home users smitten with digital music, photos, and video need bigger hard drives and DVD recorders to swap and archive content. Global enterprises are converting their entire operations to Web-based transactions, nudged by IBM`s Websphere and Microsoft`s .NET. Spiraling data requirements are driving investments in new servers capable of absorbing peak Web loads and delivering round-the-clock reliability. Even small-to-medium businesses, the tardiest digital adoptees, are switching to Web-based commerce as consumers and clients demand it.


      "Applications like photo, video editing, training, and so on will drive some segments, including enterprises," notes Zane Adam of Microsoft`s Enterprise Storage Division. Example: Retailer Barnes & Noble is adding Windows network servers to store the music tracks that customers can sample in its stores before purchasing CDs.

      Add to the mix skyrocketing E-mail use, larger databases, and new regulations requiring longer preservation of internal communications, and storage looks like a surefire bet for 2003.

      Especially when it`s getting cheaper all the time. Hard disks capable of handling a terabyte (1 million megabytes) of data are expected to reach a mass selling point–$300–within a couple of years. Recordable DVD drives may hit the consumer sweet spot of $200 by year`s end. Free Linux and other open-source software have reduced the cost of adding Web servers to a couple of hundred dollars a pop.

      Under the tech world`s dream scenario, consumers who found new digital cameras or camcorders under the Christmas tree will soon realize they need to upgrade their personal computers to a bigger hard disk and writeable DVD drive. Web-smart cellphones and PDAs will start to take off along with wireless Wi-Fi networking, feeding momentum toward high-speed Internet broadband connections. On the enterprise side, Web services will drive a corporate PC upgrade cycle as well.

      High-IQ devices. A two-pronged consumer-enterprise PC upgrade cycle could even bring technology back to its halcyon days of double-digit growth. "We should see overall sales growth rates of about 25 percent in 2003, with moderate growth in traditional PCs and phones, strong growth in laptops and color-screen phones, and very strong growth in new intelligent devices," predicts Mark Anderson, publisher of Strategic News Service, an electronic newsletter.

      Given the technology sector`s past woes–losses of $7.6 trillion from March 2000 to September 2002–it might be asking too much to expect a full glow to emanate from our crystal ball. But 2002 was in some ways a better year than it seemed. The Internet generated $1.5 trillion in commerce and passed 600 million users, putting it on track to reach 1 billion users within five years. Global data traffic jumped to a level 11 times higher than voice traffic–just three years ago they were even. Semiconductor, computer, and office-equipment production had risen nearly 20 percent in November over the year before.

      And optimists see several factors strengthening the outlook for 2003. Enterprise PCs replaced during the Y2K buildup are getting a bit rickety, the only question being whether they can hold up till 2004. Trend watcher IDC found from polling 700 analysts that spending on information technology and telecommunications in 2003 is expected to grow by more than 6 percent to $1.9 trillion. IDC forecasts 8.3 percent growth in worldwide PC shipments in 2003 and a jump to 11 percent growth in 2004. And 2 in every 5 tech executives polled by Morgan Stanley expect to spend more on new projects in 2003 than they did in 2002. "We expect business to lead market growth in the second half of 2003," says Roger Kay, IDC`s director of client computing.

      So far, most analysts–still smarting from the hype backlash of the dot-com boom–are cautious about using words like turnaround or recovery. And in a robbing-Peter-to-pay-Paul way, a tech rebound is not necessarily good news for other sectors. For example, voice transmission over the Internet is already a potent challenge to the traditional telecom industry. The Internet now accounts for 10 percent of all international calls, up from virtually nothing five years ago. In Asia, broadband services offer Internet calls at a 20 percent to 30 percent discount over voice. One provider there, Yahoo BB, is adding 10,000 subscribers a day. IBM announced last month that it will help businesses convert phone services to Internet telephony, and Intel invested a chunk of its $150 million Communications Fund in TeleSym, a Bellevue, Wash., software company specializing in Internet calling over wireless networks. By 2010, virtually all calls will run over the Internet, predicts Tom Evslin, chairman of voice-over-IP provider ITXC.

      Unwired. More and more consumers are abandoning wired phones altogether–analysts expect global cellphone sales to jump 10 percent or more, reaching 400 to 450 million units in 2003, while sales of smart phones are expected to reach 2.5 million units in 2003, a nearly fivefold increase over 2002. By 2006, half of all calls are expected to be over cellular networks.

      That`s all well and good for Internet and wireless calling, but it`s a discouraging bellwether for the already hammered telecom sector. Former regional Bell companies, already down 97.4 percent from their historical peak market values, face numerous obstacles. "The road back for telecom vendors, even when enterprises begin to spend, will be filled with potholes," says Allan Tumolillo, chief operating officer of Probe Research.

      Then there`s digital content. File swapping–including home-movie clips, photos, and music–is expected to drive further growth in broadband Internet through cable modems and DSL. There is plenty of room for expansion. Just 15 percent of U.S. households have high-speed connections, despite broadband`s availability to 70 percent of the nation. High cost has been a deterrent, but monthly fees have dropped to as low as $29 in competitive markets such as Silicon Valley. And AOL Time Warner, in an attempt to retain its customers as they move from dial-up to high-speed connections, is expected to cut prices as well.

      The downside to file sharing, which has continued to boom despite Napster`s demise and other legal challenges, is a lethargic music industry, where CD sales fell 10 percent last year. Hollywood is apoplectic over a similar swapping phenomenon for digital movies. Bootleg DVD copies of blockbuster releases crop up in overseas markets before the films make it to U.S. theaters. And Blockbuster slashed its 2002 profit outlook in part because of competition from online rental firms such as Netflix. Wal-Mart also plans a new service in 2003.

      On the photo side, the number of images captured digitally will exceed film by the end of 2003: "This will have a big impact on Kodak and the rest of the [camera] film industry," says IDC`s John Gantz.

      Wireless networking, also known as Wi-Fi or 802.11b, is likely to continue to expand, benefiting providers like Linksys, Microsoft, Belkin, and D-Link. Wi-Fi got a huge boost in December when IBM, AT&T, and Intel announced Cometa Networks, a new company to build a nationwide wireless network. At the same time, Wi-Fi could hinder Internet expansion over cellphones: AT&T Wireless recently pulled back on plans for its next-generation 3G wireless Internet technology, citing "basically underwhelming" demand.

      Over there. But a tech resurgence could boost overseas economies more so than that of the United States. Software powerhouse India, for example, is intent on keeping more of its talent at home (40 percent of U.S. start-ups are founded by Indians). China has the world`s largest number of cellphone users with 189 million subscribers and is on its way to becoming the largest Internet user and the No. 2 semiconductor maker. "Many Western technology vendors will be surprised to find that China is no longer just a growing market for their goods, but also a serious competitor for their own customers," says analyst Anderson.

      Much depends on the economy in general, of course. If jobless rates remain high and consumers turn stingy, technology in 2003 could retrench more than rebound. One wild card: terrorism. IDC foresees a "major cyberterrorism event" this year, paralyzing the Internet for as long two days. Where an online catastrophe would leave the economy–and technology spending–is anybody`s guess.

      Benefits of increased scale, reduced cost base and leading technology
      Combined company among world`s top three international voice carriers
      Teleglobe International Holdings Ltd and ITXC Corp. (NASDAQ:ITXC - News) today announced that they have signed a definitive merger agreement for the acquisition of ITXC by Teleglobe. The acquisition would bring together ITXC, the largest provider of Voice over Internet Protocol (VoIP) wholesale services, with Teleglobe, one of the world`s leading wholesale providers of voice, data, IP and mobile roaming services. The newly formed parent company of the Teleglobe group of companies (Teleglobe), which will continue to operate under the Teleglobe name, is expected to receive a NASDAQ listing. The combined company`s main operations will continue to be located in Montreal (Quebec). Its voice business will be managed from ITXC`s current headquarters in Princeton, New Jersey and will also have operations in Reston, Virginia and Montreal.

      Following completion of the merger, Liam Strong will continue to lead Teleglobe as President and Chief Executive Officer (CEO). Tom Evslin, ITXC`s current Chairman and CEO, will become non-executive Chairman of the Board of Directors. Cerberus Capital Management, L.P., Teleglobe`s current controlling shareholder, will continue to own a majority of Teleglobe.

      After the merger, Teleglobe will be one of the top three international voice carriers. The merger will combine Teleglobe`s established position and customer relationships in world market segments with ITXC`s strength in higher growth developing market segments. The merger also provides the opportunity to realize a significant reduction in the overall cost base of the combined company. In part, reductions are expected to be achieved by the application of ITXC`s automated technology to Teleglobe`s older back-office processes.

      "This agreement strengthens Teleglobe`s leading position in wholesale global communications," stated Liam Strong. "It brings together ITXC`s leading-edge VoIP network with Teleglobe`s access to 275 established bilateral relationships with telecommunications companies on all continents. The opportunity to lower our cost base in the price-sensitive wholesale market segment is significant. Access to ITXC`s technological capability will also accelerate our plans for next-generation services in voice, data, IP and mobile roaming."

      According to Evslin: "Voice traffic is migrating from the legacy fixed-line public switched telephone network to wireless and IP networks. These networks support both wireless and IP applications, which we believe Teleglobe will be well positioned to offer. ITXC`s industry-leading patented VoIP and routing capability, combined with Teleglobe`s advanced international voice, data, IP and mobile roaming services, provide a strong foundation to build the next generation of combined voice, data, IP and mobile roaming services for our customers."

      Once the transaction is closed, holders of ITXC`s common stock will receive common shares of a newly formed parent company of the Teleglobe group of companies, representing approximately 28 percent of the new Teleglobe parent company. All outstanding options and warrants of ITXC will be converted into options and warrants of the new Teleglobe parent company. The proposed transaction is intended to be qualified as tax free to the shareholders of ITXC and Teleglobe. Morgan Stanley & Co. Inc. acted as financial advisor for ITXC on this transaction.

      The Boards of Directors of ITXC and Teleglobe have unanimously approved the merger agreement. The transaction is subject to the approval of ITXC`s shareholders, the meeting of certain financial tests by ITXC and Teleglobe, registration with the SEC of the Teleglobe common shares to be issued in the merger, the approval for listing of Teleglobe common shares on NASDAQ or another U.S. national securities exchange, receipt of any required governmental or other regulatory approvals, including the expiration of any applicable Hart-Scott-Rodino waiting period and other customary closing conditions. In light of the above approval process, the merger is expected to be completed by approximately the end of March 2004. Prior to the meeting to vote on the merger, ITXC shareholders will receive a proxy statement containing detailed information on Teleglobe before and after the merger, the background of the merger and the material terms of the merger agreement.

      ITXC and Teleglobe had revenues on a combined basis for the quarter ended September 30, 2003 of approximately USD$286.8 million. Before taking into account any cost savings, the combined company had positive net cash provided by operating activities for the same period and had over USD$88.8 million in cash and cash equivalents as at September 30, 2003. Since its emergence from bankruptcy, Teleglobe has had positive net cash flows. The combined company expects to have positive net cash flows by the end of 2004.

      In addition to a leading position in wholesale voice, the combined company will have substantial revenues from higher-margin data, value-added voice and mobile roaming services. The addition of ITXC`s innovative technology and alternative routing capabilities will give Teleglobe an even greater range of choices for routing customers` traffic.

      Teleglobe has been a major player in international telecommunications for well over 50 years. It ranks among the top five providers of international wholesale voice, data, IP and mobile roaming services. Teleglobe`s network reaches more than 240 countries and territories and is physically interconnected to approximately 275 fixed-line telecommunications operators and 360 mobile operators.       die erfahrung das der pre-market kurs vollkommen aussagelos ist, hatte ich vor ein paar wochen gemacht..

      da hatten wir im pre-market auch die kurse die wir heute atuell haben um 3,70$, und ich bin eingestiegen zu 3,00EUR.

      das hätte mir ca. 0,20$ bringen müssen, brachte aber 0$
      ;)

      Die heute veröffentlichen Quartalszahlen waren eher mittelmässig bis enttäuschend (wieder wurden die anvisierten Ziele verfehlt), aber aufgrund der Phantasie, die durch die geplante Übernahme von ITXC durch Teleglobe aus Kanada angezettelt wurde, schoß der Kurs heute knapp 24% nach oben ... das macht die Geschichte jetzt plötzlich wieder hochinteressant, es bleibt jetzt abzuwarten wie sich die Analysten zu diesem Deal äußern ... auf jeden Fall ist wieder Musik in die Aktie gekommen :) :) :)

      es ist paar Wochen her, da lag itxc auch mal an einem Tag mehr als 20% im plus! könnt ihr euch noch erinnern ?

      1 Woche später waren diese gewinne wieder weg..

      und auch wenn man weiter zurückblickt, sieht man das grosse weisse kerzen oft mit vielen kleinen schwarzen bestraft wurden bis die gewinnne weg waren..

      klares argument sich über die gewinne zu freuen und zu verkaufen.

      andererseits ist die meldung schwer einzuschätzen, also neubewertung in verzug! vielleicht sind demnächst auch Kurse über 5$ drin.

      mal sehen...

      selber kann ich das nicht einschätzen, tendiere aber mehr zu den 7$. glaube kaum das die fusion mit teleglobe so ein fehler sein kann..

      Der neue Kaufrausch für Aktien, die in den USA Internet-Telefondienste anbieten wollen, hat sich weiter fortgesetzt. Angeheizt wurde der neuerliche Boom heute von einem Artikel im Wall Street Journal. Dabei war spekuliert worden, inwiefern die Zukunft der Festnetz-Telefonie möglicherweise doch dem Internet gehöre. Zumindest würden etablierte Telefonkonzerne derzeit ebenfalls Dienste entwickeln, die über das Internet laufen würden.

      8X8 kletterten heute bislang um weitere 12,87 Prozent auf 7,63 Dollar nach oben. Deltathree legten um 10,82 Prozent auf 4,20 Dollar zu, VocalTec schossen sogar um 34,74 Prozent aufwärts auf 4,20 Dollar.

      MÜNCHEN (COMPUTERWOCHE) - Mit der Regulierung der Internet-Telefonie beschäftigen sich Bundesbehörden in den USA ab kommender Woche. Dabei knüpfen Befürchtungen, durch die schnell wachsenden Dienste könnte sich der Markt für die 300 Milliarden Dollar schwere Telekommunikationsbranche dramatisch ändern, an die Debatte an, ob das Internet auch in Zukunft frei von staatlichen Regelmechanismen bleiben soll.

      Angesichts des Angebots von Telefon-Flatrates, die zu monatlichen Grundgebühren ab 35 Dollar kostenlose Inlandsgespräche in beliebiger Menge ermöglichen, und Minutenpreise für Interkontinentalgespräche, die bei einem Sechstel der Gebühren traditioneller Telefongesellschaften liegen, sehen Konzerne wie Bell South und SBC Communications ihre Felle davonschwimmen. Sie kritisieren vor allem, dass sie sich im Gegensatz zu VoIP-Anbietern (Voice over IP) harten Regularien unterwerfen müssen. Dazu zähle zum Beispiel die kostenlose Bereitstellung von Notrufnummern, die in allen US-Bundesstaaten unter der Kurzwahl 911 erreichbar sind.

      Doch nicht nur die Mitbewerber fordern Klärung, berichtet das "Wall Street Journal". Demnach befürchten etliche Bundesstaaten Steuerausfälle durch zurückgehende Gebühreneinnahmen der Telefonkonzerne. Außerdem müssen sich die VoIP-Anbieter nicht an nationalen Stiftungen beteiligen, die Mittel zur Subventionierung von Telefondiensten in wenig besiedelten Gegenden bereitstellen.

      Die für die Regulierung zuständige FCC (Federal Communications Commission) will jedoch die Bedingungen des Telefoniemarktes nicht auf die neue Technologie übertragen. VoIP-Anbieter seien keine Telefonkonzerne im traditionellen Sinn und sollten auch nicht so behandelt werden, sagte der Vorsitzende der Behörde, Michael Powell. Daraus sei nicht zu schließen, dass keine Regulierung notwendig sei. Die seit 1919 für Telekommunikationskonzerne geltenden Regeln auf den VoIP-Markt zu stülpen, wäre jedoch ein historischer Fehler.

      Die Internet-Telefonie ist eine ernste Gefahr für Telekomkonzerne. Nach Angaben der Industrieanalysten von UBS hat der junge Markt ein gewaltiges Potential, dessen Ausmaße eindeutig zu Lasten der etablierten Telekomkonzerne gehen. Niedrige Kosten für Nutzer durch die Abrechnung in Pauschalpreisen statt im Minutentakt haben einen drastischen Umsatzverlust für Telekomkonzerne zur Folge.
      Derzeit werden zwar weltweit erst schlappe drei Prozent aller Gespräche über das Internet geführt, aber Analysten sagen dem Markt bis zum Jahr 2007 ein durchschnittliches Umsatzwachstum von 45 Prozent voraus. Bereits in diesem Jahr sollen sich die Firmenausgaben für IP-Telefonsysteme mehr als verdoppeln, verheißen die Marktforscher von Dell`Oro

      Der Markt für Voice over IP, also die Sprachkommunikation über das Internet Protocol, brummt in Europa augenscheinlich. Der britische Carrier IXTC, der sich neben Level 3 als in Europa führenden VoIP-Diensteanbieter bezeichnet, jammert fast über volle Auftragsbücher. Das Unternehmen sieht im Geschäftskundenbereich Westeuropas wegen einer starken Zunahme von Kommunikationsaufkommen viel Potential.
      So seien derzeit im Vergleich zum Vorjahr ein Viertel mehr übertragene Nutzungsminuten im Quartal zu verzeichnen, sagt Vertriebschef Steve Ott. Vor allem von 2002 auf 2003 sei der Bedarf und der Bekanntheitsgrad messbar gestiegen. Besonders Deutschland habe den Carrier dabei überrascht: Ein erst im April dieses Jahres eröffneter Point of Presence mit entsprechender Anbindung habe die Kunden geradezu exponentiell angezogen. Doch diese Markterscheinungen hätten auch die Konkurrenzkämpfe in Europa angeheizt.

      Auch wenn hier aktuell wenig los ist, möchte ich doch
      zumindest bemerken, daß wir heute wieder ein neues
      52-Wochen-Hoch erreicht haben ... Intraday lagen wir
      sogar schon bei 5,55$ und geschlossen haben wir dann
      bei sehr ansehnlichen 5,39$ ... nachbörslich liegen
      wir aktuell bei 5,45, ist aber wenig aussagekräftig,
      da der Umsatz kaum der Rede wert ist ...
      Nachrichten gibt es eigentlich keine, aber vielleicht
      wissen Insider schon mehr über den Deal mit Teleglobe
      als wir :look: :look: :look:

      Hi all,

      ich habe heute mal Gewinne mitgenommen und meine ganze Position glatt gestellt.
      Ich gehe davon aus dass demnächst eine Konsolidierung der überkauften Situation kommt bis in den Bereich von ca 3,20-3,50 €. Dann werde ich wieder einsteigen.
      Leider habe ich heute etwas zu früh verkauft, doch ich denke man erwischt nie den richtigen Zeitpunkt.
      Daher warte ich jetzt erst mal ab.

      nach den kurssprüngen der letzten zeit, kann man schon mal an gewinnmitnahmen denken. hab auch schon drüber nachgedacht...

      denke aber das itxc zur zeit ganz neubewertet wird und vielleicht bald kurse um 8$ möglich sind...

      andererseits erwarte ich auch keine so starke konsolidierung bis 3,50€.

      Seit Tagen ... nein, man kann schon sagen ... seit Wochen ... klettert der Kurs unserer ITXC stetig nach oben ... Da müssen doch einige Insider, wahrscheinlich große Institionelle, mehr wissen als wir ... Es sind zwar keine Meldungen zu finden, aber der Deal mit Teleglobe scheint sich positiv auszuzahlen :D

      In Amerikanischen Boards wird darüber spekuliert, daß die Marktkapitalisierung der neuen Firma bei 1 Mrd. Dollar, vielleicht sogar nahe 2 Mrd. Dollar liegen müßte ... wenn man die Tatsache zugrunde legt, daß ITXC zu 28% an der neuen Firma beteiligt ist, müßte der Kurs der ITXC-Papiere zwischen 6 und 11 Dollar liegen, je nachdem welche Aktienanzahl man berücksichtigt und wie halt die Marktkapitalisierung aussehen wird ...

      Könnte ich mir zumindest gut vorstellen, denn der Bereich knapp über 5 Dollar scheint doch eine recht solide Basis für einen erneuten Angriff auf die Marke von 6$ zu sein. Wir rutschen zwar immer mal wieder ein wenig ab, aber unter 5$ scheint es augenscheinlich nicht mehr zu gehen. Selbst gestern beim schwachem Umfeld einer sinkenden Nasdaq bestand keine Gefahr. Es wäre nur langsam mal wichtig zu wissen, wie die genauen Details des Deals mit Teleglobe ausehen. Diese Unsicherheit (aber auch Chance!!) ist natürlich noch im Markt.

      Hmm, hab ich auch gelesen ... dazu noch die fehlenden News zum Teleglobe-Deal ... und der Kurs sackt jetzt doch erheblich unter die 5-Dollar-Marke, die lange so gut hielt. So langsam könnte ITXC wirklich mal Einzelheiten veröffentlichen, sonst werden wohl noch mehr Aktionäre abspringen ... und welchen Sinn ein Reverse Split machen soll, ist mir auch nicht so richtig klar ...

      Wenn ihr euch mal den Chart anseht,dann sieht man deutlich
      das wiederholte absacken auf die 38 Tage Linie.
      Bisher hat sie danach immer nach Norden gedreht.Die 200 Tage-Linie ist sowieso noch weit überschritten.
      Das einzige was einen skeptisch macht ist die wirklich schlechte Informationspolitik.So geht man nicht mit Aktionären um,jedenfalls nicht wenn man ein gutes Management und nichts zu verbergen hat!

(NASDAQ:ITXC - News) announced today that Teleglobe Bermuda Holdings Ltd has filed a registration statement on Form S-4 with the Securities and Exchange Commission in connection with the merger previously announced between Teleglobe and ITXC.       das einzigste gute, was ich jetzt sehe ist, das es nicht an itxc liegen kann, denn alle kleinen & mittleren firmen geben genauso ab .. die branche wird gerade verheizt .. vielleicht isses gesund - leider eben traurig !!
      von den zahlen konnte ich bisher nix lesen -
      seinfeld hat sich wohl auch verabschiedet??

      okay okay ich sehe nichts gutes mehr .. aber ich bin ein sehr ausdauernder mensch und bleibt meine innere überzeugung bestehen bleibt auch mein mut auszuharren ..
      gleichwohl war es ein fehler, in diesem fall nicht kurzfristig zu traden :( langsam kommen meine einstiegskurse in sichtweite ;(

      ich weiß nicht, warum itxc der hauptverlierer ist und momentan bleibt!? ihr seid ja scheinbar alle draußen !!
      ist wohl die unsicherheit die verbleibt aber die birgt sowohl risiken aber auch chancen ..

      charttechnisch hat sich der itxc-verfall nicht an markante stellen gehalten, mal schaun ob der markante boden jetzt einhalt gebietet !?

      Die Abschläge er letzten Tage und Wochen überrascht mich auch ... gibt eigentlich keinen ersichtlichen Grund für den Kursrückgang, aber vielleicht wissen Insider schon mehr als wir ... speziell was den Deal mit Teleglobe betrifft ...

      Ich glaube mich zu erinnern, das ITXC Aktionäre 28% am neuen Unternehmen halten sollen. Ohne viel zu rechnen glaube ich das sich der Kurs sowieso dem Ausgabekurs der neuen Aktien angleicht. Weiter runter wird es wohl nicht gehen.

      ITXC Reports First Quarter Results

      PRINCETON, N.J.--(BUSINESS WIRE)--April 22, 2004--ITXC Corp.(R) (NASDAQ:ITXC) reported revenues of $96.3 million for the first quarter of 2004, an increase of 17.9% from the same quarter of 2003 and a sequential decrease of 1.6% from the fourth quarter in 2003. Of the revenues reported for the first quarter of 2003, approximately $8.7 million related to amounts from Interactive Marketing Technologies, Inc. ("IMT"), which the Company had deemed uncollectible.

      The Company`s net loss for the first quarter of 2004 was $7.9 million. This compared to a net loss for the first quarter of 2003 of $17.7 million and a net loss for the fourth quarter of 2003 of $11.1 million.

      The Company`s net loss per share was $0.18 for the first quarter of 2004, as compared to a net loss per share of $0.41 in the first quarter of 2003 and a net loss per share of $0.26 for the fourth quarter of 2003. The weighted average shares outstanding for the first quarter of 2004 were 43.4 million as compared with 42.6 million for the first quarter of 2003 and 43.3 million for the fourth quarter of 2003.

      The Company reported revenues minus data communications and telecommunications expenses and minus network operations expenses (formerly referred to by the Company as gross profit) for the first quarter of 2004 of $6.1 million, as compared to $6.6 million in the first quarter of 2003 and as compared to $5.8 million in the fourth quarter of 2003.

      During the first quarter of 2004 the Company reported SG&A expense of $9.8 million. This compared to SG&A expense of $18.7 million in the first quarter of 2003 and $9.8 million in the fourth quarter of 2003. Included in the first quarter of 2003 was an $8.7 million bad debt reserve for the full amount owed by IMT to ITXC. Included in the SG&A expense in the first quarter of 2004 is $1.3 million for transaction, integration and employee retention/severance expenses relating to the proposed merger between ITXC and Teleglobe. In the fourth quarter of 2003, the Company recorded $1.4 million of such expenses.

      The Company used $2.4 million in cash during the quarter. The Company ended the quarter with over $50.3 million of cash, cash equivalents and marketable securities and only $0.5 million of long-term debt, which is related to capital leases. Capital expenditures during the quarter were $2.0 million.
