GENEVA, SWITZERLAND--MFC Bancorp Ltd. (Nasdaq: MXBIF and FrankfurtStock Exchange: MFCGR) announced today that it has, as a shareholder of Hyal Pharmaceutical Corporation ("Hyal", TSE and Nasdaq BB: HYALF), called a Special Meeting of the Shareholders ofHyal to be held on February 25, 2000 pursuant to an Order from theSuperior Court of Justice in Ontario.

The purpose of the meeting is to elect a board of directors of Hyal. Hyal has had no officers or directors since August 16, 1999 when PricewaterhouseCoopers Inc. was appointed as the receiver andmanager of Hyal. On October 24, 1999, the Court approved a sale ofall of the tangible assets and intellectual property of Hyal; however, the amount of liabilities of Hyal is expected to exceed the sales proceeds.

Michael Smith, President of MFC, commented, "We believe that the public quotation and tax loss carry forwards of Hyal make the company a potentially attractive investment vehicle for new business projects which could ultimately lead to a restoration of value for Hyal`s shareholders. For this reason, we believe that Hyal`s shareholders should appoint a board to represent their interests independent of the company`s creditors, who are represented by the Receiver."

MFC is in the financial services business specializing in private and investment banking internationally. Its banking business is conducted through its wholly-owned subsidiary, MFC Merchant Bank S.A., a fully licensed Swiss Bank based in Geneva, Switzerland. MFC also actively invests in and restructures undervalued and distressed assets and companies. In 1998, MFC had net income of $U.S. 20 million on revenues of $83 million.

Ich habe von einigen Bankern gehört, daß Hyal in Australien wieder
auf machen soll, ich denke, daß wird dann wirklich ein Knaller,
aber wie kriegt man raus, wann man wieder ordern kann ?

leider weiß ich auch noch nichts näheres. Egal auf welchen Boards ich suche, ich finde nur die bereits oben ang. Meldung.

Ich habe heute Morgen eine Mail an Hyal geschrieben und nachgefragt, wie es jetzt weitergehen soll und wann wieder in Deutschland gehandelt werden kann. Adresse: [e-mail]

Zur Zeit komme ich leider nicht auf deren Homepage, ich werde es aber weiterhin versuchen.

Wie kommst Du (oder Deine Bank) ausgerechnet auf Australien?

Woher die Info mit Australien kommt weiß ich auch nicht, ein
Deutschbänker kam damit rüber !?

Ich weiß nur, daß in Bezug auf krebsmedikamente wohl wieder
einiges im Busch sein soll.

Ich versuche natürlich auch weitere Infos zu bekommen, über verlässliche Aussagen, Aufnahme der Notiz etc.

Hyal Pharmaceutical Announces Results of Special Meeting of Shareholders
TORONTO, Feb. 28 /PRNewswire/ -- Hyal Pharmaceutical Corporation (Toronto: HPC - news) announced today the results of its Special Meeting of Shareholders held in Toronto on February 25, 2000. The Special Meeting had been called by MFC Bancorp Ltd (Nasdaq: MXBIF; Frankfurt: MFC GR), a shareholder of Hyal, pursuant to an Order from the Superior Court of Justice in Ontario, for the purpose of electing a new board of directors of Hyal which had no officers or directors since PricewaterhouseCoopers Inc. was appointed as the receiver and manager on August 16, 1999. At the meeting, Michael Smith, Roy Zanatta, James M. Carter, Murray Oliver and Young J. Rhee were elected as the directors of Hyal.

Hyal also announced the appointment of Michael Smith as President and Roy Zanatta as Secretary.

Michael Smith, commented: ``We are appreciative of the support we received from shareholders and can now go forward to work with the Receiver and Hyal`s creditors in an effort to restructure the Company.``

Auf die Schnelle:
Es wurden 2 neue Direktoren eingesetzt die versuchen sollen die
Firma umzustrukturieren. Möglicherweise wird die Firma nachher in
einem ganz anderen Geschäftsfeld tätig sein. Die Firma wird als Mantel
interssant da die Schulden vom Vorjahr ins neue Geschäftsjahr übernommen werden können und keine Steuern gezahlt werden müssten.
Sieht jedenfalls etwas freundlicher aus als vor einem halben Jahr.

Wer kann mir helfen? Der Kurs ist seit Aug. 99 ausgesetzt. Im Februar ist eine neue Geschäftsführung bestellt worden. Hat jemand nähere oder neuere Infos ob und wann Hyal wieder notiert wird?

Sicher ist eine solche Mitteilung ganz positiv zu bewerten. Ich selber konnte die Anzeige leider nicht lesen, aber wenn da jemand tatsächlich die Hyal zu 0,15 € kaufen wollte - alle Achtung!

Das heißt dann ja wohl, das SkyePharma Hyal gekauft hat!?!. Zumindest hat SkyePharma die Produkte von Hyal übernommen.

Was passiert dann mit unseren Aktien?? Werden die getauscht???

so wie es aussieht, kommt wieder Schwung in Hyal. Die Aussichten sind in der Tat so rosig wie nie. Falls überhaupt, haben wir jetzt eine vernünftige Chance wieder Geld für unsere Aktien zu sehen.

"HYAL PHARMACEUTICAL CORP ("HPC-T;HYALF,HYAL-L") - Receives Court Approval for its Re-Organization Plan
Hyal Pharmaceutical Corporation ("the Company", announced that Superior Court of Justice of Ontario has approved the proposal submitted by the Company (the "Proposal") under the Bankruptcy and Insolvency Act. The Proposal had previously been approved by the required majority of creditors at a meeting held on May 9, 2000 in Toronto.

The Company experienced severe financial difficulties in 1999, and has been in a court ordered receivership (the "Receivership") since August 16, 1999 when PricewaterhouseCoopers Inc. was appointed as the Receiver and Manager at the request of a creditor. On October 24, 1999, the Court approved a sale of all of the tangible assets and intellectual property of Hyal for $14 million. On February 25, 2000, Hyal held a shareholders` meeting at which a slate of directors nominated by MFC Bancorp Ltd. (Nasdaq: MXBIF and Frankfurt Stock Exchange: MFCGR, `MFC`) was elected. Subsequently, on April 18, 2000 Hyal filed the Proposal with PricewaterhouseCoopers.

Under the Proposal, Hyal will pay its secured creditors, holders of preferred claims and other fees and expenses related to the Receivership and the Proposal in full and will then distribute all remaining funds to unsecured ordinary creditors. It is expected that the amounts of funds available to unsecured creditors will be less than the total amount of unsecured claims, though the amount of the shortfall will be unknown until the claims review process is completed by PricewaterhouseCoopers. In the case of such a shortfall, the Company will distribute 7 common shares of the Company for each $1.00 of unpaid unsecured claim up to a maximum of 14 million shares; if unpaid claims exceed $2 million, then 14 million shares will be distributed on a pro-rata basis to the unsecured creditors.

As part of the Proposal, the Company will issue to MFC $1 million of Preferred Shares of Hyal. The Preferred Shares will pay a 6% cumulative annual dividend, will be redeemable by the Company after a period of 2 years, and are convertible at the holder`s option into common shares of the Company at a price equal to 90% of the average closing price of the common shares on a recognized stock exchange on the 10 business days preceding notice of conversion. The number of common shares which the Preferred Shares may be converted into is limited to that number such that following conversion the number of common shares issued in exchange for the Preferred Shares will not exceed 40% of the total outstanding common shares of the Company. Until such time as the Preferred Shares are converted or redeemed, they will have the right to cast a number of votes equal to 40% of the eligible votes at any meeting of shareholders of the Company. MFC has also agreed to arrange for or provide the Company with a $5 million line of credit, under normal commercial terms, to fund acquisitions and business development.

PricewaterhouseCoopers has been appointed as the Proposal Trustee and will be responsible for disbursing all funds to creditors following the claims review process. The Company expects that the Receivership will be terminated in the near future.

Michael Smith, President of Hyal, commented "We appreciate the support we have received from both creditors and shareholders of Hyal in our efforts to re-organize the Company, and we now look forward to the termination of the Receivership and being able to move forward in a positive manner. The sale of the Preferred Shares and the line of credit will provide us with adequate liquidity, and the Company still has substantial Canadian tax loss carryforwards, a key asset in its future development". Ich habe schon vor einigen Wochen bei der comdirect Bank eine Buchung für meine Aktien entdeckt. Auf Anfrage was diese Buchung bedeutet, wurde mir gesagt, daß meine Aktien zur Börse Toronto umgebucht wurden. Dort werden sie zwar auch z.Z. nicht gehandelt, aber vielleicht wird dort zuerst wieder eröffnet.

es könnte übrigens sein, dass an der OTC Hyal früher gehandelt wird wie in Toronto. Am Raging-Bull wird Hyal wieder geführt (mit einem Umsatz von 4 000 Stück). Es scheint aber wohl so zu sein, dass MFC eine (1) Million Aktion von Hyal aufgekauft hat - und das natürlich nicht aus Nostalgismus. Die Aktie verspricht einiges Potential! Die neueste News über Hyal füge ich noch bei!

Hallo swyn,

ich glaube, das wird irgendein Fehler in der Leitung gewesen sein. Nichtsdestotrotz können wir davon ausgehen, dass Hyal auch relativ bald wieder in Canada gehandelt wird. Derzeit laufen die Entschuldungen via Austausch von Aktien.

Ich denke, das ist ein sehr gutes Zeichen.
