hallo

PN4 CONDITION: REMOVAL OF SECURITIES OF PROMET BERHAD
The securities of a Practice Note No. 4/2001 (PN4) company, Promet Berhad (PROMET), were removed from the Official List of the Malaysia Securities Exchange Berhad (the Exchange) with effect from 9:00 a.m. today.
On 20 February 2004, the Exchange had announced that the Securities Commission (SC) had vide its letter dated 16 February 2004 decided not to approve PROMET’s appeal against its decision to reject PROMET’s proposed restructuring scheme. In the circumstances and in accordance with the Exchange’s earlier decision, the securities of PROMET would be de-listed from the Official List of the Exchange.
I. Effect of De-listing from the Official List of the Exchange
With respect to the securities of PROMET that were de-listed which are currently deposited with the Malaysian Central Depository Sdn Bhd (MCD), the securities may remain deposited with the MCD notwithstanding the de-listing of the securities from the Official List of the Exchange. It is not mandatory for the securities of PROMET that have been de-listed to be withdrawn from MCD.
Alternatively, shareholders of PROMET who intend to hold their securities in the form of physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with the MCD at anytime after the securities of PROMET have been de-listed from the Official List of the Exchange. This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by MCD. Shareholders of PROMET can contact any Participating Organisation of the Exchange and/or MCD`s helpline at 03-20717711 or 03-20717723 for further information on the withdrawal procedures.
Upon the de-listing of PROMET, PROMET will continue to exist but as an unlisted entity. PROMET is still able to continue its operations and business and proceed with its corporate restructuring and shareholders of PROMET can still be rewarded by the company`s performance. However, the shareholders of PROMET will be holding shares which are no longer quoted and traded on the Exchange.
In this respect, the SC had on 18 June 2003 made an announcement stating that a de-listed company may seek re-listing on the Exchange if it can demonstrate that it is financially strong and has identified the causes that led to its past distressed financial state and it complies with the SC’s re-listing conditions.
II. Status of PN4 Companies
As at 5 March 2004, there is a total of 54 PN4 Companies which represents 5.9% of the total number of 920 companies listed on the Exchange. The aggregate market capitalisation of these 54 PN4 Companies is RM2.38 billion, representing 0.3% of the total market capitalisation of RM715.22 billion of the Exchange. A total of 31 PN4 Companies have obtained all relevant regulatory approvals necessary for the implementation of their restructuring plans and are at various stages of completion.

Immer locker bleiben, Freunde!
