Hongkong.com to raise up to HK$957 mln in GEM IPO

HONG KONG, Feb 22 (Reuters) - Chinadotcom Corp`s portal arm Hongkong.com is raising up to HK$957 million in an initial public offering on the Growth Enterprise Market (GEM) with trading commencing in March, sources close to the deal said. Hongkong.com Corp planned to place 640 million new shares with professional, institutional and other investors at HK$1.00 to HK$1.30, a source said. Underwriters were granted an option to require the company to issue an additional 96 million shares to cover overallotments, he said. The initial new shares represented about 16 percent of the company`s enlarged issued capital, which would be increased to 18 percent if the overallotment option was fully exercised.

A marketing roadshow for the issue started in Hong Kong on Monday and was in Japan on Tuesday.

The management would be back in Hong Kong on Wednesday before heading to Singapore on Thursday.

The team would also go to Europe and the United States with the placement to be closed in the first week of March. Hongkong.com to spend HK$495 mln on marketing

HONG KONG, March 6 (Reuters) - Growth Enterprise Market listing candidate hongkong.com corp <8006.HK> said it would use about HK$495 million of its proceeds from an initial public offering for marketing and advertising in Hong Kong and overseas.

Hongkong.com, which is a Hong Kong-focused Internet portal arm of chinadotcom corp , is raising net proceeds of HK$1.06 billion by placing 640 million shares at between HK$1.60 and HK$1.88 each. Dealing in the shares will start on Thursday.

The company said it would use about HK$236 million of the proceeds on marketing and advertising in Hong Kong and HK$259 million on marketing and advertising outside the territory.

"Hongkong.com is a new media company for which the most important thing is to build a big community, an international community," chairman Raymond Ch`ien told a news conference.

Chi`en said the money to be used in marketing and advertising was an investment.

"It will generate a good return for us in the long term," he said. Hongkong.com would also use HK$195 million for future acquisitions of Internet-related companies and investments in them. The balance would be used to purchase software applications, expand network infrastructure, repay all loans extended by Chinadotcom and as working capital, the listing document said. Adjusted net tangible asset value would be HK$0.26 per share based on an estimated issue price of HK$1.74, the mid-price of the offer range. The company posted a net loss of HK$18.01 million for the year ended December 31 1999. Total turnover of the company was HK$28.44 million, of which about 50 percent came from advertising revenues and the rest from the provision of content, hongkong.com chief executive officer Rudy Chan said. "We hope the revenues will be equally distributed in three main areas, namely advertising, content provision and e-commerce in the future," he said. Hongkong.com has one million registered subscribers so far, and it attracted three million page views per day as of end-February, up 33 percent and 76 percent respectively from the end of 1999.
