There`s plenty of Deepgreen to share
By Brian Toohey and Brett Clegg
John Byrne laughs: "Let`s be honest. Would you buy shares in Deepgreen for a coal mine in Bangladesh?"
A moment earlier, Deepgreen Minerals` executive chairman and principal shareholder had been enthusing about his company`s coal deposits in Bangladesh.
But Byrne is too shrewd to keep talking about coal when the market only wants to hear about the internet. Hence, the sudden burst of candour when talking to The Australian Financial Review last week.
Of course, Byrne is right. Nobody wants to buy shares in Deepgreen because of its Bangladeshi coal prospects. Bangladeshi software, maybe.
These days, Byrne can afford to laugh. Deepgreen`s share price might sometimes sink below 1¢, but someone out there loves it. So much so, its trading volume often tops the market.
According to a bemused Australian Stock Exchange, Deepgreen`s turnover during January as a proportion of shares on issue was 2,081 times the average for the All Ordinaries. In February, it was 1,232 times.
Better still, there is enough price volatility to give punters repeated opportunities to make a fast 100 per cent or more. And all this without the company sticking dot com on the end of its name.
While other miners can`t get out fast enough, Byrne still wants to fossick around in such unfashionable "ore bodies" as old asbestos mine tailings. A classic recipe it might seem for being treated as an "old economy" penny dreadful. Yet Deepgreen has become a star of the internet chat rooms, transforming the company into a "new economy" penny dreadful.
The differences don`t end there. While other CEOs are keen on share buybacks to bolster the value of their options, Byrne is issuing shares hand over fist. And he doesn`t seem to mind if the share price goes down (before going back up).
Deepgreen has more than 1.4 billion shares on issue. This is more than eight times as many as Macquarie Bank, seven times as many as ERG and more than double PBL. In the first two months of this calendar year alone, Deepgreen has issued an extra 561 million shares, raising $16 million in the process. Not bad going for a company with accumulated losses of more than $56 million and no help from big-name underwriters.
Instead, a preference share offer last November was underwritten by Byrne`s family company, Twenty Second Yeneb, and by the House of Dare. Not to be confused with the Melbourne finance house, JB Were, the House of Dare, apparently, is run out of rural Tasmania.
Its principal, Eric Dare, is not exactly advertising for business these days. Telstra says it has no listing for the Tasmanian address he gives on the House of Dare`s latest ASIC return. Dare`s diverse activities have included backing stage productions such as the Rocky Horror Show and growing bulbs at an historic farm, Tedworth Hall, north of Hobart. In an interview before auctioning off his paintings in 1995, Dare said he had made a large part of his money by moving on moribund companies, building them up and selling out.
Deepgreen seemed to fit the moribund category when the House of Dare agreed to underwrite part of the preference share issue. Sales revenue for the 12 months ended June 30, 1999, had fallen to $82,000 from more than $1.8 million in the previous year. The one possible ray of light was that proceeds from the sale of investments had risen from $37,000 to $1.4 million - not enough to stop accumulated losses rising above $56 million.
The prospectus explained that the purpose of the issue was to raise additional working capital for Deepgreen`s existing business. The core business was described as coal reclamation, particularly from waste ponds in West Virginia. Other key businesses were listed as coal prospects in Bangladesh and Sabah and a 7 per cent share in plans to extract magnesium from asbestos tailings in British Colombia.
But it is not the existing businesses that have fired the market`s imagination. When the AFR suggested last week that the company was prepared to "stick to its knitting", despite the internet fever, Byrne was quick to explain that he saw Deepgreen as a "seed capitalist" that would look at any good idea. "If you go to a financier these days and say you are a miner, they look at you like you are a leper." Hence his keenness to stress: "About 30 or 40 per cent of our investment portfolio, $6 million, is in dot coms."
Not that Byrne has ever intended Deepgreen (formerly Black Hills Minerals) to be a long-term miner - or internet investor. He says, "We`re interested in three of four dot com companies with the potential to go for a run. When they do, we`ll get out. We are looking to make four to five times an average investment of half-a-million [dollars]."
Two of the company`s best-known internet-related investments are in Kidznet and Max Multimedia. Kidznet (formerly Walhalla Mining) is run by Byrne`s ex-partner in the 1980s boom, Chris Kyriakou. Max Multimedia is backed by Danny Hill, another Byrne associate from the WA mining boom. The Kidznet holding of just over 20 per cent reunited Byrne and Kyriakou who had managed to steer Walhalla though the 1987 sharemarket crash virtually unscathed only to end up in a scheme of arrangement two years later after they were unable to repay $50 million owed to the banks.
Last week, Byrne said Deepgreen might be a little overweight in Kidznet. "Although I like the story, we might lighten the load." Whether the comment will strain the friendship with Kyriakou is hard to tell. Byrne, for one, does not seem to mind if investors put downward pressure on the price by selling out of Deepgreen. The one impression he certainly does not want to give, however, is that Deepgreen might be losing its enthusiasm for being seen as an indirect internet play.
Given Deepgreen`s price history, not surprisingly some punters see it as a cheap proxy for a company like Kidznet whose price is more than 60¢. Last November`s preference share prospectus noted the price of an ordinary Deepgreen share had varied between 0.5¢ and 2.2¢ during the previous 12 months. The preferences had varied from 8¢ to 35¢ and the attached options from 2¢ to 15¢.
Little wonder the stock seems tailor-made for the day trader`s pocket. At one stage, it would have been possible to own a million Deepgreen shares for an outlay of $5,000 - and double or treble your money soon afterwards. Since then, the possibilities have expanded, with Deepgreen going as high as 7¢ before settling back to 2.9¢ yesterday. A lot of the action involves arbitrage possibilities created by differences between the pricing of the ordinary shares, the preference shares and the options. According to Byrne, arbitrage opportunities also arise from the inability of active punters, such as the Germans, to trade in the euro equivalent to fractions of a cent as occurs in Australia.
There is no doubt the stock has attracted extraordinary attention. The ASX`s head of surveillance, Jim Berry, says the level of activity was high enough to trigger five volume alerts during a brief period in January. At one stage, daily trading reached more than 216 million shares by 3.05pm. But this was soon surpassed. On February 28, 250 million shares - or more than 20 per cent of the capital - changed hands. At the time, the company issued a statement noting its portfolio of internet-related stocks was worth more than $6 million. According to Berry, it is virtually impossible to work out who is really trading when broking accounts can be opened via nominees just about anywhere in the globe.
Apart from Byrne, Deepgreen only has two other directors, a long-time associate, Peter Maher, and a Melbourne lawyer, Peter Hinneberg. Byrne - like Maher, a former AFR writer - estimates more than 30 per cent of Deepgreen is owned by Germans, much of it through ANZ Nominees. The list of top 20 shareholders on December 30 had Byrne`s Twenty-Second Yeneb with 41 million shares followed by ANZ Nominees with 26 million. (Nine of the top 20 shareholders at that time were nominee companies. Others were in broking or custodial names).
Since then, Byrne says the holdings by ANZ Nominees have "gone through the roof to 300 million to 400 million shares. I`ll put money on it, that it`s mostly Germans". His own holding has gone up to 53 million shares. If anyone now owns more than he does, they haven`t come forward to say so. In fact, he says no other owner has gone past the 5 per cent mark, which is supposed to trigger a public disclosure.
Byrne assumes most holdings are small, with much of the volatility resulting from publicity generated by the growth of internet chat rooms such as wallstreetonline.de.
Byrne says he visited Germany in January to find out more. "I didn`t even know we were listed there. Anyone can list you on their second boards. I think we`re on Frankfurt and Stuttgart. But Jurgen knows more about this than I do." (Jurgen Debrodt, the company secretary, was born in Hamburg.)
Byrne rejects any suggestion that he or his friends might be associated with market-moving comments appearing on some of the chat-room sites. "We have no control over what anyone says about us becoming a dot com or anything else." In particular, Byrne is adamant he has no influence over Deepgreen`s price and that all his own trading is disclosed as required by law. "I`ve got no idea when the price is going to move. My position [shareholding] is a matter of public record."
The record shows Byrne only held 847,755 shares at June 30 last year. According to the latest declaration, he now has over 53 million.
When the chat rooms get overexcited, there are worse ways to be an innocent bystander.

Was ist also zu tun ?

Was ist also zu tun ?

MfG JayJay

Ungeduld tut selten gut. ;-)
Gibt`s denn schon wieder neue Nachrichten aus Back off ?

Also liegen lassen - am besten gar nicht reinschauen - mit Glück tut sich was - ansonsten - no risk no fun!!
Quak!
