      The Tube music networks sold (The Miami Herald)

      Jan. 18--A Houston company has agreed to buy The Tube Music Network for $10 million cash and lend the struggling digital-TV enterprise another $10 million to pay off creditors and keep it afloat, according to regulatory filings.

      The deal will inject new life into Miami-based Tube, which airs 24-hour music programming to about 15 million homes on over-the-air digital channels, but has had trouble capturing revenue streams from advertising and other sources in the nascent multicast market.
      The acquisition by AutoMedia, which is expected to close in about 90 days, gives the Houston company a second digital-broadcast property.

      The privately-held company plans to launch Motor Trend TV later this year under a long-term licensing agreement with Primedia, publisher of Motor Trend magazine.

      "AMI's goal is to reinforce The Tube's position within the multicast industry. Over the next few weeks, AMI will be unveiling its plans for the new company," said spokesman Barry Kluger in a statement.

      Over-the-air digital broadcasters transmit on the new digital channels stations get when they switch from analog signals to the compressed digital bandwidth.

      Programming efforts for the new channels are just starting to get off the ground, but consumers have proven reluctant to buy new digital TVs capable of receiving the additional channels, leaving stations little to pitch to advertisers.

      Tube Media cancels negotiations to sell.

      South Florida Business Journal 4:21 PM EST - Friday, Feb 23, 2007

      Tube Media Corp. and a group of Houston investors have mutually terminated a $10 million letter of intent for the investors
      to buy the high-definition digital music channel.

      The Fort Lauderdale-based company signed the agreement with AutoMedia on Jan. 2, giving 90 days for the transaction to close.

      Tube Media (OTCBB: TUBM) was allowed to take out a secured loan with the potential buyer to help the financially strapped company stay afloat.

      When their agreement was mutually terminated on Feb. 14, Tube Media agreed to repay the loan, the amount of which it didn't disclose.

      At the same time, Tube Media said it received two loans totaling $93,000 from GT Networks LLC.

      That funding is an advance on a larger financial transaction being negotiated between the companies, Tube Media said.

      Tube Media had accumulated a $40.7 million deficit as of Sept. 30 and little revenue, according to its Securities and Exchange Commission filings. It lost $12 million in the first nine months of 2006.

      Shares closed up 5 cents, or 25 percent, to 25 cents. The 52-week high was $6.85 on March 9. The 52-week low was 8 cents on Jan. 30.
