Germany looks to speed up green hydrogen development in Australia
MELBOURNE, May 27 (Reuters) - Germany wants to speed up its green hydrogen work with Australia as the country's effort to ditch fossil fuels has become more urgent after Russia's invasion of Ukraine, Germany's research minister said on Friday.

      ...

Germany and Australia last year signed a deal to create a renewable energy-based supply chain between the two countries as part of Berlin's efforts to develop environmentally-friendly hydrogen. read more

As Germany's green hydrogen demand cannot be met domestically, it is seeking partnerships overseas to secure imports.

The goal is to reach commercial scale production of green hydrogen by 2030 if not sooner, initially to feed Germany's steel industry, Stark-Watzinger told Reuters.

"I think once we get started and the process gets momentum, it could be earlier than that," said Stark-Watzinger, who is on a four-day trip across Australia to discuss hydrogen projects with researchers and companies, including two of Australia's biggest commodities exporters Woodside Energy Group Ltd and Fortescue Metals Group (FMG.AX).

Germany wants to line up Woodside and Fortescue as suppliers of green hydrogen, while the two companies are interested in working with German firms to get electrolysers, she said.

Woodside's 'crown jewel' Scarborough gas lures buyers to fill Russia gap
MELBOURNE, May 20 (Reuters) - Woodside Petroleum (WPL.AX) has received strong interest from companies for a stake in the Scarborough natural gas project it is developing off Western Australia in the wake of the Ukraine conflict, Chief Executive Meg O'Neill said on Friday.

Woodside is set to become 100% owner of the $5.7 billion Scarborough project following its merger with BHP Group's (BHP.AX) petroleum arm, approved by Woodside investors on Thursday. read more

Australia's largest independent gas producer has long flagged it wanted to sell down its interest, but has been waiting to acquire BHP's stake to be able to provide certainty on the size of its sell-down.

"Scarborough is going to be a crown jewel for Woodside. What's important for us is finding the right partner at the right price," O'Neill told Reuters, adding there could be more than one partner.

Woodside wants to maintain a majority stake, but has not specified what percentage.

"We have had strong interest post-Ukraine, as many customers around the world realise the importance of energy security," O'Neill said, adding that there was interest in both LNG supply and an equity stake in the project.

Following Russia's invasion of Ukraine, sanctions have resulted in an indefinite delay to the 20 million tonnes a year Arctic LNG 2 project. LNG buyers and investors are now seeking alternatives.

"They look at Scarborough as a project ... that will be producing in the second-half of the 2020s, filling a gap that is expected to arise in the market at that point in time," O'Neill said.

Scarborough gas will feed Woodside's $6.3 billion Pluto LNG expansion. Its first cargo is expected in 2026.

LNG projects typically seal long-term sales before a final investment decision, but Woodside lined up contracts for only about half its volumes ahead of the Scarborough/Pluto go-ahead last November, positioning it to take advantage of a jump in prices, Wood Mackenzie analyst Dan Toleman said.

Determination of in specie dividend in connection with the Woodside Merger
The Board of BHP Group (BHP) has determined to pay to BHP shareholders an in specie dividend in the form of Woodside Petroleum Ltd (Woodside) shares in connection with the merger of BHP’s oil and gas portfolio with Woodside (Merger).

The in specie dividend is scheduled to be paid on 1 June 2022 and will be fully franked.

BHP shareholders’ entitlement to, and the payment of, the in specie dividend is subject to completion of the Merger.

BHP will receive 914,768,948 Woodside ordinary shares as part of the Merger. Eligible BHP shareholders will receive one newly issued Woodside share for every 5.5340 BHP shares they hold at the close of business on 26 May 2022 (Record Date). Holders of BHP American depositary shares (ADSs) will be entitled to receive one Woodside ADS for every 2.7670 BHP ADS they hold at the Record Date (with each Woodside ADS representing one Woodside share), subject to payment of taxes and applicable fees and expenses.

BHP ADS holders should note that the BHP ADSs will trade with “due bills” from the opening of business in New York on 25 May 2022 until 2 June 2022. BHP ADSs trading with due bills carry the right to receive the Woodside ADSs distributed in connection with the Merger. Exdividend trading in the BHP ADSs will commence at the opening of business in New York on 2 June 2022.

The BHP Dividend Reinvestment Plan will not operate in respect of the in specie dividend.

Eligibility to receive Woodside shares and related sale facility

BHP shareholders will be eligible to receive the in specie dividend in the form of Woodside shares if their address on the BHP register is in one of the following jurisdictions: Australia, Canada, Chile, France, Germany, Ireland, Italy, Japan, Jersey, Luxembourg, Malaysia, Netherlands, New Zealand, Norway, Singapore, Spain, Sweden, Switzerland, United Arab Emirates, United Kingdom and United States. Certain South African BHP shareholders may also validly elect to receive Woodside shares in accordance with the instructions previously announced on 8 April 2022.

BHP shareholders with a registered address in any other jurisdiction will generally be ‘Ineligible Overseas Shareholders’ and instead have their entitlements transferred to a sale agent to be sold in a sale facility. Proceeds are expected to be remitted to them within 12 weeks of completion of the Merger.
Eligible small BHP shareholders holding 1,000 ordinary BHP shares or UK depositary interests or less may also elect to have the Woodside shares they are entitled to receive sold by the sale agent under the sale facility, with payments also expected within 12 weeks of completion of the Merger.

      Rounding of entitlements

BHP shareholders will be entitled to a whole number of Woodside shares, with any entitlement to a fraction of a Woodside share being rounded down to the nearest whole share. This includes BHP UK depositary interest holders and shareholders on the BHP South African branch share register.
The arrangements governing the BHP ADS and the BHP Corporate Sponsored Nominee Facility contemplate rounding of entitlements, and the rounding of the in specie dividend will occur according to the terms and conditions of those arrangements.
